問題：客戶未告知采用什么標(biāo)準(zhǔn)進(jìn)行制作與檢查。

建議： 我們按IPC-6012B Class2與IPC-A-600G Class2 做。

Question: Customer doesn’t tell us material type.Suggestion: We will use FR4.問題： 客戶要求成品厚度為1.60+/-0.10mm，此公差對六層板而言太緊，難以控制。建議: 將公差放松到+/-0.15mm.Question: Customer requires “1.60+/-0.10mm” finished board thickness, the tolerance is too tight for

Question: Customer doesn’t specify how to take a mark for “E-Test OK” board.Suggestion: A)Mark a black line at edge-board.B)Take a white stamp on board.問題：客戶未指定V-CUT標(biāo)準(zhǔn)。

建議： V-CUT角度為30°±5°，余厚為0.40+/-0.10mm。Question: Customer doesn’t specify V-cut standard.Suggestion: V-cut angle: 30°±5°, residue thickness: 0.40+/-0.10mm。

問題：客戶未指明斜邊標(biāo)準(zhǔn)。建議：按下圖所示制作。

Question: Customer doesn’t specify bevel standard.Suggestion: Follow below picture to do.問題： 請看下圖，成品板四個角為直角，運(yùn)輸與包裝過程中易造成板間擦傷。建議： A）將直角改成R1.0mm的圓角。

B）不能更改。

Question: See below picture, four outer corners are rectangular, sharp corners will bring scratching between boards during transportation and packaging.Suggestion: A)Change the rectangular corners into R1.0mm ones.B)Take no change.問題： 板上P/N為ABCD，但客戶資料上為EFG。建議： A）將板上的P/N改為EFG.B）將文件資料上的P/N改為ABCD。

C）不予理會。

問題：客供圖紙上“A”處數(shù)據(jù)與“B”處數(shù)據(jù)相矛盾，請看下圖。建議： a）按“A”處數(shù)據(jù)做。

b）按“B”處數(shù)據(jù)做。

建議：將Slot寬度改為0.80mm以便鑼出。

Question: Customer requires +0.05/-0mm for 3.0mm PTH, the tolerance is out of capability.Suggestion: Relax it to be +0.10/-0mm.問題：客戶沒有規(guī)定哪些孔為PTH，哪些孔為NPTH。建議： 3.0mm，4.10mm孔做成NPTH，其余做成PTH。

Question: Customer doesn’t indicate which holes are PTH and which holes are NPTH.Suggestion: 3.0mm,4.10mm holes are made into NPTH, others are made into PTH.問題： 請看下圖，“a”處PTH（1.0mm）與“b”處PTH（2.10mm）的距離只有10mil（我司工藝能力為14mil），電鍍時易滲鍍造成兩孔短路。建議：A）將兩孔分別往相反方向移動2mil。

B）將兩孔Size分別縮小0.05mm，即做成0.95mm與2.05mm。

Question: See below picture, the distance is only 10mil between 1.00mm hole marked “a” and 2.10mm hole marked “b”(it’s 14mil min distance for our normal workmanship), the close distance will easily cause shorts between the two holes in plating process.Suggestion: A)shift the two hole 2mil away individually towards counter-directions.B)Reduce 0.05mm for hole sizes, i.e.make them as 0.95mm and 2.05mm.問題： 板上沒有NPTH，用PTH做鑼板定位孔時易損傷孔壁銅。

問題： 客戶要求的底銅厚為2OZ，但最小線寬線距只有5/5mil（我司能力是8/6mil）。建議：

A）將底銅厚改為1OZ。

B）請更改GERBER并重新提供給我們。

C）取消此定單。

Question: See below picture, there is a 3.0mm NPTH lying in copper plane.Suggestion: A)Cut suitable copper and keep copper 10—12mil far away from hole to ensure no copper exposure.B).Follow Gerber and copper exposure is allowable.問題：內(nèi)層L2與L5完全相同。

建議： A）L2與L5完全相同是正確的，依原裝做即可。

Question: We find out layer2 is as same as layer5 entirely.Suggestion: A)They are right, just follow Gerber to do.B)They are wrong, please provide us new modified Gerber.問題： POWER層與GROUND層于紅圈處短路，請看下圖。建議： A）正確，依原裝做即可

B）錯誤，請?zhí)峁┬翯ERBER。

Question: The copper with red circle is short between POWER and GND planes, Suggestion: A)It’s right, just follow Gerber.B)It’s wrong, please provide new Gerber.問題：內(nèi)層上有許多孤立PAD。

建議： A）刪孤立PAD，以方便我司生產(chǎn)。

B）不可以刪，要按GERBER做。

Question: There many isolated pads on inner layers.Suggestion: A)Delete them to benefit our production process.B)Not delete, just follow Gerber.問題： 工藝邊無銅。

建議：A）為平衡壓板時的板厚，我們于工藝邊加Dummy copper，并將避開外層各種標(biāo)記。

B）不可以加。

Question: No copper on breakaway.Suggestion: A)To balance board thickness during pressing process, we add dummy copper, the copper will keep away from markings on outer layers.B)Not permit to add extra dummy copper.外層線路

二、資金來源

中華人民共和國向世界銀行申請一筆貸款，用以支付＿＿＿＿＿工程。其中部分貸款將用于支付此合同工程。只有應(yīng)中國政府的要求，根據(jù)貸款協(xié)議的條件，IFI才會同意付款。除中國外，任何組織不能從貸款協(xié)議中獲得權(quán)利或取得貸款。

世行貸款只用于支付瑞士和與中國有商貿(mào)關(guān)系世行成員國生產(chǎn)的產(chǎn)品和提供的服務(wù)。

世行貸款不足的部分將由業(yè)主用中國政府提供的資金支付。

三、資格要求

所有根據(jù)世行的“采購指導(dǎo)原則”具有資格的國家均可投標(biāo)。

本合同項(xiàng)下的一切貨物、服務(wù)均應(yīng)來自上述具有資格的國家。本合同項(xiàng)下的一切開支僅限于支付這樣的貨物和服務(wù)。

貨物、服務(wù)來源地與投標(biāo)者國籍含義不同。

為說明自己有資格中標(biāo)，投標(biāo)者應(yīng)向業(yè)主提供所規(guī)定的證明，保證有效地執(zhí)行合同。為此，業(yè)主和中國A公司在公布中標(biāo)者前，可要求投標(biāo)者更新其先前提供的資格證明材料。投標(biāo)者提供的材料應(yīng)包括：

法律地位證明文件復(fù)本，注冊地及主要經(jīng)營場所。如果是合資公司，應(yīng)提供合資者的材料。

提供主要合同執(zhí)行人的資格、經(jīng)歷證明材料。

填寫執(zhí)行合同計劃所需設(shè)備。

填寫可能的分包人。

目前進(jìn)行中涉及投標(biāo)者的訴訟的情況。

建設(shè)構(gòu)想細(xì)節(jié)。

投標(biāo)者可更新資格證明申請，在投標(biāo)日親手交出。

由兩家或兩家以上公司組成的合資企業(yè)應(yīng)滿足以下條件：

標(biāo)書和投標(biāo)成功后的協(xié)議書對所有合資人都有法律約束力。

由所有合資人的授權(quán)簽字人簽署并提交一份委托書，提名合資人中的一個為主辦人。

合資主辦人被授權(quán)承擔(dān)義務(wù)，代表任何一位或全體合資人接受指導(dǎo)。整個合同的執(zhí)行，包括款項(xiàng)支付僅由合資主辦人辦理。

五、現(xiàn)場參觀

建議投標(biāo)者去工程現(xiàn)場參觀，以便獲得足夠的信息準(zhǔn)備標(biāo)書，撰寫合同?，F(xiàn)場參觀費(fèi)用由投標(biāo)者自己承擔(dān)。

業(yè)主或其代理人A公司將準(zhǔn)備一份現(xiàn)場參觀交通、食宿安排協(xié)議，在標(biāo)前會議上向投標(biāo)者宣布。詳細(xì)情況在第十六條有規(guī)定。

具有資格的投標(biāo)者還可購買更多的文件副本，付費(fèi)不退還。

項(xiàng)目承包人、生產(chǎn)者、供貨人和其他人如欲得到投標(biāo)文件，不要直接與中國A公司聯(lián)系，應(yīng)從具有資格的投標(biāo)者處獲得。

如果在規(guī)定的期限內(nèi)，文件無損壞的被歸還，無論是作為標(biāo)書的一部分或其他情況下，投標(biāo)者的資格證明費(fèi)可被返還：

若提交標(biāo)書，費(fèi)用的＿％返還；

條款六描述的投標(biāo)文件和按條款八發(fā)出的附錄均被視作標(biāo)書的組成部分。不需簽字和按條款十七、十八規(guī)定提交的投標(biāo)文件應(yīng)在投標(biāo)期限到期前歸還發(fā)行者，但不要與標(biāo)書合在一處。

投標(biāo)者應(yīng)隨標(biāo)書提交一份按合同條款第十四條要求的形式寫就的初期計劃。

按合同規(guī)定可要求中標(biāo)者討論修改其計劃。

十一、投標(biāo)價格

除非合同中另有明確規(guī)定，合同包括條款一所述全部工程，以投標(biāo)者提供的項(xiàng)目單價和總價為基礎(chǔ)。

無論工程量是否標(biāo)明，投標(biāo)者應(yīng)對工程量表中的每項(xiàng)工程標(biāo)明單價和總價。對單價和總價未標(biāo)明的項(xiàng)目，在建設(shè)中業(yè)主不予以支付，其價格視作已包括在工程量表中其他的單價、總價中。

在提交標(biāo)書前28天承包人應(yīng)付的關(guān)稅、稅收和其他稅負(fù)應(yīng)包括在單價和總價及投標(biāo)總價中。業(yè)主在對標(biāo)書進(jìn)行評估、比較時，也應(yīng)如此考慮。

根據(jù)合同條款，投標(biāo)者提出的單價和總價可在執(zhí)行合同過程中進(jìn)行調(diào)整。投標(biāo)者應(yīng)完成表三——價格調(diào)整條款——并按合同條款的要求與投書一起提供這樣的配套文件。

十二、投標(biāo)和支付貨幣

投標(biāo)者應(yīng)以人民幣對單價和總價報價。如果投標(biāo)者以其他貨幣支付中國以外提供的工程投入，要在表一外幣需求中寫明投標(biāo)價格的百分之幾將用于這樣的外幣支出，無論全部用投標(biāo)者所在國貨幣或其任選貨幣；全部用美元。如果投標(biāo)者在一部分外幣需求中使用除以外的貨幣，且希望業(yè)主以同種貨幣付款，則應(yīng)寫明其在投標(biāo)價格中的百分比。這一比率在合同期內(nèi)保持不變。在合同條款換算和計算投標(biāo)價格時，占不同比率的各種貨幣按下條規(guī)定的匯率進(jìn)行換算。

投標(biāo)者用以兌換貨幣的匯率為提交標(biāo)書最后日期前30天當(dāng)天中國銀行公布的官方賣出價。如果某種貨幣的匯率未公布，投標(biāo)者應(yīng)提供匯率并說明其來源。投標(biāo)準(zhǔn)備中使用的匯率適用于合同期的支付。

投標(biāo)者應(yīng)在表一外幣與當(dāng)?shù)刎泿判枨蠹案戒浿性敿?xì)說明需要的外幣和當(dāng)?shù)刎泿艛?shù)量。投標(biāo)者應(yīng)說明如何使用這些貨幣，用于但不限于下列方面：

外幣

工程直接雇用的外籍人員；

外籍人員的社會收費(fèi)、保險金和醫(yī)療費(fèi)用及其往來中國的旅行費(fèi)；

工程需要進(jìn)口的臨時或永久性材料；

工程所需設(shè)備的折舊，包括備件；

進(jìn)口設(shè)備、材料及備件的保險費(fèi)和運(yùn)費(fèi)；

一般管理費(fèi)用，國外發(fā)生費(fèi)用。

投標(biāo)者應(yīng)在表二寫明預(yù)計合同支付款額，且在表中附上工程進(jìn)行過程中預(yù)計的工作量。

十三、標(biāo)書效力

從特定的投標(biāo)結(jié)束期起6個月內(nèi)投標(biāo)書保持有效且可供接受。

在特殊條件下，在原標(biāo)書有效期結(jié)束前，業(yè)主或其代理人可要求投標(biāo)者延長其標(biāo)書有效期。業(yè)主的要求和投標(biāo)者的答復(fù)均應(yīng)是書面的，或采用電傳、電報形式。投標(biāo)者可以拒絕這樣的要求，且不會因此失去其投標(biāo)保函。答應(yīng)這樣要求的投標(biāo)者不得改動其標(biāo)書，但被要求順延其投標(biāo)保函有效期。條款十四中有關(guān)投標(biāo)保函的返還和失去的規(guī)定同樣適用于延長期。

十四、投標(biāo)者應(yīng)隨其標(biāo)書提交一份人民幣投標(biāo)保函，金額不少于投標(biāo)價格的2％。

投標(biāo)保函根據(jù)投標(biāo)者的意愿，可采用以下機(jī)構(gòu)開立的擔(dān)保支票、銀行匯票、不可撤銷信用證或保函的形式：

中國銀行；

中國銀行的任何境外代理行；

在中國經(jīng)營的其他中國、外國銀行；

投標(biāo)者在提交標(biāo)書前即肯定A公司可接受的其他外國銀行。

保函還可以是保險公司或同地的債券公司的付款保證書。銀行保函和付款保證書必須采用本文件包括的樣本形式；其他形式須事先得到業(yè)主或其代理人A公司的同意。信用證、銀行保函和投標(biāo)保函的有效期應(yīng)比標(biāo)書有效期長一個月。

如果投標(biāo)者同意按十三款的規(guī)定延長標(biāo)書有效期，則應(yīng)相應(yīng)地把投標(biāo)保函的有效期延長到標(biāo)書有效期結(jié)束后一個月。

任何未附可接受的投標(biāo)保函的標(biāo)書都將被A公司拒絕。

不成功的標(biāo)書的投標(biāo)保函將盡快返還，不得遲于標(biāo)書有效期結(jié)束后三十天。

成功的投標(biāo)者的投標(biāo)保函將在其開始進(jìn)行工程和按要求提供履約保函后返還。

投標(biāo)保函在下列情況將失去：

投標(biāo)者在標(biāo)書有效期內(nèi)撤標(biāo)；或

成功的投標(biāo)者未簽約或未提供必要的履約保函。

十五、供選擇的方案

投標(biāo)者可提供一份完全符合投標(biāo)文件要求的基本標(biāo)書。根據(jù)自己的意愿，投標(biāo)者還可在以下幾項(xiàng)上在基本標(biāo)書之外提出供選擇的方案：

起動貸款

在開始建設(shè)工程前，提供無息貸款，可相當(dāng)于投標(biāo)價格的10％。業(yè)主由此產(chǎn)生的費(fèi)用或存款按條款二十八計算。

在基本標(biāo)書之外還可提出供選擇的方案。為了在評標(biāo)中把供選擇的方案考慮在內(nèi)，每一方案應(yīng)伴有價格細(xì)目表，說明與提交給業(yè)主的基本投標(biāo)價格相比投標(biāo)者估計會增加或減少的費(fèi)用。將對基本報價給予比較、評估。評價最低的投標(biāo)者的供選擇方案將得到考慮。如果供選擇方案是業(yè)主可接受的，將寫入合同。未標(biāo)價或未提供足夠細(xì)節(jié)的供選擇方案不予接受。

供選擇的技術(shù)方案應(yīng)伴有供全面評價的必要信息，包括設(shè)計計算、圖紙、方法及原技術(shù)規(guī)范中未涉及的材料、工藝的規(guī)格，以及供選擇方案的標(biāo)價細(xì)目表和供選擇方案的合同價格。

只有對那些在基本報價基礎(chǔ)上提供另外的財務(wù)、經(jīng)濟(jì)和技術(shù)好處的供選擇方案，業(yè)主才在評標(biāo)中給予考慮。

十六、標(biāo)前會議

建議投標(biāo)者或其正式代表參加于＿＿年＿＿月＿＿日＿＿時在＿＿＿＿＿舉行的標(biāo)前會議。

會議旨在回答可能提出的問題，并使投標(biāo)者有機(jī)會檢查現(xiàn)場的情況。

投標(biāo)者書面或通過電傳、電報提出的問題要求在會議前一周到達(dá)A公司。

會議記錄，包括提出的問題及答復(fù)的文本將迅速提供給與會者和全體索取了投標(biāo)文件的具有資格的投標(biāo)者。

如果根據(jù)標(biāo)前會議，要對條款六所列投標(biāo)文件進(jìn)行修改，應(yīng)由業(yè)主或其代理人A公司通過發(fā)行條款八規(guī)定的附錄來進(jìn)行，而不能通過標(biāo)前會議記錄來進(jìn)行。

十七、標(biāo)書格式和簽字

投標(biāo)者應(yīng)準(zhǔn)備條款十規(guī)定的標(biāo)書的一個原本和兩個副本，并分別注明“原本”和“副本”。如果兩者之間有不同，以原本為準(zhǔn)。

標(biāo)書原本和兩個副本應(yīng)打字或用不能抹掉的墨水書就，并由一名或多名有權(quán)責(zé)成投標(biāo)者遵守合同的人士簽字。與標(biāo)書一起應(yīng)有一份書面委托書用以證明授權(quán)。寫有條目和修訂內(nèi)容的每一頁標(biāo)書都要有在標(biāo)書上簽字人士的縮寫簽名。

全套標(biāo)書不應(yīng)有改動、行間書寫或涂抹的地方，除非按議程的指示或?yàn)楦恼稑?biāo)者的錯誤，但這種情況下改正的地方應(yīng)有在標(biāo)書上簽字人士的縮寫簽名。

每位投標(biāo)者只能提交一份標(biāo)書，不包括按條款十五提交的供選擇方案。投標(biāo)者對一個合同只能投一次標(biāo)。

十八、標(biāo)書封緘和標(biāo)記

投標(biāo)者應(yīng)把標(biāo)書原本和兩個副本分別各裝入一個內(nèi)信封和一個外信封，且在信封上注明“原本”、“副本”。

內(nèi)外信封均應(yīng)注明以下地址：

如果外信封未按規(guī)定注明有關(guān)事項(xiàng)。一旦標(biāo)書被錯誤處置或提前打開，A公司對此不負(fù)任何責(zé)任。提前打開的標(biāo)書將被業(yè)主或其代理人A公司拒絕，予以退回。

十九、提交標(biāo)書最后期限

標(biāo)書應(yīng)按上述地址在＿＿年＿＿月＿＿日＿＿時之前寄至A公司。

業(yè)主或其代理人可通過發(fā)布條款八規(guī)定的附錄延長提交標(biāo)書的最后期限，但至少應(yīng)在原期限前七天通過電傳或電報通知所有已索取投標(biāo)文件的具有資格的投標(biāo)者。在此情況下，所有原期限下業(yè)主和投標(biāo)者的權(quán)利義務(wù)順延至新期限結(jié)束。

二十、逾期標(biāo)書

A公司在提交標(biāo)書最后期限之后收到的標(biāo)書都將不被打開，退回投標(biāo)者。

十一、標(biāo)書修改和撤銷

投標(biāo)者在提交標(biāo)書后可對其進(jìn)行修改或予以撤銷，只要修改文件和撤標(biāo)通知在提交標(biāo)書最后期限前送達(dá)A公司。

投標(biāo)者的修改文件或撤標(biāo)通知應(yīng)按有關(guān)提交標(biāo)書條款的規(guī)定準(zhǔn)備、封緘、標(biāo)記和發(fā)出。撤標(biāo)通知可以通過電傳、電報送達(dá)，但隨后應(yīng)提交一份有簽名的確認(rèn)件，且其郵戳上日期不能晚于提交標(biāo)書最后期限。

按條款二十四的規(guī)定，任何標(biāo)書在最后期限后不能再進(jìn)行修改。

在提交標(biāo)書最后期限和標(biāo)書有效期滿之間的時間撤標(biāo)將按條款十四的規(guī)定失去投標(biāo)保證書。

十二、開標(biāo)

業(yè)主或其代理A公司將于＿＿年＿＿月＿＿日＿＿時在辦公地點(diǎn)＿＿＿＿＿當(dāng)著出席會議的投標(biāo)者代表開標(biāo)，參加開標(biāo)的投標(biāo)者代表應(yīng)簽到。

按條款二十一提交了撤標(biāo)通知的標(biāo)書將不再打開。業(yè)主或其代理人將檢查標(biāo)書是否完整，是否提供了要求的投標(biāo)保證書，文件是否簽字以及是否有條理。

在開標(biāo)時將宣布投標(biāo)者姓名、投標(biāo)價格及修訂、投標(biāo)保證書、撤標(biāo)通知以及其他業(yè)主或其代理人認(rèn)為適宜宣布的事項(xiàng)。

業(yè)主或其代理人將根據(jù)自已的記錄準(zhǔn)備開標(biāo)會議記錄，并將盡快與評標(biāo)報告一起遞交世界銀行。

十三、過程保密

在公開開標(biāo)后，在向成功投標(biāo)者授標(biāo)前，有關(guān)對標(biāo)書的檢查、解釋、評估及比較以及對授標(biāo)的建議等信息不應(yīng)讓投標(biāo)者或其他與評標(biāo)過程無關(guān)的人士知曉。

如果投標(biāo)者試圖在此過程中對業(yè)主施加影響，其投標(biāo)將被拒絕。

十四、對標(biāo)書的解釋

為了幫助檢查、評價和比較標(biāo)書，業(yè)主和A公司可要求投標(biāo)者就其標(biāo)書作出解釋，包括單位價格細(xì)目表。提出解釋要求和相應(yīng)的回答均應(yīng)是書面的，或通過電傳或電報進(jìn)行。除非按條款二十六的規(guī)定，應(yīng)要求對業(yè)主在評標(biāo)過程中發(fā)現(xiàn)的數(shù)學(xué)計算錯誤進(jìn)行更正，不得對價格或其他標(biāo)書要素進(jìn)行修改。

十五、判定是否符合要求

在詳細(xì)的評標(biāo)前，業(yè)主和A公司將判定每份標(biāo)書是否符合投標(biāo)文件的要求。

符合要求的標(biāo)書是符合投標(biāo)文件的所有條件和規(guī)格，而沒有實(shí)質(zhì)上的偏差或保留。實(shí)質(zhì)偏差是指對工程的范圍、質(zhì)量、管理有實(shí)質(zhì)影響，或與投標(biāo)文件不符，對合同中業(yè)主的權(quán)利和投標(biāo)者的義務(wù)有實(shí)質(zhì)性限制。糾正這樣的偏差或保留，將對其他提交符合要求的標(biāo)書的投資者的競爭力有不公正的影響。

不符合投標(biāo)文件要求的標(biāo)書將被業(yè)主和A公司拒絕。

十六、改正錯誤

被判定實(shí)際符合要求的標(biāo)書，將由業(yè)主檢查是否有數(shù)學(xué)計算方面的錯誤。以下錯誤將由業(yè)主改正：

當(dāng)數(shù)字與文字表示的數(shù)額不同時，以文字表示為準(zhǔn)，除非文中明確以數(shù)字表示為準(zhǔn)；

當(dāng)單價和以單價乘以數(shù)量得到的總價不同時，以單價報價為準(zhǔn)，除非業(yè)主認(rèn)為單價存在嚴(yán)重錯誤，在這樣的情況下，以總價報價為準(zhǔn)，改正單價錯誤。

業(yè)主可按上述步驟對標(biāo)書所列數(shù)額錯誤進(jìn)行更正，如此更正得到投標(biāo)者的首肯，則對投標(biāo)者有約束力。如果投標(biāo)者認(rèn)為更正的數(shù)額會給其造成困難，可撤標(biāo)。不過撤標(biāo)使投標(biāo)者面臨失去投標(biāo)保證書的危險。

十七、換算成一種貨幣

投標(biāo)價格指應(yīng)按一定比例以不同貨幣向投標(biāo)者支付的款額。為了評價和比較標(biāo)書，業(yè)主可把不同貨幣表示的數(shù)額以中國銀行開標(biāo)日人民幣賣出價將其換算成人民幣。

十八、評價和比較標(biāo)書

業(yè)主和A公司只評價和比較那些被判定符合投標(biāo)文件要求的標(biāo)書。只對基本報價進(jìn)行評比，對評價最低的標(biāo)書授予合同。

在評標(biāo)中，業(yè)主通過下列對報價的調(diào)整，確定每份標(biāo)書的投標(biāo)價格：

按條款二十六改正錯誤；

除去臨時費(fèi)用和相關(guān)條款。如果發(fā)生臨時費(fèi)用，計入工程量表中的偶發(fā)事件。應(yīng)包括有競爭力的加班費(fèi)用；

換算成一種貨幣；

按條款二十八，估加起動貸款費(fèi)用；

對在標(biāo)書價格和上述調(diào)整中未得到反映的，其他數(shù)量變更、偏差或替代報價進(jìn)行適當(dāng)?shù)恼{(diào)整；

其他業(yè)主認(rèn)為對執(zhí)行合同、價格和支付有潛在巨大影響的因素，包括標(biāo)書中不平衡、不現(xiàn)實(shí)的單價的作用。

在評標(biāo)中，每個投標(biāo)者按條款十五的規(guī)定要求的不同的起動貸款給業(yè)主造成的費(fèi)用，按年貼息率9％計算，應(yīng)加在投標(biāo)者的投標(biāo)價格上。

業(yè)主和A公司保留接受或拒絕任何變更、偏差和替代報價的權(quán)利。超出投標(biāo)文件要求的變更、偏差、替代報價和其他因素，或?qū)⒔o業(yè)主帶來非主動提出的利益的因素在評標(biāo)中不予以考慮。

在合同執(zhí)行期內(nèi)適用的價格調(diào)整條款在評標(biāo)中不予以考慮。

如果成功投標(biāo)者的報價與工程師對合同工程所需實(shí)際費(fèi)用的估計相差很遠(yuǎn)，業(yè)主將要求成功投標(biāo)者自己承擔(dān)費(fèi)用，把按條款三十四提交的履約保函增加，使業(yè)主能避免成功投標(biāo)者今后在執(zhí)行合同中因錯誤引起的損失。

二十九、國內(nèi)投標(biāo)者優(yōu)惠

國內(nèi)投標(biāo)者滿足以下條件，即在評標(biāo)過程中有資格享受7.5％的優(yōu)惠：

在中國注冊；

中國國民占有大部分所有權(quán)；

不將超過50％的合同工程分包給外國投標(biāo)者。

國內(nèi)及外國公司聯(lián)合或合資，只要滿足以下條件，有資格享受優(yōu)惠：

國內(nèi)合伙人滿足上述資格標(biāo)準(zhǔn)；

根據(jù)安排，國內(nèi)合伙人至少完成50％的合同工程；

沒有外方參與，在技術(shù)或金融方面國內(nèi)合伙人沒有資格進(jìn)行合同工程。

實(shí)行優(yōu)惠須遵守下列程序：

在按條款二十八全面評標(biāo)后，合乎要求的標(biāo)書被分成下列幾組：

甲組：國內(nèi)投標(biāo)者的標(biāo)書，滿足上述的標(biāo)準(zhǔn)；和合資投標(biāo)者的標(biāo)書，滿足上述的標(biāo)準(zhǔn)；

乙組：其他投標(biāo)者的標(biāo)書。

在進(jìn)一步評估、比較中，相當(dāng)于投標(biāo)價格7.5％的數(shù)額將被加在B組標(biāo)書的投標(biāo)價格上。

十、授標(biāo)標(biāo)準(zhǔn)

按條款三十一，業(yè)主和A公司將把合同交給標(biāo)書符合投標(biāo)文件的要求，且按條款二十八和二十九評價后價格最低的投標(biāo)者，且該投標(biāo)者有能力和資源來有效執(zhí)行合同。業(yè)主和A公司不保證報價最低或任何標(biāo)書將被接受。

十一、業(yè)主的權(quán)利

盡管有條款三十，業(yè)主保留以下權(quán)利：接受或拒絕任何標(biāo)書；在授標(biāo)前任何時候取消招標(biāo)，拒絕所有標(biāo)書，且對因此受影響的投標(biāo)者不負(fù)任何責(zé)任，也無義務(wù)告知投標(biāo)者他的行為動機(jī)。

十二、授標(biāo)通知

在業(yè)主規(guī)定的標(biāo)書有效期結(jié)束前，業(yè)主將用電傳或電報通知成功的投標(biāo)者其標(biāo)書已被接受掛號信中應(yīng)明確業(yè)主在考慮工程建設(shè)、完成及維修等因素后將支付給承包人的款額。

授標(biāo)通知構(gòu)成合同的一部分。

在成功投標(biāo)者按條款三十四提交一份履約保函后，業(yè)主立即通知其他投標(biāo)者他們的投標(biāo)不成功。

十三、簽訂合同

在通知成功投標(biāo)者后28天內(nèi)，業(yè)主將寄去兩份投標(biāo)文件提供的協(xié)議，雙方同意的規(guī)定已寫入。

收到協(xié)議后28天內(nèi)，成功投標(biāo)者簽字、封緘使協(xié)議生效，把兩份都還給業(yè)主。業(yè)主簽字協(xié)議生效后，還給承包人一份。

十四、履約保函

在收到接受證書后28天內(nèi)，成功投標(biāo)者應(yīng)按合同條款向業(yè)主提交一份保函，保證將執(zhí)行合同。保函可以使用投標(biāo)文件中提供的格式，也可使用其他業(yè)主接受的格式。

如果成功投標(biāo)者提交的是一份銀行保函，則保函應(yīng)由一家當(dāng)?shù)劂y行，或外國銀行通過一家當(dāng)?shù)卮硇?，或投?biāo)者認(rèn)為業(yè)主可接受的一家外國銀行開具。

如果保函采取債券方式，債券應(yīng)由投標(biāo)者認(rèn)為業(yè)主可接受的債券公司或保險公司發(fā)行。

如果成功投標(biāo)者未遵守條款三十三、三十四的要求，將構(gòu)成充足理由使業(yè)主取消對其授標(biāo)，投標(biāo)者還將失去投標(biāo)保證書。

在此情況下，業(yè)主可向其次的評價最低的投標(biāo)者授標(biāo)。如果沒有其他投標(biāo)者，可重新招標(biāo)。

9.1 The tender and all correspondence relating to the tender exchangedby the tenderer and the Employer or his agent __________ shall be inEnglish.Supporting documents and printed literature furnished by thetenderer with the tender may be in another language provided they areaccompanied by an appropriate English translation of pertinent passages.For the purpose of interpretation of the tender，the English version shallprevail.10.Documents Comprising the Tender

10.1 The tender to be Prepared by the tenderer shall contain thefollowing：

the Form of Tender and Appendix thereto；

the Tender Security；

the priced Bill of Quantities；

the Schedules of Supplementary Information；

the information on eligibility and qualifications；

alternative offers，if any； and

any other information required to be submitted in accordance withthese Instructions.The Forms，Bill of Quantities and Schedules provided in Volume 3 ofthese documents shall be used without exception。

10.2 All documents issued for the purpose of tendering as described inClause 6.1 and addenda issued in accordance with Clause 8 shall be deemedincorporated in the tender.Tender documents not required to be signed andsubmitted in accordance with Clauses 17 and 18 shall be returned to theoffice of issuebefore the expiry of the tender validity period，but mustnot be enclosed withthe Tender.10.3 Tenderers shall submit with their tender a preliminary Programmein the format required by Clause 14 of the Conditions of Contract.10.4 The successful tenderer will be required to revise or augment hisProgramme as set out in the Contract.11.Tender Prices

11.1 Unless explicitly stated otherwise in the tender documents，theContract shall be for the whole of the Works ______ as described in Clause1 hereof，based on the schedules of unit rates and amounts submitted bythe tenderer.11.2 The tenderer shall fill in rates and amounts for all items ofwork described in the Bill of Quantities，whether quantities are stated ornot.Items against which no rate or amount is entered by the tenderer willnot be paidfor by the Employer when executed and shall be deemed coveredby the other rates and amounts entered in the Bill of Quantities.11.3 All duties，taxes and other levies payable by the Contractorunder the Contract，or for any other cause，as at the date ________ daysprior to the date for submission of tenders shall be included in the ratesand amountsand total tender sum submitted by the tenderer，and theevaluation and comparison of tenders by the Employer shall be madeaccordingly.11.4 The rates and amounts entered by the tenderer shall be subject toadjustment during the performance of the Contract in accordance with theprovisions of the Conditions of Contract.The tenderer shall completeSchedule III-Price Adjustment Provisions and shall submit with his tendersuch other supporting information as is required under Clause 70 of theConditions of Contract.12.Currencies of Tender and Payment

12.1 The unit rates and prices shall be quoted by the tender entirelyin RMB.A tenderer expecting to incur expenditures in other currencies forinputs to the Works supplied from outside China

shall indicate in Schedule I of “ForeignCurrency Requirements” the percentage of the Tender Price

needed by him for the payment of such foreign currencyrequirements either entirely in the currency of the tenderer's homecountry or，at the tenderer's option，entirely in US dollars，alwaysprovided that a tenderer expecting to incur expenditures in a currency orcurrencies other than those stated in and above for a portion ofthe foreign currency requirements，and wishing to be paid accordingly，shall so indicate the percentage portion in his tender.The percentageportion indicated shall remain fixed for the duration of the Contract.Theamounts in various currencies calculated on the basisof the percentagesindicated in the Tender and by use of the exchange rates indicated insubclause 12.2 hereinafter，shall be used for the purposeofconversionand comparison of tenders pursuant to Clause 70.12.2 The rates of exchange to be used by the tenderer for currencyconversion shall be the governing selling rates published by the Bank ofChina on the date ______ day prior to the latest date for the submissionof tenders.If exchange rages are not so published for certain currencies，the tenderer sha

文」state the rates used and the source.For the purpose ofpayments，the exchange rates used in tender preparation shall apply forthe duration of the Contract.12.3 The total amount of foreign and local currencies expected to berequired by tenderers shall be substantiated in Schedules I and I-Foreign Currency and Local Currency Requirements，and the annexthereto，Tenderers shall describe the manner in which such foreign andlocal currencies are expected to be used，relating specifically，but notlimited to：

Foreign Currency

Expatriate staff directly employed on the Works：

social charges，insurance premiums and medical care related tosuch staff，and travel expenses between China and the country of origin；

a list of the imported materials，both temporary and permanent，required for the Works；

depreciation and usage of plant and equipment，including spareparts，required for the Works；

insurance and freight charges for imported materials，plant andequipment，including spare parts； and

overhead expenses，fees and financial charges incurred outsideChina.Local Currency

local labour；

local materials；

other services，and；

overhead expenses，fees and financial charges within China.12.4 Tenderers may be required by the Employer to clarify theirforeign currency requirements，and to provide satisfactory proof that theamountsincluded in the unit rates and in Schedule I are reasonable andresponsive to sub-clause 12.1 hereof.12.5 The tender shall complete Schedule II-Estimated ContractPayments and shall substantiate the tabulation of this Schedule byattaching a

table indicating anticipated major quantities of

workperformed over the duration of the Works.13.Tender Validity

13.1 The tender shall remain valid and open for acceptance for aperiod of six calendar months from the specified date of tender closing.13.2 In exceptional circumstances，prior to expiry of the originaltender validity period，the Employer or his agent ____________ may requestthe tenderers for a specified extension to the period of validity.Therequest andthe responses thereto shall be made in writing or by telex ortelegram.A tenderer may refuse the request without forfeiting his tendersecurity.A tendereragreeing to the extension will not be required norpermitted to alter his tender，but will be required to extend the validityof his tender security correspondingly.The provisions of Clause 14 hereofregarding discharge and forfeiture of tender security shall continue toapply during the extended period.14.Tender Security

14.1 The tenderer shall furnish，as part of his tender，a tendersecurity in RMB Yuan in an amount of not less than _____ % of the TenderSum.14.2 The tender security shall，at the tenderer's option，be in theform of a certified cheque，a bank draft，an irrevocable letter of creditor a guarantee from either：

Bank of China；

any of its correspondent bank abroad through Bank of China；

any other Chinese or foreign bank operating in China；

any other foreign bank determined by the Tenderer in advance ofsubmission of bids to be acceptable to ___________.or a bond issued by an insurance company or bonding company likewiselocated.The format of the bank guarantee or bond shall be in accordancewith one of the sample forms included in these documents； other formatsmay be permitted subject to the prior approval of the Employer or hisagent __________.Letters of credit，bank guarantees and tender bondsshall be valid for one calendar month beyond the validity of the tender.14.3 In the event of a Tenderer agreeing to a specified extension oftender validity in accordance with Clause 13 of the Instructions toTenderers，the Tenderer shall Provide an extension in the validity of thetender security of one calendar month beyond the validity of the extendedtender.14.4 Any tender not accompanied by an acceptable tender security willbe rejected by _________ as non-responsive.14.5 The tender securities of unsuccessful tenderers will

bedischarged or returned as promptly as possible，but not later than ______days after the expiration of the period of tender validity prescribed.14.6 The tender security of the successful tenderer will be dischargedor returned upon the tenderer executing the Contract and furnishing therequired performance security.14.7 The tender security may be forfeited：

if a tenderer withdraws his tender during the period of tendervalidity； or

in the case of the successful tenderer，if he fails to：

sign the Agreement； or

furnish the necessary performance security.15.Alternative Offers

15.1 The tenderer shall submit a basic tender which complies fullywith the requirements of the tender documents.The tenderer may，at hisoption，and in addition to the basic tender，offer tenders incorporatingalternativesto any of the following items now specified：

Advance Loan for Mobilisation

An interest free advance loan will be made available to assist theContractor before commencing construction of the Works.Offers may be madefor such a loan of up to ________% of the Tender Sum.Evaluation will bemade of theassociated costs or savings accruing to the Employer inaccordance withClause 28.。

15.2 Alternatives may be submitted in addition to basic tender.Inorder for alternatives to be considered in

the process of tenderevaluation，each alternative shall be accompanied by a detailed pricebreakdown indicating the tenderer's estimate of the additional or reducedcost in presentvalue to the Employer compared to the basic Tender Sum.Comparison and evaluation will be donefor the basic offer andalternatives of the lowest evaluated tenderer willbe given due consideration.Ifthe alternative offers were to be acceptedby the Employer，these will be incorporated into the Contract.Alternativeoffers which are not priced，or which are not substantiated in sufficientdetail，will be rejected.15.3 Offers of technical alternatives shall be accompanied by allinformation necessary for a

complete evaluation，including

designcalculations，drawings，method statements and specifications for materialsand workmanship where the alternative is not covered by the Specification，together with a breakdown of the alternative prices and the TotalAlternative Contract Sum.15.4 Only those alternative offers which appear to provide additionalfinancial，economic or technical benefits over the basic offer will beconsidered by the Employer in tender evaluation。16.Pre-Tender Meeting

16.1 The tenderer or his official representative is advised to attenda pre-tender meeting which will convene on ______________at ___________ atthe ___________.16.2 The purpose of the meeting will be to clarify issues and toanswer questions on any matter that may be raised at that stage and toallow tenderers to inspect the Site and to examine conditions.16.3 Tenderers are requested to submit any questions in writing or bytelex or telegram，to reach__________ not later than one week before themeeting.16.4 Minutes of the meeting，including copies of the questions raisedandresponses given，will be furnished expeditiously to

all thoseattendingthe meeting，and subsequently to all pre-qualified tenderers whohave pickedupthe tender documents.Any modification of the tenderdocuments listed in sub-clause 6.1 which may become necessary as a resultof the pre-tender meeting shall be made by the Employer or his agent___________ exclusivelythrough the issue of an Addendum pursuant toClause 8，and not through the minutes of the pre-tender meeting.17.Format and Signing of Tenders

17.1 The tenderer shall prepare one original and two duplicate copiesof the documents comprising the tender as described in Clause 10.1 hereof，bound within the Volume 3，and clearly marked “Original Tender” and“Duplicate Tender”as appropriate.In the event of any discrepancy betweenthem，the original shall prevail.17.2 The original and two duplicate copies of the tender shall betyped or written in indelible ink and shall be signed by a person orpersonsduly authorised to bind the tenderer to the Contract.Proof ofauthorisation shall be furnished in the form of a written Power ofAttorney which shall accompany the tender.All pages of the tender whereentries or amendments have been made shall be initialled by the person orpersons signing the tender.17.3 The complete tender shall be without alterations，interlineationsor erasures，except those to accord with the instructions of any Agendaissued，or as necessary to correct errors made by the tenderer，in whichcase such corrections shall be initialled by the person or persons signingthe tender.17.4 Only one tender may be submitted by each tenderer，not includingalternative offers submitted pursuant to Clause 15 hereof.No tenderer mayparticipate in the tender of another for the same contract in any relationwhatsoever.18.Sealing and Marking of Tenders

18.1 The tenderer shall seal the original and two duplicate tenderseach in an inner and an outer envelope，duly marking the envelopes as“Original” and “Duplicate”。

18.2 The inner and outer envelopes shall：

18.3 The inner envelopes shall bear the name and address of thetenderer to enable the tender to be returned unopened in case it isdeclared late.The outer envelope shall not bear any identification of thetenderer.18.4 If the outer envelope is not marked as instructed above，_________ Company will assume no responsibility for the misplacement orpremature opening of the tender.A tender opened prematurely for thiscause will be rejected by the Employer or his agent ___________ andreturned to thetenderer.19.Deadline for Submission of Tenders

19.1 Tenders must be received by ______________ at the addressspecified above no later than _________.19.2 The Employer or his agent __________ Company may，at theirdiscretion，on giving not less than ________ calendar days notice by telexor telegram to all pre-qualified tenderers who have picked up the tenderdocuments，extend the deadline for the submission of tenders by issuing anAddendum in accordance with Clause 8，in which case all rights andobligations of the Employer and the tenderers previously subject to thedeadline shall thereafter be subject to the new deadline as extended.20.Late Tenders

Any tender received by ___________ Company after the prescribeddeadline for submission of tenders will be returned unopened.21.Modification andWithdrawal of Tenders

21.1 The tenderer may modify or withdraw his tender after submission，provided that the modification or notice of withdrawal is received inwritingby __________ Company prior to the prescribed deadline forsubmission of tenders.21.2 The tenderer's modification or notice of withdrawal shall beprepared，sealed，marked and despatched in accordance with the provisionsfor thesubmission of tenders.A notice of withdrawal may also be sent bytelex or telegram，but shall be followed by a signed confirmation copy，postmarked not later than the deadline for submission of tenders.21.3 Subject to Clause 24 hereof，no tender may be modified subsequentto the deadline for submission of tenders.21.4 Withdrawal of a tender during the interval between the deadlineforsubmission of tenders and the expiration of the period of tendervaliditymay result in the forfeiture of tender security pursuant toClause 14.Tender Opening and Evaluation22.Tender Opening

22.1 The Employer or his agent __________ will open the tenders，inthepresence of tenderers' representatives who choose to attend，at___________ on _______________ at the offices of __________.Tenderers'representatives who are present shall sign a register evidencing theirattendance.22.2 Tenders for which an acceptable notice of withdrawal has beensubmitted pursuant to Clause 21 hereof shall not be opened.The Employeror his agent ___________ will examine the tenders to determine whetherthey are complete，whether the requisite tender securities have beenfurnished，whether the documents have been Properly signed，and whetherthe tenders are generally in order.22.3 The tenderers' names，total amounts of tenders，tender pricemodifications and tender

withdrawals，if any，the presence of therequisite tender security and such other details as the Employer or hisagent ____________，at their discretion，may consider appropriate will beannounced at the opening.22.4 The Employer or his agent _____________ shall prepare minutes ofthetender opening for his own records.Such minutes shall be sent to theWorld Bank together with the report on the evaluation of tenders as soonas the latter is available.23.Process to be Confidential

23.1 After the public opening of tenders，information relating to theexamination，clarification，evaluation and comparison of tenders andrecommendations concerning the award of contract shall not be disclosed totenderers or other persons not officially concerned with such processuntil the awardof a contract to the successful tenderer has beenannounced.23.2 Any effort by a tenderer to influence the Employer in the processof examination，clarification，evaluation and comparison of tenders anddecisions concerning award of contract may result in the rejection of histender.24.Clarification of Tenders

To assist in the examination，evaluation and comparison of tenders，theEmployer and _______________ Company may ask tenderers individuallyfor clarification of their tenders，including breakdowns of unit prices.The requestfor clarification and the response shall be in writing or bytelex or telegram，but no change in the price or substance of the tendershall be sought，offered or permitted except as required to confirm thecorrection of arithmetical errors discovered by the Employer during theevaluation of tenders in accordance with Clause 26 hereof.25.Determination of Responsiveness

25.1 Prior to the detailed evaluation of tenders，the Employer and_________ Company will determine whether each tender is substantiallyresponsive to the requirements of the tender documents.25.2 For the purpose of this Clause，a substantially responsive tenderis one which conforms to all the terms，conditions and specifications ofthe tender documents without material deviation or reservation.A materialdeviation is one which affects in any substantial way the scope，qualityor administration of the Works，or which limits in any substantial way，inconsistent with the tender documents，the Employer's rights or thetenderer's obligations under the Contract，and the rectification of whichdeviation or reservation would affect unfairly the competitive position ofother tenderers offering substantially responsive tenders.25.3 If a tender is not substantially responsive to the requirementsof the tender documents，it shall be rejected by the Employer and_________ Company.26.Correction of Errors

26.1 Tenders determined to be substantially responsive will be checkedby the Employer for any arithmetical errors in computation and summation.Errors will be corrected by the Employer as follows：

Where there is a discrepancy between amounts in figures and inwords，the amount in words will normally govern，unless it is clear fromthe context that the amount in figures is correct； and

where there is a discrepancy between the unit rate and the totalamount derived from the multiplication of the unit rate and the quantity，the unit rate as quoted will normally govern unless，in the opinion of theEmployer，there is obviously a gross error in the unit rate； in whichevent the totalamount as quoted will govern and the unit rate will becorrected.26.2 The amount stated in the Form of Tender will be adjusted by theEmployer in accordance with the above procedure for the correction oferrors and，with the concurrence of the tenderer，shall be considered asbinding upon the tenderer.The tenderer may，at his option，withdraw histender if acceptance of the corrected amount would cause hardship.Howeverin cases such as this，the tenderer is warned that such an action maycause his tender security to be forfeited.27.Conversion to Single Currency

The Tender Price is the sum of all payments stated or expressed as apercentage in various currencies required to be made to the tenderer.Tofacilitate evaluation and comparison of tenders，the Employer will convertthe amountsin various currencies in which the Tender Price is payable to RMB atthe selling rates established by Bank of China，on the date specified for theopening of tenders.28.Evaluation and Comparison of Tenders

28.1 The Employer and _____________ Company will evaluate and compareonly those tenders determined to be substantially responsive to therequirements of the tender documents in accordance with Clause 25 hereof.The Evaluation and comparison shall be based only on the “Basic” offer todetermine the lowest evaluated tenderer for award of the Contract.28.2 In evaluating tenders，the Employer will determine for eachtender the Evaluated Tender Price by adjusting the tender price asfollows：

making any correction for errors pursuant to Clause 26；

excluding Provisional Sums and the provision，if any，forContingencies in the Summary Bill of Quantities，but including Dayworkswhere priced competitively；

converting all amounts to a single currency；

adding any monetary cost of Mobilisation Advances，assessed inaccordance with sub-clause 28.3

making an appropriate adjustment for any other

acceptablequantifiable variations，deviations or alternative offers not reflected inthe tender price or in the above-mentioned other adjustments.such other factors as the Employer

considers may have apotentially significant impact on contract execution，price and payments，including the effect of items or unit rates in the tender that areunbalanced or unrealistically priced.28.3 The monetary costs to the Employer of variations in the amount ofmobilisation advances requested by tenderers pursuant to sub-clauses 15.1，using a discount rate of ______ percent per annum，shall be added tothe respective tenderer's tender price for comparison purposes only.28.4 The Employer and ___________ Company reserves the right to acceptor reject any variation，deviation or alternative offer.Variations，deviations，alternative offers and other factors which are in excess ofthe requirements of the tender documents or otherwise result in theaccrual of unsolicited benefits to the Employer may not be taken intoaccount in tender evaluation.28.5 Price adjustment provisions applying to the period of executionof the Contract shall not be taken into account in tender evaluation.28.6 If the tender of the successful tenderer is seriously unbalancedin relation to the Engineer's estimate of the real cost of work to beperformed under the Contract，the Employer may require that the amount ofthe performance security set forth in Clause 34 be increased at theexpense of the successful tenderer to a level sufficient to protect theEmployer against financial loss in the event of subsequent default of thesuccessful tenderer under the Contract.29.Preference for Domestic Tenderers

29.1 Domestic tenderers shall satisfy the following criteria to beeligible for a _______% margin of preference in the comparison of theirtenderswith those of non-eligible tenderers：

be registered within China；

have majority ownership by nationals of China； and

shall not subcontract more than ________% of the contract works to foreign contractors.29.2 Combinations and joint ventures between domestic and foreignfirms shall be eligible for the margin of preference provided：

the domestic partner or partners individually satisfy the criteriaforeligibility set out above；

the domestic partner or partners will，under the arrangementsproposed，carry out at least ________% of the contract works，measured interms of value.The domestic partner or partners would not be qualified for theContract Works in question on technical or financial grounds without theforeignparticipation.29.3 The following procedure will be used to give effect to the marginof preference：

After tenders have been evaluated fully in accordance with theprovisions of Clause 28 hereinabove，responsive tenders will be classifiedinto the following groups；

Group A： tenders offered by domestic tenderers meeting thecriteria set forth in sub-clause 29.1 hereinabove and by joint venturesmeetingthe criteria set forth in sub-clause 29.2 hereinabove； and

Group B： tenders offered by other tenderers.For the purpose of further evaluation and comparison of tendersonly，an amount equal to _________ percent of the tender price，and of sub-clause 28.2）willbe added tothe Evaluated Tender Price of tenders classified in Group B.Award of Contract30.Award Criteria

Subject to Clause 31，the Employer and ________ Company may award theContract to the tenderer whose tender has been determined to

besubstantially responsive to the tendering documents and who has offeredthe lowest Evaluated Tender Price pursuant to Clause 28 and paragraph of sub-clause 29.3，provided further that the tenderer hasthe capability and resources to carry out the Contract effectively，butthe employer and _________ Company gives noguarantee that the lowest orany tender will be accepted.31.Employer's Rights

Notwithstanding Clause 30，the Employer reserves the right to acceptor reject any tender，and to annul the tendering process and reject alltenders，at any time prior to award of contract，without thereby incurringany liability to the affected tenderer or tenderers or any obligation toinform the affected tenderer or tenderers of the

grounds for theEmployer's action.32.Notification of Award

32.1 Prior to the expiration of the period of tender validityprescribed by the Employer，the Employer will notify the successfultenderer by telex or telegram confirmed in writing by registered letterthat his tender has been accepted.This letter

shall name thesum which the Employer will pay to the Contractor in consideration of theexecution，completion and maintenance of the Works by the Contractor asprescribed by the Contract。

32.2 The notification of award will constitute the formation of theContract.32.3 Upon the furnishing by the successful tenderer of a performancesecurity in accordance with the provisions of Clause 34 hereof，theEmployer will promptly notify the other tenderers that their tenders havebeen unsuccessful.33.Signing of Agreement

33.1 Within ________ days of notifying the successful tenderer thathistender has been accepted，the Employer will send to the tenderer twocopies of the Form of Agreement provided in the tender documents，incorporating all agreements between the parties.33.2 Within__________ days of receipt of the Form of Agreement，thesuccessful tenderer shall execute the Agreement by signing or sealing，asappropriate，and return both copies to the Employer.The Employer willthen execute the Agreement and return one copy to the Contractor.34.Performance Security

34.1 Within _________ days of receipt of the Letter of Acceptance，thesuccessful tenderer shall furnish to the Employer a security for the dueperformance of the Contract，in accordance with the

Conditions ofContract.The form of performance security provided in the

tenderdocuments may be used，or some other form acceptable to the Employer.34.2 If the performance security is to be provided by the successfultenderer in the form of a bank guarantee，it shall be issued either by alocal bank； by a foreign bank through a correspondent local bank； or by aforeign bank which has been determined by the tenderer to be acceptable tothe Employer.34.3 If the performance security is to be provided by the successfultenderer in the form of a bond，it shall be issued by a bonding orinsurance company which has been determined by the tenderer to beacceptable to the Employer.34.4 Failure of the successful
