2.This Guarantee shall be valid for a period until [insert the date-which is six months after the expiry of the Contract] or for such extended period as may be mutually agreed between the Applicant and the Beneficiary(“Expiry Date”)and shall continue to be enforceable till all amounts duly claimed under this Guarantee by the Beneficiary are paid.All the demands and claims by the Beneficiary under this Guarantee may be made in writing until six(6)months after the Expiry Date(“Claim Period”).該保函有效期[插入日期-也就是合同期滿后6個(gè)月]，或申請(qǐng)人和受益人雙方同意的此類延長期（“有效期”），應(yīng)持續(xù)有效直到該保函下受益人要求索賠的金額都已按期支付。該保函下受益人的所有要求和索賠都應(yīng)在有效期（“索賠期”）后6個(gè)月出具書面文件。

3.This Guarantee, herein contained, shall not be impaired or discharged or determined or affected by the liquidation or winding up, determination or change of constitution of the Bank, Applicant or Beneficiary or by any arrangement made between the Applicant and Beneficiary or by any variations in the terms and conditions of the Contract or any other documents, deeds or other writings entered into by the Applicant with the Beneficiary in relation to the Contract or by extension of time of performance of any obligations by the Applicant under the Contract or any postponement for any time of the powers exercisable by the Beneficiary against the Applicant or forebear once to or enforce any of the terms and conditions of the Contract.We shall not be relieved from our obligations and liability under this Guarantee, by reason of any variation or extension being granted to the Applicant or forbearance or omission on the part of the Beneficiary or any indulgence by the Beneficiary to the Applicant to give such matter or thing whatsoever, which under the law relating to sureties would but for this clause/provision have effect of so relieving us.該保函所包含規(guī)定不應(yīng)由于銀行、申請(qǐng)人或受益人的清算或停業(yè)清理，判定或體制改變，或申請(qǐng)人和受益人之間的任何安排，或合同條款的任何變化，或申請(qǐng)人參與的與受益人關(guān)于合同任何其他文件、契約或其他書面文件，或合同規(guī)定下申請(qǐng)人任何義務(wù)延長履行時(shí)間，或受益人對(duì)申請(qǐng)人執(zhí)行權(quán)力的任何時(shí)間延期，或曾延緩行使，或執(zhí)行任何合同條款而遭到損害、免除債務(wù)、終止或受到影響。我方不應(yīng)免除該保函規(guī)定下的義務(wù)和責(zé)任，即使原因是準(zhǔn)予申請(qǐng)人的任何變化或延期，或受益人延緩行使或取消債權(quán)，或受益人對(duì)申請(qǐng)人給予此類事件或任何事物的延期優(yōu)惠，法律規(guī)定相關(guān)擔(dān)保人對(duì)此有效，但該條款/規(guī)定不能免除我們的義務(wù)和責(zé)任。

4.All payments made hereunder shall be free and clear of and without deduction for, or on account of, any present or future charges, fees, commissions, deductions, whatsoever and by whomsoever imposed.此處支付的所有款項(xiàng)應(yīng)無任何債務(wù)牽連，沒有扣除或由于任何原因，任何人強(qiáng)加的任何現(xiàn)存或未來的付費(fèi)，收費(fèi)，傭金，扣除費(fèi)。

6.All such demand certificates, notices and communications shall be effective only if received by the Bank on or before the expiry of Claim Period 只要銀行在索賠期期滿之時(shí)或之前收到，所有此類活期存單，通知和溝通應(yīng)是有效的。

標(biāo)項(xiàng)目中標(biāo)，我行同意為委托人出具履約保函，作為委托人履行代建合同責(zé)任的擔(dān)保，以使你方得到履約保函的保障。

一、我行保證在收到貴單位于保函有效期內(nèi)送達(dá)的依本保函約定的索賠文件后，在 7個(gè)工作日內(nèi)無條件和不可改變地向貴單位支付金額最高不超過（總投資的3%）人民幣（幣種）萬元的履約保證金，并放棄向你方提出任何異議和追索的權(quán)利。

二、貴單位的索賠文件應(yīng)符合下述條件：

（一）貴單位法定代表人或其授權(quán)代表簽字并加蓋單位公章；

（二）在保函有效期內(nèi)送達(dá)我行；

（三）明確的索賠金額（不得超過本保函第一條所列之限額）；

（四）貴單位出具的委托人違約事項(xiàng)說明。

三、本保函自簽發(fā)之日起生效，有效期截至項(xiàng)目資產(chǎn)移交使用單位之日止。除非你方提前終止或解除本保函，且本保函于下述任一事項(xiàng)發(fā)生之時(shí)立即失效，我行在本保函項(xiàng)下的保證義務(wù)即刻解除：

（一）本保函有效期限屆滿；

（二）委托人履行了《代建合同》項(xiàng)下全部義務(wù)；

（三）我行保證的義務(wù)履行完畢。

四、我方受本保函制約的責(zé)任是延續(xù)的、獨(dú)立的和無條件的，代建合同的任何修改、變更、解釋或不可執(zhí)行都不能削弱或影響我方受本保函制約的責(zé)任，委托人在代建合同項(xiàng)下對(duì)你方的任何抗辯也不能削弱或影響我方在保函項(xiàng)的付款責(zé)任。若貴單位于委托人協(xié)商變更《代建合同》，應(yīng)督促委托人書面告知我行并將變更后的合同送一份給我行備案。

五、我方收到你方出具的代建單位財(cái)務(wù)決算資料已經(jīng)送交市財(cái)政部門的書面通知后，本保函擔(dān)保金額即按貴方通知的金額予以遞減。

六、保函失效后請(qǐng)將本保函退回我方注銷。無論正本最終退回與否，不影響本保函依上述約定自動(dòng)失效。

本保函項(xiàng)下的所有權(quán)利和義務(wù)受中華人民共和國法律管轄和制約，我行在保函項(xiàng)下作出的付款承諾決不反悔。

第三篇：銀行履約保函格式

1.銀行履約保函格式

不可撤銷履約保函（示范文）

第四篇：銀行履約保函 格式

（二）受益人索賠通知應(yīng)附有：

1、聲明受益人索賠的款額并未由申請(qǐng)人或其代理人以其他方式直接或間接地支付給受益人；

2、申請(qǐng)人未履行基礎(chǔ)合同義務(wù)的相關(guān)材料。

五、本保函載明的擔(dān)保金額將隨（將隨改為不隨）申請(qǐng)人逐步履行本保函基礎(chǔ)合同或協(xié)議約定的義務(wù)而相應(yīng)遞減。

六、受益人與申請(qǐng)人協(xié)商變更基礎(chǔ)合同的，如加重申請(qǐng)人責(zé)任致使本行保證責(zé)任加重的，需征得本行書面同意，否則本行不再承擔(dān)因此而加重部分的保證責(zé)任。

七、本保函涉及的基礎(chǔ)合同或基礎(chǔ)交易無效則本保函無效，本行不承擔(dān)任何保證責(zé)任。

八、未經(jīng)本行書面同意本保函不得轉(zhuǎn)讓，并不得將本保函為任何債權(quán)債務(wù)設(shè)定質(zhì)押、抵押或其他任何形式的擔(dān)保。

九、因本保函發(fā)生爭議協(xié)商解決不成，應(yīng)向本行所在地人民法院提起訴訟。本保函適用中華人民共和國法律。

十、本保函自本行負(fù)責(zé)人或有權(quán)人簽字并加蓋公章之日起生效，至/年 /月/日止失效。

十一、本保函失效后本行不再承擔(dān)任何責(zé)任，受益人應(yīng)將本保函正本退還本行。此時(shí)繼續(xù)保留保函正本及其他任何修改行為均不能使受益人得到在保函項(xiàng)下繼續(xù)提出索賠的權(quán)利。

第五篇：銀行履約保函

履約保函

根據(jù)業(yè)主（下稱“你方”）與xxxxxxxxxxx有限公司（下稱“委托人”）簽署的《》(下稱“合同”)的約定，委托人應(yīng)向你方支付履約保函，保證委托人會(huì)正確的履行合同。

應(yīng)委托人請(qǐng)求，我方交通銀行股份有限公司xx分行（銀行名稱）在此不可撤消地承諾，在我方收到你方的書面要求和以下事項(xiàng)的書面說明后，向你方支付總額不超過人民幣陸拾陸萬柒仟陸佰肆拾元整（“保證金額”,即：RMB667640.00元）的任何一筆或幾筆款額：

我方放棄你方應(yīng)先向委托人要求賠償上述金額后再向我方提出要求的權(quán)利。

我方進(jìn)一步同意在你方和委托人之間的合同條款、合同項(xiàng)下的工程或合同文件發(fā)生變化、補(bǔ)充和修改后，我方承擔(dān)本保函的責(zé)任也不改變，有關(guān)上述變化、補(bǔ)充和修改也無須通知我方。

改為本保函有效期截止至整體工程竣工驗(yàn)收合格并完成竣工驗(yàn)收備案手續(xù)、本工程竣工驗(yàn)收合格且你方發(fā)出的竣工證書及結(jié)算完成后第28天，最遲不超過2013年12月31日。

改為如合同提前解除，則履約保函的有效期應(yīng)截止至合同解除備案后第28天。在本保函有效期內(nèi)，保函保證金額隨你方索賠金額或委托人付還預(yù)付款而減少。

本保函應(yīng)受中華人民共和國（為本招標(biāo)及合同目的，不包含港、澳、臺(tái)地區(qū)）法律管轄。
