時(shí)間：2012-11-30 16:13 作者： 來(lái)源：互聯(lián)網(wǎng)【找法網(wǎng) 補(bǔ)償貿(mào)易合同】補(bǔ)償貿(mào)易是指由外國(guó)廠商或者利用國(guó)外出口信貸進(jìn)口生產(chǎn)技術(shù)和設(shè)備，由我方企業(yè)進(jìn)行生產(chǎn)，以返銷其產(chǎn)品的方式分期償還對(duì)方技術(shù)、設(shè)備價(jià)款或貸款本息的交易方式。直接用國(guó)內(nèi)產(chǎn)品同國(guó)外廠商交換設(shè)備、原材料、元器件或成品，以貨換貨，屬于易貨貿(mào)易，不屬補(bǔ)償貿(mào)易的范圍。

按照國(guó)家有關(guān)規(guī)定，除經(jīng)批準(zhǔn)在過(guò)渡寬限期內(nèi)的補(bǔ)償貿(mào)易項(xiàng)目外，自1996年4月1日起取消補(bǔ)償貿(mào)易項(xiàng)目進(jìn)口加工設(shè)備免征關(guān)稅和進(jìn)口環(huán)節(jié)稅的規(guī)定。上述貿(mào)易項(xiàng)目進(jìn)口的設(shè)備按一般貿(mào)易規(guī)定辦理手續(xù)。其進(jìn)口設(shè)備一律照章征稅。1996年4月1日前(不含當(dāng)日，下同)外經(jīng)貿(mào)部門在其審批權(quán)限內(nèi)依法批準(zhǔn)的補(bǔ)償貿(mào)易項(xiàng)目且在1996年5月15日(含當(dāng)日)前經(jīng)主管海關(guān)登記備案，其加工設(shè)備于1996年12月31日(含當(dāng)日)前進(jìn)口的，仍可按原優(yōu)惠政策辦理。對(duì)設(shè)備進(jìn)口額在3000萬(wàn)美元(不包括1995年12月28日以后追加的投資)以上的，可通過(guò)對(duì)外貿(mào)易經(jīng)濟(jì)合作部報(bào)國(guó)務(wù)院批準(zhǔn)后，寬限期可延長(zhǎng)至1997年12月31日。有關(guān)補(bǔ)償貿(mào)易合同在補(bǔ)償完畢后，對(duì)繼續(xù)出口的產(chǎn)品以及用其出口收匯購(gòu)進(jìn)的設(shè)備等，海關(guān)按一般貿(mào)易進(jìn)出口貨物辦理有關(guān)手續(xù)。補(bǔ)償貿(mào)易出口的補(bǔ)償產(chǎn)品，原則應(yīng)返銷給提供技術(shù)設(shè)備的外商，但如有特殊情況，可將有關(guān)補(bǔ)償產(chǎn)品返銷給雙方指定的第三方代銷人，進(jìn)行三角補(bǔ)償。實(shí)行三角補(bǔ)償?shù)暮贤?，?yīng)由我方經(jīng)營(yíng)單位與提供技術(shù)設(shè)備的外商以及代銷補(bǔ)償產(chǎn)品的第三方共同簽字確認(rèn)后，方可享受補(bǔ)償貿(mào)易的優(yōu)惠。

補(bǔ)償貿(mào)易引進(jìn)技術(shù)設(shè)備如屬進(jìn)口許可證或特定產(chǎn)品目錄管理的商品，應(yīng)向經(jīng)貿(mào)部主管部門申領(lǐng)進(jìn)口貨物許可證或報(bào)國(guó)家機(jī)電進(jìn)出口辦審批。海關(guān)憑上述進(jìn)口許可證或機(jī)電產(chǎn)品進(jìn)口證明予以辦理有關(guān)手續(xù)。

補(bǔ)償貿(mào)易項(xiàng)下進(jìn)口技術(shù)設(shè)備，自進(jìn)口之日起至補(bǔ)償產(chǎn)品出口全部?jī)斶€設(shè)備價(jià)款為止，屬海關(guān)監(jiān)管貨物。未經(jīng)經(jīng)貿(mào)主管部門批準(zhǔn)和報(bào)經(jīng)主管海關(guān)核準(zhǔn)許可，任何單位或個(gè)人均不得擅自出售、轉(zhuǎn)讓或提取移作它用。如因故確需變賣處理的，在征得上述有關(guān)部門批準(zhǔn)許可后，應(yīng)按一般貿(mào)易辦理有關(guān)進(jìn)口手續(xù)。1

第二篇：補(bǔ)償貿(mào)易協(xié)議

The undersigned representatives of Party A and Party B have agreed to conclude this Agreement according to the terms and conditions stipulated below: 1.Commodity:(1)Party A undertakes to supply in one shipment a complete set of Equipment for asparagus processing line, the details of which are shown in the attached List A.(2)Party B undertakes to compensate Party A for the contract amount by exporting in two lots 3000 cartons Canned Asparagus.Specifications are detailed in the attached List B.2.Price:(1)At J￥22200000.00 per set of Equipment C&F Qingdao consisting of: J￥20300000.00

（1）加工設(shè)備到中國(guó)青島（2）蘆筍罐頭到日本橫濱 6.支付條款：用對(duì)開信用證

（1）乙方在簽約后15天內(nèi)，為加工設(shè)備開出以甲方為受益人的、不可撤銷的、銀行承兌的信用證，其金額不少于2220萬(wàn)日元，見票180天付款。這份不可撤銷的信用證，只有在乙方收到甲方為蘆筍罐頭對(duì)開的信用證后才能生效。甲方在收到這份不可撤銷的信用證后，應(yīng)及時(shí)裝運(yùn)加工設(shè)備，提供本協(xié)議第七條所需的單證和180天到期的匯票，以便取得他的銀行的承兌。

（2）甲方應(yīng)在其匯票得到銀行承兌后7天內(nèi)為蘆筍罐頭對(duì)開以乙方為受益人的、不可撤銷的信用證，其金額不少于2220萬(wàn)日元，見票即付。該對(duì)開信用證的條款應(yīng)與本協(xié)議的規(guī)定一致。7．單證：

雙方在議付時(shí)均應(yīng)向付款后遞交下列單證：

（1）整套可轉(zhuǎn)讓的、已裝船的、清潔的、待制定的、空白背書提單，并分別注明：

a.加工設(shè)備的“運(yùn)費(fèi)已付” b.蘆筍的“運(yùn)費(fèi)待收”。（2）發(fā)票一式三份。（3）裝箱單一式三份。

（4）制造廠或有關(guān)當(dāng)局出具的品質(zhì)檢驗(yàn)證。（5）裝船后立即發(fā)給買方的有關(guān)船名、裝船日

期、數(shù)量、金額的電報(bào)通知的副本。

8.品質(zhì)保證：

（1）甲方保證該設(shè)備是用最好材料和頭等工藝制造的，嶄新而未用過(guò)，在各方面均符合本協(xié)議的品質(zhì)和規(guī)格的規(guī)定。保證期為12個(gè)月，從提單日期起算。

（2）乙方保證蘆筍罐頭品質(zhì)達(dá)到中國(guó)出口標(biāo)準(zhǔn)。9.備注：

甲方應(yīng)派一名工程師到安裝現(xiàn)場(chǎng)，協(xié)助安裝和試車工作。中日間的機(jī)票費(fèi)用應(yīng)由甲方負(fù)擔(dān)，中國(guó)境內(nèi)的交通食宿費(fèi)用則由乙方負(fù)擔(dān)。

第二條 支付條件與方式

由甲乙雙方對(duì)開信用證，即由甲方分期開出以乙方為受益人的遠(yuǎn)期信用證，分期、分批支付全部機(jī)械設(shè)備的價(jià)款；乙方開出以甲方為受益人的即期信用證，支付補(bǔ)償商品的貨款。甲方用乙

方支付補(bǔ)償商品的貨款，來(lái)支付全部機(jī)械設(shè)備的價(jià)款。當(dāng)乙方支付的貨款不能相抵甲方所開的遠(yuǎn)期信用證之金額時(shí)，其差額部分由乙方用預(yù)付貨款方式，在甲方所開的遠(yuǎn)期信用證到期前匯付甲方，以使甲方能按時(shí)議付所開的遠(yuǎn)期信用證。甲方所開的遠(yuǎn)期信用證的按期付款，是基于乙方按規(guī)定開出限期信用證及按規(guī)定預(yù)付貨款。乙方保證按規(guī)定開出信用證及預(yù)付貨款。第三條 償付期限

設(shè)備進(jìn)口以后由乙方投保。設(shè)備所有權(quán)在付清貨款后發(fā)生轉(zhuǎn)移，之后，如發(fā)生意外，損失先由保險(xiǎn)公司向投保人賠付，再按比例退回甲方已支付的設(shè)備貨款。

第九條 違約責(zé)任

乙方不按合同規(guī)定購(gòu)買補(bǔ)償商品或甲方不按合同規(guī)定提供商品時(shí)，均應(yīng)按合同條款承擔(dān)違約責(zé)任，賠償由此造成的經(jīng)濟(jì)損失，并向?qū)Ψ街Ц对擁?xiàng)貨款總值的_________％的罰款。第十條 履約保證

為保證合同條款的有效履行，雙方

鑒于乙方同意購(gòu)買甲方用已方提供的機(jī)器設(shè)備生的產(chǎn)鋼絲繩，以補(bǔ)償其機(jī)器設(shè)備的價(jià)

鑒于甲方向意向乙方出售鋼絲繩，以償還乙方的機(jī)器設(shè)備價(jià)款；

因此，考慮到本協(xié)議所述的前提和約定，甲、乙雙方物此立約：

2.銷售協(xié)議

甲方以鋼絲黽償還購(gòu)買乙方機(jī)器設(shè)備的價(jià)款。

憑以甲方為受益人的保兌的，不可撤銷的即期信用證，允許轉(zhuǎn)船。信用證必須于裝運(yùn)日期前15天到達(dá)甲方，有效期不少于90天。

信用證要與本合同完全一致，否則，乙對(duì)遲裝負(fù)責(zé)；而且，甲方有機(jī)就其中的損失向乙方提出索賠。修改信用證的費(fèi)用由乙方承擔(dān)。

2.7保驗(yàn)：

甲方保險(xiǎn)，投保水漬險(xiǎn)和戰(zhàn)爭(zhēng)險(xiǎn)，投保金額為發(fā)票金額加10%

2.8 檢驗(yàn)：

甲方出具的品技檢驗(yàn)證書為最后依據(jù)。若貨到后乙方發(fā)現(xiàn)質(zhì)量與上述規(guī)定不符，乙方在貨到目的港后45天內(nèi)通知甲方，雙方協(xié)商解決有爭(zhēng)義的問題。

3.不可抗力

若因不可抗力事故，甲方或乙方對(duì)未交或遲交本合同項(xiàng)下的部分或全部貨物不負(fù)責(zé)任。

4.仲裁

有關(guān)或執(zhí)行本合同的一切爭(zhēng)議應(yīng)該友好協(xié)商解決。若達(dá)不成協(xié)議，有關(guān)爭(zhēng)議案則提交XX仲裁。仲裁決定為終局的，并對(duì)雙方均具有約束力。

5.適用法律

本合同的簽訂，解釋和履行以中華人民共和國(guó)法律為準(zhǔn)。

6.正本條款

本合同以英文書寫，正本兩份，每方各持一份。

7.有效期

第一條 甲方將以下圖書贈(zèng)與乙方： 全套 卷 冊(cè) 出版社發(fā)行

2全套 卷 冊(cè) 書店發(fā)行

第三條 乙方將受贈(zèng)的圖書陳設(shè)于乙方協(xié)會(huì)的閱覽室，并委托管理員，提供會(huì)員閱覽，保管費(fèi)用由乙方負(fù)擔(dān)。

第四條 乙方若未能履約、或善盡保管的義務(wù)時(shí)，甲方可撤銷合同。

第五條 乙方如欲解散協(xié)會(huì)，則對(duì)所受贈(zèng)圖書的處理須遵照甲方的指示。

本合同一式兩份，甲、乙雙方各執(zhí)一份為憑。

補(bǔ)償貿(mào)易協(xié)議書

中國(guó)________進(jìn)出口公司(以下簡(jiǎn)稱甲方)為一方，香港________公司(以下簡(jiǎn)稱乙方)為一方，為發(fā)展________省的________業(yè)務(wù)，經(jīng)雙方友好協(xié)商，一致同意按照下列條款達(dá)成補(bǔ)償貿(mào)易協(xié)議。

第一條甲方雙方的義務(wù)

(1)乙方負(fù)責(zé)向甲方提供________生產(chǎn)設(shè)備________臺(tái)(套)，其中包括相應(yīng)的乙方原有的配套附屬設(shè)備和零部配件若干，以港元計(jì)價(jià)，合計(jì)價(jià)款________港元。

第二條支付方式

第三條保證、賠償與罰款

(7)乙方提供的設(shè)備如有缺陷，甲方在設(shè)備到貨后1年內(nèi)以書面形式通知乙方。乙方保證設(shè)備品質(zhì)符合乙方的規(guī)格說(shuō)明。
