保函申請書
保函申請書包括的內(nèi)容有：申請人同受益人之間所簽(貿(mào)易，貸款，租賃等)合同編號及日期、受益人名稱和詳細地址、擔(dān)保責(zé)任、貨幣金額、有效期限、保證責(zé)任、付款條件、開立、送達方式(信開／電開)、申請單位(公章)、負責(zé)人(簽名)、日期等。國外有一種格式化的申請書，其中擬出保函的主體內(nèi)容，要求擔(dān)保人照樣出具。請看下面例子：

1．BID BOND投標保證金，押標保證，押標保證金。本文指投標契約，即投標保證書。2．In favor of，(f／o)以某某為受益人。金融業(yè)務(wù)中使用頻繁，f／o可譯作“受益人”。類似的縮寫如c／o由某人轉(zhuǎn)交，AD，a／d(after date)出票日后，發(fā)票后，期后，AS，a／s(after sight)見票后。
3．Subject to，這里Subject是副詞，須和to連用，意為“在……條件下”，或者譯為“條件是”等，本文譯作“只要符合??條件”，比較恰當。4．Accountee原意指開證(信用證)申請人，被記帳人(匯兌)。這里指前面的申請人(applicant)。5．Be attributed to把……歸因于，把……歸咎于。根據(jù)上下文，這里譯作“出于??原因”。比較：Be attributable to，可以歸因于??前者語氣肯定，后者不肯定，使用時，應(yīng)注意二者的區(qū)別。Fail不及物、及物動詞。本文為及物動詞，指舍棄，放棄。
第二節(jié)
幾種保函
保函的格式的內(nèi)容、用途和格式不都一樣，外國的和中國的在行文格式上也有所差別。這里選出幾種供讀者參考。
范例之一
償還貸款保函 致：
不可撤消保函號碼
鑒于你方向借款人提供了一筆貸款，我行特此為借款人出具本保函并保證如下：
1．我行在此無條件地不可撤消地保證，借款人在貸款到期或發(fā)生加速還款或其他情況下，按時償還貸款協(xié)議(包括經(jīng)我行書面同意的對該協(xié)議的修改和補充)項下現(xiàn)時或?qū)淼牡狡诳铐?。保證金額最高不超過_____ 美元(即貸款本金加利息的110％)。如果借款人到期不能歸還該等款項，我行將憑你方書面索賠立即償還。除非有明顯的錯誤，由你方授權(quán)官員簽發(fā)的載明該等應(yīng)還款細節(jié)及到期日的任何聲明應(yīng)是終局的并對我行具有約束力。

4．我行在此確認已獲得對本保函或與本保函有關(guān)的所有法人同意，認可以及相應(yīng)政府部門或其他有關(guān)當局的批準，該等批準是充分有效的。本保函的條款構(gòu)成我行合法、有效并具有約束力的責(zé)任，我行在本保函項下的責(zé)任將在任何時刻至少與我行其他未擔(dān)保以及非從屬債務(wù)處于同等地位，我行保證為此目的的全部必要授權(quán)一直是充分的、有效的。
5．貸款人在本保函項下疏于或怠于行使任何權(quán)利或補救措施等，均不應(yīng)視為對該等權(quán)利的放棄；任何單項或部分行使上述權(quán)利也不能排除貸款人進一步采取行動或行使其他權(quán)利或補救措施的權(quán)利。如果在任何時候本保函的任何條款已是或變?yōu)榉欠āo效或在任何方面不可執(zhí)行，本保函其他條款的合法性、有效性及可執(zhí)行性均不應(yīng)受到影響或相應(yīng)降低。
6．我行將償付貸款人因行使其在本保函項下權(quán)利而發(fā)生的全部合理費用(包括律師費用)。7．我行將對本保函項下的任何遲付金額按借款人應(yīng)用的利率水平支付利息，該付息期間的計算從你方索償之日起，直至實際付款日止(在判決前或判決后)。
8．未經(jīng)我行事前書面同意，本保函項下的權(quán)益不可以轉(zhuǎn)讓，我行亦確認不會不合理地拖延該等同意。
9．本保函應(yīng)確保貸款人和其相應(yīng)后繼者的權(quán)益。不論我行或我行相應(yīng)后繼者的組織和機構(gòu)有任何變化，在保函項下的義務(wù)對我行及我行后繼者持續(xù)具有約束力。在不違反上述第8條的情況下，貸款人可以將其在本保函項下或由于本保函、貸款協(xié)議及其他擔(dān)保契約(根據(jù)貸款協(xié)議的定義)而派生的權(quán)利或權(quán)益全部或部分地轉(zhuǎn)讓給任何他人。

1．英語中商務(wù)合同、協(xié)議、保函等常采用“WHEREAS…。NOW THEREFORE(鑒于……，因此現(xiàn)在)”這樣的文件格式，但漢語中則習(xí)慣用“為了……，雙方”格式。
2．第1項開頭(in the event that…)出現(xiàn)情況的定語很長，無法按原文順序直譯出來，就必須將其切短，翻譯成同位語從句，用“即”字連接。第2項的定語較短，按原文直譯成“如果發(fā)生賣方未能按照本保函的條款支付上述費用的情況”。
3．第4項中provided(以……為條件，假如)連詞，通常都放在主句后面，其同義詞providing則通常放在句首。本文中它所連接的是一個很長而復(fù)雜的復(fù)合句子作為前面主句的條件從句，如果譯成“以……為條件”或“假如……”放在主句后面，不符合漢語習(xí)慣。這里譯成“只要……”，也可改為“條件是……”。
4．IN WITNESS WHEREOF在那里作為證人。西方在協(xié)議、合同等文本結(jié)尾一段開頭習(xí)慣用這一格式化套語，即“在那里作為證人簽署”。通常譯作“以資證明”。

我公司茲申請貴行按上述內(nèi)容及所附保函格式開立不可撤銷保函。我公司在此不可撤銷地聲明并且承諾如下：
一、我公司同意在確認本申請符合有關(guān)法律及行政法規(guī)及貴行相關(guān)業(yè)務(wù)管理規(guī)定之前，貴行有權(quán)不簽發(fā)本保函。
二、我公司無條件地同意貴行按國際慣例及有關(guān)法規(guī)和貴行內(nèi)部有關(guān)規(guī)定辦理本保函項下的一切事宜，我公司承擔(dān)由此產(chǎn)生的一切責(zé)任。
三、如果我公司在貴行開立賬戶（賬號）并發(fā)生下列情況時，無條件授權(quán)貴行可在發(fā)生當日自行等額借記我公司上賬戶。
1、在貴行由于履行保函項下的責(zé)任而支付任何款項 時；
2、在貴行要求補償由于開立或履行保函而發(fā)生的各 項費用時；
3、在貴行要求我公司償付本保函項下的任何欠款利 息時。
在該賬戶不足以清償上述款項時，我公司保證在收到貴行書面索償通知后五日內(nèi)以其它資金支付或償還。我公司對貴行上述自行借記我公司賬戶的行為決不提起任何異議，并放棄一切抗辯和追索的權(quán)利。
四、不論貴行承擔(dān)保函項下義務(wù)的時間在保函效期之內(nèi)還是保函效期之后，我公司均同意無條件地賠償貴行因履行本保函項下業(yè)務(wù)而支出之全部款項（包括但不限于賠付款項、國外銀行費用、雜費、訴訟費），并且賠償貴行因此發(fā)生的利息損失。
五、我公司保證貴行在辦理本保函時，因郵政、通訊傳遞發(fā)生的遺失、延遲、錯漏，不由貴行承擔(dān)任何責(zé)任。
六、在保函有效期內(nèi)，如果我公司名稱、法人代表、組織機構(gòu)等重大事項發(fā)生變更，我公司將在此變更發(fā)生后三日內(nèi)書面通知貴行，本申請書對變更后的公司繼續(xù)具有法律約束力。
七、我公司保證在此所做的一切陳述都是真實的意思表示，加蓋我公司公章后即對我公司具有完全的法律約束力，未經(jīng)貴行同意任何單位和個人不得擅自撤銷本申請。
八、我公司將按照貴行的要求繳納擔(dān)保費并承擔(dān)貴行為辦理此項擔(dān)保業(yè)務(wù)而發(fā)生的其它費用。
