觀點丨負面清單制度下的《外商投資產業(yè)指導目錄》

李珺丨孫冠緋2016年12月7日，國家發(fā)展改革委員會和商務部聯(lián)合發(fā)布公告，就2015年版《外商投資產業(yè)指導目錄》修訂稿公開征求意見（以下簡稱“修訂稿”）。較以往間隔三四年才修訂一次的慣例，本次修訂步伐明顯加快，顯示出政策制定者對貫徹落實外商投資負面清單監(jiān)管模式的積極態(tài)度。

作為“外資準入前國民待遇+負面清單監(jiān)管模式”的關鍵配套文件，準入特別管理措施（即負面清單）并未單獨出臺，而以《外商投資產業(yè)指導目錄（2015年修訂）》（以下簡稱“2015年版《目錄》”）替代執(zhí)行 [1]。2015年版《目錄》沿用以往的體系設置，各項準入限制散見于鼓勵類、限制類和禁止類中，未形成統(tǒng)一的準入特別管理措施。本次修訂的主要目的就是順應新監(jiān)管模式的需求，統(tǒng)一列明限制性措施，提高準入制度透明度。一修訂概述

較2015年版《目錄》，修訂稿對目錄的結構設置進行了調整。延續(xù)多年的鼓勵類、限制類和禁止類改為鼓勵類和外商投資準入特別管理措施兩大類。外商投資準入特別管理措施（以下簡稱“負面清單”）則整合了鼓勵類項下有股比要求的條目以及限制類和禁止類，進一步分為限制類和禁止類兩類。調整后的修訂稿包含344個鼓勵類條目和62個負面清單條目（35個限制類條目和27個禁止類條目）。

就具體條目，修訂稿有如下幾個方面的主要調整：為達到統(tǒng)一列明的目的，修訂稿將適用負面清單的鼓勵類條目整合進入負面清單中的限制類，鼓勵類和負面清單（限制類）將有11個條目重合（具體見下表）。按照內外資一致原則管理，修訂稿移除了可適用內外資一致的限制性措施的11個條目，不再將其視為外資準入措施（具體見下表）。為進一步擴大開放、調整產業(yè)結構，修訂稿刪除了2015年版《目錄》7個限制類條目，將其調整為允許類；修訂稿還取消了2015年版《目錄》鼓勵類中7個條目的股比和國籍要求，并將部分調整為允許類（具體見下表）。修訂稿刪除了2015年版《目錄》中的兜底條目，通過負面清單中的“說明”，明確其適用原則，即CEPA相關協(xié)議、我國締結或者參加的國際協(xié)定或條約以及我國法律法規(guī)另有規(guī)定的，從其規(guī)定。二簡評

本次《目錄》修訂，對于構建更加開放、透明的投資環(huán)境，更好地促進優(yōu)化投資結構具有積極意義。但或許由于時間倉促，本次修訂未跳出產業(yè)指導目錄的框架，更多地是就分類和編排進行了調整，以符合負面清單的形式要求。目前的負面清單制度仍處于過渡性階段。作為特別管理措施，其表達方式過于概括，限制性措施的內容不夠具體和透明，期待后續(xù)能對目錄進行更全面、更徹底地調整或者單獨出臺新的負面清單。

基于目前的結構設置，限制類也包括了鼓勵類中的部分條目。其中，石油及天然氣勘探、核電站的建設和經營、電網的建設和經營、鐵路干線路網的建設、民用機場的建設和經營、通用航空、公共航空運輸、海上運輸、飛機設計、制造和維修等產業(yè)同時屬于鼓勵類和負面清單。根據修訂稿中關于負面清單的說明，鼓勵類和負面清單重合的條目，享受鼓勵類政策，同時需遵循準入規(guī)定，這表明針對鼓勵類產業(yè)的優(yōu)惠措施，特別是進口設備減免關稅等優(yōu)惠政策仍將繼續(xù)。根據修訂稿中關于負面清單的說明，負面清單針對的是外商投資準入方面的限制性措施。內外資統(tǒng)一適用的限制性措施不列入負面清單。這一管理方式的轉變，體現(xiàn)了外資國民待遇原則，也與正在進行的市場準入負面清單制度改革相契合。外資應首先滿足外資準入負面清單，準入后，再根據其所屬行業(yè)、領域、業(yè)務與其他各類市場主體（包括國企、民企）適用同樣的管理措施。修訂稿中刪除的限制和禁止類條目，如大型主題公園、軍事、警察、政治和黨校等特殊領域教育機構、高爾夫球場、別墅、危害軍事設施的行為、色情和博彩業(yè)都已作為限制類或禁止類項目體現(xiàn)在國家發(fā)展改革委和商務部于2016年3月2日發(fā)布的《市場準入負面清單草案（試點版）》中。另外，修訂稿中關于負面清單的說明特別提出，“境內公司、企業(yè)或自然人以其在境外合法設立或控制的公司并購與其有關聯(lián)關系的境內公司，涉及外商投資項目和企業(yè)設立及變更事項的，按現(xiàn)行規(guī)定辦理”。這一條與《關于外國投資者并購境內企業(yè)的規(guī)定》（商務部令2009年第6號）第11條（關聯(lián)并購）的適用情形基本類似。根據《關于外國投資者并購境內企業(yè)的規(guī)定》，關聯(lián)并購應報商務部審批。修訂稿此項說明的目的，可以理解為強調不論是否涉及負面清單行業(yè)，關聯(lián)并購均應獲得商務部審批。但根據2016年10月8日商務部和國家發(fā)展改革委的聯(lián)合公告，“涉及外資并購設立企業(yè)及變更的，按現(xiàn)行有關規(guī)定執(zhí)行”，即外國投資者以并購方式進行直接投資的，不論是否受制于負面清單，將繼續(xù)實行審批管理制度。本次修訂稿僅強調關聯(lián)并購應按現(xiàn)行規(guī)定辦理，而不述及其它并購類型，是否又可以理解為在負面清單外，且不屬于關聯(lián)并購的，外國投資者并購境內企業(yè)也將實行備案管理制度？這一“激進”理解是否成立，有待政策制定者就此項說明的用意予以進一步澄清和說明。注釋[1]2016年10日8日，國家發(fā)展改革委和商務部聯(lián)合公告，明確外商投資準入特別管理措施按《外商投資產業(yè)指導目錄（2015年修訂）》中限制類和禁止類，以及鼓勵類中有股權要求、高管要求的有關規(guī)定執(zhí)行。涉及外資并購設立企業(yè)及變更的，按現(xiàn)行有關規(guī)定執(zhí)行。

新華社北京１２月２９日電（記者 江國成、程群）國家發(fā)展和改革委員會、商務部近日公布《外商投資產業(yè)指導目錄（２０１１年修訂）》。新目錄有哪些重大調整和變化？記者２９日采訪了發(fā)展改革委和商務部等部門。

擴大對外開放 促進制造業(yè)改造提升

為營造良好的投資環(huán)境，新目錄增加了鼓勵類條目，減少了限制類和禁止類條目。同時，取消部分領域對外資的股比限制，有股比要求的條目比原目錄減少１１條。

新目錄將高端制造業(yè)作為鼓勵外商投資的重點領域，促進外商投資使用新技術、新工藝、新材料、新設備，改造和提升傳統(tǒng)產業(yè)。

新目錄在鼓勵類中增加了紡織、化工、機械制造等領域新產品、新技術條目。同時，鼓勵外商投資循環(huán)經濟，鼓勵類增加了廢舊電器電子產品、機電設備、電池回收處理條目。

考慮汽車產業(yè)健康發(fā)展的要求，新目錄將汽車整車制造條目從鼓勵類中刪除。同時，為抑制部分行業(yè)產能過剩和盲目重復建設，新目錄將多晶硅、煤化工等條目從鼓勵類刪除。

培育戰(zhàn)略性新興產業(yè) 促進服務業(yè)發(fā)展

根據新目錄的要求，我國將鼓勵外商投資節(jié)能環(huán)保、新一代信息技術、生物、高端裝備制造、新能源、新材料、新能源汽車等戰(zhàn)略性新興產業(yè)，提升我國承接國際產業(yè)轉移的層次和水平，培育國際合作和競爭新優(yōu)勢。

新目錄在鼓勵類增加了新能源汽車關鍵零部件、基于ＩＰｖ６的下一代互聯(lián)網系統(tǒng)設備等條目，取消了新能源發(fā)電設備條目的股比要求。

為推動產業(yè)結構調整，新目錄鼓勵外商投資現(xiàn)代服務業(yè)，支持面向民生的服務業(yè)擴大利用外資，推進服務業(yè)開放進程，增加了９項服務業(yè)鼓勵類條目，包括機動車充電站、創(chuàng)業(yè)投資企業(yè)、知識產權服務、海上石油污染清理技術服務、職業(yè)技能培訓等，服務業(yè)條目在鼓勵類中的比重進一步增加。同時，將外商投資醫(yī)療機構、金融租賃公司等從限制類調整為允許類。

差別化產業(yè)導向 促進區(qū)域協(xié)調發(fā)展

為推進新一輪西部大開發(fā)、全面振興東北地區(qū)等老工業(yè)基地、大力促進中部地區(qū)崛起，新目錄將繼續(xù)實行差別化的產業(yè)導向政策。

發(fā)展改革委有關負責人表示，此次修訂中刪除的部分鼓勵類條目，將根據促進中西部地區(qū)承接產業(yè)轉移、發(fā)展中西部地區(qū)特色優(yōu)勢產業(yè)等原則，在修訂《中西部地區(qū)外商投資優(yōu)勢產業(yè)目錄》時予以考慮。

“新目錄緊緊圍繞加快經濟發(fā)展方式轉變這一主線，統(tǒng)籌國內發(fā)展和對外開放，重點強調優(yōu)化外資結構，推動科技創(chuàng)新、產業(yè)升級。本次目錄修訂過程中，首次將草案上網公開征求意見，注重聽取各方意見，提高政策制定的透明度?！边@位負責人說。

新目錄自２０１２年１月３０日起施行，２００７年發(fā)布的《外商投資產業(yè)指導目錄（２００７年修訂）》同時停止執(zhí)行。
