2.授權方保留未言明授予被授權方的有關TVBI頻道的一切權利。被授權方不得錄制,復制和傳播TVBI頻道節(jié)目,用于本合同以外的目的。

3.被授權方同意,對于被授權方違反協(xié)議所造成的損失,授權方將不負任何責任,同時授權方的利益將不受損害。

4.本協(xié)議一經簽署,在協(xié)議的有效期內,被授權方不得提出解除協(xié)議。協(xié)議到期時,被授權方如果決定不再續(xù)簽協(xié)議,必須提前至少九十天通知授權方。

5.TVBI頻道是衛(wèi)星加密頻道,需要專用解碼器以接收和轉播。授權方同意向被授權方提供一臺專用解碼器。

6.本協(xié)議及其附加條款及附件,是授權方和被授權方共同達成的具有法律效力的約定,一經正式簽署,雙方都應嚴格執(zhí)行。

7.雙方如無異議，本協(xié)議到期自動續(xù)延。

1.IfLicensordetermines that the telecasting of any part of the program ofTVBI(theService)would infringe the rights ofothers or break applicable law,Licensor shall have the right to withdraw such program or notify Licensee of such program, whereupon Licensee shall make arrangements to prevent the transmission of the program.2.All rights in and to the Service not expressly granted herein are reserved by Licensor, Licensee shall not record duplicate and transmit by all means or otherwise use the Service other than as specifically set forth herein.3.Licensee agrees to indemnify and hold harmless Licensor from and against all claims, costs, damages and liabilities arising from or related to any breach of the Contract by Licensee.4.After execution of the Contract and during the term of the Contract, Licensee agrees not to put forward termination of the Contract.Licensee may decide not to renew the Contract, but shall notify Licensor of the decision at least ninety days prior to the expiration of the Contract.5.The satellite signal of the Service is encrypted and that a TOMPSON decoder is necessary for Licensee’s receipt and retransmission thereof, Licensor agrees to make available to Licensee an above said decoder.6.This Contract and its addendum, when fully executed by both parties, shall constitute a legally binding agreement between Licensor and Licensee.TVBI 8AUTHORIZATION CONTRACT

一.為 確 保 用 戶 在 協(xié) 議 起 始 日 能 接 收 到 所 需 的 節(jié) 目，轉 播 授 權 協(xié) 議 書 簽 訂 后，簽 約 方 應 在 三 天 之 內 把 解 碼 器 款 匯 至 授 權 方 指 定 的 開 戶 銀 行、帳 戶，授 權 方 在 收 到 解 碼 器 款 或 見 到 付 款 憑 證 的 傳 真 件 后，應 在 一 周 內 將 解 碼 器 送 至 當 地 的 管 理 部 門。

二.解 碼 器 價 格：每 臺4,000.00元人民幣。

三.CINEMAX 節(jié) 目 單 價：

三 星 級 飯 店：14.11 元 / 月 / 房 間四、五 星 級 飯 店：8.30 元/ 月.房 間

涉 外 公 寓/ 國 際 商 業(yè) 公 司：8.30 元/ 月.房 間

涉 外 公 寓/國 際 商 業(yè) 公 司 房 間 數(shù) 不 足 75 間 的 用 戶 按 75 間 計 算；76-130 間 的 用 戶 按 130 間 計 算；超 過130 間 的 按 照 實 際 房 間 數(shù) 計 算。

四.收 視 費 匯 款 應 在 協(xié) 議 起 始 后 的 十 日 之 內 按 所 簽 協(xié) 議 的 付 款 周 期 將 收 視 費 匯 至 指 定 銀 行 帳 戶，匯 款 時 請 注 明 CINEMAX 節(jié) 目 收 視 費。

Addendum:

1.In order to ensure that Licensee is able to receive the Service from the starting date of the Contract, Licensee shall remit the decoder payment into Licensor's designated bank account within three days after the contract is signed.Licensor shall send the decoder to related regional broadcasting administrate authority within one week after receiving Licensee's remittance or a copy of bank receipt of the remittance made by Licensee for the decoder.2.Price of the decoder:RMB5,200.00

3.The unit subscription fee of CINEMAX program:

Three star hotels: RMB14.11 per available room per month

Four, Five star hotels: RMB8.30 per available room per month

Foreign Housing Compounds/ Companies: RMB8.30 per available room per month The minimum room amount for each foreign housing compound and companies is75 if the room amount is from 1-75

if the room amount is from 76-130

1.If Licensor determines that the telecasting of any part of the program of NHK(the Service)would infringe the rights of others or break applicable law, Licensor shall have the right to withdraw such program or notify licensee of such program, whereupon Licensee shall make arrangements to prevent the transmission of the program.2.All rights in and to the Service not expressly granted herein are reserved by Licensor, Licensee shall not record duplicate and transmit by all means or otherwise use the Service other than as specifically set forth herein.Licensee must transmit the Service only to non-public areas within Licensee’s premises.3.Licensee agrees to indemnify and hold harmless Licensor from and against all claims, costs, damages and liabilities arising from or related to any breach of the Contract by Licensee.4.After execution of the Contract and during the term of the Contract, Licensee agrees not to put forward termination of the Contract.Licensee may decide not to renew the Contract, but shall notify Licensor of the decision at least ninety days prior to the expiration of the Contract.The rate applicable to any renewal of the License Term may be subject to re-negotiation.5.The satellite signal of the Service is encrypted and that a decoder is necessary for Licensee’s receipt and retransmission thereof, Licensor agrees to sell to Licensee an above said decoder.6.This Contract and its addendum, when fully executed by both parties, shall constitute a legally binding agreement between Licensor and Licensee.LICENSOR:

Addendum:

1.In order to ensure that Licensee is able to receive the Service from the starting date of the Contract, Licensee shall remit the decoder payment into Licensor's designated bank account within three days after the contract is signed.Licensor shall send the decoder to related regional broadcasting administrate authority within one week after receiving Licensee's remittance or a copy of bank receipt of the remittance made by Licensee for the decoder.2.Price of the decoder: The price of the NHK decoder is RMB4,000.00

3.The unit subscription fee of NHK program:

1.如授權方確信NHK頻道中任何節(jié)目片段的播出可能或是將會侵害他人權益,應有權臨時撤消該節(jié)目或是通知被授權方采取措施，防止這類節(jié)目的轉播。

2.授權方保留未言明授予被授權方的有關NHK頻道的一切權利。被授權方不得以任何方式錄制、復制和傳播頻道節(jié)目，用于本合同以外的目的。被授權方不得向其范圍內的公共場所傳送NHK節(jié)目。

3.被授權方同意,對于被授權方違反協(xié)議所造成的損失,授權方將不負任何責任,同時授權方的利益將不受損害。

4.本協(xié)議一經簽署,在協(xié)議的有效期內,被授權方不得提出解除協(xié)議。協(xié)議到期時,被授權方如果決定不再續(xù)簽協(xié)議,必須提前至少九十天通知授權方。續(xù)約協(xié)議的單價雙方另行協(xié)商。

5.NHK頻道是衛(wèi)星加密頻道,需要專用解碼器以接收和轉播。授權方同意向被授權方出售一臺專用解碼器。

6.本協(xié)議及其附加條款及附件,是授權方和被授權方共同達成的具體法律效力的約定,一經正式簽署,雙方都應嚴格執(zhí)行。
