雙方就以下內(nèi)容達(dá)成理解并達(dá)成協(xié)議：

1．“Party A”)，currently working on the Pre-qualification and following possible tendering works for(hereafter as the “Project”)to be the project main contractor.在，甲方目前正在參與（以下簡稱“項(xiàng)目”）的工作，以

期成為該項(xiàng)目的總承包商。

2．“Party B”“Owner”).（以

下稱為“業(yè)主”）有著密切關(guān)系。Hereby, Party A appoints Party B as its independent and exclusive Consultants for the Project Pre-qualification and tendering stage, to coordinate, facilitate and make the liaison for Party A with Owner to help Party A to be successfully awarded with the Project and enter into the contract with Owner.在此，甲方委托乙方作為甲方在該項(xiàng)目資格審核及投標(biāo)階段的獨(dú)立和唯一的咨詢顧問，協(xié)助

甲方與業(yè)主就該項(xiàng)目進(jìn)行協(xié)調(diào)、輔助以及聯(lián)絡(luò)工作，使甲方能成功中標(biāo)，并與業(yè)主簽訂總承

包合同。liaison work with the high officials with Owner during the pre-qualification/bidding work and the possible construction of the Project.乙方作為甲方與業(yè)主之間關(guān)系的促進(jìn)和協(xié)調(diào)機(jī)構(gòu)，在整個(gè)資格審核、投標(biāo)以及可能的項(xiàng)目施

工階段，乙方負(fù)責(zé)與業(yè)主進(jìn)行溝通。During the whole process of Pre-qualification/bid and the following possible construction work,government related services and collect the local material, labor information and local regulations regarding the Project for/to Party A.Party B shall collect the pre-qualification or bid documents1

(including but not limited to Addendums, bidding drawings and other information or data relating to pre-qualification/bid work)from Owner and obtain all prerequisite information, procedures, bylaws or local regulations, regarding any requirements on pre-qualification of bidders, submission of pre-qualification/bid Documents and all other information or data relating to, and required by the Project, and transmit such documents to Party A for pre-qualification/bid preparation.在整個(gè)資格審核和投標(biāo)以及隨后可能的項(xiàng)目實(shí)施工作中，公司應(yīng)協(xié)調(diào)和協(xié)助甲方與業(yè)主的關(guān)系，負(fù)責(zé)進(jìn)行與本項(xiàng)目有關(guān)的與項(xiàng)目所在地政府及其他相關(guān)單位的溝通工作，了解搜集并向甲方提供當(dāng)?shù)氐牟牧闲畔ⅰ⑷斯ば畔⒁约爱?dāng)?shù)叵嚓P(guān)的法律法規(guī)。公司負(fù)責(zé)從業(yè)主處搜集該項(xiàng)目的資格審核、投標(biāo)相關(guān)的文件（包括附件、投標(biāo)圖紙以及其他任何與此相關(guān)的文件資料），積極獲得有關(guān)資格審核中關(guān)于投標(biāo)者的先決性信息、程序、章程和地方性規(guī)定，以及其他與該項(xiàng)目有關(guān)的資料文件，并轉(zhuǎn)交給甲方以便其進(jìn)行項(xiàng)目資格審合和投標(biāo)的準(zhǔn)備工作。Party A hereto and Party B shall bear its own costs and expenses(including but not limited to costs

for legal, accounting, brokers or finder’s fees, professional or advisory services)in connection with the pre-qualification and following possible bidding preparation for this Project.In the event that Party A has signed the contract with Owner on this Project, Party A agrees to pay Party B commissions for its services in a total amount equal to(percentage)of the signed total contract value(hereafter referred to as the “Commission”)between Party A and Owner.The Commission shall be paid by Party A in the form of check for transfer to Party B or its designated payee.Party A agrees to pay Party B the Commission in 15 installments, on a pro rata basis within 15 working days upon the receipt by Party A of the first ten payments from Owner in accordance with the contract between Party A and Owner.該協(xié)議中的甲乙雙方就該項(xiàng)目的資格審核及隨后的投標(biāo)工作所產(chǎn)生的費(fèi)用（包括但不限于法律的、會計(jì)的、經(jīng)紀(jì)的、現(xiàn)場考察的費(fèi)用，以及專業(yè)性的或建議性的咨詢服務(wù)費(fèi)用）將由各方自己承擔(dān)。如果甲方與業(yè)主就該項(xiàng)目簽署了總承包合同，甲方同意向乙方（所有的咨詢顧問）一共支付該項(xiàng)目所簽署合同總額的（百分比）作為咨詢服務(wù)報(bào)酬（以下簡稱“咨詢服務(wù)傭金”），咨詢顧問傭金將由甲方以轉(zhuǎn)帳支票形式支付給乙方或乙方指定的收款人。甲方同意，將根據(jù)其與業(yè)主簽署的總承包合同的相關(guān)條款，在收到業(yè)主支付的前十五次工程款后的十五個(gè)工作日內(nèi)，按工程款比例分十五次向咨詢顧問支付咨詢服務(wù)傭金。In the event that Party A has not signed the contract with Owner on this Project, Party A has no any

Owner confidential.Party B agrees to keep all the information regarding the works of pre-qualification and bidding of the Project confidential.This provision is strictly construed but shall not prevent the parties from disclosing information to third parties who have obtained the written consent of all the parties, and are necessary to assist accomplishing the purpose of the pre-qualification and bidding of the Project.甲方同意對通過乙方或直接由業(yè)主提供的所有關(guān)于項(xiàng)目的信息予以保密，乙方將對該項(xiàng)目資格審核和投標(biāo)準(zhǔn)備工作中的所有信息予以保密。該條內(nèi)容采用嚴(yán)格解釋，但不應(yīng)禁止該協(xié)議

常見工程咨詢中英文對照

問題：客戶未告知采用什么標(biāo)準(zhǔn)進(jìn)行制作與檢查。

建議： 我們按IPC-6012B Class2與IPC-A-600G Class2 做。

Question 1: Customer doesn’t tell us what standards we should take to manufacture and inspect.Suggestion: We will follow IPC-6012B Class2 &IPC-A-600G Class2.問題：客戶未告知板料類型。建議：我們將使用FR4．

Question: Customer doesn’t tell us material type.Suggestion: We will use FR4.問題： 客戶要求成品厚度為1.60+/-0.10mm，此公差對六層板而言太緊，難以控制。建議: 將公差放松到+/-0.15mm.Question: Customer requires “1.60+/-0.10mm” finished board thickness, the tolerance is too tight for

問題：客戶未指明斜邊標(biāo)準(zhǔn)。建議：按下圖所示制作。

問題：客供圖紙上“A”處數(shù)據(jù)與“B”處數(shù)據(jù)相矛盾，請看下圖。建議： a）按“A”處數(shù)據(jù)做。

b）按“B”處數(shù)據(jù)做。

value is 100.34mm in Gerber.Suggestion: a)Follow drawing to do.b)Follow Gerber to do.問題：請看下圖，紅色圓圈圈住的Slot寬度為0.65mm，長度為12mm。由于長度比較長，不宜鉆出。如果鑼出，其寬度又比最小鑼刀的直徑（0.8mm）還小，也無法鑼出。

建議：將Slot寬度改為0.80mm以便鑼出。

Question: Customer requires +0.05/-0mm for 3.0mm PTH, the tolerance is out of capability.Suggestion: Relax it to be +0.10/-0mm.問題：客戶沒有規(guī)定哪些孔為PTH，哪些孔為NPTH。建議： 3.0mm，4.10mm孔做成NPTH，其余做成PTH。

Question: Customer doesn’t indicate which holes are PTH and which holes are NPTH.Suggestion: 3.0mm,4.10mm holes are made into NPTH, others are made into PTH.問題： 請看下圖，“a”處PTH（1.0mm）與“b”處PTH（2.10mm）的距離只有10mil（我司工藝能力為14mil），電鍍時(shí)易滲鍍造成兩孔短路。建議：A）將兩孔分別往相反方向移動2mil。

B）將兩孔Size分別縮小0.05mm，即做成0.95mm與2.05mm。

Question: See below picture, the distance is only 10mil between 1.00mm hole marked “a” and 2.10mm hole marked “b”(it’s 14mil min distance for our normal workmanship), the close distance will easily cause shorts between the two holes in plating process.Suggestion: A)shift the two hole 2mil away individually towards counter-directions.B)Reduce 0.05mm for hole sizes, i.e.make them as 0.95mm and 2.05mm.問題： 板上沒有NPTH，用PTH做鑼板定位孔時(shí)易損傷孔壁銅。

Question: The copper with red circle is short between POWER and GND planes, Suggestion: A)It’s right, just follow Gerber.B)It’s wrong, please provide new Gerber.問題：內(nèi)層上有許多孤立PAD。

建議： A）刪孤立PAD，以方便我司生產(chǎn)。

B）不可以刪，要按GERBER做。

Question: There many isolated pads on inner layers.Suggestion: A)Delete them to benefit our production process.B)Not delete, just follow Gerber.問題： 工藝邊無銅。

建議：A）為平衡壓板時(shí)的板厚，我們于工藝邊加Dummy copper，并將避開外層各種標(biāo)記。

B）不可以加。

Question: No copper on breakaway.Suggestion: A)To balance board thickness during pressing process, we add dummy copper, the copper will keep away from markings on outer layers.B)Not permit to add extra dummy copper.外層線路

問題： 客戶要求的底銅厚為2OZ，但最小線寬線距只有5/5mil（我司能力是6/6mil）。建議：

1、雙方確認(rèn)，為便于乙方提供咨詢服務(wù)，甲方所提供或披露給乙方（該等披露

2、乙方承擔(dān)保密義務(wù)的期限不受本協(xié)議期滿或終止的影響，本協(xié)議期滿或終止后，乙方仍應(yīng)持續(xù)承擔(dān)保密義務(wù)。

3、乙方應(yīng)通過簽訂書面協(xié)議等措施促使其雇員、代理、代表和顧問等遵守本協(xié)議規(guī)定，履行保密義務(wù)。乙方同意，乙方雇員、代理、代表、顧問的行為（即使該雇員、代理、代表、顧問已與該方終止雇傭、合作等關(guān)系）應(yīng)視作乙方行為，由乙方根據(jù)本協(xié)議承擔(dān)法律責(zé)任。

4、未經(jīng)甲方的事先書面許可，乙方除了向其因提供咨詢服務(wù)需要獲知該等秘密信息且同意對秘密信息保守秘密的雇員、代理、代表和顧問披露之外，不得向任何第三方披露。

5、乙方承諾，對于秘密信息的使用應(yīng)僅限于乙方為甲方提供咨詢服務(wù)之用，不得用于任何其他用途。

6、乙方承諾，除履行咨詢服務(wù)工作所需外，未經(jīng)甲方事先書面許可，不得擅自披露、使用、復(fù)制、傳播甲方的版權(quán)、商標(biāo)字號、標(biāo)志、商業(yè)信息、技術(shù)及其他資料。

7、雙方確認(rèn)，本協(xié)議中的任何內(nèi)容或甲方對乙方所作的任何秘密信息的披露均不應(yīng)視為甲方已賦予乙方有關(guān)版權(quán)、商標(biāo)專利、專利申請或?qū)儆谂斗降钠渌R產(chǎn)權(quán)的權(quán)利或權(quán)益的任何許可或其他權(quán)利的推定或默示許可。乙方對甲方所提供的所有秘密信息的使用，不得以任何方式侵犯甲方的知識產(chǎn)權(quán)及其它權(quán)利，并不得做出任何可能損害甲方形象或任何第三方合法權(quán)利的行為。

8、乙方為甲方提供咨詢服務(wù)過程中產(chǎn)生的一切知識產(chǎn)權(quán)和有關(guān)的成果（包括但不限于：任何發(fā)明、發(fā)現(xiàn)、設(shè)計(jì)、開發(fā)成果、改進(jìn)、作品、專利、計(jì)算機(jī)軟件、半導(dǎo)體芯片、享有版權(quán)的書面資料、技術(shù)秘密和商業(yè)秘密）的所有權(quán)應(yīng)屬于甲方，乙方應(yīng)即時(shí)、全部、完整地向甲方批露和提供；在法律許可的最大限度內(nèi)，乙方

有義務(wù)提供一切必要的信息資料和采取一切必要的行動，協(xié)助甲方證明、獲得、維持、維護(hù)、實(shí)現(xiàn)或抗辯與這些知識產(chǎn)權(quán)和/或成果有關(guān)的權(quán)利，包括但不限于專利申請、商標(biāo)注冊、版權(quán)（軟件）登記和/或在法律糾紛中的協(xié)助或合作等，協(xié)助甲方取得和行使有關(guān)的知識產(chǎn)權(quán)。

9、乙方保證，在為甲方提供咨詢服務(wù)的工作中沒有、將來也不會擅自使用侵犯他人知識產(chǎn)權(quán)或其他合法權(quán)利的產(chǎn)品、工具或軟件等，否則將承擔(dān)相應(yīng)的責(zé)任，并補(bǔ)償甲方由此受到的損失。

10、在本協(xié)議有效期內(nèi)及協(xié)議期滿后3年內(nèi)，乙方不得：a.自行或協(xié)助他人與甲方的業(yè)務(wù)發(fā)生直接或間接的競爭；b.直接或間接地唆使或試圖影響甲方的員工離職，去為乙方或任何其他個(gè)人或?qū)嶓w服務(wù)；c.引誘、帶走甲方的客戶或以前的客戶以攫取他們的業(yè)務(wù)而直接或間接獲利；d.以任何其它形式直接或間接損害甲方的利益。

11、若甲方在項(xiàng)目中最終沒有中標(biāo)或即使中標(biāo)但最終沒有簽署項(xiàng)目合同，則甲方不向乙方承擔(dān)任何費(fèi)用；若乙方在競標(biāo)及項(xiàng)目合同簽署中未按本協(xié)議約定提供咨詢服務(wù)，則甲方也無須向乙方支付咨詢服務(wù)費(fèi)（如出現(xiàn)爭議，由乙方承擔(dān)其主張的已按照協(xié)議約定提供咨詢服務(wù)的舉證責(zé)任）；若經(jīng)乙方協(xié)助，甲方在項(xiàng)目中中標(biāo)并簽署項(xiàng)目合同，則甲方就乙方服務(wù)向乙方支付咨詢服務(wù)費(fèi)即人民幣元整（￥）。

三、支付方式：在甲方收到項(xiàng)目合同中客戶支付的全額款項(xiàng)及乙方開具的與付款金額等額的服務(wù)業(yè)正式發(fā)票后十個(gè)工作日內(nèi)，甲方向乙方支付咨詢服務(wù)費(fèi)總額的款項(xiàng)即人民幣元整（￥）。

四、本協(xié)議期滿或終止之日起或在甲方書面要求后的五個(gè)工作日內(nèi)，乙方應(yīng)交還任何仍為乙方（含其雇員、代理、代表和/或顧問）持有但屬于甲方或由甲方提供給乙方的文件、資料或其它甲方財(cái)產(chǎn)，或征得甲方書面同意銷毀含有甲方專有信息或商業(yè)機(jī)密的文件和資料；乙方應(yīng)向甲方書面確認(rèn)已全部返還相關(guān)資料或完成上述銷毀。乙方不得保留這些文件和資料的任何形式的復(fù)印件。

五、除本協(xié)議所列雙方各自獨(dú)立的權(quán)利義務(wù)外，雙方之間不存在代理、商業(yè)合伙或雇傭關(guān)系，亦不相互隸屬。除非經(jīng)由甲方書面授權(quán)，乙方不得以甲方名

義承擔(dān)或使甲方受制于任何約束及義務(wù)。乙方對其一切行為自行、獨(dú)立承擔(dān)全部的經(jīng)濟(jì)、法律責(zé)任，與甲方無關(guān)。

六、不正當(dāng)行為約束：

1、乙方為項(xiàng)目所實(shí)施的一切行為應(yīng)遵守中國的法律、法規(guī)，尊重商業(yè)道德；不得從事任何將對甲方產(chǎn)生不利影響的行為。

2、乙方應(yīng)維護(hù)甲方權(quán)益并使甲方權(quán)益最大化，但不得因此采取非法手段侵犯他人合法權(quán)益或違反有關(guān)的法律法規(guī)或商業(yè)道德。若侵犯了他人合法權(quán)益或違反有關(guān)的法律法規(guī)，相關(guān)責(zé)任全部由乙方承擔(dān)，甲方不承擔(dān)任何責(zé)任。

3、如因乙方的行為導(dǎo)致甲方的名譽(yù)、知識產(chǎn)權(quán)、經(jīng)濟(jì)利益等受損，乙方應(yīng)補(bǔ)償甲方所受損失并立即采取措施停止不當(dāng)行為并消除影響，但不影響甲方其他權(quán)利的行使。

4、乙方不得以任何方式向甲方相關(guān)工作人員個(gè)人提供傭金、回扣、股權(quán)權(quán)益等直接或間接的利益以換取該工作人員利用職務(wù)之便對乙方進(jìn)行非正當(dāng)支持。

5、在咨詢服務(wù)中，若甲方工作人員利用職務(wù)之便以任何方式（明示或暗示）向乙方或乙方所屬人員索取或接受直接或間接的物質(zhì)利益，乙方有義務(wù)拒絕，并立即向甲方公司書面投訴。

6、如果甲方發(fā)現(xiàn)乙方對甲方工作人員提供非正當(dāng)、不符合法律法規(guī)或商業(yè)道德要求的物質(zhì)利益，無論是被動提供還是主動提供，甲方除對該甲方工作人員按內(nèi)部規(guī)章制度進(jìn)行最嚴(yán)厲的處罰外，同時(shí)將追究乙方的違約責(zé)任并有權(quán)拒付有關(guān)酬金。

七、違約責(zé)任

1、雙方確認(rèn)并同意，如果乙方未依照本協(xié)議約定使用保密信息或違反本協(xié)議規(guī)定將保密信息披露給任何第三方（包括乙方的附屬公司和/或關(guān)聯(lián)公司），或乙方違反本協(xié)議第六條與甲方工作人員私自串通，均構(gòu)成乙方在本協(xié)議下的違約行為，乙方應(yīng)向甲方支付相當(dāng)于咨詢服務(wù)費(fèi)總額50%的違約金，違約金不足以彌補(bǔ)甲方損失的，乙方還應(yīng)補(bǔ)償甲方實(shí)際損失。

2、如乙方出現(xiàn)違約行為，甲方有權(quán)拒付有關(guān)費(fèi)用（包括甲方本已承諾或按其他

協(xié)議應(yīng)支付的顧問咨詢費(fèi)等費(fèi)用）和/或終止本協(xié)議，直至獲得乙方的賠償或雙方達(dá)成其他協(xié)議。

八、本協(xié)議具專屬性質(zhì)，乙方未經(jīng)甲方事先書面同意，不得向任何第三方轉(zhuǎn)讓本協(xié)議項(xiàng)下的全部或部分權(quán)利和義務(wù)。但若向乙方發(fā)出合理的通知，甲方可不經(jīng)乙方同意向其關(guān)聯(lián)公司部分或全部轉(zhuǎn)讓本協(xié)議項(xiàng)下的權(quán)利或義務(wù)；本協(xié)議對雙方各自的繼承人和/或允許的受讓人自承繼或受讓之日起自然產(chǎn)生約束力。本協(xié)議中，乙方對甲方承擔(dān)的義務(wù)延及于甲方的關(guān)聯(lián)公司。

九、協(xié)議解除與終止

1、本協(xié)議有效期內(nèi)，任何一方因?qū)Ψ綗o法提供相關(guān)滿意支持、服務(wù)或未能按時(shí)付款，經(jīng)守約方書面提出異議后15天內(nèi)仍未糾正的，守約方可以立即以書面通知終止本協(xié)議。協(xié)議終止并不免除支付已提供服務(wù)的款項(xiàng)或退回已支付但尚未提供服務(wù)部分的款項(xiàng)的責(zé)任。

2、如果發(fā)生以下情況，可以視為本協(xié)議自動解除或終止，有關(guān)責(zé)任方承擔(dān)相應(yīng)的責(zé)任，但在第（1）和/或（2）種情況下，本協(xié)議自協(xié)議對方發(fā)出解除本協(xié)議效力的書面通知之日起終止：

十、法律適用及爭議解決：

1、本協(xié)議的解釋、履行適用中華人民共和國法律。

2、如發(fā)生爭議，雙方應(yīng)首先通過友好協(xié)商解決。協(xié)商不成的，雙方同意將爭議提交北京仲裁委員會按其規(guī)則仲裁解決。仲裁裁決為終局，對雙方均有約束力。仲裁期間，除必須在仲裁過程中進(jìn)行解決的部分外，不影響協(xié)議其余部分的效力，雙方應(yīng)該繼續(xù)履行。

一方進(jìn)入解體或清算階段； 一方被判為破產(chǎn)或其它原因致使資不抵債； 本合同已有效、適當(dāng)、全面得到履行； 雙方共同同意以書面文件提前解除合同； 根據(jù)仲裁機(jī)構(gòu)的裁決，合同解除或終止。

十一、附則：

1、協(xié)議雙方均保證其有權(quán)簽署并履行本協(xié)議，其簽署并履行本協(xié)議不會違反對其具約束力的其他文件，其已獲得有關(guān)的政府審批（如需）和/或其他必要的授權(quán)。乙方應(yīng)提供其最新營業(yè)執(zhí)照副本復(fù)印件作為本協(xié)議之附件。

2、如果本協(xié)議中的任何約定無論因何種原因無效或不具有執(zhí)行力，或違反任何適用的法律，則該約定視為刪除。但本協(xié)議的其余約定仍應(yīng)有效并且有約束力。

3、本協(xié)議之變更和/或補(bǔ)充須經(jīng)雙方同意并采取書面形式。在雙方未達(dá)成一致意見的情況下，原協(xié)議繼續(xù)有效。

4、本協(xié)議（含附件）所含的條款與條件構(gòu)成雙方就本協(xié)議標(biāo)的達(dá)成的全部協(xié)議與共識，并且取代之前所有的口頭及書面協(xié)議、意向以及聲明。

5、本協(xié)議一式二份，雙方各執(zhí)一份，具有同等效力。

Unless otherwise provided for by this contract, Party A will return full amount of the deposit without interest on the day when this contract expires and party B clears the premises and has paid all due rental and other expenses.因乙方違反本合同的規(guī)定而產(chǎn)生的違約金、損壞賠償金和其它相關(guān)費(fèi)用，甲方可在押金中抵扣，不足部分乙方必須在接到甲方付款通知后十日內(nèi)補(bǔ)足。

In case party B breaches this contract, party A has right to deduct the default fine, compensation for damage or any other expenses from the deposit.In case the deposit is not sufficient to cover such items, Party B should pay the insufficiency within ten days after receiving the written notice of payment from Party A.因甲方原因?qū)е乱曳綗o法在租賃期內(nèi)正常租用該物業(yè)，甲方應(yīng)立即全額無息退還押金予乙方，且乙方有權(quán)追究甲方的違約責(zé)任

If Party B can’t normally use the apartment because of Party A , Party A should return the deposit to Party B at once.And, Party B has the right to ask for the compensation from Party A

六、甲方義務(wù)Obligations of Party A 甲方須按時(shí)將房屋及附屬設(shè)施（詳見附件）交付乙方使用。

Party A will provide the premises and attached facilities(see the appendix of furniture list for detail)on schedule to Party B for using.房屋設(shè)施如因質(zhì)量原因、自然損耗、不可抗力或意外事件而受到損壞，甲方有修繕并承擔(dān)相關(guān)費(fèi)用的責(zé)任。如甲方未在兩周內(nèi)修復(fù)該損壞物，以致乙方無法正常使用房屋設(shè)施，乙方有權(quán)終止該合約，并要求退還押金。

In case the premise and attached facilities are damaged by quality problems, natural damages or accidents, Party A will be responsible to repair and pay the relevant expenses.If Party A can’t repair the damaged facilities in two weeks so that Party B can’t use the facilities normally, Party B has the right to terminate the contract and Party A must return the deposit.甲方應(yīng)確保該房屋享有出租的權(quán)利，如租賃期內(nèi)該房屋發(fā)生所有權(quán)全部或部分轉(zhuǎn)移、設(shè)定他項(xiàng)物權(quán)或其他影響乙方權(quán)益的事件，甲方應(yīng)保證所有權(quán)人、他項(xiàng)權(quán)利人或其他影響乙方權(quán)益的第三者能繼續(xù)遵守本合同所有條款，反之如乙方權(quán)益因此遭受損害，甲方應(yīng)負(fù)賠償責(zé)任。Party A will guarantee the lease right of the premises.In case of occurrence of ownership transfer in whole or in part and other accidents affecting the right of lease by party B, party A shall guarantee that the new owner,and other associated ,third parties shall be bound by the terms of this contract.Otherwise, Party A will be responsible to compensate party B’s losses.七、乙方義務(wù)Obligations of Party B 乙方應(yīng)按合同的規(guī)定按時(shí)支付租金及押金。Party B will pay the rental and the deposit on time.乙方經(jīng)甲方同意，可在房屋內(nèi)添置設(shè)備。租賃期滿后，乙方將添置的設(shè)備搬走，并保證不影響房屋的完好及正常使用。

Party B may add new facilities with Party A’s approval.When this contract expires, Party B may take away the added facilities without changing the good conditions of the premises for normal use.未經(jīng)甲方同意，乙方不得將承租的房屋轉(zhuǎn)租或分租，并愛護(hù)使用該房屋如因乙方過失或過錯(cuò)致使房屋及設(shè)施受損，乙方應(yīng)承擔(dān)賠償責(zé)任。Party B will not transfer the lease of the premises or sublet it without Party A’s approval and should take good care of the premises.Otherwise, Party B will be responsible to compensate any damages of the premises and attached facilities caused by its fault and negligence.乙方應(yīng)按本合同規(guī)定合法使用該房屋，不得擅自改變使用性質(zhì)。乙方不得在該房屋內(nèi)存放危險(xiǎn)物品。否則，如該房屋及附屬設(shè)施因此受損，乙方應(yīng)承擔(dān)全部責(zé)任。Party B will use the premises lawfully according to this contract without changing the nature of the premises and storing hazardous materials in it.Otherwise, Party B will be responsible for the damages caused by it 乙方應(yīng)承擔(dān)租賃期內(nèi)的水、電、煤氣、電話費(fèi)、收視費(fèi)、一切因?qū)嶋H使用而產(chǎn)生的費(fèi)用，并按單如期繳納。

Party B will bear the cost of utilities such as telephone communications, water, electricity, cable television and gas on time during the lease term.八、合同終止及解除的規(guī)定Termination and dissolution of the contract 乙方在租賃期滿后如需續(xù)租，應(yīng)提前一個(gè)月通知甲方，由雙方另行協(xié)商續(xù)租事宜。在同等條件下乙方享有優(yōu)先續(xù)租權(quán)。

Within one month before the contract expires, Party B will notify Party A if it intends to extend the lease.In this situation, two parties will discuss matters over the extension.Under the same terms Party B has the priority to lease the premises.租賃期滿后，乙方應(yīng)在3日內(nèi)將房屋交還甲方；任何滯留物，如未取得甲方諒解，均視為放棄，任憑甲方處置，乙方?jīng)Q無異議。

When the lease term expires, Party B will return the premises and attached facilities to Party A withinthreedays.Any belongings left in it without Party A’s previous understanding will be deemed to be abandoned by Party B.In this situation, Party A has the right to dispose of it and Party A will raise no objection.本合同一經(jīng)雙方簽字后立即生效；未經(jīng)雙方同意，不得任意終止，如有未盡事宜，甲、乙雙方可另行協(xié)商。

This contract will be effective after being signed by both parties.Any party has no right to terminate this contract without another party’s agreement.Anything not covered in this contract will be discussed separately by both parties.九、違約及處理Breach of the contract 甲、乙雙方任何一方在未征得對方諒解的情況下，不履行本合同規(guī)定條款，導(dǎo)致本合同中途終止，則視為該方違約，雙方同意違約金為元整，若違約金不足彌補(bǔ)無過錯(cuò)方之損失，則違約方還需就不足部分支付賠償金。

Force Majeure

由于水災(zāi)、火災(zāi)、地震、干旱、戰(zhàn)爭或協(xié)議一方無法預(yù)見、控制、避免和克服的其他事件導(dǎo)致不能或暫時(shí)不能全部或部分履行本協(xié)議，該方不負(fù)責(zé)任。但是，受不可抗力事件影響的一方須盡快將發(fā)生的事件通知另一方，并在不可抗力事件發(fā)生15天內(nèi)將有關(guān)機(jī)構(gòu)出具的不可抗力事件的證明寄交對方。Either party shall not be held responsible for failure or delay to perform all or any part of this agreement due to flood, fire, earthquake, draught, war or any other events which could not be predicted, controlled, avoided or overcome by the relative party.However, the party affected by the event of Force Majeure shall inform the other party of its occurrence in writing

as soon as possible and thereafter send a certificate of the event issued by the relevant authorities to the other party within 15 days after its occurrence.9.仲裁

Arbitration

因履行本協(xié)議所發(fā)生的一切爭議應(yīng)通過友好協(xié)商解決。如協(xié)商不能解決爭議，則應(yīng)將爭議提交中國國際經(jīng)濟(jì)貿(mào)易仲裁委員會（北京），依據(jù)其仲裁規(guī)則進(jìn)行仲裁。仲裁裁決是終局的，對雙方都有約束力，仲裁費(fèi)用，除另有規(guī)定外，由敗訴一方負(fù)擔(dān)。

All disputes arising from the performance of this agreement shall be settled through friendly negotiation.Should no settlement be reached throught negotiation, the case shall then be submitted for arbitration to the China International Economic and Trade Arbitration Commission(Beijing)and the rules of this Commission shall be applied.The award of the arbitration shall be final and binding upon both parties.Arbitration fees shall be borne by the losing party, unless otherwise awarded.10.協(xié)議有效期

Validity of Agreement
