對(duì)《拍賣(mài)法》第61條的全面理解

除了“瑕疵不擔(dān)保聲明”外，《拍賣(mài)法》第61條還規(guī)定：拍賣(mài)人、委托人違反本法第十八條第二款、第二十七條的規(guī)定，未說(shuō)明拍賣(mài)標(biāo)的的瑕疵，給買(mǎi)受人造成損害的，買(mǎi)受人有權(quán)向拍賣(mài)人要求賠償，屬于委托人責(zé)任的，拍賣(mài)人有權(quán)向委托人追償。這一規(guī)定表明拍賣(mài)人和委托人具有瑕疵告知的義務(wù)，同時(shí)競(jìng)買(mǎi)人具有相應(yīng)知情權(quán)。拍賣(mài)人和委托人未履行告知義務(wù)，損害了競(jìng)買(mǎi)人知情權(quán)的，拍賣(mài)人和委托應(yīng)當(dāng)承擔(dān)賠償責(zé)任。從而應(yīng)當(dāng)明確，瑕疵不擔(dān)保聲明并不能對(duì)抗瑕疵告知義務(wù)。

但是在實(shí)踐中，拍賣(mài)標(biāo)的物具有特殊性和多元性，在特定情況下排賣(mài)標(biāo)的物并不能完全等同于一般商業(yè)行?櫓械南?費(fèi)品。拍賣(mài)標(biāo)的物可能是財(cái)產(chǎn)，也可能是財(cái)產(chǎn)權(quán)利，其中屬于財(cái)產(chǎn)的同時(shí)可能存在物質(zhì)瑕疵的權(quán)利瑕疵，從而給拍賣(mài)人和委托人的瑕疵告知帶來(lái)障礙。另一方面，當(dāng)拍賣(mài)標(biāo)的物是財(cái)產(chǎn)權(quán)利時(shí)。拍賣(mài)僅實(shí)現(xiàn)了用益物權(quán)的轉(zhuǎn)讓。因此轉(zhuǎn)讓后的結(jié)果可能導(dǎo)致難以預(yù)期的變化，也給委托人陽(yáng)拍賣(mài)人的瑕疵告知帶來(lái)障礙。當(dāng)拍賣(mài)標(biāo)的物是有價(jià)證券、股權(quán)、文物、藝術(shù)品時(shí)，競(jìng)買(mǎi)人明顯具有投資屬性，并導(dǎo)致產(chǎn)生投資風(fēng)險(xiǎn)，也給委托人和拍賣(mài)人的瑕疵告知帶來(lái)障礙；拍賣(mài)標(biāo)的大部分是進(jìn)入市場(chǎng)后再流通的商品，不能和新商品進(jìn)行直接的比對(duì)，在市場(chǎng)上再流通的商品可能因流通和使用存在次生瑕疵，如二手車(chē)或舊設(shè)備等等。因此，瑕疵不擔(dān)保聲明在拍賣(mài)中具有特殊的意義，具有明確的法理學(xué)依據(jù)和立法公正性。

競(jìng)買(mǎi)人在藝術(shù)品市場(chǎng)的投資傾向分析

在文物藝術(shù)品等拍賣(mài)市場(chǎng)中，競(jìng)買(mǎi)人表現(xiàn)出的投資價(jià)值是十分明顯的。

首先，可以發(fā)現(xiàn)已經(jīng)在拍賣(mài)市場(chǎng)上出現(xiàn)過(guò)的文物藝術(shù)品，在一段時(shí)間后，經(jīng)過(guò)增值再次出現(xiàn)在拍賣(mài)市場(chǎng)中。如齊白石的同一幅作品，在1998年拍賣(mài)時(shí)成交價(jià)??14萬(wàn)元。四年后2002年再次拍賣(mài)，成交價(jià)增至56萬(wàn)元，至2007年第三次拍賣(mài)時(shí)，成交價(jià)飆升至700多萬(wàn)元，這一結(jié)果不僅表明拍賣(mài)人的成交記錄，而且表明了買(mǎi)受人的投資取得了成功。除文物藝術(shù)品拍賣(mài)市場(chǎng)外，股票，基金，債券等標(biāo)的物的拍賣(mài)，同樣具有明顯的投資價(jià)值。

其次，文物藝術(shù)品拍賣(mài)市場(chǎng)的價(jià)格波動(dòng)和股票、基金、房地產(chǎn)等投資市場(chǎng)具有明顯的投資價(jià)值和顯著的連鎖特征，當(dāng)股票、基金或者房地產(chǎn)市場(chǎng)疲軟時(shí)，其他投資市場(chǎng)則可能一派興旺景象。這與社會(huì)中的資金流向和投資價(jià)值趨勢(shì)緊密相關(guān)，因此將藝術(shù)品買(mǎi)賣(mài)納入投資行?槭撬忱沓燒碌摹?

在證券市場(chǎng)中，我們經(jīng)常會(huì)看到“股市有風(fēng)險(xiǎn)，入市須謹(jǐn)慎”這樣的風(fēng)險(xiǎn)提示，甚至在基金投資市場(chǎng)中也可以告知，因此當(dāng)競(jìng)買(mǎi)人在拍賣(mài)市場(chǎng)中表現(xiàn)出投資趨勢(shì)時(shí)，也同樣應(yīng)當(dāng)有“拍賣(mài)有風(fēng)險(xiǎn)，競(jìng)買(mǎi)須謹(jǐn)慎”之類的風(fēng)險(xiǎn)提醒。在實(shí)踐中沒(méi)有發(fā)生過(guò)買(mǎi)受人投資成功與拍賣(mài)人分享紅利的現(xiàn)象，當(dāng)然買(mǎi)受人也無(wú)權(quán)將其投資失敗的結(jié)果歸咎于委托人和拍賣(mài)人。

“瑕疵不擔(dān)保”聲明的風(fēng)險(xiǎn)告知作用

我國(guó)歷史悠久，流傳的文物眾多，而且這些標(biāo)的物的鑒定往往以個(gè)人經(jīng)驗(yàn)鑒定?櫓鰨?不可能像其他標(biāo)的物一樣采用科學(xué)的手段加以判斷。人?榫?驗(yàn)鑒定可能產(chǎn)生鑒定結(jié)果的不確定性，這就?櫬死啾甑奈锏惱嫖焙丸Υ眉?定帶來(lái)困難。因拍賣(mài)標(biāo)的真?zhèn)螌?dǎo)致的糾紛中，還存在“畫(huà)家本人主張?jiān)撟髌?樨推貳鋇南窒螅?即畫(huà)家或藝術(shù)家直接否定拍賣(mài)標(biāo)的的真實(shí)性，從而導(dǎo)致糾紛“事實(shí)上畫(huà)家作?櫚筆氯艘環(huán)街髡牌渥髕氛嫖鋇氖焙潁?畫(huà)家本人應(yīng)當(dāng)自動(dòng)喪失裁判權(quán)。畫(huà)家否定作品真實(shí)的主張，同樣具有不確定性，畫(huà)家。可能否定自己藝術(shù)未成熟前的作品，畫(huà)家還可能否定未經(jīng)許可而流散的作品，甚至因個(gè)人情緒或者家庭原因，還可能否定保存在他人手中的作品，因此當(dāng)畫(huà)家成?槿?利主張一方的同時(shí)，必然更喪失鑒定權(quán)，而應(yīng)當(dāng)由第三方作出公正的堅(jiān)定與判斷。當(dāng)前我國(guó)文物立法中主要原則?樽⒅乇；ぃ?關(guān)于藝術(shù)品買(mǎi)賣(mài)的立法甚至付諸闕如，缺少法律鑒定標(biāo)準(zhǔn)。另一方面具有普遍意義上的權(quán)威鑒定機(jī)構(gòu)尚不完善，國(guó)家文物鑒定委員會(huì)不參與民間以及市場(chǎng)鑒定，僅對(duì)國(guó)家公立收藏機(jī)構(gòu)提供服務(wù)。不久前成立的文化部藝術(shù)品鑒定委員會(huì)，雖然已取得了良好收效，但尚缺少公眾認(rèn)知，還需要較長(zhǎng)時(shí)間加以穩(wěn)固和提高。因此此類拍賣(mài)市場(chǎng)中，在提醒風(fēng)險(xiǎn)告知的同時(shí)，要求買(mǎi)家作出慎重決定，并且?樽約旱木孤虺械７?律后果的做法同樣順理成章。

“瑕疵不擔(dān)?！甭暶骶哂忻黠@的風(fēng)險(xiǎn)告知作用從而真正的保護(hù)了競(jìng)買(mǎi)人的合法權(quán)益，競(jìng)買(mǎi)人正確理解委托人和拍賣(mài)人的瑕疵不擔(dān)保聲明，并在競(jìng)買(mǎi)前最大限度的了解標(biāo)的物的真?zhèn)魏丸Υ?，慎重作出了?jìng)買(mǎi)決定，理智參與竟買(mǎi)，是保障拍賣(mài)成功，降低拍賣(mài)風(fēng)險(xiǎn)的重要前提。就此而言《拍賣(mài)法》中的這一規(guī)定，不但不是拍賣(mài)人的擋箭牌或者借口，而是最大限度的保護(hù)了竟買(mǎi)人的合法權(quán)益。

“瑕疵不擔(dān)保聲明”應(yīng)當(dāng)和拍賣(mài)的價(jià)格表述互相一致，當(dāng)委托人對(duì)某一標(biāo)的物確定好保留價(jià)時(shí)，其瑕疵不擔(dān)保聲明應(yīng)當(dāng)服從于價(jià)格要求，不能出現(xiàn)一方面提出高價(jià)格要求，另一方面主張不承擔(dān)真?zhèn)蔚蔫Υ脫?dān)保，而應(yīng)當(dāng)遵循權(quán)利和義務(wù)對(duì)等原則。同理，當(dāng)拍賣(mài)人聲明對(duì)拍賣(mài)標(biāo)的物的真?zhèn)魏丸Υ貌挥钃?dān)保時(shí)。其價(jià)格要求也應(yīng)當(dāng)和瑕疵不擔(dān)保聲明相互一致，應(yīng)當(dāng)遵守合同意思表達(dá)的真實(shí)性，而不能利用瑕疵不擔(dān)保聲明掩蓋其價(jià)格索求。

根據(jù)我國(guó)合同法的有關(guān)規(guī)定，在合同中不得作出涉及到損害當(dāng)事人人身安全和財(cái)產(chǎn)安全的條款，因此《拍賣(mài)法》第61條還規(guī)定：“因拍賣(mài)標(biāo)的存在缺陷造成人身、財(cái)產(chǎn)損害請(qǐng)示賠償?shù)脑V訟時(shí)效期間，適用《中華人民共和國(guó)質(zhì)量法》和其他法律的有關(guān)規(guī)定?！蔽腥撕团馁u(mài)人作出的瑕疵不擔(dān)保聲明不得對(duì)抗《中華人民共和國(guó)質(zhì)量法》不得給競(jìng)買(mǎi)人和買(mǎi)受人造成人身安全和財(cái)產(chǎn)損害，所以盡管委托人和拍賣(mài)人曾經(jīng)作出過(guò)瑕疵不擔(dān)保聲明，但不能免除給競(jìng)買(mǎi)人和買(mǎi)受人造成人身安全和財(cái)產(chǎn)損失的法律責(zé)任。

綜上所述，《拍賣(mài)法》第61條規(guī)定“瑕疵不擔(dān)保聲明”，其宗旨在于保護(hù)競(jìng)買(mǎi)人和買(mǎi)受人的合法權(quán)益，提醒并且告知因標(biāo)的物的真?zhèn)魏丸Υ每赡軒?lái)的拍賣(mài)風(fēng)險(xiǎn)，是保證拍賣(mài)程序順利進(jìn)行和防止在拍賣(mài)成交后產(chǎn)生違約現(xiàn)象的法律保障。
