      4.3 Party A shall refund the Deposit without interests within five days provided that Party B has fully performed the terms and conditions of this Contract and has handed over the Premises and paid all outstanding fees.4.3 在乙方全部履行本合同各項條款、規(guī)定和條件的情況下,并交還該單元、交清所欠費用后,甲方在五日內(nèi)退還保證金(不計利息)。1.Late Payment Interests 2.延期利息

      If Party B fails to pay the Deposit or other fees payable under this Contract, or Party A has paid for Party B such other fees payable by Party, Party B shall pay late payment interests for the period of late payment at the rate of 0.5‰ of the outstanding amount per day.如乙方未能按照本合同規(guī)定支付應付的保證金和其他款項給甲方,或甲方為乙方墊付應由乙方支付的其他款項,乙方應付遲延支付期間的遲延利息,該遲延利息應按日息為所欠款項的0.5‰計算。1.Damage and Repair 2.損壞和維修

      6.1 Party A shall ensure that the construction structure and the equipment and facility of the Premises conform to the safety conditions concerning construction, fire prevention and others, and the Premises has not any danger to the personal safety.Party B shall ensure that the relevant laws and regulations of national or Beijing government shall be observed during use of the Premises.6.1甲方應保證房屋的建筑結(jié)構(gòu)和設(shè)備設(shè)施符合建筑、消防等方面的安全條件,不得危及人身安全;乙方應保證在使用過程中遵守國家、北京市的相關(guān)法律法規(guī)規(guī)定。?

      6.2 During the Term, both parties shall ensure that the Premises and its contents, equipment and facilities are in usable and safe condition: 6.2租賃期內(nèi),甲乙雙方應共同保障房屋及其附屬物品、設(shè)備設(shè)施處于適用和安全的狀態(tài): 6.2.1Regarding normal wear and tear of the Premises and its contents, equipment and facilities, Party B shall promptly notify Party A for repair and maintenance.Party A shall commence repair and maintenance within 7 days after receipt of Party B’s notice.If Party A failed to do so, Party B can repair and maintain for Party A and, to the extent lawful and reasonable, the expenses shall be borne by Party A.6.2.1對于房屋及其附屬物品、設(shè)備設(shè)施因自然屬性或合理使用而導致的損耗,乙方應及時通知甲方修復。甲方應在接到乙方通知后的7日內(nèi)進行維修。逾期不維修的,乙方可代為維修,費用由甲方在合理合法范圍內(nèi)承擔。

      6.2.2 If the Premises and its contents, equipment and facilities are damaged due to Party B’s improper keeping or unreasonable usage, Party B shall be responsible for repair and maintenance and shall be liable for compensation.6.2.2因乙方保管不當或不合理使用,致使房屋及其附屬物品、設(shè)備設(shè)施發(fā)生損壞或故障的,乙方應負責維修或承擔賠償責任。

      1.Rights and Obligations of Party A 2.甲方權(quán)利及義務(wù)

      7.1 Party A hereby guarantees that Party A is the legal owner and has the right to lawfully lease the Premises.Otherwise, Party A shall bear the legal liability arising therefrom in full.7.1 甲方保證是項目合法的擁有者,其有權(quán)合法出租該單元,否則產(chǎn)生的法律責任均由甲方承擔。7.2 Party A hereby guarantees that the Premises is housing that has been developed, constructed and completed legally.The Premises has not been sold on the signature date of this Contract, and it does not exist other legal impediments which may affect the performance of this Contract.7.2 甲方保證該單元是合法開發(fā)建設(shè)完成的房屋,本合同簽訂時該單元尚未對外銷售,也不存在影響本合同履行的其它法律障礙。

      7.3Party A hereby guarantees that Party B shall have the right to occupy and enjoy the Premises peacefully throughout the Term without any interruption by Party A or its agents, provided that Party B has paid the rent and other fees hereunder and complies with the terms and conditions to be performed by Party B under this Contract.7.3 甲方保證在租期內(nèi),乙方將有權(quán)平靜地占有和享用該單元,不會受到甲方或甲方代理人的干擾,但前提是乙方支付了本合同規(guī)定的租金和其它費用,并遵守和履行了本合同規(guī)定的應由乙方遵守和履行的條款。7.4 Party A has the right to terminate this Contract unilaterally upon occurrence of any of the following to Party B: 7.4 乙方出現(xiàn)下列任何情況時, 甲方有權(quán)單方解除本合同。

      7.4.1 violates the laws or the regulations of PRC or uses the Premises for illegal business operations;7.4.1 違反中華人民共和國的法律/法規(guī), 利用該單元進行不法經(jīng)營活動; 7.4.2 changes the uses of the Premises without consent of Party A;7.4.2 未經(jīng)甲方同意擅自更改該單元的用途; 7.4.3 fails to pay the rent pursuant to relevant provisions hereunder;or 7.4.3 未按本合同的有關(guān)條款繳納租金;或

      7.4.4 sub-lets the Premises or parts of the Premises to others, transfers the Premises to others or uses the Premises jointly with a third party without the consent of Party A.7.4.4未征得甲方同意, 擅自將該單元或該單元的部分轉(zhuǎn)租、轉(zhuǎn)讓給第三方或與第三方共同使用。7.5 Party B agrees to waive its right of first refusal in respect of the Premises voluntarily and unconditionally during the Term.During the Term, Party A shall be free to transfer the Premises to any third party, provided that such transfer shall not prejudice Party B’s rights to occupy, control and use the Premises in accordance with the terms and conditions of this Contract.If Party A transfers the Premises to a third party, such third party shall continue to enjoy and bear all rights and obligations of Party A under this Contract.Party B undertakes to cooperate in full with Party A in handling the relevant formalities to sell and hand-over of the Premises.Party B’s failure to cooperate for the hand-over shall not affect the assumption of the rights and obligations of this Contract by the new owner.Party B shall pay rent to the new owner in accordance with this Contract after receipt of Party A’s notice, otherwise Party B shall bear the liability for breach of contract and late payment under this Contract.7.5在租期內(nèi),乙方自愿無條件放棄該單元的優(yōu)先購買權(quán)。在租期內(nèi),甲方有權(quán)自由轉(zhuǎn)讓該單元予任何第三方,但是該轉(zhuǎn)讓不得影響乙方根據(jù)本合同的條款和條件占有、控制和享用該單元的權(quán)利。若甲方將該單元出售予第三方,第三方將繼續(xù)享有和承擔甲方在本合同項下的所有權(quán)利和義務(wù)。乙方承諾充分配合甲方辦理該單元的出售及交接手續(xù),不影響新業(yè)主開始繼受出租方在本合同項下的權(quán)利義務(wù)。乙方須在接到甲方通知之日起按本合同向新業(yè)主支付租金,否則須承擔本合同項下的逾期付款違約責任。1.Rights and Obligations of Party B 2.乙方權(quán)利及義務(wù)

      8.1 Party B is entitled to occupy and use the Premises reasonably and legally during the Term provided that it strictly complies with the terms and conditions of this Contract.8.1 如果乙方嚴格遵守本合同的各項條款, 則乙方有權(quán)在租賃期內(nèi)合理、合法占用和使用該單元。8.2 Party B shall pay rent and the expenses of electricity, water, gas, telephone, ID long distance call incurred at the Premises and the service fee of other specific facilities provided for Party B on time(other than the written agreement between the parties).8.3 乙方須按時繳付租金以及該單元的電費、水費、煤氣費、電話費、IP主叫長話費,以及供乙方使用的其他專門設(shè)施的服務(wù)費,(甲、乙雙方另有書面約定除外)。

      8.4 Party B shall keep the internal part of the Premises in clean and good condition and shall prevent damage, pollution and fire, etc.It shall have the duty to supervise his visitors and friends to protect the property of Party A or the public facility of this compound.If there is any damage caused to Party A, other owners or lessees of this compound or the public facility of compound due to Party B’s reason, Party B shall compensate for the losses arising therefrom.8.4 乙方應負責該單元內(nèi)部的整潔完好,防止破壞、污染、火災等事故,并有責任監(jiān)督來訪的客人及朋友愛護甲方的物品,以及小區(qū)的公共設(shè)施。如由于乙方的原因,給甲方其他業(yè)主和租戶或該小區(qū)的公共設(shè)施造成損害時,乙方必須賠償損失。1.Termination of Contract 2.合同的終止

      9.1 Upon occurrence of any of the event prescribed under Article 8.4, Party A is entitled to unilaterally terminate this Contract without the need to issue any notice requesting for rectification of the breach.9.1 第8.4條所規(guī)定的任何情形發(fā)生時,甲方有權(quán)單方直接終止本合同而無需發(fā)出糾正通知。

      9.2 The parties may terminate this Contract early by reaching a written agreement through consultation.9.2 甲、乙雙方經(jīng)協(xié)商,可達成書面協(xié)議提前終止本合同。

      9.3 If either party cannot perform this Contract due to the occurrence of any force majeure events(such as earthquake, storm, hail and fire)which cannot be predicted or the occurrence and consequence of which cannot be avoided, the party who experience the force majeure event will be exempted from liability for failure to perform relevant obligations of this Contract(save for payment obligations).9.3 因發(fā)生地震、暴雨、冰雹、火災等其他不能預見的,其發(fā)生和后果不能防止或避免的不可抗力致使任何一方不能履行本合同時,遭受不可抗力的一方可免除未能履行本合同項下相關(guān)義務(wù)的責任(付款義務(wù)除外)。

      1.Penalty for Breach 2.違約責任

      10.1 Any party who breaches this Contract shall compensate for any economic loss caused to the other party due to the breach.If the economic loss is due to default of both parties, both parties shall bear respective liability for breach in accordance with the circumstance.10.1任何一方有違反本合同的行為,應就違約行為給對方造成的經(jīng)濟損失進行賠償。如果屬于雙方的過失,應根據(jù)情況,由雙方分別承擔違約責任。

      10.2 If Party B fails to perform the provisions of Article 9.1 hereof, or Party B fails to perform other provisions of this Contract and fails to rectify the breach after 14 days of receiving Party A’s written notice requesting for rectification of the breach, Party A has the right to terminate this Contract unilaterally.This Contract shall be automatically terminated from the date on which the termination notice is delivered.Upon termination of this Contract, the Deposit shall not be refunded to Party B and Party A shall have the right to claim for further losses or outstanding fees(if any), and Party B shall vacate and return the Premises to Party A within three days from the date of delivery of the termination notice.10.2 如乙方違反本合同第9.1條約定;或乙方違反本合同其它條款并接到甲方書面糾正通知后十四天內(nèi)不予糾正時,甲方有權(quán)單方解除本合同,合同自解除通知送達之日起自動解除。合同解除時,保證金不予退還乙方;若有其它損失或未付費用,甲方仍有權(quán)追索。乙方應在解除通知送達之日起三日內(nèi)遷出并交回該單元于甲方。1.Renewal of Lease 2.續(xù)租 Where Party B has fully performed the terms, provisions and regulations of this Contract during the term of this Contract, Party B has the priority right to extend the Term under this Contract provided that it has given written application for extension no later than 30 days before expiry of the Term and that the parties have agreed on the conditions of the extension(including rent and term of lease)and executed the contract for the extension of the lease by no later than 15 days prior to the expiration of the Term, failing which, Party A may lease the Premises to others.Party A may show the Premises to potential tenants by giving reasonable notice to Party B within 30 days prior to the expiration of the Term and Party B shall use its best efforts to cooperate with Party A.在本合同有效期內(nèi),乙方全部履行本合同各項條款、規(guī)定和條件的情況下,乙方有優(yōu)先要求將本合同租期延長的權(quán)利,但乙方須于不遲于租期期滿前三十天提出書面續(xù)租要求,并由雙方在租期期滿前十五天前就續(xù)租的條件(包括租金和租賃期)達成一致,簽署續(xù)租合同,否則甲方可另行出租。甲方可在租期期滿前三十天內(nèi),在給予乙方合理通知后將該單元向未來的租戶展示,乙方應盡量配合甲方。1.Early Termination 2.提前解約

      Any notices sent by one party to the other party under this Contract shall be made in Chinese and shall be delivered by hand, by registered air-mail(with postage pre-paid), express delivery service commonly recognized or by fax to the address stipulated in this Contract.A notice shall be deemed to have been delivered: 任何一方根據(jù)本合同發(fā)出的通知或其他聯(lián)系應以中文書寫并可通過人工送遞或航空掛號郵寄(預付郵資)、公認的快遞服務(wù)或以傳真發(fā)送至另一方的合同約定地址。通知視為有效送達的日期按以下方法予以確定: 1)if sent by hand, on the date on which the documents is delivered to the designated address;1)人工投遞的通知,視作于人工投遞之日送達;

      3.2其它費用

      所有權(quán)不屬于乙方的房屋和設(shè)備、設(shè)施,其保險責任歸所有權(quán)人。所有權(quán)屬于乙方的設(shè)備、設(shè)施和經(jīng)營責任,其保險責任歸乙方。

      4、房屋用途

      4.1租賃房屋僅限作為乙方合法經(jīng)營場所之用。乙方須嚴格遵守中國制定的有關(guān)租賃房屋及乙方在租賃房屋內(nèi)進行其業(yè)務(wù)的政策和法規(guī)。除非事先得到甲方的書面同意,否則乙方不得擅自變更租賃房屋的用途。

      4.2甲方有義務(wù)保證乙方在本合同存續(xù)期間,按本合同確定的使用用途,正常使用租賃房屋和相應設(shè)施。4、3合同期間,經(jīng)通知甲方,乙方有權(quán)在合法的前提下以其認為合適的規(guī)格、形式等懸掛(或不懸掛)其名稱標牌、商標標志或服務(wù)標志。

      5、租賃房屋的裝修及維護

      5.1租賃期內(nèi),租賃房屋的裝修費由乙方自行承擔。合同期內(nèi),乙方投資于租賃房屋或為使租賃房屋具備、維持正常使用功能及滿足商業(yè)經(jīng)營特殊需要而投入的裝修、設(shè)備及其他附屬物、附著物之所有權(quán)屬于乙方。合同解除后,能移動并不破壞房屋外觀及內(nèi)部結(jié)構(gòu)的部分由乙方拆起。

      5.2乙方的裝修方案應經(jīng)過甲方書面同意后,方可按照有關(guān)規(guī)定實施。

      5.3乙方對租賃房屋的任何改建均需得到甲方的書面許可。5.4租賃期間內(nèi),甲方負責租賃房屋的定期檢查和維修并承擔費用,包括自然損壞造成的維修責任。

      5.5甲方在暫?;虿粫和W赓U房屋內(nèi)任何設(shè)施的使用的情況下進入租賃房屋進行維修,但應事先征得乙方同意。緊急情況下,甲方可在沒有任何通知的情況下,為了保安、消防和搶修租賃房屋,甲方和其授權(quán)人有權(quán)不經(jīng)乙方損失,否則甲方負責賠償,法定緊急避險情況除外。

      6、甲方的陳述與保證

      6.1保證其作為本合同簽約人依法成立、依法存續(xù),具備簽訂本合同的主體資格。

      6.2保證對本合同租賃房屋擁有合法的所有權(quán)和以出租方式進行處置的權(quán)利,不存在任何形式的權(quán)利瑕疵。

      6.3保證租賃房屋具備出租的合法條件,并保證該合法條件在合同期內(nèi)持續(xù)存在。

      6.4根據(jù)乙方要求及時提供與本合同履行有關(guān)的資料和法律文件。

      7.乙方的陳述與保證

      7.1及時、足額地繳付本合同規(guī)定的租金及相關(guān)費用及其他一切費用。

      7.2未經(jīng)甲方同意,不得將租賃房屋內(nèi)的設(shè)備進行改造、增設(shè)或拆除,改變房屋內(nèi)結(jié)構(gòu)不得改變租賃房屋的用途。7.3保持租賃房屋內(nèi)部清潔完好,乙方對所租房間的損害,以及對乙方或其客人造成的公用地段的損害,甲方修復時的費用由乙方如數(shù)繳付。

      7.4在暴風大風等惡劣天氣來臨之前采取一切適當措施,保護租賃房屋的內(nèi)部不受損害。

      7.5如乙方不履行或違反本合同的任何條款、規(guī)定或條件,而使租賃房屋遭受損失,被罰款或造成甲方的其他支出,在甲方開出單據(jù)的五天內(nèi),乙方應如數(shù)補償或賠償甲方。7.6不得在租賃房屋存放,也不允許他人存放武器、彈藥、硝石、火藥、火油或其他易爆易燃違法危險物品。7.7不得在租賃房屋內(nèi)進行,允許、默認任何可能對甲方造成損害的活動。

      7.8不得在租賃房屋內(nèi)進行或允許他人進行有悖社會或行業(yè)道德的活動。

      7.9乙方在經(jīng)營期間必須投保。7.10未經(jīng)甲方書面同意乙方不得轉(zhuǎn)租。

      8.合同終止與解除

      8.1本合同于有效期滿之日終止。

      8.2依本合同規(guī)定或法定條件成就時,從合同終止或者解除之日起一周內(nèi),乙方應騰空房屋并完整的向甲方交回房屋租賃房屋的鑰匙,如違此約定甲方有權(quán)處置房內(nèi)任何物品。8.3租賃期內(nèi),如因不可抗力(且不可抗力延續(xù)兩個月),法律政策變化以及政府城市規(guī)劃等原因致使合同無法履行,則本合同可以終止。但受上述事件影響的一方應當在上述事件發(fā)生之日起15日內(nèi)通知另一方,甲、乙雙方互不承擔任何法律責任。

      8.4因甲、乙雙方任何一方違約而解除合同,如果違約方在收到守約方一書面糾正通知后15日內(nèi)未進行任何補救措施或與守約方達成新的協(xié)商安排,則守約方可以隨時向違約方發(fā)出解約的通知,解約通知自送達違約方之日起生效。守約方有權(quán)向違約方追討由此引致的全部損失及開支。

      9.3除本合同對有關(guān)通知事項已有約定外,任何一方發(fā)生法定代表人、名稱、住所、企業(yè)組織形式等的變更,或發(fā)生合并、分立、并購、破產(chǎn),或發(fā)生租賃房屋查封、扣押、監(jiān)管、變賣、拍賣及其他可能影響本合同履行的任何事項,均應本著誠實信用的原則及時通知對方,履行法定通知義務(wù)。

      10.征用及不可抗力

      10.1由于政府征用土地因素導致本合同被迫終止時,本合同則自政府征用之日起終止執(zhí)行,但乙方應支付自起租日始至政府征用日止的租金及相關(guān)費用。若部分所租賃房屋被政府租用,則甲、乙雙方均有權(quán)在一個月內(nèi)以書面形式通知對方取消或終止本合同。

      10.2不可抗力是指嚴重自然災害及其他本合同雙方在訂立本合同時人力不能預見,其發(fā)生或后果不能避免且不能克服的事件。在本合同履行過程中,由于發(fā)生戰(zhàn)爭、洪水、臺風、地震或其他人力不能控制等不可抗力事件,致使任何一方無法履約后發(fā)生不可抗力的,遲延履約一方不能免除責任。遭受不可抗力一方在不可抗力事件發(fā)生后的15天內(nèi),應向另一方出具經(jīng)不可抗力發(fā)生地公證機構(gòu)公證的有關(guān)權(quán)威部門的證明。不可抗力事件消除后,由雙方協(xié)商確定是否恢復對本合同的繼續(xù)履行。發(fā)生不可抗力,對于事故前雙方發(fā)生的經(jīng)濟上的義務(wù)不受影響。

      11.違約責任

      11.1甲、乙雙方任何一方有違反本合同的行為,應就違約行為給對方造成的進行承擔賠償責任。如屬雙方的過失,應根據(jù)情況,由甲、乙雙方分別承擔違約責任。

      11.2如乙方未能按本合同規(guī)定支付租金乙方責任如下:(1)從違約之日起,房租加價10%,直至乙方搬出日為止。(2)從違約之日起,甲方可以單方解除本合同或變更本合同。

      12.爭議的解決

      12.1本合同之訂立、效力、解釋、履行及爭議的解決均適用中華人民共和國法律。如甲、乙雙方中任何一方有違約行為,另一方可以書面形式通知其糾正,并進行友好協(xié)商,解決違約問題。

      12.2協(xié)商不成的,任何一方有權(quán)向租賃房屋所在地有管轄權(quán)的中國人民法院提起訴訟。

      13.1合同有效期限內(nèi),如任何一方由于改制、合并、分立等發(fā)生變更,則由變更后的主體承繼該方在本合同項下之各項權(quán)利義務(wù)。13.2本合同的任何修改均應經(jīng)雙方同意,并制作書面協(xié)議經(jīng)甲方和乙方雙方法定代表人或授權(quán)的委托代理人簽字并加蓋公章后方為有效。

      Repairs or damages caused by Party B during the tenancy for which confirmed by both Party A and Party B on the check-out date while Party B has not already paid the repair fee, other than normal wear and tear.The corresponding official invoice shall be provided by Party A to Party B within three days after the deduction of the reasonable repair fees.II.乙方在租賃期內(nèi)所使用(未支付)的電話費或其它使用費等,并在扣除后的三天內(nèi)給到乙方正規(guī)的費用發(fā)票。

      Any remaining or outstanding utilities and personal usage fees including but not limited to telephone fees or unpaid liabilities.The corresponding official invoice shall be provided by Party A to Party B within three days after such deduction.5.5 若根據(jù)本協(xié)議規(guī)定,甲方有權(quán)在乙方違約的情形下沒收該保證金的,則甲方應向乙方提供沒收保證金的書面收據(jù)。

      In the event that Party A is entitled to confiscate the Security Deposit due to the breach of Party B according to the stipulation hereunder, Party A shall provide Party B a written confirmation regarding such confiscation of the Security Deposit.甲方同意遵守以下條款和條件,否則視為甲方違反本協(xié)議:

      Party A agrees to abide by the following terms and conditions, otherwise Party A is in breach of this Agreement:

      6.1 甲方須負責該房屋各種結(jié)構(gòu)之維修費用,如屋頂、天花板、以及主干結(jié)構(gòu)包括墻壁等,并確保該房屋的主干結(jié)構(gòu)處于良好狀態(tài)。

      To be responsible for any repairs required to the roof, ceiling and main structure of the Property including walls, and to maintain these structures in good repair and condition at its own expense.6.2 待本協(xié)議簽署后,甲方需在交房日前按照本協(xié)議之附件四(該房屋內(nèi)家具與設(shè)備電器清單)提供配備家具與電器設(shè)備。

      To furnish the Property according to the Attachment 4(Furniture, Furnishings and Appliances Lists)before the handover date, after this Agreement has been signed by both parties.6.3 租賃期內(nèi),除乙方發(fā)生違約或不可抗力因素(包括自然災害襲擊或政府政策變動)外,甲方不得無故提前終止本協(xié)議,否則甲方除返還乙方支付的保證金(除第5.4.1條和5.4.2條所涉及內(nèi)容以外),還需以銀行電匯方式支付乙方人民幣

      Not to prematurely terminate this Agreement during the lease term, unless a breach or event of force majeure(including Acts of God or of government)has occurred.Should Party A terminate the lease prematurely without good cause then in addition to repayment of the Security Deposit paid by Party B(except as provided in Sec.5.4.i.And 5.4.ii), Party A agrees to wire transfer RMB

      to Party B as the penalty for such early termination of the Agreement.6.4 在租賃期內(nèi), 甲方所提供的家具或是家電由于質(zhì)量原因或是老損而導致其不能正常運作,甲方同意自擔費用為乙方進行維修或更換同等級別或以上的產(chǎn)品.If any appliances provided by Party A become broken or malfunction due to normal wear and tear during the lease term, Party A will be responsible for repair or replacement to the same standard of appliance or better at its own expense.6.5 租賃期內(nèi),甲方定期對房屋設(shè)備進行維修保養(yǎng)。甲方應保證租賃房屋及附件四所列之所有家具、設(shè)備和電器的使用安全,且應負責修理和維護租賃房屋和所有上述家具、設(shè)備和電器,并保證所提供的家具、設(shè)備和電器符合安全性能標準和具備正常使用功能。如需緊急修理,甲方在收到乙方通知后十二小時內(nèi)需安排人員進場查看和檢修,如遇等待專門的第三方維修工作或等待專用的設(shè)備零部件的情況,則維修的截止日期為維修工作或零部件到達日,費用由甲方負責(除乙方使用不當造成的維修)。

      During the lease term Party A shall be responsible on a regular basis for all maintenance and repairs of the Property.Party A shall guarantee the safety for the use of the Property and all the furniture, equipment and electrical appliances listed in Attachment 4.For emergency repairs, Party A should send someone to inspect the problem within 12 hours of having received notice from Party B.If awaiting repair work by a specialized third party or the delivery of specialized spare parts then the repair / delivery date becomes the due date.Party A shall be responsible for the repair payment at its own expense(except where the maintenance or repair is due to improper use by Party B).6.6 租賃期內(nèi),甲方和/或甲方所指定的代理人如需進入該房屋進行修理或維護、甲方需給予乙方居住人不少于24小時的預約通知,且不得影響乙方居住人的正常生活。除非任何一方認為情況緊急,應該安排甲方和居住人雙方都方便的時間進行修理。

      During the lease term Party B and the Occupant agree to give Party A and/or his appointed agent(s)access to the Property for repairs and maintenance as needed but without affecting the Occupant’s normal life.Intention to undertake such maintenance will be preceded with no less than __24__ hours prior notice from Party A to the Occupant(unless deemed more urgent by either Party)and shall be arranged at a time convenient for both Party A and the Occupant.6.7 如因該房屋內(nèi)的設(shè)備、設(shè)施發(fā)生故障,無法保證乙方正常居住,(因水、電、煤供應公司停止其服務(wù)及小區(qū)設(shè)備設(shè)施維護情形除外),且甲方收到乙方通知后三日內(nèi)仍無法完成修復的,在該等房屋修復或糾正期間,甲方應提供乙方(A)可替代的具有類似標準的全裝修并配置齊全的房屋,(B)服務(wù)式公寓或酒店(最高價值人民幣

      元/天)用于臨時居住。如在甲方收到乙方通知后14日內(nèi),所涉問題仍無法修復,乙方有權(quán)書面通知終止本協(xié)議且不承擔違約責任,甲方應自收到乙方發(fā)出的該等書面終止通知之日后5日內(nèi),不計利息全額返還乙方保證金。

      Because of the problems of the Property furniture and equipment, the Property becomes uninhabitable,(exclusive the problems of water, electric, gas companies stop service and complex equipment stop service), and Party A can’t fix the problems in 3 days after get notice from tenant, during the aforesaid problem fixing period, Party A should provide either(a)alternative fully fitted and furnished accommodation of a comparable standard , or pay for(b)serviced / hotel accommodation valued at maximum rmb

      per day while the Property is being repaired.If the Property is not repaired within 14 days after receiving the notice from Party B, Party B has the right to terminate the lease by serving a written notice without being held of and liabilities of breach of this agreement and Party A shall return the security deposit in full amount to Party B within 5 days upon receiving the termination notice of this agreement.6.8 甲方保留在本租賃期限內(nèi)出售本出租房屋的權(quán)利,但需提前60日向乙方發(fā)出書面通知,在此情況下乙方放棄對該物業(yè)的優(yōu)先購買權(quán),此時乙方有權(quán)選擇(1)終止本協(xié)議,甲方應把保證金全款退還(5.4條款涉及的情況除外)以及退還乙方已向甲方支付但尚未使用的租金;或者(2)選擇要求繼續(xù)履行本協(xié)議,甲方應確保新業(yè)主同意概括承受本協(xié)議項下剩余租賃期限內(nèi)甲方的所有權(quán)利及義務(wù),且甲方、乙方及新業(yè)主應當簽署三方轉(zhuǎn)讓協(xié)議,明確本協(xié)議項下乙方已向甲方支付但尚未使用的租金以及其他任何乙方已付未用費用,以及租賃保證金應當由甲方直接轉(zhuǎn)交至新業(yè)主,并由新業(yè)主向乙方開具新的租賃保證金收據(jù)。若前述三方轉(zhuǎn)讓協(xié)議未能簽署導致乙方無法繼續(xù)承租該房屋的,則甲方應賠償乙方由此遭受的全部損失,并雙倍返還保證金和所有已付未用的租金及其他費用給乙方。

      During the Lease Term, Party A reserves the right to sell the Property, provided a prior 60 days written notice is given to Party B.Under the above conditions, Party B forgoes priority to purchase the said property.Under this the situation, Party B shall have the right to choose to i)terminate the lease and Party A shall return Party B’s Security Deposit in full(except as provided in Section.5.4)and return any rental which has paid by Party B to Party A but not yet used;or ii)keep executing this Lease Agreement, then Party B shall ensure the new property owner agree to bear all rights and obligations of Party A during the remaining lease term under this Lease Agreement, and Party A, Party B and the new landlord shall enter into a tri-party transfer agreement, which shall clearly stating that all the Security Deposit in full and any rental and other fees which has paid by Party B to Party A but not yet used shall been directly transferred from Party A to the new landlord, and the new landlord shall issue the new receipt to Party B for the Security Deposit.If the aforesaid tri-party transfer agreement is not signed and Party B could not further lease the Premises, then Party A shall bear all the losses for Party B which incurred, and shall double return Party B the Security Deposit and return any rental and other fees which has paid by Party B to Party A but not yet used.6.9 如甲方自交房日起延遲交付乙方房產(chǎn)壹個月,則視甲方違約,甲方需歸還乙方租賃保證金和已支付的租金并另外再支付乙方與該保證金同等金額的賠償金。

      If Party A delays the property handover to Party B for more than one month from the due handover date, then Party A shall be deemed to have breached the contract, Party A should refund the rental Security Deposit, the rental already paid by Party B, and pay an amount equivalent to the Security Deposit to Party B as the penalty.乙方同意遵守以下條款和條件,否則視為乙方違反此協(xié)議:

      Party B agrees to abide by the following terms and conditions otherwise Party B is in breach of this Agreement:

      7.1 乙方承租房屋須按規(guī)定用途使用,不可用于規(guī)定以外不道德或不合法用途。

      To use the named property as per the usage stipulated above only and not to use the Property for any immoral or illegal purpose.7.2 乙方須全面遵守有關(guān)房屋管理公約,履行公約所規(guī)定的各項義務(wù),承擔違反公約所產(chǎn)生的責任,但前提是甲方應事先向乙方提供該房屋管理公約。

      Party B should abide by any rules and/or regulations of the building’s management, and be responsible for breaking the rules/regulations, provided that such rules and/or regulations shall be made available to Party B by Party A in advance.7.3 租賃期內(nèi),除乙方在給予甲方書面通知后,甲方?jīng)]有在前述6.7條約定的三天內(nèi)履行其應盡的修復義務(wù)之情況外,乙方在第2.1條規(guī)定的固定期內(nèi)不得無故提前終止本協(xié)議,否則甲方將有權(quán)保留乙方兩個月租金之保證金以作賠償,乙方仍須支付直到實際搬離日的未付租金,滯納金和公用事業(yè)費用及因乙方或居住人或乙方指定進入該房屋的人疏忽而導致的損壞所產(chǎn)生的費用(除正常損耗外)。

      Not to prematurely terminate this Agreement, unless a breach has occurred by Party A and has not conducted the reparation obligation within 3 days of written notice having been delivered to Party A stipulated in Article 6.7.Should Party B terminate the lease prematurely without good cause during the fixed lease term as specified in Clause 2.1 hereunder, then Party B shall forfeit the Security Deposit in full and will still be held accountable for the rent until the physical checkout date, late fees, utilities and costs for repairing any damages(except for normal wear and tear)accrued and/or caused by Party B, the Occupant or persons authorized by Party B or the Occupant to enter the Property.7.4 乙方不得擅自將房屋轉(zhuǎn)租給第三方,或與第三方合租、分租。若乙方需將該房屋轉(zhuǎn)租給Nike的關(guān)聯(lián)公司或其員工,需提前書面通知甲方并與甲方和新的承租方簽訂轉(zhuǎn)租協(xié)議。Party B shall not to sub-let or part with the possession of the named Property to another third party.However, Party B can assign the Property to an associated Party affiliated to Nike or its staff.In this case, Party B should provide Party A a prior written notice, and sign a transfer agreement with Party A and the new tenant.7.5 乙方不得在該房屋內(nèi),收藏政府違禁之物品,舉凡軍械、火藥、硫磺、汽油,及揮發(fā)性之化工原料,或有爆炸之危險物品,均不得陳放該房屋內(nèi)外任何地方,否則違反中國法律或地方律令,一切后果由乙方負責。

      Not to store arms, ammunition or unlawful goods, gun-powder, kerosene or any explosive or combustible substance at the named Property, and to be answerable and responsible for any consequence of any breach of local Ordinances or Chinese laws.房屋的使用要求Property Use Guidelines 8.1 乙方須正確使用該房屋內(nèi)甲方所提供之家具,裝置及設(shè)備, 確保退還時仍處于良好狀態(tài),正常損耗除外。

      Maintain the interior of the named Property, including all furniture, fixtures and fittings provided by Party A, such that the Property can be returned to Party A in good condition(but considering normal wear and tear)and state of repair as at commencement of the lease.8.2 乙方應采取所有合理預防措施來保護出租房屋的內(nèi)部設(shè)施以防其受到暴風雨(雪)和其它惡劣氣候條件的侵害,且一有此種惡劣氣候條件下,乙方即應采取適當行動,例如,包括但不限于所有的外部門窗鎖牢或關(guān)牢等。

      Party B shall take all reasonable precautions to protect the interior of the Property against damages from storms and other adverse weather conditions and shall, upon threat of such weather condition, take appropriate action, such as, but not restricted to, ensure that all exterior doors and windows are securely locked or closed.8.3 乙方應愛護并適當使用租賃房屋。如果由于乙方或乙方的任何雇員、代理、訪客或被邀請人對租賃房屋的不適當使用造成租賃房屋的任何損害或損失,乙方應及時通知甲方,甲方將安排修復該等受損財產(chǎn)。由此發(fā)生的合理費用由乙方承擔。

      Party B shall take care and make proper use of the Property.If Party B or any employee, agent, visitor or invitee of Party B has caused any damage or loss to the Property due to its improper use of the same, Party B shall immediately inform Party A, who will then arrange for repair of such damaged properties.The reasonable expenses incurred there from shall be borne by Party B.8.4 乙方居住人需通知甲方并在其協(xié)助下在房屋墻上掛畫或藝術(shù)品以保護墻面和藝術(shù)品并避免墻壁內(nèi)部電線和管道被破壞。

      Party B’s occupant should notify and allow Party A to assist in hanging pictures / artwork on the wall so as to minimize damage to(a)avoid damage to internal wiring and plumbing, and to(b)minimize damage to walls and paintwork.8.5

      遺棄物品Abandoned Items 當本協(xié)議到期時,乙方應將該物業(yè)連同本協(xié)議所有的附件中所列清單中的家具及設(shè)備歸還給甲方。除非甲方同意,任何該物業(yè)內(nèi)乙方遺留的物件,甲方可通知乙方將其清理,如通知后的五個工作日內(nèi)乙方仍未清理,甲方有權(quán)將其視為乙方遺棄之物品,可自行處理并有權(quán)從乙方所付之保證金中扣除因此而產(chǎn)生的合理費用。

      Party B shall return the Property, fixtures and fittings together with all items as detailed on the attachments of this Agreement to Party A when the Lease Term expires.Unless otherwise agreed by Party A, Party A shall notify Party B of any items left in the Property by Party B.If after 5 working days Party B has not removed these items then they shall be deemed to have been abandoned and Party A shall have the right to dispose of the items and deduct any reasonable costs for doing so from Party B’s Security Deposit.不可抗力Force Majeure 9.1 如由于出現(xiàn)不可抗力的情況包括但不限于,如遇地震、風暴、洪水,火災等自然災害襲擊,而使該房屋內(nèi)任何設(shè)施不能正常運行,或水、電、煤氣、冷暖氣供應中斷時,或房屋出現(xiàn)自然損壞,或由于結(jié)構(gòu)不穩(wěn)定而無法居住,則甲方不負任何責任。而乙方不用支付在此無法居住期間的租金直到該房屋修復為止。

      Should any part of the Property including its facilities or the building within which the Property is located, become damaged or destroyed by force major, including but not restricted to storm, earthquake, flood, fire or should the Property or the building within which the Property is located, be found to be structurally unstable or illegal, Party A shall not be responsible, and Party B is not liable for any rental from that point onward until the building is again fit for habitation.書面通知

      Written Notice 10.1 與本協(xié)議有關(guān)的任何通知可以書面文件形式郵寄或傳真或電子郵件至附件三所示之另一方地址。通知收到時間以書面通知郵件寄出后或掛號信或快遞方式寄出至指定地址之日起5天內(nèi)視為送達。任一方有權(quán)變更郵寄地址或傳真號碼,但須提前5天通知另一方。

      Any notice under this Agreement shall be in writing, in Chinese and English, and shall be delivered by mail, fax or email to the address of the other Party set forth in Attachment 3.Notices shall be deemed given after the written notice has been sent via email or 5 days after the written notice has been sent by either EMS or Registered Post.Both Parties have the right to change the mailing address or facsimile number providing they give 5 days notice.附件

      Attachments 11.1 所有關(guān)于本協(xié)議的附件、附加條件、修正及修改條款都必需經(jīng)過甲乙雙方的正式授權(quán)代表人協(xié)商同意并簽字。經(jīng)過甲乙雙方協(xié)商簽字的部分是本協(xié)議不可分割的組成部分,擁有本協(xié)議同樣的法律效應。

      All annexes, attachments, amendments, supplements and alterations to this Agreement shall be made in writing and signed by the duly authorized representatives of both parties upon the agreement reached between both parties through consultations.They shall form integral parts of this Agreement and have the same force as this Agreement itself.仲裁Arbitration 12.1 任何有關(guān)于此協(xié)議的不同意見及爭議,雙方都應盡可能協(xié)商解決。如有任何異議,任何一方應盡快書面通知另一方,以便及時更改本協(xié)議及解決問題。

      Any differences or disputes arising from this Agreement or from agreements regarding its performance shall be settled by an amicable effort on the part of both parties to this Agreement.An attempt to arrive at a settlement shall be deemed to have failed as soon as one of the parties to this Agreement notifies the other party in writing.12.2 如果甲乙雙方無法在30天內(nèi)就爭議達成一致,任何一方均可將該爭議提交給中國國際經(jīng)濟貿(mào)易仲裁委員會上海分會由仲裁庭任命獨任仲裁員予以裁決,仲裁裁決為終局。

      Failed to reach an agreement within 30 days, either party shall have the right to submit the case to China International Economic and Trade Arbitration Commission Shanghai sub-commission(“CIETAC”)for arbitration by a sole arbitrator appointed in accordance with the rules.The Award shall be final.12.3 仲裁和開庭地點應為上海。如果仲裁規(guī)則沒有規(guī)定,則適用中華人民共和國程序法。仲裁語言為中文。

      The place of arbitration shall be Shanghai.The procedural law of the PRC shall apply where the rules are silent.The language of the arbitration shall be Chinese.12.4 仲裁者應出示書面仲裁結(jié)果,仲裁委員會應決定關(guān)于因仲裁而發(fā)生的費用。

      The arbiter’s award shall be substantiated in writing.The arbitration tribunal shall decide on the matter of costs of the arbitration.協(xié)議終止

      Termination of Agreement 13.1 雙方同意在本協(xié)議到期時自動終止,若雙方希望續(xù)約,可簽訂新書面協(xié)議。

      Both parties agree that this Agreement will be automatically terminated on its expiration, and both parties shall enter into a new written agreement if they so wish.13.2 如甲、乙雙方任何一方不再續(xù)租本協(xié)議,在租賃期的最后兩個月內(nèi)乙方居住人需允許甲方或其授權(quán)代理人帶領(lǐng)有意向的租客或購買者看房。甲方須至少提前24個小時給居住人通知且不影響居住人的正常生活。

      If either Party A or Party B does not intend to renew the Agreement, during the last two months of the Lease Term Party B’s occupant agree to enable Party A and/or his appointed agent(s)to show the said premises to prospective tenants or purchasers.Intention to undertake such viewing will be preceded with no less than 24 hours notice from Party A to the Occupant, but without affecting the Occupant’s normal daily life.續(xù)簽新租賃協(xié)議

      Renewal of Agreement 14.1 甲方同意授予乙方第 二 年的優(yōu)先承租權(quán)。乙方需在本協(xié)議到期日前二個月內(nèi)以書面形式通知甲方是否續(xù)租。若乙方提出續(xù)租,則雙方可以重新商討租賃協(xié)議條款和租金,Party A agrees to give Party B first right of refusal should Party B want to renew the lease for a second year.Party B agrees to give Party A no less than(2)months written notice prior to the expiration of this lease should Party B intend to renew the lease for a further period.If such an offer is made to Party A then it is agreed that the conditions and rental can be negotiated between the two Parties, who will then enter into a new written contract.14.2 除甲方同意乙方續(xù)租外,乙方應在本協(xié)議的租期滿后的退房日返還該房屋,未經(jīng)甲方同意,逾期返還該房屋的,自退房日起,乙方應按人民幣3420天向甲方支付該房屋占用費。Except in the instance when Party A agrees for Party B to renew this Agreement, Party B shall return the Property at the date for check out following the expiration date of the lease term.In case Party B fails to return the Property at the date for check-out without Party A’s consent, Party B shall pay RMB3420(double the average daily rental)per day for the occupation fee of the Property beyond such date for check-out.協(xié)議 Agreements 15.1 本協(xié)議一式四份,甲方和見證方各執(zhí)一份,乙方執(zhí)二份。

      This Agreement shall be written in English and Chinese.In the event of any inconsistency between the English and Chinese versions, the Chinese version shall prevail as the official version.15.3 本租賃協(xié)議表示雙方對此房屋目前出租的情況完全的理解,同意。本協(xié)議將不被修改或只在書面契約下由雙方進行適當?shù)匦薷摹H绻虾S嘘P(guān)政府機關(guān)要求任何的標準租賃協(xié)議,本協(xié)議將為標準租賃協(xié)議的補充并以本協(xié)議為準,本協(xié)議附件是本協(xié)議不可分割的組成部分。This Agreement represents the entire understanding and agreement between the parties hereto relating to the lease of the Property.This Agreement shall not be amended or otherwise modified except by a written instrument duly executed by both Parties.In case any standard lease form is required by the relevant government agency in Shanghai, this Agreement shall supplement and prevail over that standard lease form.The attachments shall form integral parts of this Agreement.15.4 甲乙雙方應各自承擔與本租賃協(xié)議有關(guān)的印花稅。

      5).定期花園維護費用Garden maintenance fee.;

      2.起租日之前,甲方負責完成以下1-10事項:

      Party A shall be responsible for completing tasks 1-10 below prior to the rent commencement date:

      1)甲方提供2兆(或以上)ADSL寬帶上網(wǎng),提供無線路由器2個。安裝費由甲方承擔。每月使用費由乙方自理(實際產(chǎn)生的費用依據(jù)電信公司的簽發(fā)的賬單)。

      One 2M(or above)ADSL wireless broadband line, 2 sets of wireless router shall be provided by Party A.The installation fee shall be paid by Party A, monthly usage fee shall be paid by Party B(for the actual usage bill refer to the telephone company bill).2)開通帶國際電話功能的電話線一條,安裝費由甲方承擔,每月使用費由乙方自理(實際產(chǎn)生的費用依據(jù)電信公司的簽發(fā)的賬單)。

      One IDD line shall be provided by Party A.The installation fee shall be paid by Party A, monthly usage fee should be paid by Party B(for the actual usage fee refer to the bills issued by telephone company).3)安裝有線及英文頻道衛(wèi)星電視。如果政府機構(gòu)或小區(qū)內(nèi)房屋要求拆除該衛(wèi)星電視,甲方不被視為違約。另如果該系統(tǒng)無法觀看且不在甲方控制之內(nèi)的情況下,甲方也不被視為違約。

      Install local cable TV and English channels satellite TV.If the government or property management requests the removal of the satellite system, Party A is not in breach of contract.Also, if the system is stopped due to circumstances out of Party A’s control, Party A is not in breach of contract.4)

      安裝全屋凈水系統(tǒng)并定期更換濾芯;

      Install water filter system for whole house and change the filter regularly,5).花園中央水池用木地板封蓋;

      Close the water feature and make one big(flat)area in wood that the children can play on.6)

      地下室安裝空調(diào),并確保陽光房和地下室之間的玻璃窗可以打開至少50%。

      Install windows in the basement that open for at least 50% so that air can flow from basement to the sunroom.7)全屋安裝全套窗簾、防蚊紗窗。Install curtains and mosquito screen for the whole house.8)

      清理花園并重新鋪草坪;Remove all debris and re-turf the garden.9)入住前做好全屋清潔及維修養(yǎng)護,地板拋光打蠟、空調(diào)濾網(wǎng)清洗等;確保所有家具家電工作正常。

      Completely clean the whole house, clean the air condition system, polish the floor.Make sure all the furniture and appliances in good working condition.3.起租日前搬出除書房家具(書桌、單人沙發(fā)、書柜各一個)外的所有家具,提供以下電器:

      Remove all current furniture except study room furniture(one study table, one single sofa and one cabinet), and provide electric appliances including:

      1)客廳提供一臺42寸以上,合格品牌電視

      Living room: provide a TV and to be wall mounted.(42″up).2)廚房提供飲水機,微波爐,烤箱,洗碗機,冰箱,灶具和脫排油煙機各壹臺;

      Kitchen: provide 1 set of drinking water dispenser, microwave, oven, dishwasher, stove and exhauster, refrigerator.3)洗衣房: 提供帶干衣功能洗衣機壹臺 Laundry: provide 1 washer with Dryer function.4.為了保護房屋內(nèi)的設(shè)備設(shè)施,地板及家具等固定資產(chǎn),乙方不得在所租房飼養(yǎng)寵物及家禽、家畜等

      In order to protect the furniture appliances and wood floor etc.Party B is not allow to have any pets, poultries.5.陽光房屋頂露臺區(qū)域:為了安全考慮,甲方已對該區(qū)域安裝柵欄進行封閉,該區(qū)域只允許成人進入,任何情況下,不得允許其小孩進入,否則甲方不承擔任何可能產(chǎn)生的一切后果,租客本人自行承擔所有風險。

      The outdoor terrace above the sunroom, for safety, landlord will install a fence to close it, only adults are allowed to enter in but not the kids.The tenant will take the risk by itself if the kids enter in this area by mistake.6.書房門通往的露臺區(qū)域:租客本人須一直保持書房與露臺連接的門處于鎖閉狀態(tài)并保存好該門鑰匙不得允許任何未成年人進入該區(qū)域;否則,乙方租客須對任何由于未成年人進入該區(qū)域而產(chǎn)生后果負責。

      The outdoor terrace connects to the study room: the adults should keep this door locked and the keys always and not allow kids to enter in.The tenant will take the risk by itself if the kids enter in the outdoor area by adult’s mistake.7.合同起租日前,甲方須完成如下準備工作:開通熱水、電、煤氣、電話及寬帶,搬出家具,封閉花園內(nèi)水池,全屋清潔。

      Landlord should make everything ready before that, which includes: the hot water, electricity, gas, telephone and internet, removes the furniture, the cleaning of the house, close the pool in the yard

      8.如起租日前甲方未能完成全部花園整修工作,乙方允許甲方在租客入住后繼續(xù)在花園內(nèi)進行整修,并予以配合

      Regarding the work in the garden, landlord will try to speed up it but can’t promise it could be complete before Oct 15th.Tenant agrees to cooperate with the following job after moves in.9.一樓的窗簾及客房的一扇壁櫥門:如甲方不能在起租日前完成,乙方無異議。

      The curtain on 1st floor and one cabinet door in the guest room, landlord has arranged the supplier to make it, but can’t promise it could be complete before Oct 15th.10.如遇房屋問題,乙方可先與甲方指定聯(lián)系人:港聯(lián)物業(yè)相關(guān)物業(yè)顧問取得聯(lián)系.During the lease term, if there is any problems with the house, Party B should inform the consultant of Asia Asset first whom is assigned as the contact person by Part A.附件二Attachment 2 甲方將提供經(jīng)其本人簽字確認的該房屋的產(chǎn)權(quán)證和個人身份證復印件。

      Party A will provide copy of personal ID and the ownership of Property which all with his/her signatures.乙方將提供營業(yè)執(zhí)照復印件和居住人護照復印件。

      Party B will provide copy of business license and the Occupant’s passport copy.
