      1.Rights and Obligations of Party A 2.甲方權(quán)利及義務(wù)

      7.1 Party A hereby guarantees that Party A is the legal owner and has the right to lawfully lease the Premises.Otherwise, Party A shall bear the legal liability arising therefrom in full.7.1 甲方保證是項(xiàng)目合法的擁有者,其有權(quán)合法出租該單元,否則產(chǎn)生的法律責(zé)任均由甲方承擔(dān)。7.2 Party A hereby guarantees that the Premises is housing that has been developed, constructed and completed legally.The Premises has not been sold on the signature date of this Contract, and it does not exist other legal impediments which may affect the performance of this Contract.7.2 甲方保證該單元是合法開發(fā)建設(shè)完成的房屋,本合同簽訂時(shí)該單元尚未對外銷售,也不存在影響本合同履行的其它法律障礙。

      7.3Party A hereby guarantees that Party B shall have the right to occupy and enjoy the Premises peacefully throughout the Term without any interruption by Party A or its agents, provided that Party B has paid the rent and other fees hereunder and complies with the terms and conditions to be performed by Party B under this Contract.7.3 甲方保證在租期內(nèi),乙方將有權(quán)平靜地占有和享用該單元,不會受到甲方或甲方代理人的干擾,但前提是乙方支付了本合同規(guī)定的租金和其它費(fèi)用,并遵守和履行了本合同規(guī)定的應(yīng)由乙方遵守和履行的條款。7.4 Party A has the right to terminate this Contract unilaterally upon occurrence of any of the following to Party B: 7.4 乙方出現(xiàn)下列任何情況時(shí), 甲方有權(quán)單方解除本合同。

      7.4.4 sub-lets the Premises or parts of the Premises to others, transfers the Premises to others or uses the Premises jointly with a third party without the consent of Party A.7.4.4未征得甲方同意, 擅自將該單元或該單元的部分轉(zhuǎn)租、轉(zhuǎn)讓給第三方或與第三方共同使用。7.5 Party B agrees to waive its right of first refusal in respect of the Premises voluntarily and unconditionally during the Term.During the Term, Party A shall be free to transfer the Premises to any third party, provided that such transfer shall not prejudice Party B’s rights to occupy, control and use the Premises in accordance with the terms and conditions of this Contract.If Party A transfers the Premises to a third party, such third party shall continue to enjoy and bear all rights and obligations of Party A under this Contract.Party B undertakes to cooperate in full with Party A in handling the relevant formalities to sell and hand-over of the Premises.Party B’s failure to cooperate for the hand-over shall not affect the assumption of the rights and obligations of this Contract by the new owner.Party B shall pay rent to the new owner in accordance with this Contract after receipt of Party A’s notice, otherwise Party B shall bear the liability for breach of contract and late payment under this Contract.7.5在租期內(nèi),乙方自愿無條件放棄該單元的優(yōu)先購買權(quán)。在租期內(nèi),甲方有權(quán)自由轉(zhuǎn)讓該單元予任何第三方,但是該轉(zhuǎn)讓不得影響乙方根據(jù)本合同的條款和條件占有、控制和享用該單元的權(quán)利。若甲方將該單元出售予第三方,第三方將繼續(xù)享有和承擔(dān)甲方在本合同項(xiàng)下的所有權(quán)利和義務(wù)。乙方承諾充分配合甲方辦理該單元的出售及交接手續(xù),不影響新業(yè)主開始繼受出租方在本合同項(xiàng)下的權(quán)利義務(wù)。乙方須在接到甲方通知之日起按本合同向新業(yè)主支付租金,否則須承擔(dān)本合同項(xiàng)下的逾期付款違約責(zé)任。1.Rights and Obligations of Party B 2.乙方權(quán)利及義務(wù)

      8.1 Party B is entitled to occupy and use the Premises reasonably and legally during the Term provided that it strictly complies with the terms and conditions of this Contract.8.1 如果乙方嚴(yán)格遵守本合同的各項(xiàng)條款, 則乙方有權(quán)在租賃期內(nèi)合理、合法占用和使用該單元。8.2 Party B shall pay rent and the expenses of electricity, water, gas, telephone, ID long distance call incurred at the Premises and the service fee of other specific facilities provided for Party B on time(other than the written agreement between the parties).8.3 乙方須按時(shí)繳付租金以及該單元的電費(fèi)、水費(fèi)、煤氣費(fèi)、電話費(fèi)、IP主叫長話費(fèi),以及供乙方使用的其他專門設(shè)施的服務(wù)費(fèi),(甲、乙雙方另有書面約定除外)。

      8.4 Party B shall keep the internal part of the Premises in clean and good condition and shall prevent damage, pollution and fire, etc.It shall have the duty to supervise his visitors and friends to protect the property of Party A or the public facility of this compound.If there is any damage caused to Party A, other owners or lessees of this compound or the public facility of compound due to Party B’s reason, Party B shall compensate for the losses arising therefrom.8.4 乙方應(yīng)負(fù)責(zé)該單元內(nèi)部的整潔完好,防止破壞、污染、火災(zāi)等事故,并有責(zé)任監(jiān)督來訪的客人及朋友愛護(hù)甲方的物品,以及小區(qū)的公共設(shè)施。如由于乙方的原因,給甲方其他業(yè)主和租戶或該小區(qū)的公共設(shè)施造成損害時(shí),乙方必須賠償損失。1.Termination of Contract 2.合同的終止

      9.1 Upon occurrence of any of the event prescribed under Article 8.4, Party A is entitled to unilaterally terminate this Contract without the need to issue any notice requesting for rectification of the breach.9.1 第8.4條所規(guī)定的任何情形發(fā)生時(shí),甲方有權(quán)單方直接終止本合同而無需發(fā)出糾正通知。

      9.2 The parties may terminate this Contract early by reaching a written agreement through consultation.9.2 甲、乙雙方經(jīng)協(xié)商,可達(dá)成書面協(xié)議提前終止本合同。

      9.3 If either party cannot perform this Contract due to the occurrence of any force majeure events(such as earthquake, storm, hail and fire)which cannot be predicted or the occurrence and consequence of which cannot be avoided, the party who experience the force majeure event will be exempted from liability for failure to perform relevant obligations of this Contract(save for payment obligations).9.3 因發(fā)生地震、暴雨、冰雹、火災(zāi)等其他不能預(yù)見的,其發(fā)生和后果不能防止或避免的不可抗力致使任何一方不能履行本合同時(shí),遭受不可抗力的一方可免除未能履行本合同項(xiàng)下相關(guān)義務(wù)的責(zé)任(付款義務(wù)除外)。

      10.1 Any party who breaches this Contract shall compensate for any economic loss caused to the other party due to the breach.If the economic loss is due to default of both parties, both parties shall bear respective liability for breach in accordance with the circumstance.10.1任何一方有違反本合同的行為,應(yīng)就違約行為給對方造成的經(jīng)濟(jì)損失進(jìn)行賠償。如果屬于雙方的過失,應(yīng)根據(jù)情況,由雙方分別承擔(dān)違約責(zé)任。

      (3)、租金中未含冬季取暖費(fèi),冬季取暖費(fèi)由乙方按照供熱機(jī)構(gòu)之規(guī)定,繳納給甲方。

      (4)、租賃期內(nèi),乙方同意向甲方交付一切與租賃房屋有關(guān)其他費(fèi),包括水費(fèi)、電費(fèi)、衛(wèi)生費(fèi)。該等費(fèi)用的標(biāo)準(zhǔn)按照收取該等費(fèi)用的有關(guān)機(jī)構(gòu)確定的標(biāo)準(zhǔn)執(zhí)行。3.3保險(xiǎn)責(zé)任承擔(dān)

      所有權(quán)不屬于乙方的房屋和設(shè)備、設(shè)施,其保險(xiǎn)責(zé)任歸所有權(quán)人。所有權(quán)屬于乙方的設(shè)備、設(shè)施和經(jīng)營責(zé)任,其保險(xiǎn)責(zé)任歸乙方。

      4、房屋用途

      4.1租賃房屋僅限作為乙方合法經(jīng)營場所之用。乙方須嚴(yán)格遵守中國制定的有關(guān)租賃房屋及乙方在租賃房屋內(nèi)進(jìn)行其業(yè)務(wù)的政策和法規(guī)。除非事先得到甲方的書面同意,否則乙方不得擅自變更租賃房屋的用途。

      4.2甲方有義務(wù)保證乙方在本合同存續(xù)期間,按本合同確定的使用用途,正常使用租賃房屋和相應(yīng)設(shè)施。4、3合同期間,經(jīng)通知甲方,乙方有權(quán)在合法的前提下以其認(rèn)為合適的規(guī)格、形式等懸掛(或不懸掛)其名稱標(biāo)牌、商標(biāo)標(biāo)志或服務(wù)標(biāo)志。

      5、租賃房屋的裝修及維護(hù)

      5.1租賃期內(nèi),租賃房屋的裝修費(fèi)由乙方自行承擔(dān)。合同期內(nèi),乙方投資于租賃房屋或?yàn)槭棺赓U房屋具備、維持正常使用功能及滿足商業(yè)經(jīng)營特殊需要而投入的裝修、設(shè)備及其他附屬物、附著物之所有權(quán)屬于乙方。合同解除后,能移動(dòng)并不破壞房屋外觀及內(nèi)部結(jié)構(gòu)的部分由乙方拆起。

      5.2乙方的裝修方案應(yīng)經(jīng)過甲方書面同意后,方可按照有關(guān)規(guī)定實(shí)施。

      5.3乙方對租賃房屋的任何改建均需得到甲方的書面許可。5.4租賃期間內(nèi),甲方負(fù)責(zé)租賃房屋的定期檢查和維修并承擔(dān)費(fèi)用,包括自然損壞造成的維修責(zé)任。

      5.5甲方在暫?;虿粫和W赓U房屋內(nèi)任何設(shè)施的使用的情況下進(jìn)入租賃房屋進(jìn)行維修,但應(yīng)事先征得乙方同意。緊急情況下,甲方可在沒有任何通知的情況下,為了保安、消防和搶修租賃房屋,甲方和其授權(quán)人有權(quán)不經(jīng)乙方損失,否則甲方負(fù)責(zé)賠償,法定緊急避險(xiǎn)情況除外。

      6、甲方的陳述與保證

      6.1保證其作為本合同簽約人依法成立、依法存續(xù),具備簽訂本合同的主體資格。

      6.2保證對本合同租賃房屋擁有合法的所有權(quán)和以出租方式進(jìn)行處置的權(quán)利,不存在任何形式的權(quán)利瑕疵。

      6.3保證租賃房屋具備出租的合法條件,并保證該合法條件在合同期內(nèi)持續(xù)存在。

      6.4根據(jù)乙方要求及時(shí)提供與本合同履行有關(guān)的資料和法律文件。

      7.乙方的陳述與保證

      7.1及時(shí)、足額地繳付本合同規(guī)定的租金及相關(guān)費(fèi)用及其他一切費(fèi)用。

      7.2未經(jīng)甲方同意,不得將租賃房屋內(nèi)的設(shè)備進(jìn)行改造、增設(shè)或拆除,改變房屋內(nèi)結(jié)構(gòu)不得改變租賃房屋的用途。7.3保持租賃房屋內(nèi)部清潔完好,乙方對所租房間的損害,以及對乙方或其客人造成的公用地段的損害,甲方修復(fù)時(shí)的費(fèi)用由乙方如數(shù)繳付。

      7.4在暴風(fēng)大風(fēng)等惡劣天氣來臨之前采取一切適當(dāng)措施,保護(hù)租賃房屋的內(nèi)部不受損害。

      7.5如乙方不履行或違反本合同的任何條款、規(guī)定或條件,而使租賃房屋遭受損失,被罰款或造成甲方的其他支出,在甲方開出單據(jù)的五天內(nèi),乙方應(yīng)如數(shù)補(bǔ)償或賠償甲方。7.6不得在租賃房屋存放,也不允許他人存放武器、彈藥、硝石、火藥、火油或其他易爆易燃違法危險(xiǎn)物品。7.7不得在租賃房屋內(nèi)進(jìn)行,允許、默認(rèn)任何可能對甲方造成損害的活動(dòng)。

      7.8不得在租賃房屋內(nèi)進(jìn)行或允許他人進(jìn)行有悖社會或行業(yè)道德的活動(dòng)。

      7.9乙方在經(jīng)營期間必須投保。7.10未經(jīng)甲方書面同意乙方不得轉(zhuǎn)租。

      8.合同終止與解除

      8.1本合同于有效期滿之日終止。

      8.2依本合同規(guī)定或法定條件成就時(shí),從合同終止或者解除之日起一周內(nèi),乙方應(yīng)騰空房屋并完整的向甲方交回房屋租賃房屋的鑰匙,如違此約定甲方有權(quán)處置房內(nèi)任何物品。8.3租賃期內(nèi),如因不可抗力(且不可抗力延續(xù)兩個(gè)月),法律政策變化以及政府城市規(guī)劃等原因致使合同無法履行,則本合同可以終止。但受上述事件影響的一方應(yīng)當(dāng)在上述事件發(fā)生之日起15日內(nèi)通知另一方,甲、乙雙方互不承擔(dān)任何法律責(zé)任。

      8.4因甲、乙雙方任何一方違約而解除合同,如果違約方在收到守約方一書面糾正通知后15日內(nèi)未進(jìn)行任何補(bǔ)救措施或與守約方達(dá)成新的協(xié)商安排,則守約方可以隨時(shí)向違約方發(fā)出解約的通知,解約通知自送達(dá)違約方之日起生效。守約方有權(quán)向違約方追討由此引致的全部損失及開支。

      9、通知與聯(lián)絡(luò)9、1雙方各指定本合同文首列明的聯(lián)系人負(fù)責(zé)收發(fā)相關(guān)通知、就本合同履行相關(guān)事宜傳遞信息并進(jìn)行必要的協(xié)調(diào)。9.2如果本合同聯(lián)絡(luò)人發(fā)生變更,變更一方應(yīng)及時(shí)將變更后的人員及聯(lián)系方式書面通知對方。任何一方在未收到前述人員變更通知前按照原來的聯(lián)絡(luò)人及聯(lián)系方式發(fā)出的相關(guān)通知均為有效通知。

      9.3除本合同對有關(guān)通知事項(xiàng)已有約定外,任何一方發(fā)生法定代表人、名稱、住所、企業(yè)組織形式等的變更,或發(fā)生合并、分立、并購、破產(chǎn),或發(fā)生租賃房屋查封、扣押、監(jiān)管、變賣、拍賣及其他可能影響本合同履行的任何事項(xiàng),均應(yīng)本著誠實(shí)信用的原則及時(shí)通知對方,履行法定通知義務(wù)。

      10.征用及不可抗力

      10.1由于政府征用土地因素導(dǎo)致本合同被迫終止時(shí),本合同則自政府征用之日起終止執(zhí)行,但乙方應(yīng)支付自起租日始至政府征用日止的租金及相關(guān)費(fèi)用。若部分所租賃房屋被政府租用,則甲、乙雙方均有權(quán)在一個(gè)月內(nèi)以書面形式通知對方取消或終止本合同。

      10.2不可抗力是指嚴(yán)重自然災(zāi)害及其他本合同雙方在訂立本合同時(shí)人力不能預(yù)見,其發(fā)生或后果不能避免且不能克服的事件。在本合同履行過程中,由于發(fā)生戰(zhàn)爭、洪水、臺風(fēng)、地震或其他人力不能控制等不可抗力事件,致使任何一方無法履約后發(fā)生不可抗力的,遲延履約一方不能免除責(zé)任。遭受不可抗力一方在不可抗力事件發(fā)生后的15天內(nèi),應(yīng)向另一方出具經(jīng)不可抗力發(fā)生地公證機(jī)構(gòu)公證的有關(guān)權(quán)威部門的證明。不可抗力事件消除后,由雙方協(xié)商確定是否恢復(fù)對本合同的繼續(xù)履行。發(fā)生不可抗力,對于事故前雙方發(fā)生的經(jīng)濟(jì)上的義務(wù)不受影響。

      11.違約責(zé)任

      11.1甲、乙雙方任何一方有違反本合同的行為,應(yīng)就違約行為給對方造成的進(jìn)行承擔(dān)賠償責(zé)任。如屬雙方的過失,應(yīng)根據(jù)情況,由甲、乙雙方分別承擔(dān)違約責(zé)任。

      11.2如乙方未能按本合同規(guī)定支付租金乙方責(zé)任如下:(1)從違約之日起,房租加價(jià)10%,直至乙方搬出日為止。(2)從違約之日起,甲方可以單方解除本合同或變更本合同。

      12.爭議的解決

      12.1本合同之訂立、效力、解釋、履行及爭議的解決均適用中華人民共和國法律。如甲、乙雙方中任何一方有違約行為,另一方可以書面形式通知其糾正,并進(jìn)行友好協(xié)商,解決違約問題。

      12.2協(xié)商不成的,任何一方有權(quán)向租賃房屋所在地有管轄權(quán)的中國人民法院提起訴訟。

      13.附則:

      13.1合同有效期限內(nèi),如任何一方由于改制、合并、分立等發(fā)生變更,則由變更后的主體承繼該方在本合同項(xiàng)下之各項(xiàng)權(quán)利義務(wù)。13.2本合同的任何修改均應(yīng)經(jīng)雙方同意,并制作書面協(xié)議經(jīng)甲方和乙方雙方法定代表人或授權(quán)的委托代理人簽字并加蓋公章后方為有效。

      13.3本合同未盡事宜,甲、乙雙方可簽訂補(bǔ)充協(xié)議,補(bǔ)充協(xié)議與本合同具有同等法律效力。如該等補(bǔ)充協(xié)議與本合同有不一致之處,以該等補(bǔ)充協(xié)議有關(guān)規(guī)定為準(zhǔn)。

      13.4任何一方對另一方違反合同的態(tài)度或疏忽都不應(yīng)視為其放棄權(quán)利。任何一方放棄本合同各項(xiàng)條款規(guī)定的任何權(quán)利,只能以該方書面簽字為準(zhǔn)。

      13.5本合同及附件正本一式

      4.1 the premises shall be only used as the legal business place of Party B.party B shall strictly comply with Chinese polices and regulations which govern the rented houses and undertaking activities in the houses.Unless obtaining the party B’s acknowledgement in writing, party B shall not change the purpose of the use of the premises without authorization.4.2 Party A shall be responsible to guarantee that party B utilizes the premises and relevant facilities in accordance with the purpose set out in the agreement during the terms of the agreement.4、3 Party B shall be entitled to legally hang(or not to hang)Party B’s name, sign of its trademark or service marks with the size and format decided by its own during the terms of the agreement by sending Party B a notice.decoration and repair of the premises

      5.1 party B shall be responsible for the costs and expenses of the decoration during the lease terms.The ownership of decoration, facilities, other annexes and fixed objects invested by Party B in the premises in order to carry on meet its specific business belong to Party B.After the termination of the agreement, Party B may remove the parts which are removable and of whose the backout is harmless to the appearance and main structure of the house.5.2 the decoration design to be carried out by Party B shall be approved by Party A in writing.5.3 any rebuild of the rent house to be carried out by Party B shall be approved by Party A in writing.5.4 Party A shall be responsible for the regular examination and maintenances of the premises and bear the expenses and costs incurred from them including the expenses of the repair of losses in the normal process of utilization.5.5 Party A shall first obtain the permission of Party B in order to enter into the rented premises for repair, regardless the conditions of facilities of the premises.However, in emergency, party A shall have rights to enter into the premises without any notices to party B for the sake of safety, fire control and urgent repair of premises.Otherwise, party A shall be responsible to compensate party B’s losses, unless emergency actions taken to avoid danger is involved.6.Presentation and guarantee of Party A

      6.1 Party A guarantees that it was duly incorporated under the laws and legally exists and possesses full power and authority to enter the agreement.6.2 Party A guarantees that it has the legal ownership of the rented premises and possesses the rights to lease it without any flaws in rights.6.3 party A guarantees that all legal requirements in connection with the rented premises are satisfied and still remain during the terms of the agreement.6.4 Party A may provide relevant information and legal documents in connection with the fulfillment of the agreement upon the request of Party B.7.Presentation and guarantee of Party B

      7.1 Party B shall fully pay the rental and any relevant fees set out in this agreement in due time.7.2 Party B shall not change and install or remove facilities in the rented premises and shall not change the indoor structure and the purpose of the use of the premises.7.3 Party B shall keep the premises clean and be responsible for the damages which are caused by Party B and damages of public areas caused by Party B and/ or Party B’s clients.Party B shall bear the repair fees for the repair engaged by Party A.7.4 Party B shall assure to take suitable methods to protect the indoor of the premises from damage before bad weather such as windstorm and gale.7.5 In the case that Party B refuses to fulfill or breach any terms or conditions under this agreement and that Party B’s behavior causes damage to the premises or fine, Party B shall compensate party B’s losses.7.6 Party B shall not deposit and/or allow third parties to deposit weapons, ammunition, saltpeter, powder, kerosene or any other flammable and explosive articles in the premises.7.7 Party B shall not carry out and/or allow and tolerate any activities which probably cause damage to Party A in the premises.7.8 Party B shall not carry out by itself and/or allow others to carry out activities which violate the social morality and trade ethic.7.9 Party must purchase the insurance during the terms of its operation.7.10 without the written approval of Party A, Party B shall not sublease the premises to any thirty parties.8.Dissolution or termination of this agreement

      8.1the agreement shall be terminated at the date of the expiration of the agreement.8.2 in accordance with provisions of the agreement or conditions set out by law, Party B shall empty out the premises deliver it to Party A , and return all the keys of the premises within one week from the date of the dissolution or termination of this agreement.In the case that party B violates the foregoing rule, Party shall have the rights to dispose any items left in premises.8.3 the agreement may be terminated due to force majeure(which continues for a consecutive period of 2 months), changes of legal polices and town planning and etc.however, where the Party who is affected by the foregoing events shall give the other party a notice within 15 days from the occurrence of such events, both parties are free from any legal responsibilities.8.4 either party shall have the right to terminate with immediate effect at any time by giving termination notice thereof to the other party if such default is not cured within 15 days following the serving of the notice by the party honoring the contract or no agreement is reached between defaulting party and the party honoring the contract.the defaulting party the agreement due to the breach of the agreement.The party honoring the contract has rights to claim losses and costs arising from contractual breach to the defaulting party.9.Notice 9、1 both parties shall assign contact persons set out at the beginning of this agreement who are in charge of the serve and receipt of notice, communication in connection with the fulfillment of the agreement and engagement of necessary coordination.9.2 in the case that any change of the contact persons is occurred, the party who makes the change shall serve notice of new contact to the other party.Any notice delivered to the original contact persons shall be deem valid before the receipt of the notice of change contact.9.3 In the case that either party changes the legal representative, name, domicile, and the status of company, or becomes subject to the merger, dissolution, bankruptcy, or that the premises are subject to seize detain, auction and sale or etc, unless it is otherwise prescribed by the agreement, a notice shall be promptly served to the other party in good faith.10.Confiscation and Force Majeure

      10.1 the termination of the agreement is subject to the expropriation of land, the agreement shall be terminated as of the date of the expropriation.However, Party B is responsible to pay the rental from the first date of the terms of the agreement to the date of the expropriation.Where the part of premises is expropriated by government, either party shall have respective rights to terminate the agreement within one month by sending Witten notice to the other party.10.2 Force Majeure means occurrence of serious natural disasters and any events which are inevitable and unconquerable and are beyond reasonable control of the party.During the terms of the agreement, any parties are not able to perform the agreement due to war, flood, typhoon, earthquake and other Force Majeure events that are beyond reasonable control of human.11.Default liabilities
