貨柜如果需要熏箱的話,其費用由租船人承擔,熏箱時間算入工作時間

就是說在裝卸港都采用碼頭習慣快速裝卸的裝卸率
LIGHTENING:減載。某些港口因吃水問題,對所靠泊的大輪有一定的吃水要求,所以許多大型船舶先在第一港卸掉一部分貨物,使大輪達到一定吃水要求后再把大輪開到第二港卸下余下貨物。因為收貨人要把第一港減載下來的一部分貨物用小型的船舶運到他理想的港口(第二港),這部分的運費就是駁船運費。

LOADING/DISCHRG AGAINST SUPPORTING DOCUMENTS, AT LDG PORT DETENTION TO BE SETTLED TOGETHER WITH FRT BEFORE S/R OF BSL.目的地:(PDPR:按天計算,不足一天者按比例計算)如果到達目的港后如果產(chǎn)生滯期費需要再完成裝貨或者卸貨后3日內(nèi)付清。在裝貨港情況下可以在簽發(fā)提單前與運費一起支付。費用是每天USD1000.如果不足一天按比例算。

結(jié)合船制定合理的理艙計劃。
19.IF ANY DUES/TAXES ON VESSEL/FREIGHT TBF OWRS ACCT, IF ANY DUES/TAXES ON CGO TO BE FOR CHTRS ACCOUNT.關于運費的附加稅費或是需要上交給政府的稅費由船東承擔,關于貨物本身需要上交的稅費由貨主承擔
20.LIGHTERAGE / LIGHTENING: IF ANY, SHALL BE AT THE ARRANGEMENT AND EXPENSES OF THE CHARTERERS,這個是說駁運或拖船條款,如果需要駁船作業(yè)的話,如果有需要,將由租船人安排以及支付費用
21.O.A.P : IF ANY, TBF CHTRS ACCT.22.ARBITRATION, IF ANY, AT HONGKONG AND ENGLISH LAW TO APPLY.如果船舶有超齡保險費用的話,由租船人(貨方)負責。如果有爭議仲裁的話在香港使用英國法律。(這條是保護船東的。因為英系法律比較健全,相對于海商法歷史也比較久,但相對保護船東更多一些)

這條是針對共同海損的,大意是說如果發(fā)生共同海損需要遵循1974年的約克安特衛(wèi)普規(guī)則這個對船方有利

為明確甲乙雙方的代理關系,規(guī)范業(yè)務操作,經(jīng)雙方友好協(xié)商,就甲方委托乙方代辦海運事宜,達
成以下協(xié)議:
For the purpose of dealing with Sea freight shipments, clarifying agency relations of both parties and standardizing operational procedures, through friendly consultations it has been agreed by the parties as follows:
1.甲乙雙方責任、義務 Responsibilities and Obligations
1.1乙方持有有效法人營業(yè)執(zhí)照、稅務登記證及組織機構(gòu)代碼證、商務部一級貨運代理資格或交通部批準登記的 NVOCC 資格,營業(yè)范圍允許在其營業(yè)地經(jīng)營國際貨物運輸代理業(yè)務。若乙方作為提單等相關單證上的承運人,應當具有無船承運業(yè)務經(jīng)營資質(zhì);乙方作為承運人代理人身份的,對承運人的行為承擔連帶保證責任。
Party B shall have legitimate corporate business license, TAX payer ID, organization code certification, A freight forwarding qualification approval by Department of Commerce or NVOCC qualification approval by ministry of communications, which allow it conduct forwarder business in certain area.Party B shall have NVOCC once it could issue B/L and relevant documents as carrier with its own title on.As agent role, Party B shall assume joint and several guarantee liability for carrier and carrier’s act.1.2甲方在貨物出運前填制內(nèi)容完整、真實的訂艙單,通知乙方有關的貨物出運信息,乙方負責為甲方辦理出口的訂艙、拖車、報關、報檢、簽單等相關出口業(yè)務,具體內(nèi)容以甲方下達的訂艙單為準。
Party A shall notify Party B complete and authentic booking information before shipment of goods via Shipping Order;Party B is responsible for chartering, booking, customs declaration, inspection, signing and other related export business per requirements on Shipping Order confirmed by both parties.Page 1 of 6
1.3甲方負責為乙方提供辦理業(yè)務所需要的單據(jù)(包括裝箱單、發(fā)票、合同、核銷單、報關委托書、報檢委托書、合同、商檢證書、許可證、報關單、手冊及有關批文等),并對其內(nèi)容的真實性和一致性負責。
Party A is responsible for providing Party B authentic and consistent documents needed to conduct and perform duties and works(including packing lists, invoices, contracts, verification forms, customs proxy, Entrust Letter of Inspection, etc.).1.4乙方應及時向甲方提供船期預報以及截止接單日期,作為甲乙雙方辦理海運訂艙事宜的參考。
Party B shall notify and keep Party A updated of the information of shipment schedule timeously for Party A’s advanced plan and arrangement.1.5訂艙內(nèi)容要求更改或取消時,甲方必須最遲于貨物裝入集裝箱的當天以書面形式通知乙方,并與乙方的相關操作人員書面確認。
Party A shall notify Party B not late then loading day in written form once shipping requirements need to be modified or cancelled.1.6乙方在收到船公司或其代理《配艙回單》后,應及時將定艙配載的船名、航次、關單號等信息告知甲方,甲方可在收到乙方《訂艙確認書》后一日內(nèi)書面提出異議。
Party B shall acknowledge Party A of 《Booking Confirmation》about vessel, voyage, booking Ref etc after getting shipping space from Shipping Company.Party A may put forward a demurrer to Party B in writing within 24 hours upon receipt of Party B’s《Booking Confirmation》or SO.1.7乙方保證對甲方提供的信息包括但不限于客戶資料和相關費用嚴格保密。
Party B shall keep all information including but not limit customer data and related costs provided by Party A strictly confidential.1.8乙方保證甲方的貨物不會向沒有持有正本提單的任何人或任何公司放行,除非有甲方的書面同意。如果乙方違反本義務,乙方愿意承擔無正本提單放貨的全部責任。若客戶主動償還甲方全部或者部份貨款,亦不能免除乙方的違約責任。甲方主動向客戶追索貨款,并不代表甲方放棄向乙方索賠和追究違約責任的權利。
Party B warrant that Party A’s goods will not be released to the any party without original Bill of Lading, or otherwise approved by Party A in writing.Party B shall assume full responsibility for breach thereof.The Importer refund Party A entirely or partially on its own initiative could not relieve Party B’s liability.Party A has recourse against Importer for losses incurred, which shall not
be operated as a waiver hereof.2.代理費用 Accounting
2.1甲方向乙方下達訂艙單前,應以乙方的書面報價為準并在訂艙單上注明有關費用,乙方須回傳確認;雙方確認后,甲方保證發(fā)運,乙方保證艙位。
Party A shall mark down details of charge on Shipping Order base on Party B’s written
quotation, and Party B shall confirm back via fax with signature on.After confirmation, Party A shall ship the goods off and Party B must ensure shipping space.2.2甲方向乙方支付相關港口及海運費,幣種為人民幣或者美元,乙方銀行信息如下。
The currency of payment from Party A to Party B shall be in RMB or USD unless specified.Payment shall be made via telegraphic transfer to following account.開戶銀行:

2.3甲方訂艙發(fā)生的應由甲方支付的費用(具體費用以雙方確認的訂艙單及費用發(fā)票為準)按____種方式結(jié)算:
Party A shall pay Party B the accountable charge by way of parties upon Shipping Order and Invoice.A)付款買單,即甲方付清全部款項,乙方交付甲方的所有單據(jù),包括但不限于提單和核銷單。
Payment against documents.B)備用金結(jié)賬:甲方先付___________備用金至乙方賬戶,乙方根據(jù)實際進出口貨物的應付費用進
行銷賬,并簽發(fā)提單。甲方在備用金不足時應及時將不足部分匯付至乙方賬戶。
Deposit deduction.C)航次結(jié)賬:甲方以航次結(jié)賬的方式與乙方結(jié)算所有費用,即在實際開航____ 天內(nèi)將該航次應付的所有費用匯付至乙方賬戶予以結(jié)清,并附上所付費用的發(fā)票號,以便雙方對帳。
Check out per voyage.D)月度結(jié)算: 每月____日前結(jié)清上一月全部運雜費。
O/A30 days.3.保險條款Insurance
3.1甲方可以對其托運的貨物自行投保,也可委托乙方代為辦理保險事宜,保險費由甲方承擔,此費用不在雙方約定的費用以內(nèi),如甲方未予保險,則非乙方原因產(chǎn)生的貨損乙方不予負責。
Party A may self-insure their consignment, and can also commission Party B to handle insurance issues, insurance premiums shall be borne by Party A, the costs of which are not included in the those the two sides agreed;In case Party A is not insured, Party B shall not be responsible for the damage from non-B causes.4.索賠條款Claim Terms
4.1乙方在辦理甲方貨物出口運輸?shù)倪^程中應盡心盡責,對于因乙方的過失而導致甲方遭受的損失和發(fā)生的費用承擔責任,以上損失包括但不限于貨物因延遲等原因造成的經(jīng)濟損失。
Party B must use Diligent Efforts to conduct and perform certain works herein for the delivery of Party A’s goods.Party B shall be liable for all cost and damage caused to Party A due to failure of Party B, including but not limited the lost because of late delivery.4.2運輸途中乙方將甲方貨物運錯,或由于箱體殘損、箱封缺失的情況下造成的實際損失,由乙方協(xié)助辦理索賠,力求確保甲方利益。由于不可抗力、貨物本身的自然屬性或瑕疵、貨物的合理損耗及托運人或收貨人自身過失造成的貨損乙方免責。
In case Party B transits the wrong goods, or causes the actual loss of Party A by damaged cabinet, or the absence of box sealing, Party B shall assist with claims, and strive to ensure interests of Party A.Party B shall be exempted for damage due to force majeure, natural properties of the goods themselves or defective goods, reasonable loss or loss from fault of the shipper or the consignee.4.3由于不可抗力事故,致使直接影響合同的履行或者不能按約定的條件履行時,遇有不可抗力事故的一方,應立即將事故情況以書面形式通知對方,以避免損失或擴大。
The Party claiming Force Majeure shall promptly inform the other Party in writing and shall
furnish immediately.The Party claiming Force Majeure shall also use all reasonable endeavors to terminate the Force Majeure.In the event of Force Majeure, the Parties shall immediately consult with each other in order to find an equitable solution and shall use all reasonable endeavors to minimize the consequences of such Force Majeure.5.爭議解決條款Dispute Settlement
5.1本合同項下產(chǎn)生的任何爭議,雙方應友好協(xié)商。協(xié)商不成,應提交中國海事仲裁委員會仲裁,仲裁地為深圳,根據(jù)該會的仲裁規(guī)則進行仲裁。仲裁裁決是終局的,對雙方都有約束力.Any dispute arising under this Contract shall be solved by friendly negotiation.In case negotiation fails, it shall be submitted to China Maritime Arbitration Commission(CMAC).Shanghai Commission, for arbitration in accordance with its rules in effect at the time of applying for arbitration.The arbitral award is final and binding upon both parties.5.2本合同的訂立、效力、解釋、履行、爭議的解決均適用中華人民共和國法律。
This Contract applies the law of the People Republic of China.6.其他 Miscellaneous
6.1本合同后附乙方提單樣本和簽章授權書,乙方向甲方簽發(fā)的提單須以此樣本為準。
The templates of Bill of Lading and Letter of Authorization with authorized signatures are set forth in supplemental Appendixes.The Bill of Ladings issued to Party A by Party B shall match the templates.6.2為履行本協(xié)議經(jīng)雙方確認的往來傳真、電傳、信函、電子郵件等內(nèi)容均構(gòu)成合同的一部分。The back-up records of facsimiles, letters, telexes and E-mails confirmed by both parties
during execution activity constitute parts of this contract.6.3 在任何情況下,乙方都不得留臵甲方的貨物和相關文件單據(jù)。
In no event should Party B exercise lien upon Party A’s goods and relevant documents.6.4 沒有甲方書面同意,乙方不得將本合同項下的任何權利和義務轉(zhuǎn)讓給第三人。
Party B may cannot delegate and/or assign all or part of the performance of its rights and
obligations hereunder to its Affiliated Companies or to any third party to which it has outsourced the performance of its activities unless approved by Party A with written words.6.5乙方的法定代表人及在本合同上簽名的乙方授權代表對乙方在本合同所有應履行義務承擔連帶保證責任。
Party B’s Legal representative and the person signing this letter is duly authorized by our
company, both are fully aware of this contract and willing to assume joint and several guarantee liability under this contract.6.6本合同一式二份,雙方各執(zhí)一份。合同未盡事宜,雙方另行商議,作為對合同的補充。合同自簽訂之日起生效,有效期為一年,合同期限屆滿后如續(xù)約,則需另簽。如一方提前解除合同,需提前一個月通知對方并一次性結(jié)清費用及退單。當本合同中文文本與英文文本發(fā)生歧義時,應以中文文本為準。
The contract is in duplicate, with each party holds one.Parties hereto may revise or supplement through negotiation matters not mentioned herein.The contract becomes effective since the date of signing and remains in force for one year.In case of renewal, another contract shall be needed.If either party terminates the contract in advance, it shall inform the other party in advance for one month and settle all the costs at one time.The Chinese version of this contract will prevail if there is any conflict between the Chinese version and English version of this contract.甲方乙方

1.貨物描述:設備,約949立方,421噸,5%偏差
2.裝船港和下貨港: 1個安全港口,青島中國/1個安全港口,新加坡(船主安排)

5.運輸費用: 每噸29.5美金,依照FILO TERMS BSS1/1,以及上海當?shù)刭M用

6.運費支付:全額運費在裝貨完成后的三日內(nèi)付到船主指定帳號。滯留損失應該由船東和租家在相關貨物或者單證準備齊全后5天內(nèi)解決;但是無論如何也不能晚于卸貨完畢。
7.綁扎/平艙/墊料由船主負責
8.若有OAP,由租船方承擔。
9.兩邊港口的吊車等由船主負責。
10.若有駁船拖船作業(yè),由租船人安排和承擔費用。.11.駁船費等由租船人負責承擔
12.船邊理貨/岸邊理貨分別由船東/租船人承擔。
13.代理由船主制定。
14.滯納條款:由于貨物和單證延遲造成的兩邊港口滯納費用由租船人承擔,按每天15000美金支付,不足一天按一天計算。滯納款為15000美金/天,在裝運港和卸貨港,由于貨物或單證未準備好等原因造成滯納,均需支付。在裝運港,滯納款同運費一起結(jié)清;在卸貨港若有延誤,滯納款在提交相關文件5日內(nèi)結(jié)清。.15.在兩邊港口,承運商提供10/7/5/3 天大約1天DEF 通知。
16..若有必要,在香港仲裁,依照英國法律。

第四篇:海運代理合同
篇一:海運代理協(xié)議 貨物運輸代理協(xié)議
甲方(委托方):___________ 乙方(受托方):___________ 甲、乙雙方為更好地開展海運進出口業(yè)務,雙方經(jīng)友好協(xié)商,根據(jù)《中華人民共和國合同法》和《中華人民共和國海商法》等法規(guī)的有關規(guī)定,現(xiàn)甲方委托乙方作為其代理人代理貨物出口的配艙、裝船、報關等一系列貨運代理工作,達成如下協(xié)議,以便共同遵守。
一、甲、乙雙方均持有有效營業(yè)執(zhí)照,并且嚴格按照營業(yè)執(zhí)照中的營業(yè)范圍開展業(yè)務。由于甲方的違法經(jīng)營行為給乙方所造成的一切損失與不利后果,甲方應當承擔賠償責任。
二、甲方同意將其攬取的或其生產(chǎn)的貨物委托乙方代理安排運輸。甲方向乙方下委托前,應以乙方的書面報價為準或在委托上注明有關費用;乙方應以自己的書面報價為準接受甲方委托,不得拒單。但由于戰(zhàn)爭、自然災害、罷工、經(jīng)濟災難等不可抗力因素引起的運價突變,應以新運價為準。雙方確認后,甲方保證發(fā)運,乙方保證艙位.否則甲方按全部運費的70%賠付乙方虧艙費.三、訂艙時,甲方應正確填寫由乙方提供的規(guī)定格式的訂艙委托書,并加蓋公章或訂艙專用章以書面的形式傳真或派人送交乙方,保證委托書內(nèi)容的完整性,其中應當包括但不限于所托運貨物之件數(shù),重量,體積,目的港,裝船日期,貨物品名(中英文品名)。甲方對于在裝卸、儲存、保管或運輸中有特殊要求的貨物應在委托書中明確提出并隨附相關文件。如果委托書內(nèi)容未注明,由此可能產(chǎn)生的一切風險、責任和費用均由甲方承擔。
四﹑訂艙內(nèi)容要求更改或取消時,甲方必須最遲于貨物裝入集裝箱的當天以書面形式通知乙方,并與乙方的相關操作人員書面確認,并承擔由此產(chǎn)生的一切風險和額外費用;若貨物已進港或已離港,則乙方有權視情況決定拒絕更改。
五﹑費用按雙方確認件(本協(xié)議附頁)確認后生效.費用構(gòu)成為甲方訂艙發(fā)生的海洋運費及與此相關的人民幣費用.基于本協(xié)議外臨時產(chǎn)生的費用(如海關查驗)乙方應及時通知甲方,費用實報實銷.甲方須在雙方約定的時間內(nèi),將所有關于此票業(yè)務的費用(包括運費、雜費)全額付給乙方.不得以任何理由拖欠任何基于本協(xié)議下業(yè)務所產(chǎn)生的費用。若甲方拖欠費用,則乙方有權采取以下措施維護自身權益,而由此所產(chǎn)生的一切風險、費用、責任均由甲方承擔。
六、乙方在收到船公司或其代理《配艙回單》后,應及時將定艙配載的船名、航次、關單號等信息告知甲方,甲方如有異議,應在收到乙方《訂艙確認書》后一日內(nèi)書面提出,否則視為同意。
七、甲方委托乙方代理報關、報驗,應在乙方要求的時間之前,根據(jù)不同貨物的性質(zhì)和各有關部門的監(jiān)管或檢驗規(guī)定,應提供所必需的有關文件,依貿(mào)易性質(zhì)不同可包括:協(xié)議、發(fā)票、商檢證書、許可證、核銷文件、報關單、手冊、裝箱單及有關批文等,并對其內(nèi)容的真實性和一致性負責。
八、甲方委托乙方代辦貨物裝箱的,甲方應當及時送貨至指定地點交乙方委托的裝箱人裝箱,并事先告知有關貨物的詳細狀況;甲方自行監(jiān)裝的,則因裝箱不當所產(chǎn)生的風險和責任由甲方自行承擔。甲方發(fā)運貨物內(nèi),不許夾帶海關禁止的物品。否則,因此造成一切責任及損失由甲方承擔。
九、由于不可抗力事故,致使直接影響協(xié)議的履行或者不能按約定的條件履行時,遇有不可抗力事故的一方,應立即將事故情況以書面形式通知對方,以避免損失或擴大。
十、因甲乙雙方中一方的原因?qū)е聟f(xié)議預期利益不能實現(xiàn),無責任方有權以書面形式通知解除本協(xié)議,同時有權要求過錯方承擔違約責任。

成以下協(xié)議:
for the purpose of dealing with sea freight shipments, clarifying agency relations of both parties and standardizing operational procedures, through friendly consultations it has been agreed by the parties as follows: 1.甲乙雙方責任、義務 responsibilities and obligations 1.1乙方持有有效法人營業(yè)執(zhí)照、稅務登記證及組織機構(gòu)代碼證、商務部一級貨運代理資格或交通部批準登記的 nvocc 資格,營業(yè)范圍允許在其營業(yè)地經(jīng)營國際貨物運輸代理業(yè)務。若乙方作為提單等相關單證上的承運人,應當具有無船承運業(yè)務經(jīng)營資質(zhì);乙方作為承運人代理人身份的,對承運人的行為承擔連帶保證責任。
1.2甲方在貨物出運前填制內(nèi)容完整、真實的訂艙單,通知乙方有關的貨物出運信息,乙方負責為甲方辦理出口的訂艙、拖車、報關、報檢、簽單等相關出口業(yè)務,具體內(nèi)容以甲方下達的訂艙單為準。
1.3甲方負責為乙方提供辦理業(yè)務所需要的單據(jù)(包括裝箱單、發(fā)票、合同、核銷單、報關委托書、報檢委托書、合同、商檢證書、許可證、報關單、手冊及有關批文等),并對其內(nèi)容的真實性和一致性負責。party a is responsible for providing party b authentic and consistent documents needed to conduct and perform duties and works(including packing lists, invoices, contracts, verification forms, customs proxy, entrust letter of inspection, etc.).1.4乙方應及時向甲方提供船期預報以及截止接單日期,作為甲乙雙方辦理海運訂艙事宜的參考。

二、責任與范圍 2.1 甲方責任

2.1.3 甲方訂艙,亦應出具書面委托書。并應提供有關出口報關文件,依不同貿(mào)易性質(zhì)備齊所需之單證,應包括:合同、商檢證明、核銷文件、主、被動許可證、報關單、手冊、發(fā)票、裝箱單及國家規(guī)定有關批文等合法、合格文件。托運單內(nèi)容應注明所托運貨物之件數(shù)、重量、體積、目的港、裝船日期、貨物品名、運價及特別要求。
2.1.4 甲方委托內(nèi)容要求更改或取消時,必須以書面等方式通知乙方,并與甲乙方操作人員電話確認,甲方承擔因變更所產(chǎn)生的一切費用及后果。若情勢已發(fā)展至無法更改,或違反船公司、海關規(guī)定,乙方有權拒絕接受變更要求。
2.1.5 甲方所提供的貨物必須時經(jīng)妥善包裝且堅固適貨的,能經(jīng)受正常裝卸及遠洋運輸。2.1.6 甲方托運貴重物品,怕擠壓的物品、易碎品、化工品、冷凍品、冷藏品、危險物品、活動物等必須事先向乙方提出書面聲明,明確指出貨物性質(zhì)及其防護措施和裝卸、擺放等各方面的特殊要求。2.1.7 甲方所出運之貨物,不得夾帶易燃、易爆、有毒物品、半危品和國家不允許出口的物品。
律師365 2.1.8 甲方如因本協(xié)議第2.1.1至第2.1.7條款各方面責任之一存在缺陷造成的貨物遺失,滅失或損壞,甲方負責;若因此給乙方或第三方造成損失的,甲方負責賠償。2.2 乙方責任
2.2.1 乙方負責代理甲方所委托之出運,包括: 2.2.2 乙方依甲方要求安排出運,正常情形下,開航日起30-40天內(nèi)乙方得按時將有關文件,單證歸還甲方。
2.2.3 乙方對已簽收之甲方單證文件負有妥善保管責任,不得遺失。
2.2.4 對于因乙方過錯造成貨物遺失,滅失,損壞或延遲,甲方作為托運人無權向乙方索賠。
乙方因其過錯確需承擔賠償責任的,甲方應于損害發(fā)生后七日內(nèi)向乙方提出書面異議,否則,乙方不負賠償責任。對于有保價的貨物,乙方按保價金額賠償;貨物沒有保價的,乙方按《海商法》關于承運人的賠償標準進行賠償。
三、結(jié)算條款
3.1 費用標準:________________________________________________ 3.2 甲方收到乙方運費發(fā)票后,應立即核對金額。如在收到發(fā)票三個工作日內(nèi)未提出異議,則視為甲方確認發(fā)票金額。乙方墊付的費用,甲方實報實銷。3.3 甲方在收到發(fā)票后三十日內(nèi)結(jié)清費用。
3.4 協(xié)議結(jié)算所涉及匯率按業(yè)務發(fā)生當月15日中國人民銀行公布的匯率中間價執(zhí)行。
四、特別條款
4.1 乙方遇船期更動、體積、重量、件數(shù)不符,應于貨物進港前主動通知甲方,并與甲方電話通知確認,甲方亦得及時與乙方書面確認上述更動內(nèi)容或要求退關,否則,乙方有權將貨物正常出運。
4.2 拼箱貨物,如遇貨物體積,重量雙方有爭議之情形,甲方付款暫以乙方倉庫丈量標準付款,待貨物運抵目的港,依目的港返回之正確體積,重量為準,采取多退少補之方式雙方共同確認運價。4.3 甲方付費必須按時結(jié)清,否則乙方有權留置甲方之任意單證及貨物直至甲方結(jié)清應付費用。
4.4 甲方目的港收貨人,經(jīng)乙方目的港代理通知后,逾時未提貨或放棄貨物,目的港所產(chǎn)生之額外費用及退運費用由甲方全部承擔。
五、在執(zhí)行本協(xié)議中若發(fā)生爭議,應先行協(xié)商。經(jīng)協(xié)商不成后,依法提交上海仲裁委員會仲裁。
六、本協(xié)議有效期限,自簽訂日起一年為限,協(xié)議期滿日之前,甲乙雙方如未獲對方正式書面通知,本協(xié)議則自動延長執(zhí)行一年。在協(xié)議期內(nèi),雙方從事得所有海運出口代理業(yè)務完全遵照本協(xié)議之規(guī)定,不再另簽單獨協(xié)議。
七、本協(xié)議正本一式二份,雙方各執(zhí)正本一份留存。

海上貨運代理合同違約賠償糾紛案
一、內(nèi)容摘要:
天然公司委托泛藝分公司出運貨物,而泛藝分公司安排于同年12月28日開航的航次出運。泛藝分公司向?qū)嶋H承運人商船三井有限公司的訂艙代理寧波致遠國際貨運有限公司訂艙。后因已訂艙輪發(fā)生故障,船公司于同年12月29日通知泛藝分公司,但泛藝分公司沒有及時轉(zhuǎn)告天然公司。上述三個集裝箱于2008年1月5日轉(zhuǎn)換航次出運。天然公司認為泛藝分公司行為構(gòu)成違約,遂訴請法院判令泛藝分公司賠償其出口配額損失以及及逾期付款利息。而泛藝分公司請求法院駁回天然公司起訴
二、泛藝分公司對其訴訟請求提供了如下證據(jù)材料
1、泛藝分公司乃涉案貨物無船承運人的代理,實際承運人為商船三井有限公司,涉案貨物的船名航次乃泛藝分公司根據(jù)天然公司的指示所定,后因該船舶出現(xiàn)故障而取消該航次,并將所有貨物整體轉(zhuǎn)至出運。之后,泛藝分公司作為無船承運人的代理,根據(jù)商船三井有限公司簽發(fā)的海運單向天然公司簽發(fā)了船名航次為的無船承運人提單,故泛藝分公司對此并無過錯
2、天然公司在出口報關時已使用完畢其相關出口配額
3、根據(jù)《貨物出口許可證管理辦法》第7條、第39條之規(guī)定,出口許可證不得買賣,天然公司并不存在出口配額損失。綜上,請求法院駁回天然公司起訴
三、案列評析
貨運代理人因故未能按期出運貨物,造成委托人出口配額損失,具有一定過錯,應承擔相應賠償責任。我國法律法規(guī)明確禁止買賣出口許可證,但出口配額可以由商務部重新分配或在其指定的轉(zhuǎn)讓平臺合法轉(zhuǎn)讓。天然公司從市場上購買出口配額所支出的費用,不能作為索賠依據(jù),應按商務部招標價格計算其損失。而且有償?shù)奈泻贤?,因受托人的過錯給委托人造成損失的,委托人可以要求賠償損失。
1、從合同權利義務的具體內(nèi)容來看,本案中的貨運代理人提供船期信息,并根據(jù)委托人的船期要求向承運人訂艙,表明其以實際訂艙行為對委托人作出了按期出運貨物的承諾。該承諾構(gòu)成貨運代理合同的一項內(nèi)容,成為貨運代理事項之一,理應由貨運代理人按約如期完成。若未能完成,就構(gòu)成違約,但該違約并不必然導致貨運代理人的賠償責任。
2、本案中,作為貨運代理人的泛藝分公司按照委托人天然公司的要求,趕在2007年底前向承運人提出訂艙要求,著手實施自己作出的承諾。然而,當承運人于2007年12月29日通知泛藝分公司船舶發(fā)生故障而不能出運時,泛藝分公司卻未將此緊急情況及時轉(zhuǎn)告給天然公司,致使委托人的貨物未能趕在年底前出運。就告知的重要性來說,雖然此時已屆年底僅2天,重新向其他承運人訂艙可能存在困難,但卻不能排除天然公司采取相應措施的可能性,因此該告知對委托人來講十分重要。
3、從本案貨物未能按期出運的結(jié)果看,主要是由于船舶發(fā)生故障,承運人不得
不臨時調(diào)整船期的客觀原因所引起,但泛藝分公司未及時轉(zhuǎn)告委托人,使得理論上委托人在2007年內(nèi)轉(zhuǎn)訂其他航次出運的可能性喪失,也是損害結(jié)果發(fā)生的次要原因。就此而言,泛藝分公司理應承擔一定的賠償責任。
4、除此之外,本案中美國調(diào)整對華紡織品出口政策,使得出口配額較為缺稀,產(chǎn)生較高的交易價值等等。這些因素均非貨運代理人所能主觀控制。為此,貨運代理人在接受委托時,應預先作好理性估計,不能在事后再強調(diào)客觀因素,以達到擺脫自己在判斷、決策上錯誤的責任。
5、本案中,泛藝分公司應當防止或減輕損害結(jié)果的發(fā)生,這樣的話就可以使得雙方當事人應盡的義務減損。顯然在本案中泛藝分公司并未采取過任何補救措施,導致了損害結(jié)果的進一步發(fā)生。
6、本案天然公司訴稱船期延誤造成其出口配額的交易損失,該損失不是泛藝分公司能夠預見。這就涉及到對貨運代理人過錯行為所致?lián)p失結(jié)果的認定問題。天然公司必須舉證證明因其貨物未能趕在規(guī)定時間出運,而超計劃提前使用了配額,且該配額屬該整體限額內(nèi)。天然公司作為貿(mào)易一方如何使用自己的出口配額,跨使用配額是否需要重新購買新配額,實非貨運代理人所能預料。何況,本案中的天然公司并未在委托泛藝分公司訂艙時明確告知泛藝分公司其要求在2007年年底前訂艙出運的具體原因。故對于泛藝分公司來講,出口配額的損失并非屬于貨運代理人應該或可以預見的損失。
7、而無論如何,本案泛藝分公司的損失仍是客觀存在的。本案判決沒有對天然公司的訴請作出全額保護,而是從造成涉案出口配額損失的特殊原因出發(fā),參照同期市場的出口配額招標價格酌情作出認定,既考慮了損失預見性問題,也充分符合當時市場對紡織品出口配額的即時行情。
