(a)any time or waiver or other forbearance granted to the Contractor or any other person;

(b)any taking, variation, compromise, renewal or release of, or any refusal or neglect to perfect or enforce any rights, remedies or securities against the Contractor or any other person;

(c)any legal limitation, disability or incapacity relating to the Contractor or any other person;(d)any change, variation or amendment or supplement to the Contract or the works or goods to be performed or supplied thereunder or any other document or security so that references in this Bond to the Contract shall include each such change, variation, amendment or supplement;

(e)any unenforceability, invalidity, illegality or frustration of any obligations of the Contractor or any other person under the Contract or any other document or security;and

(f)any act or omission of yourselves or any of your servants or agents under or in connection with the Contract.3.We hereby waive notice of all or any of the matters referred to in Clause 2 hereof.4.This Bond shall remain valid and in full force and effect with respect to any demand made hereunder prior to the first of the following to occur:

(a)payment by the Surety of the Stipulated Sum in full;

致：南通通海港口有限公司

鑒于_______________________（賣方名稱）（以下簡稱“賣方”）的據(jù)______年____月____日簽訂的___________號合同向貴方提供________________________（貨物和服務(wù)描述）（以下稱為“合同”），銀行（以下簡稱“本行”）無條件地、不可撤銷地具結(jié)保證本行、其繼承人和受讓人無追索地向貴方以（貨幣名稱）支付總額不超過（投標(biāo)中使用的貨幣，大寫），即相當(dāng)于合同價(jià)格的10%。并以此約定如下：

a)賣方未能忠實(shí)地履行所有合同文件的規(guī)定和雙方此后可能作出的并同意的修改、補(bǔ)充和變動(dòng)，包括更換或修補(bǔ)貴方認(rèn)為對有質(zhì)量問題的貨物（以下簡稱“違約”），只要貴方確定，無論賣方有何反對，本行將憑貴方的書面違約通知，立即按貴方提出的不超過上述累計(jì)總額的金額和按通知中規(guī)定的方式付給貴方。

b)本保函項(xiàng)下的任何支付應(yīng)為免稅和凈值，無論任何人以何種理由提出扣減現(xiàn)有或未來的稅費(fèi)、關(guān)稅、費(fèi)用或扣款，均不能從本保函項(xiàng)下的支付中扣除。

c)本保函項(xiàng)下的最大擔(dān)保金額隨合同的完成進(jìn)度而自動(dòng)按比例遞減，本保函項(xiàng)下我行的擔(dān)保責(zé)任不超過申請人在合同項(xiàng)下未履行的義務(wù)所代表金額的10％，合同的完成進(jìn)度以我行收到的由南通通海港口有限公司出具的證明書為準(zhǔn)。

c)本保證函的規(guī)定構(gòu)成本行無條件的、不可撤銷的直接義務(wù)。今后任何對合同條款的修改、貴方在時(shí)間上的通融、其他寬容、讓步或由貴方采取的除了本款以外都適用的可能免除本行責(zé)任的任何刪除或其他行為，均不能解除或免除本行在該保證函項(xiàng)下的責(zé)任。

第三篇：履約保函

第四篇：履約保函

第五篇：履約保函

四、如果貴方與交易對方協(xié)商變更主合同且涉及我行擔(dān)保責(zé)任的，應(yīng)事先書面通知我行，如加重我行擔(dān)保責(zé)任的還應(yīng)事先征得我行書面認(rèn)可，否則，我行對加重我行擔(dān)保責(zé)任的部分不承擔(dān)責(zé)任。

五、貴方轉(zhuǎn)讓本保函項(xiàng)下權(quán)利的，應(yīng)經(jīng)我行書面同意，否則我行不再承擔(dān)擔(dān)保責(zé)任。

六、保函有效期按照以下第 種方式確定：
