第一篇：對外貿(mào)易合同

對外貿(mào)易合同

甲方（賣方）:

乙方：（買方）

為了明確甲、乙雙方的權(quán)利和義務(wù)，根據(jù)《合同法》及有關(guān)規(guī)定，現(xiàn)就乙方購買甲方出售貨物（貨物名稱、規(guī)格、數(shù)量、單價、包裝見清單1）事宜達成如下協(xié)議，以資共同遵守。

第一條本合同所列條款，包括了雙方達成的全部協(xié)議，并取代在此以前雙方所達成的一切協(xié)議。除雙方授權(quán)主管人或代表同意書入本合同的條款外，其余一律無效。

第二條乙方須由甲方確認的銀行，開出不克撤銷的、保兌的、允許轉(zhuǎn)船和分批裝運、以乙方為受益人的見票即付信用證，信用證保兌費用由乙方支付。

第三條甲方須向議付銀行提交下列單據(jù)：

1.海運提單一式兩份。

2.發(fā)票一式四份。

3.由商品檢驗局出具的質(zhì)量證書一式兩份。

4.由商品檢驗局出具的數(shù)量/重量檢驗報告一式兩份。

第四條 交貨

1.交貨期為。

2.裝運港。

第五條裝運條件

1.乙方可指定遠洋運輸代理公司作為其船運代理，并負責支上海聞閩物質(zhì)進出口有限公司備

付港口所有費用。船到達裝運港的預計日期和時間，以及船到達裝

運港時，該船的吃水量以電報告知其代理。

2.乙方應(yīng)將租船方出具的組傳單一份盡快提交給甲方。

第六條貨物裝船后，凡發(fā)生貨物短缺、損壞、變質(zhì)，其風險均由

乙方承擔。貨物之投保由乙方自理。

第七條乙方應(yīng)通過銀行及時向甲方提供履約按金，金額為合同總

值的%，此按金作為乙方部分違約但尚未涉及全部協(xié)議的違約

罰金。乙方不按第二條開出不可撤銷的信用證時，甲方有權(quán)立即終

止合同，沒收上述3%按金并寫信給給乙方告之理由。

第八條 適用規(guī)矩和章程

1.裝運條款：見清單2。

2.外輪在港速遣費和滯期費收取規(guī)定，見清單3。

3.滯期費率/速遣費率以及裝卸結(jié)算法則刊行于，應(yīng)遵照《合同法》頒布之規(guī)則予以辦理。所有費用均由乙方負擔。

第九條甲、乙雙方在履行本合同過程中發(fā)生爭議，由雙方協(xié)商解

決；協(xié)商不成的，按本合同約定的下列方法之一進行解決：

1.由仲裁委員會仲裁。

2.向人民法院起訴。

第十條甲方因不可抗力造成合同貨物推遲或妨礙交貨，甲方不承

擔責任。但甲方按乙方的要求，應(yīng)向乙方掛號郵寄由出具的證書，如有可能，也可提交由主管當局出具的證書。

裝運條款

1.合同規(guī)定的每批交貨日前20天，甲方應(yīng)將合同號、數(shù)量、預定交

貨期寫信告訴乙方，以便乙方租船訂艙。

2.每批貨物裝運前15天，乙方應(yīng)將船名、船籍、抵港日期、合同號、載重噸位等須經(jīng)甲方認可的項目以信件告知甲方，以便甲方安排交

貨。

3.乙方將委托裝運港遠洋運輸公司作為其海運代理，乙方

承擔一切費用，乙方將通過獲得該船進出裝運港口的所有

簽證。

乙方須于船抵裝運港10天之前，將該船詳細以信件告知甲方。

4.船達裝運港，甲方不能及時裝貨，由此而引起的空艙費和滯期費

由乙方承擔。

若15天裝運期滿而船未達裝運港，則自16天起的倉儲費和滯期費

由乙方承擔。

5.甲方保證1個工作日連續(xù)24小時每個艙口的裝貨率為公噸，遠洋運輸公司按外輪停靠港的有關(guān)

速遣費和滯期費計算暫行規(guī)定，與乙方直接進行結(jié)算。

6.貨物完畢，甲方將合同號、品名、數(shù)量、裝運船名和起航日期以

信件告知乙方。

所發(fā)生的損失，由于采用不充分或不妥善的防護措施而造成的任何銹損，賣方應(yīng)負擔由此產(chǎn)生的一切費用和/或損失。

Packing: The packages should be suitable for long distance freight transportation and well protected against dampness, moisture, shock, rust and rough handling.The sellers shall be liable for any damage to the goods on account of improper packing and for any rust damage attributable to inadequate or improper protective measures taken by the sellers.8.裝運條款：賣方保證按時將合同所述貨物運往買方港口。

Terms of shipment: The seller shall ship the goods within the shipping date from the port of shipment to the port of destination.Transshipment is not allowed without the buyer’s consent.9.裝運通知：貨物全部裝船后，賣方將于10個工作日內(nèi)將合同編號、商品名稱、數(shù)量、毛重、發(fā)票金額、船名和開船日期傳真通知買方。

Shipping advice: The seller shall within 10 working days after the completion of the loading of the goods advise by fax the buyers of the contract No., commodity, quantity, invoice value, gross weight, name of vessel and date of sailing.10.保險：

Insurance: Insurance shall be covered by the seller for 110% of the invoice value against Additional Risks and Strike Risks11.檢驗： Inspection 賣方須在裝運前15日委托德國機械進出口檢驗機構(gòu)對本合同之貨物進行檢驗并出具檢驗證書，貨到目的港后，由買方委托中國進出口貨物檢驗機構(gòu)進行檢驗。The Seller shall have the goods inspected by 15 days before the shipment and have the Inspection Certificate issued by German Machinery I/E Inspection Bureau.The Buyer may have the goods reinspected by China I/E Inspection Corporation Shanghai Branch after the goods arrived at the destination.12.索賠：貨物到達買方后，買方應(yīng)向中國進出口商品檢驗檢疫局申請對質(zhì)量、規(guī)格、數(shù)量

進行初步檢驗，并出具檢驗證明書，如發(fā)現(xiàn)貨物品質(zhì)、規(guī)格、數(shù)量與合同不符，除保險公司或船運公司應(yīng)負責的以外，買方在貨到90天內(nèi)有權(quán)換貨或索賠，一切費用（如商檢費、相關(guān)的運費、保險費etc）由賣方承擔。

Claims: Within 90 days after the arrival of goods at destination should be quality, specifications or quantity be found not in conformity with the stipulations of the contract except those claims for which the insurance company or the owners of the vessel are liable.the buyers shall, on the strength of the inspection certificate issued by Entry-Exit Inspection and Quarantine of the People’s Republic of China have the right to claim for replacement with new goods or for compensation and all the expenses(such as inspection charges, freight for returning the goods and for sending the replacement insurance premium)shall be borne by the sellers.12.仲裁：凡有關(guān)本合同或執(zhí)行本合同而發(fā)生的一切爭執(zhí)，應(yīng)通過友好協(xié)商解決。如不能解決，則應(yīng)申請進行仲裁。仲裁將在中國貿(mào)易促進委員會仲裁委員會進行。其做出的裁決是最終的，買賣雙方均應(yīng)受其約束，任何一方不得向法院或其他機關(guān)申請變更。仲裁費用由敗訴方負擔。

Arbitration: All disputes in connection with this contract or the execution thereof shall be settled through friendly negotiation, in case no settlement can be reached through negotiations, the case under dispute shall be submitted for arbitration to the China Economic and Trade Arbitration Commission Beijing in accordance with the provisional rules of procedures promulgated by the said arbitration commission.The award of the arbitration shall be final and binding upon both parties for revising the decision.The arbitration fee shall be borne by the losing part.13.不可抗力：由于人力不可抗拒事故，而賣方交貨遲延或不能交貨時，責任不在賣方，但

賣方應(yīng)立即將事故通知買方，并于事故發(fā)生后十四天內(nèi)將事故發(fā)生地政府主管機關(guān)出具的事故證明用空郵寄交賣方為證。

Force Majeure: The seller shall not be held responsible for any delay in delivery or non-delivery of the goods due to force majeure, which might occur during the process of manufacturing or in the course of loading or transit.However, the seller shall advise the buyer immediately of such occurrence and within 14 days thereafter, the seller shall send by airmail to the buyers for their acceptance a certificate of the accident issued by the competent government authorities of the place where the accident occurs as evidence thereof.14.附加條款：本合同一式二份買賣雙方各執(zhí)一份。

Supplements and other terms: This contract is made in two originals, one original to be held by each party.The original pieces have the same law effect to each party.All the disputes would be solved by the buyer within the people’s court of Sichuan province according to the Contract Law of PRC.

11.裝運通知：一俟裝運完畢，賣方應(yīng)即電告買方合同號、品名，已裝載數(shù)量、發(fā)票總金額，毛重，運輸工具名稱及啟運日期等。

Inspection and Claims:

Force Majeure:The sellers shall not hold any responsibility for partial or total nonperformance of this contract due to Force Majeure.But the sellers shall advise the buyers on time of such occurrence.14.爭議之解決方式：

13．裝運條款：

□fob

賣方須按時在裝運期限內(nèi)將貨物由裝運港裝船到目的港。在cfr術(shù)語下，賣方應(yīng)在裝船前2天電傳/傳真/電報買方合同號、品名、發(fā)票價值及開船日期，以便買方安排保險。

□ddu

賣方須按時在裝運期限內(nèi)將貨物由裝運港裝運至目的港。

14．裝運通知

15．質(zhì)量保證：

16．商品檢驗：

17．索賠

18．延期交貨違約金

除雙方認可的不可抗力因素外，賣方遲于合同規(guī)定的期限交貨，如買方同意遲延交貨，賣方應(yīng)同意對信用證有關(guān)條款進行個性和同意銀行在議付貨款時扣除本條規(guī)定的違約金。違約金總值不超過貨物總價值的5%，差率按7天0.5%計算，不滿7天仍按7天計算。在未采用信用證支付的情況下，賣方應(yīng)將前述方法計算的違約金即付買方。

19．人力不可抗拒：如因人力不可抗拒的原因造成本合同全部或部分不能履約，賣方概不負責，但賣方應(yīng)將上述發(fā)生的情況及時通知買方。

20．爭議之解決方式：

if the sellers fail to make delivery on time as stipulated in the contract，with exception of force majeure，the buyers shall agree to postpone the delivery on conditions that the sellers agree to amend the clauses of the l/c and pay a penalty which shall be deducted by the paying bank from the payment under negotiation.the penalty，however，shall not exceed 5% of the total value of the goods.the rate of penalty is charged at 0.5%for every seven days，if less that seven days.in case，the payment is not made through l/c，the sellers shall pay the penalty counted as above to the buyers as soon as possible.19、force majeure ：

the sellers shall not hold any responsibility for partial or total non-performance of this contract due to force majeure.but the sellers shall advise the buyers on times of such occurrence.20、disputes settlement ：
