董事長的英文是Chairman(準確的說是Chairman of the Board)，是股東利益的最高代表，理論上講是公司管理層所有權力的來源。

董事會設董事長1名，由董事會全體董事過半數(shù)選舉產生。從各國的公司立法看，董事長的權利不是由股東大會授予的，而是由公司法直接規(guī)定的。一般來說，董事長擁有如下幾種權利：

1.主持股東大會和召集、主持董事會會議；

2.檢查董事會決議的實施情況，并向董事會報告； 3.簽署公司股票、公司債券；

4.由董事會授權董事長在董事會閉幕期間行使董事會的部分職權；

5.提議召開臨時董事會；

6.除章程規(guī)定須由股東大會和董事會決定的事項外，董事長對公司重大業(yè)務和行政事項有權做出決定。

有限責任公司、股份有限公司設立董事會的，股東會會議由董事會召集，董事長主持。董事會會議由董事長召集和主持。董事長由國有資產監(jiān)督管理機構從董事會成員中指定。

董事長是公司董事會的領導，其職責具有組織、協(xié)調、代表的性質。董事長的權力在董事會職責范圍之內，不管理公司的具體業(yè)務，一般也不進行個人決策，只在董事會開會或董事會專門委員會開會時才享有與其他董事同等的投票權。President和CEO的權力都來源于他，只有他擁有召開董事會、罷免President和CEO等最高權力，但他從來不掌握行政權力。

Chairman可以隨時解除任何人的職務，除了董事（Member of the Board）和監(jiān)事（Member of the Board of Supervisors），因為董事和監(jiān)事不是公司雇員，而是公司的主人和仲裁人。

將自己的整個工作時間投入所在的公司,為公司的管理和執(zhí)行業(yè)務服務的董事被稱為執(zhí)行董事。

執(zhí)行董事是同時兼任公司高級管理人員的董事，他們既參與董事會決策，同時也在其管理崗位上執(zhí)行董事會決策。

“執(zhí)行董事” 的主要職責：(1)根據(jù)董事會要求與市場需求，結合任期責任指標，提出企業(yè)階段性、性的生產經營指標與發(fā)展方向。(2)組織企業(yè)各方面的力量，保證完成預定指標，組織實施并完成董事會下達的各項任務，嚴格履行各項合同。(3)在董事會授權的經營范圍內，進行選擇和計劃，并生產適應市場需要的產品。

第五篇：國際會議禮儀

國際會議是大型的國際交流場合。當代世界的國際會議有為討論和解決國際問題為目的而召開的,也有為對某個專業(yè)學術問題進行探討和交流而召開的,也有為某個專業(yè)學術問題進行探討和交流而召開的,前者簡稱為國際會議,后者通稱為國際學術會議。國際會議

國際會議可以說是一種臨時性議事組織。從會議類型看,它可分為雙邊會議和單邊會議,單一議題會議和多種議題會議,專題會議和定期會議,有常設秘書處的會議和無常設秘書處的會議。從與會級別看,可分為國家元首和政府首腦會議,部長會議,專家會議和一般代表會議。從與會者所屬地區(qū)看可分為世界性國際會議和區(qū)域性國際會議。從會議的目的來看,可分為作討論問題的講壇的會議,對政府和國際組織作出具有約束力的決議或不具有約束力的建議的會議,談判起草條約或國際文件的會議,認定對國際計劃的自愿捐助會議等等。無論哪種會議,一般說來,平等原則是組織國際會議的最基本的原則,每個參加會議的國家,無論國家大小,都享有同等的代表與投票權。國際會議的召開時間、地點和議程等,由會議的召開國和被邀請參加國共同協(xié)商解決。會議進行時,或者由專門指定的一位主席或數(shù)位主席主持,或者由各代表團團長輪流主持。國際會議的籌備和召開都有嚴格的程序和規(guī)定。國際學術會議

國際學術會議,顧名思義就是以學術交流為宗旨的,在當今新科技革命的時代,知識以驚人的速度發(fā)展更新著,自然科學和社會科學若離開了國際交流的大環(huán)境,便隨時有落后和被淘汰的危險。國際學術會議的種類很多,涉及教育、醫(yī)療衛(wèi)生、科學技術、文化藝術、經濟貿易等各個方面。參加國際學術會議的人員通過發(fā)表論文、專題討論和演講,互相交流和磋商學術見解,推動有關學科和專業(yè)領域的發(fā)展。國際學術會議通常規(guī)定以英語作為會議語言,從名稱上看,可分為以下幾類: meeting這是會議的總稱,其規(guī)?？纱罂尚?與會人數(shù)可多可少。

coference這是正式會議的名稱,通常指專業(yè)性、學術性、專題性會議。

symposium指專題性學術研討會,會議議題和討論內容都比較窄,如中國問題國際研討會(internationalsymposiumonchina)。

oongress這是代表會議的名稱,出席者是有代表性和群眾性的。convention指大型集會,如專業(yè)學術團體的專業(yè)會議及年會等。workshop泛指研討會、講習班、實習班。forum指演講、論壇、討論會。

seminar專題研討會或講座,它通常組織有關專家對某個問題作專題或系列演講。學術會議舉行期間,通常還包括全體大會、分組會議等正式會議內容和信息交流會、工作午餐會、展談會、新聞發(fā)布等非正式會議內容。這些不同的會議形式,對禮儀有不同的要求。

任何國際會議的接待都很講究規(guī)格與禮儀。

對出席會議的代表,不論是個人還是團體,東道主均應事先確定接待規(guī)格,按照國際慣例,派遣同來賓身份相當?shù)娜耸壳巴鶛C場或車站迎接。通常迎接人員應陪來賓一同前往下榻處或辦理報到手續(xù)?？腿说诌_后,也應抽空先同東道主方面的代表相互見面和介紹。

良好的國際會議組織工作表現(xiàn)在會議代表到達后,能很快地得到有關會議的文件、論文、報告與會議日程安排的時間表。對于在會議上安排發(fā)言的代表,應事先有明確的通知。

會議的主會場應掛會議的標記,如會徽或其他文字標記,有些在中國舉行的國際會議,主辦者在張掛會議橫額時,只有中文文字,卻沒有英文或其他有關國家的文字,這是對與會外國來賓的失禮。

在國際會議上,除會場懸掛與會國國旗外,各國政府代表團團長也按會議組織有關規(guī)定,在一些場所或車輛上懸掛本國國旗,但國際學術會議無掛國旗的要求。國際學術會議等大規(guī)模會議的開幕典禮和閉幕典禮,往往具有十分重大的國際意義。雖然依國情而會有所差異,但大體上、主辦國的政府官員、王室貴族、主辦地的首長、市長等知名人士都會以來賓身份到場,而會議主辦機構的會長、名譽會長、前任會長、下任會長及其他要員等也都會到場,這時候會場應設主席臺。主席臺的座位排列應是,主要貴賓坐在居中位置,以下人員按照地位或職務高低順序左右交叉依次排列。主席臺一般應擺放用英文書寫的名簽,到會要人按名簽標示就位。但是,按照國際慣例,在平時舉行的國際學術會議上,無論是全體 會議還是小組會議,主席臺上通常只有會議主持人及報告人和評論人就座。

大型國際學術會議沒有嚴格的會議紀律,又由于會議期間往往有很多個分會場同時舉行報告和討論,與會者有自由選擇會場的權利,但與會者只要進入會場,就應在聽報告時,對報告人和會議主持人表示尊重,過分的交頭接耳、打瞌睡、看其他東西、甚至大聲喧嘩,都是不禮貌的。報告完了,應報以熱烈掌聲,這實際上對報告人的一種回報。

參加小型國際學術會議或雙邊學術會議,由于與會者人數(shù)通常不多,且與會者之間多數(shù)都相互認識或留有印象,所以與會者應按時到會場,不要漫不經心的樣子,經常在會場進進出出,是失禮的。

國際會議常在會議休息期間,在會場外的休息廳內設有一排桌子,擺放茶具和飲料、點心等食品,供與會者自由取用,同時有接待人員在場服務。這時,與會者可大大方方地選用。一手托著茶盤,一手拿著點心,大家站著,邊吃邊聊,在這種場合是很正常的。

有時候,根據(jù)會議的需要而舉行圓桌會議。相傳在五世紀的時候,英國國王阿瑟和他帶領的騎士在舉行會議時,不分上下席位,圍著圓桌就座,這樣就形成了圓桌會議的稱呼。由于圓桌會議不分上下尊卑,可以避免席次的爭議,所以含有與會者一律平等和協(xié)議的意思。現(xiàn)在圓桌會議也是一種常見的國際會議形式。
