11.裝運通知：一俟裝運完畢，賣方應(yīng)即電告買方合同號、品名，已裝載數(shù)量、發(fā)票總金額，毛重，運輸工具名稱及啟運日期等。

Shipping advice:The sellers shall immediately,upon the completion of the loading of the goods,advise the buyers of the Contract No., names of commodity, loading quantity, invoice values, gross weight, names of vessels and shipment date by TLX/FAX.12.檢驗與索賠：

Inspection and Claims:

(1)賣方在發(fā)貨前由_______檢驗機構(gòu)對貨物的品質(zhì)、規(guī)格和數(shù)量進行檢驗，并出具檢驗證明書。

Force Majeure:The sellers shall not hold any responsibility for partial or total nonperformance of this contract due to Force Majeure.But the sellers shall advise the buyers on time of such occurrence.14.爭議之解決方式：

Disputes settlement:

□任何因本合同而發(fā)生或與本合同有關(guān)的爭議，應(yīng)提交中國國際經(jīng)濟貿(mào)易仲裁委員會，按該會的仲裁規(guī)則進行仲裁。仲裁地點在中國。仲裁裁決是終局的，對雙方均有約束力。All disputes arising out of the contract or in connection with the contract,shall be submitted to the China International Economic and Trade Arbitration Commission for arbitration in accordance with its Rules of Arbitration in China.The arbitral award is final and binding upon both parties.□

15.法律適用：

Law application:

本合同之簽訂地、或發(fā)生爭議時貨物所在地在中華人民共和國境內(nèi)或被訴人為中國法人的，適用中華人民共和國法律，除此規(guī)定外，適用《聯(lián)合國國際貨物銷售公約》。

It will be governed by the law of the People's Republic of China under the circumstances that the contract is signed or the goods while the disputes arising are in the People's Republic of China or the defendant is Chinese legal person, otherwise it is governed by United Nations Convention on Contract for the International Sale of Goods.本合同使用的FOB、CFR、CIF、DDU術(shù)語系根據(jù)國際商會《Incoterms 1990》。

13．裝運條款：

□fob

賣方應(yīng)在合同規(guī)定的裝運日期前30天，以電報/電傳/傳真通知買方合同號、品名、數(shù)量、金額、包裝件、毛重、尺碼及裝運港可裝日期，以便買方安排租船/訂艙。裝運船只按期到達裝運港后，如賣方不能按時裝船，發(fā)生的空船費或滯期費由賣方負擔(dān)。在貨物超過船舷并脫離吊鉤以前一切費用和風(fēng)險由賣方負擔(dān)。

□cif或cfr

賣方須按時在裝運期限內(nèi)將貨物由裝運港裝船到目的港。在cfr術(shù)語下，賣方應(yīng)在裝船前2天電傳/傳真/電報買方合同號、品名、發(fā)票價值及開船日期，以便買方安排保險。

□ddu

賣方須按時在裝運期限內(nèi)將貨物由裝運港裝運至目的港。

14．裝運通知

一俟裝載完畢，賣方應(yīng)在_________小時內(nèi)電傳/傳真/電報買方合同編號、品名、已發(fā)運數(shù)量、發(fā)票總金額、毛重、船名/車/機號及啟程日期等。

15．質(zhì)量保證：

貨物品質(zhì)規(guī)格必須符合本合同及質(zhì)量保證書之規(guī)定，品質(zhì)保證期為貨到目的港_________個月內(nèi)，在保證期限內(nèi)，因制造廠商在設(shè)計制造過程中的缺陷造成的貨物損害應(yīng)由賣方負責(zé)賠償。

16．商品檢驗：

17．索賠

18．延期交貨違約金

除雙方認可的不可抗力因素外，賣方遲于合同規(guī)定的期限交貨，如買方同意遲延交貨，賣方應(yīng)同意對信用證有關(guān)條款進行個性和同意銀行在議付貨款時扣除本條規(guī)定的違約金。違約金總值不超過貨物總價值的5%，差率按7天0.5%計算，不滿7天仍按7天計算。在未采用信用證支付的情況下，賣方應(yīng)將前述方法計算的違約金即付買方。

19．人力不可抗拒：如因人力不可抗拒的原因造成本合同全部或部分不能履約，賣方概不負責(zé)，但賣方應(yīng)將上述發(fā)生的情況及時通知買方。

20．爭議之解決方式：

□任何因本合同而發(fā)生或與本合同有關(guān)的爭議，應(yīng)提交中國國際經(jīng)濟貿(mào)易仲裁委員會，按該會的仲裁規(guī)則進行仲裁。仲裁地點在中國深圳。仲裁裁決是終局的，對雙方均有約束力。

貨物在目的口岸卸畢60天內(nèi)(如果用集裝箱裝運則在開箱后60天)經(jīng)中國進出口商品檢驗局復(fù)驗，如發(fā)現(xiàn)品質(zhì)、數(shù)量或重量以及其它任何方面與本合同規(guī)定不符，除屬于保險公司或船行負責(zé)者外，買方有權(quán)憑上述檢驗局出具的檢驗證書向賣方提出退貨或索賠.因退貨或索賠引起的一切費用包括檢驗費、利息及損失均由賣方負擔(dān).在此情況下，凡貨物適于抽樣及寄送時如賣方要求，買方可將樣品寄交賣方.22.賠償費

因“人力不可抗拒”而推遲或不能交貨者除外，如果賣方不能交貨或不能按合同規(guī)定的條件交貨，賣方應(yīng)負責(zé)向買方賠償由此而引起的一切損失和遭受的損害，包括買價及/或買價的差價、空艙費、滯期費，以及由此而引起的直接或間接損失.買方有權(quán)撤銷全部或部分合同，但并不妨礙買方向賣方提出索賠的權(quán)利.23.賠償例外

由于一般公認的“人力不可抗拒”原因而不能交貨或延遲交貨，賣方或買方都不負責(zé)任.但賣方應(yīng)在事故發(fā)生后立即用電報或電傳告買方并在事故發(fā)生后15天內(nèi)航空郵寄買方災(zāi)害發(fā)生地點之有關(guān)政府機關(guān)或商會所出具的證明，證實災(zāi)害存在.如果上述“人力不可抗拒”繼續(xù)存在60天以上，買方有權(quán)撤銷合同的全部或一部.24.仲裁

雙方同意對一切因執(zhí)行和解釋本合同條款所發(fā)生的爭議，努力通過友好協(xié)商解決.在爭議發(fā)生之日起一個合理的時間內(nèi)，最多不超過90天，協(xié)商不能取得對買賣雙方都滿意的結(jié)果時，如買方?jīng)Q定不向他認為合適的有管轄權(quán)的法院提出訴訟，則該爭議應(yīng)提交仲裁.除雙方另有協(xié)議，仲裁應(yīng)在中國北京舉行，并按中國國際貿(mào)易促進委員會對外貿(mào)易仲裁委員會所制訂的仲裁規(guī)則和程序進行仲裁，該仲裁為終局裁決，對雙方均有約束力.仲裁費用除非另有決定，由敗訴一方負擔(dān).
