所發(fā)生的損失，由于采用不充分或不妥善的防護(hù)措施而造成的任何銹損，賣方應(yīng)負(fù)擔(dān)由此產(chǎn)生的一切費(fèi)用和/或損失。

Packing: The packages should be suitable for long distance freight transportation and well protected against dampness, moisture, shock, rust and rough handling.The sellers shall be liable for any damage to the goods on account of improper packing and for any rust damage attributable to inadequate or improper protective measures taken by the sellers.8.裝運(yùn)條款：賣方保證按時(shí)將合同所述貨物運(yùn)往買方港口。

Terms of shipment: The seller shall ship the goods within the shipping date from the port of shipment to the port of destination.Transshipment is not allowed without the buyer’s consent.9.裝運(yùn)通知：貨物全部裝船后，賣方將于10個(gè)工作日內(nèi)將合同編號(hào)、商品名稱、數(shù)量、毛重、發(fā)票金額、船名和開船日期傳真通知買方。

Shipping advice: The seller shall within 10 working days after the completion of the loading of the goods advise by fax the buyers of the contract No., commodity, quantity, invoice value, gross weight, name of vessel and date of sailing.10.保險(xiǎn)：

Insurance: Insurance shall be covered by the seller for 110% of the invoice value against Additional Risks and Strike Risks11.檢驗(yàn)： Inspection 賣方須在裝運(yùn)前15日委托德國機(jī)械進(jìn)出口檢驗(yàn)機(jī)構(gòu)對(duì)本合同之貨物進(jìn)行檢驗(yàn)并出具檢驗(yàn)證書，貨到目的港后，由買方委托中國進(jìn)出口貨物檢驗(yàn)機(jī)構(gòu)進(jìn)行檢驗(yàn)。The Seller shall have the goods inspected by 15 days before the shipment and have the Inspection Certificate issued by German Machinery I/E Inspection Bureau.The Buyer may have the goods reinspected by China I/E Inspection Corporation Shanghai Branch after the goods arrived at the destination.12.索賠：貨物到達(dá)買方后，買方應(yīng)向中國進(jìn)出口商品檢驗(yàn)檢疫局申請(qǐng)對(duì)質(zhì)量、規(guī)格、數(shù)量

進(jìn)行初步檢驗(yàn)，并出具檢驗(yàn)證明書，如發(fā)現(xiàn)貨物品質(zhì)、規(guī)格、數(shù)量與合同不符，除保險(xiǎn)公司或船運(yùn)公司應(yīng)負(fù)責(zé)的以外，買方在貨到90天內(nèi)有權(quán)換貨或索賠，一切費(fèi)用（如商檢費(fèi)、相關(guān)的運(yùn)費(fèi)、保險(xiǎn)費(fèi)etc）由賣方承擔(dān)。

Claims: Within 90 days after the arrival of goods at destination should be quality, specifications or quantity be found not in conformity with the stipulations of the contract except those claims for which the insurance company or the owners of the vessel are liable.the buyers shall, on the strength of the inspection certificate issued by Entry-Exit Inspection and Quarantine of the People’s Republic of China have the right to claim for replacement with new goods or for compensation and all the expenses(such as inspection charges, freight for returning the goods and for sending the replacement insurance premium)shall be borne by the sellers.12.仲裁：凡有關(guān)本合同或執(zhí)行本合同而發(fā)生的一切爭(zhēng)執(zhí)，應(yīng)通過友好協(xié)商解決。如不能解決，則應(yīng)申請(qǐng)進(jìn)行仲裁。仲裁將在中國貿(mào)易促進(jìn)委員會(huì)仲裁委員會(huì)進(jìn)行。其做出的裁決是最終的，買賣雙方均應(yīng)受其約束，任何一方不得向法院或其他機(jī)關(guān)申請(qǐng)變更。仲裁費(fèi)用由敗訴方負(fù)擔(dān)。

Arbitration: All disputes in connection with this contract or the execution thereof shall be settled through friendly negotiation, in case no settlement can be reached through negotiations, the case under dispute shall be submitted for arbitration to the China Economic and Trade Arbitration Commission Beijing in accordance with the provisional rules of procedures promulgated by the said arbitration commission.The award of the arbitration shall be final and binding upon both parties for revising the decision.The arbitration fee shall be borne by the losing part.13.不可抗力：由于人力不可抗拒事故，而賣方交貨遲延或不能交貨時(shí)，責(zé)任不在賣方，但

賣方應(yīng)立即將事故通知買方，并于事故發(fā)生后十四天內(nèi)將事故發(fā)生地政府主管機(jī)關(guān)出具的事故證明用空郵寄交賣方為證。

Force Majeure: The seller shall not be held responsible for any delay in delivery or non-delivery of the goods due to force majeure, which might occur during the process of manufacturing or in the course of loading or transit.However, the seller shall advise the buyer immediately of such occurrence and within 14 days thereafter, the seller shall send by airmail to the buyers for their acceptance a certificate of the accident issued by the competent government authorities of the place where the accident occurs as evidence thereof.14.附加條款：本合同一式二份買賣雙方各執(zhí)一份。

Supplements and other terms: This contract is made in two originals, one original to be held by each party.The original pieces have the same law effect to each party.All the disputes would be solved by the buyer within the people’s court of Sichuan province according to the Contract Law of PRC.

第二篇：對(duì)外貿(mào)易合同

對(duì)外貿(mào)易合同

甲方（賣方）:

乙方：（買方）

為了明確甲、乙雙方的權(quán)利和義務(wù)，根據(jù)《合同法》及有關(guān)規(guī)定，現(xiàn)就乙方購買甲方出售貨物（貨物名稱、規(guī)格、數(shù)量、單價(jià)、包裝見清單1）事宜達(dá)成如下協(xié)議，以資共同遵守。

第一條本合同所列條款，包括了雙方達(dá)成的全部協(xié)議，并取代在此以前雙方所達(dá)成的一切協(xié)議。除雙方授權(quán)主管人或代表同意書入本合同的條款外，其余一律無效。

第二條乙方須由甲方確認(rèn)的銀行，開出不克撤銷的、保兌的、允許轉(zhuǎn)船和分批裝運(yùn)、以乙方為受益人的見票即付信用證，信用證保兌費(fèi)用由乙方支付。

第三條甲方須向議付銀行提交下列單據(jù)：

1.海運(yùn)提單一式兩份。

2.發(fā)票一式四份。

3.由商品檢驗(yàn)局出具的質(zhì)量證書一式兩份。

4.由商品檢驗(yàn)局出具的數(shù)量/重量檢驗(yàn)報(bào)告一式兩份。

第四條 交貨

1.交貨期為。

2.裝運(yùn)港。

第五條裝運(yùn)條件

1.乙方可指定遠(yuǎn)洋運(yùn)輸代理公司作為其船運(yùn)代理，并負(fù)責(zé)支上海聞閩物質(zhì)進(jìn)出口有限公司備

付港口所有費(fèi)用。船到達(dá)裝運(yùn)港的預(yù)計(jì)日期和時(shí)間，以及船到達(dá)裝

運(yùn)港時(shí)，該船的吃水量以電報(bào)告知其代理。

2.乙方應(yīng)將租船方出具的組傳單一份盡快提交給甲方。

第六條貨物裝船后，凡發(fā)生貨物短缺、損壞、變質(zhì)，其風(fēng)險(xiǎn)均由

乙方承擔(dān)。貨物之投保由乙方自理。

第七條乙方應(yīng)通過銀行及時(shí)向甲方提供履約按金，金額為合同總

值的%，此按金作為乙方部分違約但尚未涉及全部協(xié)議的違約

罰金。乙方不按第二條開出不可撤銷的信用證時(shí)，甲方有權(quán)立即終

止合同，沒收上述3%按金并寫信給給乙方告之理由。

第八條 適用規(guī)矩和章程

1.裝運(yùn)條款：見清單2。

2.外輪在港速遣費(fèi)和滯期費(fèi)收取規(guī)定，見清單3。

3.滯期費(fèi)率/速遣費(fèi)率以及裝卸結(jié)算法則刊行于，應(yīng)遵照《合同法》頒布之規(guī)則予以辦理。所有費(fèi)用均由乙方負(fù)擔(dān)。

第九條甲、乙雙方在履行本合同過程中發(fā)生爭(zhēng)議，由雙方協(xié)商解

決；協(xié)商不成的，按本合同約定的下列方法之一進(jìn)行解決：

1.由仲裁委員會(huì)仲裁。

2.向人民法院起訴。

第十條甲方因不可抗力造成合同貨物推遲或妨礙交貨，甲方不承

擔(dān)責(zé)任。但甲方按乙方的要求，應(yīng)向乙方掛號(hào)郵寄由出具的證書，如有可能，也可提交由主管當(dāng)局出具的證書。

2.每批貨物裝運(yùn)前15天，乙方應(yīng)將船名、船籍、抵港日期、合同號(hào)、載重噸位等須經(jīng)甲方認(rèn)可的項(xiàng)目以信件告知甲方，以便甲方安排交

貨。

3.乙方將委托裝運(yùn)港遠(yuǎn)洋運(yùn)輸公司作為其海運(yùn)代理，乙方

承擔(dān)一切費(fèi)用，乙方將通過獲得該船進(jìn)出裝運(yùn)港口的所有

簽證。

乙方須于船抵裝運(yùn)港10天之前，將該船詳細(xì)以信件告知甲方。

4.船達(dá)裝運(yùn)港，甲方不能及時(shí)裝貨，由此而引起的空艙費(fèi)和滯期費(fèi)

由乙方承擔(dān)。

若15天裝運(yùn)期滿而船未達(dá)裝運(yùn)港，則自16天起的倉儲(chǔ)費(fèi)和滯期費(fèi)

由乙方承擔(dān)。

5.甲方保證1個(gè)工作日連續(xù)24小時(shí)每個(gè)艙口的裝貨率為公噸，遠(yuǎn)洋運(yùn)輸公司按外輪停靠港的有關(guān)

速遣費(fèi)和滯期費(fèi)計(jì)算暫行規(guī)定，與乙方直接進(jìn)行結(jié)算。

6.貨物完畢，甲方將合同號(hào)、品名、數(shù)量、裝運(yùn)船名和起航日期以

4）Delivery.At the date on which all transfer prices，party A shall deliver this real estate to Party B and the Certificate of Transfer and Handover shall be concluded by the Parties therefore.Property Management Fees and Utilities Expenses arising out of or in connection with this real estate shall be borne by Party A prior to such delivery, or shall be borne by Party B upon such delivery.Charges or expenses related to the fixtures and ancillary equipments & facilities of this real estate, as well as the prices of home appliances and furniture agreed by the Parties, have been included in the transfer price and Party A guarantee that all such ancillary equipments & facilities may work properly, all interior decorations thereof satisfy the conditions provided herein.5）相關(guān)費(fèi)用：Miscellaneous Charge.[交易稅費(fèi)]：雙方同意，交易中所涉及的上述買賣雙方的稅費(fèi)由 □各自承擔(dān)并支付；□由甲方承擔(dān)并支付；□由乙方承擔(dān)并支付。

4.APPLICATION OF LEGAL LIABILITIES

甲方保證該房地產(chǎn)產(chǎn)權(quán)清晰、權(quán)屬明確，無異議登記、單方預(yù)告登記，無司法、行政查封等限制性交易情形存在；若因本條所述情況導(dǎo)致本協(xié)議效力瑕疵，甲方應(yīng)返還乙方所有已付房款并賠償乙方實(shí)際損失。

Party a guarantees that it has full and clear ownership to this real estate, which is free of any dispute registered, unilateral advanced registration, judicial or administrative attachment or other events restricting trades.If any defect affecting the validity of this Contract is occurred due to any misrepresentation hereunder, Party A shall refund all transfer prices paid by Party B, and indemnify any and all losses and damages suffered by Party B there-from.五、【爭(zhēng)議解決】

6.DISPUTE SETTLEMENT

各方在本協(xié)議履行過程中發(fā)生爭(zhēng)議的，應(yīng)友好協(xié)商；協(xié)商不成的，應(yīng)向該房地產(chǎn)所在地人民法院起訴。

Any dispute arising out of or in connection with the performance hereof shall be settled by amiable negotiation, if fails, either Party may bring a lawsuit before the People’s Court with jurisdiction where this real estate is located.六、【合同效力】

6.VALIDITY

六、甲方義務(wù) Obligations of Party A 1.甲方須按時(shí)將房屋及附屬設(shè)施（詳見附件）交付乙方使用。

Party A will provide the premises and attached facilities(see the appendix of furniture list for detail)on schedule to Party B for using.2.房屋設(shè)施如因質(zhì)量原因、自然損耗或?yàn)?zāi)害而受到損壞，甲方有修繕并承擔(dān)相關(guān)費(fèi)用的責(zé)任。

In case the premise and attached facilities are damaged by quality problems, natural damages or disasters, Party A will be responsible to repair and pay the relevant expenses.3.甲方應(yīng)確保出租的房屋享有出租的權(quán)利，反之如乙方權(quán)益因此遭受損害，甲方應(yīng)負(fù)賠償責(zé)任。

Party A will guarantee the lease right of the premises.Otherwise, Party A will be responsible to compensate Party B's losses.七、乙方義務(wù) Obligations of Party B 1.乙方應(yīng)按合同的規(guī)定按時(shí)支付定金、租金及保證金。

Party B will pay the rental, the deposit and other expenses on time.2.乙方經(jīng)甲方同意，可在房屋內(nèi)添置設(shè)備。租賃期滿后，乙方將添置的設(shè)備搬走，并保證不影響房屋的完好及正常使用。

Party B may decorate the premises and add new facilities with Party A's approval.When this contract expires, Party B may take away the added facilities which are removable without changing the good conditions of the premises for normal use.3.未經(jīng)甲方同意，乙方不得將承租的房屋轉(zhuǎn)租或分租，并愛護(hù)使用該房屋如因乙方過失或過錯(cuò)致使房屋及設(shè)施受損，乙方應(yīng)承擔(dān)賠償責(zé)任。

九、違約及處理 Breach of the contract 1.甲、乙雙方任何一方在未征得對(duì)方諒解的情況下，不履行本合同規(guī)定條款，導(dǎo)致本合同中途中止，則視為該方違約，雙方同意違約金為人民幣_(tái)__________元整，若違約金不足彌補(bǔ)無過錯(cuò)方之損失，則違約方還需就不足部分支付賠償金。

一、出租人（以下簡(jiǎn)稱甲方）
