WHEREAS the undersigned wish to enter into this Agreement to define certain parameters of the future legal obligations, are bound by a duty of Confidentiality with respect to their sources and contacts.This duty is in accordance with the International Chamber of Commerce.鑒于簽約人希望簽署該份合約以規(guī)范雙方以后應遵行的法律義務,并就對方之業(yè)務及連絡人善盡保密之職責。
WHEREAS the undersigned desire to enter a working business relationship to the mutual and common benefit of the parties hereto, including their affiliates, subsidiaries, stockholders, partners, co-ventures, trading partners, and other associated organizations(hereinafter referred to as “Affiliates”).鑒于簽約人為達成彼此之共同之利益建立商業(yè)關(guān)系,其受惠之方包含其關(guān)系企業(yè)、子公司、股東、事業(yè)伙伴、國際合作經(jīng)營企業(yè)、貿(mào)易伙伴及其它相關(guān)企業(yè)等。(以下稱為「關(guān)系企業(yè)」)NOW THEREFORE in consideration of the mutual promises, assertions and covenants herein and other good and valuable considerations, the receipts of which is acknowledged hereby, the parties hereby agree as follows: 基于本約之合意、聲明、約定及其它約因,雙方當事人茲就下列各事項達成協(xié)議: 1.TERMS AND CONDITIONS 1.合約條款
A.The parties will not in any manner solicit, nor accept any business in any manner from sources or their affiliates, which sources were made available through this agreement, without the express permission of the party who made available the source and, A.在未經(jīng)雙方明示許可下,立約雙方及其關(guān)系企業(yè)皆不得以任何方式要求或接受任何其它第三方所提供之信息,B.The parties will maintain complete confidentiality regarding each other business sources and/or their Affiliates and will disclose such business sources only to the named parties pursuant to the express written permission of this party who made available the source, and,B.立約各方對另一方之業(yè)務和/或其關(guān)系企業(yè)之信息,應遵守絕對保密之原則,僅在對方正式書面許可下方可透露合作方之相關(guān)信息。
C.That they will not in any of the transactions the parties are desirous of entering into and do, to the best of their abilities assure the other that the transaction codes established will not be affected.C.在任何情況下,雙方保證盡力保護其交易數(shù)據(jù)之完整性,并盡可能不更動其原始交易代碼。D.That they will not disclose company names, addresses, e-mail address, website, telephone and tele-fax or telex numbers to any contacts by either party to third parties and that they each recognize such contracts as the exclusive property of the respective parties and they will not enter into any direct negotiations or transactions with such contracts revealed by the other party and D各方不得向任何第三方透露他方連絡人之公司名稱、地址、電子信箱、網(wǎng)址、電話、電報傳真或電傳號碼,且立約各方需將此連絡人視為其專屬財產(chǎn),亦不得直接與對方提供之連絡人進行議價或交易。
E.That they further undertake not to enter into business transaction with banks, investors, sources of funds or other bodies, the names of which have been provided by one of the Parties to this agreement, unless written permission has been obtained from the other party(ies)to do so.For the sale of this agreement, it does not matter whether information obtained from a natural or a legal person.E.在未經(jīng)對方書面許可之下,不得與其它銀行、投資者、基金會、或其它在合約中所提及之合作廠商進行商業(yè)活動?;诖朔莺霞s,其限制范圍不局限于自然人或法人,F(xiàn).The parties also undertake not to make use of a third party to circumvent this clause.F.且立約各方承諾不得利用第三方來規(guī)避此條款。
G.That in the event of circumvention of this Agreement by either party, directly or indirectly, the circumvented party shall be entitled to a legal monetary penalty equal to the maximum service it should realize from such a transaction plus any and all expenses, including but not limited to all legal costs and expenses incurred to recover the lost revenue.G.任一方以直接或間接方式違反此份合約者,應付懲罰性違約金,其金額為交易中所得到之最高金額之賠償,加上所有費用,其中包括但不限于因而致生之法律費用與支出。
H.All considerations, benefits, bonuses, participation fees and/or commissions received as a result of the contributions of the parties in the Agreement, relating to any and all transactions will be allocated as mutually agreed.H.所有雙方因協(xié)議中交易所獲得的報酬、收益、分紅、參與費用或傭金都將依照彼此最初
同意之比例分紅。
I.This Agreement is valid for any and all transaction between the parties herein and shall be governed by the enforceable law in All Commonwealth Country’s, European Union Country’s, Asian Countries, USA Courts, or under Swiss Law in Zurich, in the event of dispute, the arbitration laws of states will apply.I.本合約將規(guī)范立約雙方之所有交易活動,并以英聯(lián)邦國家,歐盟國家,亞洲國家,美國法院
或瑞士蘇黎世之法律為準據(jù)法,若有爭議,將依照該國仲裁法律解決。
J.The signing parties hereby accept such selected jurisdiction as the exclusive venue.The duration of the Agreement shall perpetuate for five(5)years from last date of signing and shall automatically extend to a new term of 5 years from the start of any roll, extension, renewal or additional transaction between the principals or, for a period of 5 years from the date of executing of this Agreement should no contract result.J.立約之雙方皆同意以上述法院為專屬管轄法院,合約有效期間自簽定日期起五年。2.AGREEMENT TO TERMS

A.Signatures on this Agreement received by the way of Facsimile, Mail and/or E-mail shall be an executed contract.Agreement enforceable and admissible for all purposes as may be necessary under the terms of the Agreement.A.任何經(jīng)由傳真、郵寄及電子信件送達之合約經(jīng)簽署后皆可視為一可履行之契約。
此合約在法律上具有強制性及可接受性,且所有行為皆需受到合約上條款之規(guī)范。
B.All signatories hereto acknowledge that they have read the foregoing Agreement and by their initials and signature that they have full and complete authority to execute the document for and in the name of the party for which they have given their signature.B.本文件之簽署人已詳細閱讀上述之合約,并獲得充分授權(quán)后,代表雙方當事人締

Providing of relevant business and commercial information from Party A to Party B is required for the ongoing business discussions or cooperation between Party A and Party B with respect to,this agreement is entered into by and between Party A and Party B through friendly consultations and under the principle of mutual benefit and joint development.第一條 保密資料的定義
Article 1 Definition of Confidential Information
在雙方協(xié)商期間乙方從甲方獲取的所有的通訊信息、信息、圖紙、產(chǎn)品和其他資料都是保密的(“保密信息”),但不包括下述資料和信息:
All communications, information, drawings, products and other materials obtained by Party B from Party A during the negotiations, are confidential(“Confidential Information”),excluding the following data and information:
1、已經(jīng)或?qū)⒐加诒姷馁Y料,但不包括甲乙雙方或其代表違反本協(xié)議規(guī)定未經(jīng)授權(quán)所披露的;
1.Information that is already or to be make public available,except those disclosed by Party A or its representatives in violation of this agreement and without authorization;
2、甲方向乙方披露前已為乙方知悉的非保密性資料;
2.Non-confidential information that has come to the attention of Party B before the disclosure of Party A;
第二條責任與義務
Article 2 Obligations and Liabilities
(一)乙方負有保密義務,承擔保密責任。
(1)Party B shall undertake confidentiality obligations and liabilities.(二)乙方未經(jīng)甲方書面同意不得向第三方(包括新聞界人士)公開和披露任何保密資料或以其他方式使用保密資料。乙方也須促使其代表不向第三方(包括新聞界人士)公開或披露任何保密資料或以其它方式使用保密資料。除非披露、公開或利用保密資料是乙方從事或開展合作項目工作在通常情況下應承擔的義務(包括乙方今后依法律或合同應承擔的義務)適當所需的。
(2)Party B shall not disclose or make public any confidential information to a third party(including the press)or otherwise make use of the confidential information without the written approval of the other party;Party B is obliged to urge its representatives not to disclose or make public any confidential information to a third party(including the press)or otherwise make use of the confidential information; unless the disclosure,publicity and application of the confidential information is required by the due performance of the obligation of Party B in association with the undertaking and proceeding of the cooperative programs under normal circumstances(including obligation to be assumed by Party B in the future pursuant to the law and the contracts signed by the two parties)。
(三)乙方均須把保密資料的接觸范圍嚴格限制在因本協(xié)議規(guī)定目的而需接觸保密資料的負責任的代表的范圍內(nèi);
(3)Party B shall strictly limit the access to the confidential information to its responsible representatives only for the purposes specified hereunder.(四)除經(jīng)過甲方書面同意而必要進行披露外,乙方不得將含有對方或其代表披露的保密資料復印或復制或者有意無意地提供給他人;
(4)Party B shall not provide a third party with copies or duplicates of the confidential information disclosed by Party A or its representative,whether intentionally or not,unless the disclosure is allowed by a written agreement signed by Party A.(五)如果合作項目不再繼續(xù)進行或其中一方因故退出此項目,經(jīng)甲方在任何時候提出書面要求,乙方應當、并應促使其代表在五(5)個工作日內(nèi)銷毀或向甲方返還其占有的或控制的全部保密資料以及包含或體現(xiàn)了保密資料的全部文件和其它材料并連同全部副本。但是在不違反本協(xié)議其它條款的條件下,雙方可僅為本協(xié)議第四條之目的,保留上述文件或材料的復制件一份;
(5)In the event that the proceeding of the cooperative program ceases or either party quits the program with reasons,Party B shall and shall urge its representatives to destroy or return to Party A all confidential information as well as all documents and materials and all duplicates thereof containing confidential information within five working days,upon the request of Party A at any time.Nevertheless,Party B that possess the confidential information may keep one piece of the duplicates of the documents or materials described above only for the purpose enshrined in Article 4 hereunder,without breaching other provisions of this agreement.第三條 知識產(chǎn)權(quán)
Article 3 Intellectual Property Rights
甲方向乙方或乙方代表披露保密資料并不構(gòu)成向乙方或乙方代表轉(zhuǎn)讓或授予其商業(yè)秘密、商標、專利、技術(shù)秘密或任何其它知識產(chǎn)權(quán)擁有的權(quán)益,也不構(gòu)成向乙方或乙方代表轉(zhuǎn)讓或授予受第三方許可使用的商業(yè)秘密、商標、專利、技術(shù)秘密或任何其他知識產(chǎn)權(quán)的有關(guān)權(quán)益。
Disclosure of the confidential information by Party A to Party B or its representatives shall not be construed to constitute an assignment or grant to Party B or its representatives of the rights and interests in relation to its trade secrets,trademarks,patents,know-how or any other intellectual property,nor shall it constitute an assignment or grant to Party B or its representatives the rights and interests in relation to the trade secrets,trademarks,patents,know-how,or any other intellectual property authorized by a third party.第四條 保密資料的保存和使用
Article 4
Preservation and Application of the Confidential Information
(一)乙方有權(quán)保存必要的保密資料,以便在履行其在合作項目工作中所承擔的法律、規(guī)章與義務時使用該等保密資料。
(1)Party B has the right to preserve necessary confidential information,so as to make use of which in implementing binding laws,regulations,and obligations under their cooperative programs.(二)乙方在書面通知甲方并將披露的復印件抄送甲方后,可根據(jù)需要在提交任何市、省、中央或其他對乙方有管轄權(quán)的監(jiān)管團體的任何報告、聲明或證明中披露保密資料。
(2)Party B can,in light of actual demand,disclose the confidential information in any reports,statements or certificates submitted to any regulatory organs at municipal,provincial,central,or other levels that have jurisdiction over Party B,after informing Party A in written form and making a copy for Party A of the disclosed information.第五條 違約金
Article 5 Payment of Penalty
違反本協(xié)議項下的任何一項義務的單個情況,違約方應當支付伍萬美元(USD 50.000)的違約金。此等違約金不限制另一方要求超出此數(shù)額的實際損害賠償?shù)臋?quán)利。任何一次對本協(xié)議的違約行為都不應當被認為是前一次違約行為的繼續(xù)。
For each individual breach of an obligation under this agreement the Party in breach shall pay a contractual penalty of the equivalent amount of fifty thousand United States Dollars(USD 50,000.), without limiting the right of the other Party to claim actual damages in excess of this amount.No act of breach of this Agreement shall be considered the continuation of a previous act of breach of this Agreement.第六條 爭議解決和適用法律
Article 6 Dispute Settlement and Governing Laws
本協(xié)議受中華人民共和國法律管轄并按中華人民共和國法律解釋。對因本協(xié)議或本協(xié)議各方的權(quán)利和義務而發(fā)生的或與之有關(guān)的任何事項和爭議、訴訟或程序,本協(xié)議雙方不可撤銷地接受中華人民共和國法院的管轄。
This agreement shall be governed by and be interpreted in accordance with the laws of the People's Republic of China.With respect to any issues,disputes,lawsuits or proceedings arising from or in connection with the rights and obligations of the parties hereunder,the two parties shall irrevocably accept the jurisdiction of the people's courts of the People's Republic of China.第七條 協(xié)議有效期
Article 7 Term of the Agreement
本協(xié)議有效期為五年,自甲乙雙方簽字蓋章之日起生效。
This agreement shall remain effective for five years,and shall come into force as from the date when both parties sign and stamp the company chop on the agreement.第八條 其他
Article 8 Miscellaneous Provisions
(一)本合同的語言為中文和英文。若中英文不一致的,則以中文為準。
(1)This Agreement shall be drawn up in an English and a Chinese version.If there is any discrepancy between English and Chinese versions, the Chinese version shall prevail.(二)本協(xié)議一式四份,雙方各執(zhí)兩份,具有同等法律效力。

共同保密協(xié)議
ABC公司(以下稱為ABC),其總部設于——,與XYZ(以下稱為XYZ),其總部
設于——,鑒于本協(xié)議的共同契約條款,謹達成如下協(xié)議:
1.在協(xié)議雙方有關(guān)策略性聯(lián)盟(此后稱為“主題事項事項”)的磋商問題上,本協(xié)議一方可以在保密的基礎(chǔ)上向另一方披露其專有資訊(此后稱為“資訊”),披露方可以認為該等資訊具有專有性,因為披露方是在協(xié)議雙方內(nèi)部披露了該資訊,或因為披露方在接受“資訊”的同時已經(jīng)承擔了為“資訊”繼續(xù)保密的義務,或由于其它的原因。
2.當被視為專有的“資訊”以載體的形式被提供時,披露方須以對“資訊”進行標記的方式,指出該資訊的專有性或機密性,或者把該資訊的傳布局限在協(xié)議所規(guī)定的范圍里。當“資訊”被口頭提供時,提供方在披露的同時,應明確聲明其專有性或機密性,或者把該資訊的傳布限制在協(xié)議規(guī)定范圍里,或者,事后立即書面確認該資訊的專有性和機密性。此外,該協(xié)議之實體和條款,雙方就“主題事項事項”所進行磋商的事實和內(nèi)容以及相關(guān)“主題事項事項”的通信都被將認為具有專有性。
3.關(guān)于該協(xié)議所披露的“資訊”,獲披露“資訊”的一方,其職員及其附屬公司的職員應該
做到:
a.對該資訊保密,其采取的謹慎程度不少于披露方為保護其不愿披露的專有機密資訊所
采取的謹慎程度,并且,在任何情況下,以合理的謹慎程度進行保密。
b.把資訊的披露范圍僅僅局限于董事會、公司高級職員、職員和/或有必要知道的代理/
顧問,不得將資訊披露給其他任何人。
c.建議獲披露該“資訊”之人士履行對該資訊的保密義務。
d.僅僅將該資訊用于有關(guān)“主題事項事項”的通信和磋商上,除此以外使用該資訊必須經(jīng)
雙方書面同意。
4.獲披露“資訊”一方想要將“資訊”披露給非附屬的顧問和代理,必須首先經(jīng)由“資訊”原本披露方的書面認可,并且與該顧問和代理簽署有關(guān)保密協(xié)議,其形式必須為“資訊”原本披
露方所滿意。
5.“資訊”應被視為資訊披露方的財產(chǎn),一旦該方要求,另一方應以載體的形式把所有“資訊”歸還給披露方,或者按照資訊披露方的指示銷毀該資訊。如另一方丟失了“資訊”或者在未經(jīng)授權(quán)的情況下披露了“資訊”,應立即通知對方并作合理的努力來追回丟失或錯誤地泄露
了的資訊。
6.在下述情況下,獲披露“資訊”的一方?jīng)]有任何義務來保持該資訊的專有性:
a.此前已為不受保密性義務約束的一方獲知,或
b.即便不存在未經(jīng)授權(quán)的披露該資訊也可以或者將可以逐漸為公眾所悉,或
c.披露或代表該資訊的一方與該協(xié)議項下的任何資訊無關(guān),或
d.該資訊從第三方獲得,其披露不違反任何保密義務,或
e.“資訊”被依法提供或應有司法權(quán)的政府部門的要求根據(jù)某項法令被提供,或者在訴訟的過程中按照法律的要求被提供,被要求提供“資訊”的一方應立即通知另一方該命令或要求。如果對方為了要用合法的手段,包括但不限于照相和保護性措施以達到限制和避免資訊被披露的目的而要求(自行承擔費用)介入有關(guān)資訊披露的命令或要求事務,該方應按照另
一方所要求的任何合理的方式與另一方合作。
7.該協(xié)議、該協(xié)議項下資訊的提供以及正在進行的磋商和雙方信函往來都不構(gòu)成或意指對“主題事項”的承諾或關(guān)于“主題事項”的約束雙方極其相關(guān)的下屬公司的義務。如果將來雙方選擇對“主題事項”達成約束性的承諾,必須以書面形式單獨訂立由雙方簽署的協(xié)議以明確說明該義務。雙方據(jù)此認定無意將他們的磋商、往來信函和其它活動被視為形成有關(guān)主題事
項的合約。在沒有另行書面協(xié)議的情況下,也不視為其他任何的彼此間的交易。
8.任何一方都不必對另一方依據(jù)該協(xié)議所采取的行動以及依據(jù)該協(xié)議所提供的資訊而作出的商業(yè)決策和推斷負任何責任。任何一方都不可據(jù)此要求另一方改變其經(jīng)商手法服務方式,任何一方都不承擔其評析的準確度的義務。任何一方對“資訊”不作明確的或暗示的擔保。任何一方對另一方因“資訊”的提供和使用所遭受的利潤損失,業(yè)務損失或者間接性、繼升性、懲罰性的損害之款項不承擔責任。
9.本協(xié)議對在此所提的雙方極其繼承人或受讓人均有約束。
10.本協(xié)議將受英國法律的制約并以英國法律為解釋依據(jù),并受到英國法庭的司法管轄。一旦該協(xié)議項下事項引起爭議并提起訴訟,敗訴方將承擔法庭費用和勝訴方合理的律師費。
11.該協(xié)議項下的資訊的披露時期(資訊披露期)可以在以下指定的生效日后的一年內(nèi)。資訊披露期期滿時,本協(xié)議款3和款4所包含的雙方的責任義務在資訊披露期屆滿后須繼續(xù)
生效三年。
12.協(xié)議各方認同,如果出現(xiàn)未經(jīng)授權(quán)的“資訊”披露的情況,其結(jié)果該資訊原始提供方(權(quán)利人)遭受的損害難于或者不可能確定。如果賠償不足,資訊權(quán)利人可以向違反本協(xié)議的一方尋求強制性的救濟/或履行本協(xié)議以及追索賠償金。
13.只要該項協(xié)議沒有被違反,對于本協(xié)議的解釋不應妨礙各方從事其他商務活動,無
論這些商務活動是否與雙方所交換的專年有資訊相關(guān)。
14.本協(xié)議構(gòu)成各方對本協(xié)議下提供的“資訊”的完整理解。本協(xié)議的任何修改或變動應以書面形式由協(xié)議雙方各自正式指定的代表簽署,否則均為無效或?qū)﹄p方不產(chǎn)生約束力。協(xié)議各方表示指派各自授權(quán)的代表在以下簽明日期代表簽署本協(xié)議,就本文所述的承諾
和責任約束對方。

Mutual Non-Disclosure Agreement
ABC Company having its principal office at _________(hereinafter referred to as “ABC”)and XYZ Company having its principal office at _________(hereinafter referred to as “XYZ”)in
consideration of the mutual covenants of this Agreement, hereby agree as follows:
Article 1 In connection with negotiations between both parties regarding a strategic alliance(hereinafter referred to as “Subject Matter”), each party to this Agreement may wish to disclose its
proprietary information(hereinafter referred to as “Information”)to the other party on a confidential basis.The disclosing party may consider such Information proprietary under this Agreement either because it has developed the Information internally, or because it has received
the Information subject to a continuing obligation to maintain the confidentiality of the
Information, or because of other reasons.Article 2 When information deemed to be proprietary is furnished in a tangible form, the disclosing party shall mark the Information in a manner to indicate that it is considered proprietary or confidential or otherwise subject to limited distribution as provided herein.When Information is provided orally, the disclosing party shall, at the time of disclosure, clearly identify the information as being proprietary or confidential or otherwise subject to limited distribution as provided herein, and promptly thereafter provide written confirmation of the proprietary or confidential nature of such information.In addition, the existence and terms of this Agreement, and the fact and substance of discussions and correspondence between the parties concerning the
Subject Matter, shall be deemed Proprietary Information.Article 3 With respect to Information disclosed under this Agreement, the party to whom the
Information is disclosed, its employees and employees of its affiliated companies shall:
(1)Hold the Information in confidence, exercising a degree of care not less than the care used by disclosing party to protect its own proprietary of confidential information that it does not wish
to disclose, and in any event, not less than a reasonable degree of care;
(2)Restrict disclosure of the Information solely to those directors, officers, employees and/or
agents/consultants with a need to know and not disclose it to any other person;
(3)Advise those persons to whom the Information was disclosed of the obligations to keep in
confidence with respect to the Information;and
(4)Use the Information only in connection with continuing correspondence and discussions by the parties concerning the Subject Matter, except as may otherwise be mutually agreed upon in
writing.Article 4 If the party to whom information has been disclosed proposes to disclose that Information to any unaffiliated consultant or agent, it shall obtain the prior written consent of the party from whom the Information was originally received, and shall arrange for the execution of
the consultant or agent of non-disclosure agreement in a form satisfactory to the party from whom
the Information was originally received.Article 5 The Information shall be deemed the property of the disclosing party and, upon request, the other party shall return all Information received in tangible form to the disclosing party or shall destroy all such information at the disclosing party's direction.If either party loses or makes an unauthorised disclosure of the other party's Information, it shall notify such other party immediately and use reasonable efforts to retrieve the lost or wrongfully disclosed Information.Article 6 The party to whom Information is disclosed shall have no obligation to preserve the
proprietary nature of any Information which:
(1)Was previously known to such party free of any obligation to keep it confidential;or
(2)Is or becomes generally available to the public by means other than unauthorized
disclosure;or
(3)Is developed by or on behalf of such party independent of any information furnished
under this Agreement;or
(4)Is received from a third party whose disclosure does not violate any confidentiality
obligation;or
(5)Is required to be disclosed by law or by any government agency having jurisdiction pursuant to an order to produce or in the course of a legal proceeding pursuant to a lawful request for discovery provided, however, that if a party is so required to disclose the Information such party shall promptly notify the other party of the order or request in discovery and cooperate with such other party in any reasonable manner requested in the event the other party elects(at its expense)to intervene in the proceeding in which the order was entered or the request for discovery made for the purpose of limiting or avoiding such disclosure by any lawful means including, but
not limited to in camera review and protective order.Article 7 Neither this Agreement, nor the disclosure of Information under this Agreement, nor the ongoing discussions and correspondence between the parties, shall constitute or imply a commitment or binding obligation between the parties or their respective affiliated companies, if
any, regarding the Subject Matter.If, in the future, the parties elect to enter into binding commitments regarding the Subject Matter, such commitments shall be explicitly stated in a separate written agreement executed by both parties, and the parties hereby affirm that they do not intend their discussions, correspondence, and other activities to be construed as forming a contract regarding the Subject Matter or any other transaction between them without execution of such
separate written agreement.Article 8 Neither party is responsible or liable for other party's actions taken pursuant to this Agreement, or for any business decisions made or inferences drawn by the other party in reliance on the Information provided according to this Agreement.Neither party solicits any changes in the
business practices or services of the other, and no obligations are incurred with regard to the accuracy of the observations of either party.Neither party makes any warranty, express or implied, with respect to the Information.Neither party shall be liable to the other hereunder for amounts representing loss of profits, loss of business, or indirect, consequential, or punitive damages of the
other party in connection with the provision or use of the Information hereunder.Article 9 This Agreement shall be binding upon the parties hereto and their respective
successors and assignees.Article 10 This Agreement shall be governed by and construed in accordance with Britain Law and shall be subject to the jurisdiction of the English Courts.In the event of a dispute arising under this Agreement resulting in litigation, the loosing party shall pay the court costs and

The trade secret leakage caused by the Party B’s behavior, those behavior should be immediately terminated and the acts of infringement on Party A’s trade secrets should be immediatelyterminated;Party B should actively assist the Party A to take remedial measures to prevent the continued expansion of the disclosure, due to the breach, Party B should pay to Party A according to the caused economic losses, the losses include: direct losses, potential losses and the expenses of the allegation.5.2 若該泄密行為發(fā)生在甲、乙雙方勞動合同關(guān)系存續(xù)期間,則乙方除承擔上述責任外,甲方還有權(quán)無條件解除與乙方的勞動合同。

(5)years following the date that Disclosing Party first discloses such Confidential Information to Receiving Party, except as expressly provided in Sections 2(b)and 2(c)of this Agreement;
