一、知識產(chǎn)權(quán)歸屬（Ownership of Intellectual Property Rights）

除非淘寶另行聲明，淘寶平臺內(nèi)的所有產(chǎn)品、技術(shù)、軟件、程序、數(shù)據(jù)及其他信息（包括但不限于文字、圖像、圖片、照片、音頻、視頻、圖表、色彩、版面設計、電子文檔）的所有知識產(chǎn)權(quán)（包括但不限于版權(quán)、商標權(quán)、專利權(quán)、商業(yè)秘密等）及相關權(quán)利，均歸淘寶或其關聯(lián)公司所有。未經(jīng)淘寶許可，任何人不得擅自使用（包括但不限于復制、傳播、展示、鏡像、上載、下載）。

淘寶平臺的Logo、“淘寶”、“Taobao”等文字、圖形及其組合，以及淘寶平臺的其他標識、徵記、產(chǎn)品和服務名稱均為淘寶及其關聯(lián)公司在中國和其它國家的商標，未經(jīng)淘寶書面授權(quán)，任何人不得以任何方式展示、使用或作其他處理，也不得向他人表明您有權(quán)展示、使用或作其他處理。

Unless otherwise stated by Taobao, all intellectual property rights(including but without limitation to copyright, trademark, patent and trade secret)and related rights in, of, and to all products, technology, software, programs, data and other information(including but without limitation to words, images, pictures, photos, audios, videos, charts, colors, layout and electronic file)within Taobao Platform are vested in Taobao or its affiliated companies.Without the consent of Taobao, no one is permitted to use(including but without limitation to copy, transmit, display, mirror, upload and download)the said information.Logo, “Taobao”, and other words, graphics and combination of words and graphics as well as other logos, marks, product names and service names within Taobao Platform are all trademarks of Taobao and its affiliated companies in China and other countries.Without written authorization of Taobao, no one may display, use or otherwise dispose of any of the said trademarks in any way.Furthermore, even if any party is entitled to display, use or otherwise dispose of any of the said trademarks, the party may not disclose its right to any other person.二、責任限制（Limitation on Liability）

鑒于淘寶平臺提供的服務屬于電子公告牌（BBS）性質(zhì)，淘寶平臺上的店鋪、商品信息（包括但不限于店鋪名稱、公司名稱、聯(lián)系人及聯(lián)絡信息、產(chǎn)品的描述和說明、相關圖片、視頻等）均由會員自行提供并上傳，由會員對其提供并上傳的所有信息承擔相應法律責任。淘寶平臺轉(zhuǎn)載作品（包括論壇內(nèi)容）出于傳遞更多信息之目的，并不意味淘寶贊同其觀點或已經(jīng)證實其內(nèi)容的真實性。

Whereas the services provided by Taobao Platform are of the nature of bulletin board system(BBS), all information on shops and commodities on Taobao Platform(including but without limitation to names of shops, names of companies, liaisons and contact information, product description and specification, pictures and videos)are provided and uploaded by members, who shall assume legal responsibility for the said information.Taobao Platform carries works(including contents on forum)for the purpose of transferring more information, which does not mean that Taobao agrees with the viewpoints in the works or has confirmed the trueness of the contents of the works.三、知識產(chǎn)權(quán)保護（Protection of Intellectual Property Rights）

Taobao respects intellectual property rights and opposes any act of infringement and pirating.If a holder of intellectual property rights thinks that any content on Taobao Platform(including but without limitation to commodity information released by any member of Taobao Platform)may infringe any of his/her legitimate rights and benefits, he/she may send a written notice through Taobao’s intellectual property rights protection platform(qinquan.taobao.com).After receiving the notice, Taobao will deal with such issue in time.隱私權(quán)政策（Privacy Right Policy）

2.在您使用服務過程中收集的信息。

為了提供并優(yōu)化您需要的服務，我們會收集您使用服務的相關信息，這類信息包括：

在您使用淘寶平臺服務，或訪問淘寶平臺網(wǎng)頁時，淘寶自動接收并記錄的您的瀏覽器和計算機上的信息，包括但不限于您的IP地址、瀏覽器的類型、使用的語言、訪問日期和時間、軟硬件特征信息及您需求的網(wǎng)頁記錄等數(shù)據(jù)；如您下載或使用淘寶或其關聯(lián)公司客戶端軟件，或訪問移動網(wǎng)頁使用淘寶平臺服務時，淘寶可能會讀取與您位置和移動設備相關的信息，包括但不限于設備型號、設備識別碼、操作系統(tǒng)、分辨率、電信運營商等。

3.來自第三方的信息

c）信用評價、違反法律規(guī)定或違反淘寶規(guī)則行為及淘寶已對您采取的措施；

d)應法律法規(guī)要求需公示的企業(yè)名稱等相關工商注冊信息以及自然人經(jīng)營者的信息。

When you use the services of Taobao Platform or visit the web pages of Taobao Platform, Taobao will automatically receive and record the information on your browser and computer, including but without limitation to your IP address, the type of the browser, the language used, date and time of visit, information on characteristics of software and hardware and records on the web pages required by you;when you download or use any client software of Taobao or any of its affiliated companies, or access to mobile web pages to use the services of Taobao Platform, Taobao may read information related to your position and the mobile equipment you’re using, including but without limitation to model of equipment, identification code of equipment, operating system, resolution and telecom operator.In addition to the information above, we may collect any other information about you in order to provide services to you and improve our service quality, including any information provided by you to our customer service team, your answers to our questionnaire, and any information collected by us when you interact with any affiliated company or partner of Taobao.Meanwhile, in order to improve safety when you use the services of Taobao Platform, prevent any phishing website from fraud more accurately, and block Trojan, we may judge the risk of your account by knowing your habit of accessing to web and information on software commonly used by you, and may record some URLs which we deem to have risks.3.Information from any third party

To provide you with better, higher-quality, more personalized services, or provide services to you together with Taobao, or prevent Internet fraud, the affiliated companies and partners of Taobao will share your personal information with Taobao according to law, any agreement with you, or with your consent in advance.You acknowledge and agree that any of the following information is not governed by this Policy:

a)Key words input by you when you use the search services of Taobao Platform;

c)Credit assessment, acts in violation of laws, regulations or the rules of Taobao, and measures taken by Taobao against you;

We’re obliged to keep your personal information confidential and will not sell or rent any of your personal information to any third party for the purpose of the marketing of the third party, provided that we may share your personal information with the third party under any of the following circumstances:

“瑕疵不擔保”聲明的法律意義

我國《拍賣法》第61條規(guī)定：“拍賣人，委托人在拍賣前聲明不能保證拍賣標的的真?zhèn)位蛘咂焚|(zhì)的，不承擔瑕疵擔保責任?！边@一規(guī)定不但成?榕穆粢到繚諗穆羥捌氈椴捎玫摹拌Υ貌壞１Ｉ?明”，也成?樵諞蜩Υ靡?發(fā)的訴訟中，拍賣人的抗辯理由。雖然拍賣人通常在拍賣前的告知中，強調(diào)了這一瑕疵不擔保聲明，但在實踐中仍然可能引發(fā)異議，并被持相反意見的人認?榕穆羧死?用了這一規(guī)定，規(guī)避了其應當承擔的法律責任。還有人認?檎庖還娑ǔ?榕穆羧說牡布?牌，對競買人和買受人顯失公平，甚至認?欏杜穆舴ā分械惱庖還娑ㄈ鄙俟?正性，提出應當修改《拍賣法》中的這一規(guī)定。

對《拍賣法》第61條的全面理解

除了“瑕疵不擔保聲明”外，《拍賣法》第61條還規(guī)定：拍賣人、委托人違反本法第十八條第二款、第二十七條的規(guī)定，未說明拍賣標的的瑕疵，給買受人造成損害的，買受人有權(quán)向拍賣人要求賠償，屬于委托人責任的，拍賣人有權(quán)向委托人追償。這一規(guī)定表明拍賣人和委托人具有瑕疵告知的義務，同時競買人具有相應知情權(quán)。拍賣人和委托人未履行告知義務，損害了競買人知情權(quán)的，拍賣人和委托應當承擔賠償責任。從而應當明確，瑕疵不擔保聲明并不能對抗瑕疵告知義務。

但是在實踐中，拍賣標的物具有特殊性和多元性，在特定情況下排賣標的物并不能完全等同于一般商業(yè)行?櫓械南?費品。拍賣標的物可能是財產(chǎn)，也可能是財產(chǎn)權(quán)利，其中屬于財產(chǎn)的同時可能存在物質(zhì)瑕疵的權(quán)利瑕疵，從而給拍賣人和委托人的瑕疵告知帶來障礙。另一方面，當拍賣標的物是財產(chǎn)權(quán)利時。拍賣僅實現(xiàn)了用益物權(quán)的轉(zhuǎn)讓。因此轉(zhuǎn)讓后的結(jié)果可能導致難以預期的變化，也給委托人陽拍賣人的瑕疵告知帶來障礙。當拍賣標的物是有價證券、股權(quán)、文物、藝術(shù)品時，競買人明顯具有投資屬性，并導致產(chǎn)生投資風險，也給委托人和拍賣人的瑕疵告知帶來障礙；拍賣標的大部分是進入市場后再流通的商品，不能和新商品進行直接的比對，在市場上再流通的商品可能因流通和使用存在次生瑕疵，如二手車或舊設備等等。因此，瑕疵不擔保聲明在拍賣中具有特殊的意義，具有明確的法理學依據(jù)和立法公正性。

競買人在藝術(shù)品市場的投資傾向分析

在文物藝術(shù)品等拍賣市場中，競買人表現(xiàn)出的投資價值是十分明顯的。

首先，可以發(fā)現(xiàn)已經(jīng)在拍賣市場上出現(xiàn)過的文物藝術(shù)品，在一段時間后，經(jīng)過增值再次出現(xiàn)在拍賣市場中。如齊白石的同一幅作品，在1998年拍賣時成交價??14萬元。四年后2002年再次拍賣，成交價增至56萬元，至2007年第三次拍賣時，成交價飆升至700多萬元，這一結(jié)果不僅表明拍賣人的成交記錄，而且表明了買受人的投資取得了成功。除文物藝術(shù)品拍賣市場外，股票，基金，債券等標的物的拍賣，同樣具有明顯的投資價值。

其次，文物藝術(shù)品拍賣市場的價格波動和股票、基金、房地產(chǎn)等投資市場具有明顯的投資價值和顯著的連鎖特征，當股票、基金或者房地產(chǎn)市場疲軟時，其他投資市場則可能一派興旺景象。這與社會中的資金流向和投資價值趨勢緊密相關，因此將藝術(shù)品買賣納入投資行?槭撬忱沓燒碌摹?

在證券市場中，我們經(jīng)常會看到“股市有風險，入市須謹慎”這樣的風險提示，甚至在基金投資市場中也可以告知，因此當競買人在拍賣市場中表現(xiàn)出投資趨勢時，也同樣應當有“拍賣有風險，競買須謹慎”之類的風險提醒。在實踐中沒有發(fā)生過買受人投資成功與拍賣人分享紅利的現(xiàn)象，當然買受人也無權(quán)將其投資失敗的結(jié)果歸咎于委托人和拍賣人。

“瑕疵不擔?！甭暶鞯娘L險告知作用

我國歷史悠久，流傳的文物眾多，而且這些標的物的鑒定往往以個人經(jīng)驗鑒定?櫓鰨?不可能像其他標的物一樣采用科學的手段加以判斷。人?榫?驗鑒定可能產(chǎn)生鑒定結(jié)果的不確定性，這就?櫬死啾甑奈锏惱嫖焙丸Υ眉?定帶來困難。因拍賣標的真?zhèn)螌е碌募m紛中，還存在“畫家本人主張該作品?樨推貳鋇南窒螅?即畫家或藝術(shù)家直接否定拍賣標的的真實性，從而導致糾紛“事實上畫家作?櫚筆氯艘環(huán)街髡牌渥髕氛嫖鋇氖焙潁?畫家本人應當自動喪失裁判權(quán)。畫家否定作品真實的主張，同樣具有不確定性，畫家?？赡芊穸ㄗ约核囆g(shù)未成熟前的作品，畫家還可能否定未經(jīng)許可而流散的作品，甚至因個人情緒或者家庭原因，還可能否定保存在他人手中的作品，因此當畫家成?槿?利主張一方的同時，必然更喪失鑒定權(quán)，而應當由第三方作出公正的堅定與判斷。當前我國文物立法中主要原則?樽⒅乇；ぃ?關于藝術(shù)品買賣的立法甚至付諸闕如，缺少法律鑒定標準。另一方面具有普遍意義上的權(quán)威鑒定機構(gòu)尚不完善，國家文物鑒定委員會不參與民間以及市場鑒定，僅對國家公立收藏機構(gòu)提供服務。不久前成立的文化部藝術(shù)品鑒定委員會，雖然已取得了良好收效，但尚缺少公眾認知，還需要較長時間加以穩(wěn)固和提高。因此此類拍賣市場中，在提醒風險告知的同時，要求買家作出慎重決定，并且?樽約旱木孤虺械７?律后果的做法同樣順理成章。

“瑕疵不擔?！甭暶骶哂忻黠@的風險告知作用從而真正的保護了競買人的合法權(quán)益，競買人正確理解委托人和拍賣人的瑕疵不擔保聲明，并在競買前最大限度的了解標的物的真?zhèn)魏丸Υ茫髦刈鞒隽烁傎I決定，理智參與竟買，是保障拍賣成功，降低拍賣風險的重要前提。就此而言《拍賣法》中的這一規(guī)定，不但不是拍賣人的擋箭牌或者借口，而是最大限度的保護了竟買人的合法權(quán)益。

“瑕疵不擔保聲明”應當和拍賣的價格表述互相一致，當委托人對某一標的物確定好保留價時，其瑕疵不擔保聲明應當服從于價格要求，不能出現(xiàn)一方面提出高價格要求，另一方面主張不承擔真?zhèn)蔚蔫Υ脫?，而應當遵循?quán)利和義務對等原則。同理，當拍賣人聲明對拍賣標的物的真?zhèn)魏丸Υ貌挥钃r。其價格要求也應當和瑕疵不擔保聲明相互一致，應當遵守合同意思表達的真實性，而不能利用瑕疵不擔保聲明掩蓋其價格索求。

根據(jù)我國合同法的有關規(guī)定，在合同中不得作出涉及到損害當事人人身安全和財產(chǎn)安全的條款，因此《拍賣法》第61條還規(guī)定：“因拍賣標的存在缺陷造成人身、財產(chǎn)損害請示賠償?shù)脑V訟時效期間，適用《中華人民共和國質(zhì)量法》和其他法律的有關規(guī)定。”委托人和拍賣人作出的瑕疵不擔保聲明不得對抗《中華人民共和國質(zhì)量法》不得給競買人和買受人造成人身安全和財產(chǎn)損害，所以盡管委托人和拍賣人曾經(jīng)作出過瑕疵不擔保聲明，但不能免除給競買人和買受人造成人身安全和財產(chǎn)損失的法律責任。

綜上所述，《拍賣法》第61條規(guī)定“瑕疵不擔保聲明”，其宗旨在于保護競買人和買受人的合法權(quán)益，提醒并且告知因標的物的真?zhèn)魏丸Υ每赡軒淼呐馁u風險，是保證拍賣程序順利進行和防止在拍賣成交后產(chǎn)生違約現(xiàn)象的法律保障。
