第二篇：保函中英文對(duì)照

保函中英文對(duì)照

1.對(duì)外承包工程保函風(fēng)險(xiǎn)專(zhuān)項(xiàng)資金(Outward Guarantee Under Government Special Fund For Overseas Construction)由中央財(cái)政出資設(shè)立，為符合規(guī)定的對(duì)外承包工程項(xiàng)目開(kāi)具的投標(biāo)、履約、預(yù)付款保函提供擔(dān)保、墊支賠付的專(zhuān)項(xiàng)資金。本專(zhuān)項(xiàng)資金項(xiàng)下的保函業(yè)務(wù)由財(cái)政部、商務(wù)部委托我行及授權(quán)分行獨(dú)家承辦。

2.對(duì)外勞務(wù)合作備用金保函(Retention Guarantee For Labor Cooperation)銀行根據(jù)《對(duì)外勞務(wù)合作備用金暫行辦法》為開(kāi)展對(duì)外勞務(wù)合作業(yè)務(wù)的企業(yè)向商務(wù)主管部門(mén)出具的，保證企業(yè)在解決外派勞務(wù)人員突發(fā)事件中支付一定款項(xiàng)的書(shū)面文件。

3.履約保函(Performance Guarantee)銀行應(yīng)客戶申請(qǐng)向工程承包項(xiàng)目中的業(yè)主或商品買(mǎi)賣(mài)中的買(mǎi)方出具的，保證申請(qǐng)人嚴(yán)格履行承包合同或供貨合同的書(shū)面文件。

4.投標(biāo)保函(Tender Guarantee/Bid Bond)在以招標(biāo)方式成交的工程建造和物資采購(gòu)等項(xiàng)目中，銀行應(yīng)招標(biāo)方的要求出具的、保證投標(biāo)人在招標(biāo)有效期內(nèi)不撤標(biāo)、不改標(biāo)、中標(biāo)后在規(guī)定時(shí)間內(nèi)簽定合同或提交履約保函的書(shū)面文件。

5.預(yù)付款保函(Advance Payment Guarantee)銀行應(yīng)客戶申請(qǐng)向工程承包項(xiàng)目中的業(yè)主或商品買(mǎi)賣(mài)中的買(mǎi)方出具的，保證申請(qǐng)人在業(yè)主或買(mǎi)方支付預(yù)付款后履行合同義務(wù)的書(shū)面文件。

6.融資保函(Financing Guarantee)銀行應(yīng)借款人申請(qǐng)向貸款人出具的，保證借款人履行借貸資金償還義務(wù)的書(shū)面文件。

7.付款保函(Payment Guarantee)銀行應(yīng)合同買(mǎi)方申請(qǐng)向賣(mài)方出具的，保證買(mǎi)方履行因購(gòu)買(mǎi)商品、技術(shù)、專(zhuān)利或勞務(wù)合同項(xiàng)下的付款義務(wù)面出具的書(shū)面文件。

8.為境外投資企業(yè)提供的融資性對(duì)外擔(dān)保(Financing Guarantee For Overseas Investment)銀行應(yīng)企業(yè)國(guó)內(nèi)母公司的申請(qǐng)，為其境外全資附屬企業(yè)或參股企業(yè)向當(dāng)?shù)亟鹑跈C(jī)構(gòu)融資或取得授信額度而出具的擔(dān)保，保證境外企業(yè)履行貸款本息償還義務(wù)或授信額度協(xié)議規(guī)定的資金償還義務(wù)。

9.海事保函(Marine Guarantee)銀行應(yīng)船東、船公司、船東互保協(xié)會(huì)或保險(xiǎn)公司的申請(qǐng)向海事法院或海事仲裁機(jī)構(gòu)出具的，保證其被扣留的船只或財(cái)產(chǎn)被釋放后，能夠按照法院的判決書(shū)或仲裁結(jié)果上列明的賠款金額做出賠付的書(shū)面文件。

10.預(yù)留金保函(Retention Money Guarantee)銀行應(yīng)工程承包方或供貨方的申請(qǐng)，向業(yè)主或買(mǎi)方出具的保證申請(qǐng)人在提前支取合同價(jià)款中的尾款部份后繼續(xù)履行合同義務(wù)的書(shū)面文件。

11.關(guān)稅保函(Customs Guarantee)應(yīng)申請(qǐng)人要求向海關(guān)出具的，保證申請(qǐng)人履行繳納關(guān)稅義務(wù)的書(shū)面文件。

12.訴訟保函(Litigation Guarantee)銀行應(yīng)原告申請(qǐng)向司法部門(mén)出具的，保證原告在敗訴的情況下履行損失賠償義務(wù)的書(shū)面文件。

13.質(zhì)量/維修保函(Quality/Maintenance Guarantee)銀行應(yīng)工程承包方或供貨方的申請(qǐng)，向業(yè)主或買(mǎi)方出具的保證申請(qǐng)人履行保修期或維修期內(nèi)合同義務(wù)的書(shū)面文件。

14.加工貿(mào)易稅款保付保函(Taxation Guarantee For Processing Trade)銀行應(yīng)加工貿(mào)易企業(yè)的要求，向海關(guān)出具的保證加工貿(mào)易企業(yè)在海關(guān)核定的加工貿(mào)易合同手冊(cè)有效期內(nèi)，履行產(chǎn)品出口或按規(guī)定繳納稅款的書(shū)面保證。

15.網(wǎng)上支付稅費(fèi)擔(dān)保(E-Taxation Guarantee)根據(jù)海關(guān)總署2005年第40號(hào)公告等有關(guān)規(guī)定，為滿足納稅義務(wù)人在海關(guān)辦理先放行貨物后繳納海關(guān)稅費(fèi)的網(wǎng)上支付業(yè)務(wù)需求，向海關(guān)出具的保證納稅義務(wù)人在海關(guān)規(guī)定的期限內(nèi)向海關(guān)繳納到期應(yīng)繳稅費(fèi)的書(shū)面擔(dān)保。

16.加工貿(mào)易進(jìn)口料件保證金臺(tái)賬業(yè)務(wù)(Taxation Guarantee for Processing Trade)經(jīng)營(yíng)加工貿(mào)易的單位或企業(yè)憑主管海關(guān)核準(zhǔn)的手續(xù)，按合同備案料、件金額向主管海關(guān)所在地的中國(guó)銀行申請(qǐng)?jiān)O(shè)立加工貿(mào)易進(jìn)口料件保證金臺(tái)賬，加工成品在規(guī)定的加工期限內(nèi)全部出口，經(jīng)海關(guān)核銷(xiāo)合同后，再由中國(guó)銀行核銷(xiāo)保證金臺(tái)賬。若企業(yè)在合同規(guī)定的加工期內(nèi)未能及時(shí)出口或經(jīng)批準(zhǔn)轉(zhuǎn)內(nèi)銷(xiāo)的，海關(guān)將會(huì)同稅務(wù)部門(mén)和中國(guó)銀行對(duì)企業(yè)進(jìn)行稅款追繳。對(duì)于逾期不向海關(guān)辦理核銷(xiāo)手續(xù)的加工貿(mào)易企業(yè)，中國(guó)銀行不再為其開(kāi)設(shè)新臺(tái)賬。加工貿(mào)易企業(yè)設(shè)立臺(tái)賬時(shí)分為“實(shí)轉(zhuǎn)”和“空轉(zhuǎn)”兩種。

17.租賃保函(Lease Guarantee)銀行應(yīng)承租人的申請(qǐng)向出租人出具的，保證承租人按期支付租金的書(shū)面文件。根據(jù)租賃方式的不同，可分為融資租賃和經(jīng)營(yíng)租賃保函。

18.保函通知在對(duì)外經(jīng)貿(mào)活動(dòng)中，保函的受益人在商務(wù)談判中指定中國(guó)銀行作為保函的通知銀行。無(wú)論是信開(kāi)還是電開(kāi)的保函，中國(guó)銀行能為客戶核驗(yàn)保函的真實(shí)性，并及時(shí)將保函正本通知客戶。

19.出具保函承諾函在正當(dāng)合理的業(yè)務(wù)背景下應(yīng)客戶申請(qǐng)出具的承諾我行將為其出具保函的書(shū)面文件。分為有條件承諾函和無(wú)條件承諾函。

20.延期付款保函對(duì)延期支付或遠(yuǎn)期支付的合同價(jià)款以及由于延付而產(chǎn)生的利息所做出的一種書(shū)面付款保證。

21.即期付款保函應(yīng)買(mǎi)方或業(yè)主申請(qǐng)向賣(mài)方或承包方出具的，保證合同項(xiàng)下貨款支付或承包工程進(jìn)度款支付的書(shū)面保證文件。

22.認(rèn)沽權(quán)證保函在上市公司股權(quán)分置改革中，銀行應(yīng)非流通股大股東（被擔(dān)保人）的申請(qǐng)，向享有被擔(dān)保人派送的上市公司認(rèn)沽權(quán)利的投資者出具的保證被擔(dān)保人履行其在上市公司股權(quán)分置改革時(shí)派發(fā)的認(rèn)沽權(quán)利中的義務(wù)的不可撤消的連帶責(zé)任擔(dān)保。
