5、乙方須正確維護(hù)該物業(yè)內(nèi)甲方所提供之家具、電器、裝置及設(shè)備、該物業(yè)之原來一切設(shè) 備如有因非正當(dāng)使用造成的損壞，乙方須負(fù)責(zé)修理或賠償。

12、甲方須承擔(dān)該物業(yè)的房產(chǎn)稅、土地使用稅。party a shall pay all property tax, land tax and any other tax or charge of the said premises.租約期內(nèi)，甲方有權(quán)將該物業(yè)出售給第三者，本合約對購得該物業(yè)之新業(yè)主仍然有效，所有適用于甲、乙雙方的條款，同樣無條件適用于新業(yè)主和乙方。

六、甲方義務(wù) obligations of party a 1.甲方須按時(shí)將房屋及附屬設(shè)施（詳見附件）交付乙方使用。party a will provide the premises and attached facilities（see the appendix of furniture list for detail）on schedule to party b for using.2.房屋設(shè)施如因質(zhì)量原因、自然損耗或?yàn)?zāi)害而受到損壞，甲方有修繕并承擔(dān)相關(guān)費(fèi)用的責(zé)任。in case the premise and attached facilities are damaged by quality problems，natural damages or disasters，party a will be responsible to repair and pay the relevant expenses.3.甲方應(yīng)確保出租的房屋享有出租的權(quán)利，反之如乙方權(quán)益因此遭受損害，甲方應(yīng)負(fù)賠償責(zé)任。

七、乙方義務(wù) obligations of party b 1.乙方應(yīng)按合同的規(guī)定按時(shí)支付定金、租金及保證金。

party b will pay the rental，the deposit and other expenses on time.2.乙方經(jīng)甲方同意，可在房屋內(nèi)添置設(shè)備。租賃期滿后，乙方將添置的設(shè)備搬走，并保證不影響房屋的完好及正常使用。party b may decorate the premises and add new facilities with party as approval.when this contract expires，party b may take away the added facilities which are removable without changing the good conditions of the premises for normal use.3.未經(jīng)甲方同意，乙方不得將承租的房屋轉(zhuǎn)租或分租，并愛護(hù)使用該房屋如因乙方過失或過錯致使房屋及設(shè)施受損，乙方應(yīng)承擔(dān)賠償責(zé)任。4.乙方應(yīng)按本合同規(guī)定合法使用該房屋，不得擅自改變使用性質(zhì)。乙方不得在該房屋內(nèi)存放危險(xiǎn)物品。否則，如該房屋及附屬設(shè)施因此受損，乙方應(yīng)承擔(dān)全部責(zé)任。

八、合同終止及解除的規(guī)定 termination and dissolution of the contract 1.乙方在租賃期滿后如需退租或續(xù)租，應(yīng)提前兩個(gè)月通知甲方，由雙方另行協(xié)商退租或續(xù)租事宜。在同等條件下乙方享有優(yōu)先續(xù)租權(quán)。

7.1 party a hereby guarantees that party a is the legal owner and has the right to lawfully lease the premises.otherwise, party a shall bear the legal liability arising therefrom in full.7.1 甲方保證是項(xiàng)目合法的擁有者，其有權(quán)合法出租該單元，否則產(chǎn)生的法律責(zé)任均由甲方承擔(dān)。

第十三條：在出現(xiàn)下列情形之一時(shí)，甲方有權(quán)書面通知乙方解除合同：

1、乙方違反國家法律、法規(guī)，進(jìn)行不法經(jīng)營活動。

2、乙方擅自改變該商鋪的經(jīng)營性質(zhì)、范圍。

3、乙方擅自將該商鋪轉(zhuǎn)租、分租、轉(zhuǎn)讓。

4、乙方嚴(yán)重違反商鋪的其它有關(guān)管理規(guī)定，致使甲方或第三人的權(quán)益受到嚴(yán)重侵害，經(jīng)甲方提出后仍不予改正。

5、由于乙方自身原因，自簽定本合同之日起，逾期達(dá)三十天以上未對外營業(yè)（裝修期除外），將視乙方違約，甲方有權(quán)終止合同。并沒收乙方所支付的保證金，并收回商鋪。

6、乙方門面裝修設(shè)計(jì)方案，須呈送甲方備案，并經(jīng)甲方書面同意后，方可施工裝修，否則視為違約。

7、乙方入住商業(yè)步行街，要合法經(jīng)營，以及要遵守本社區(qū)經(jīng)營管理公司及物業(yè)公司對商業(yè)步行街各項(xiàng)規(guī)章制度管理?xiàng)l例。

第十四條：甲方應(yīng)確保為乙方提供經(jīng)營所需要的水、電、照明及其它必要的條件和設(shè)施，水量為不少于 噸/日，電量不少于 千瓦。但如乙方的實(shí)際使用量（經(jīng)實(shí)際運(yùn)營情況衡量）與以上設(shè)定出入在±35%，承租人應(yīng)承擔(dān)相應(yīng)的增容費(fèi)用或與之相關(guān)的處罰金。出租人應(yīng)為承租人提供排污、排水、排煙、空調(diào)設(shè)施安放的合理位置，并保證乙方安放上述設(shè)施不受他人干涉。

第十五條：乙方租賃該房屋需要自行承擔(dān)水、電等相關(guān)費(fèi)用。支付時(shí)間、方式為接到甲方出示的水、電等部門的繳費(fèi)單之日起的五天內(nèi)繳清上述費(fèi)用。

第十六條：乙方在該商鋪?zhàn)赓U期間應(yīng)依照有關(guān)規(guī)定按時(shí)向甲方繳納物業(yè)管理費(fèi)，物業(yè)管理費(fèi)按該房屋實(shí)際使用面積分?jǐn)?，物業(yè)管理費(fèi)每月每平方米 元，按乙方租賃該房屋平方米，應(yīng)承擔(dān)物業(yè)管理費(fèi) 元/月。

1、該房屋主體結(jié)構(gòu)部分發(fā)生非乙方或乙方顧客原因而損壞由甲方負(fù)責(zé)進(jìn)行維 修并承擔(dān)費(fèi)用。如因乙方或乙方顧客原因損壞的，由乙方進(jìn)行維修并承擔(dān) 費(fèi)用。如造成損壞無法修復(fù)，則乙方應(yīng)作相應(yīng)的經(jīng)濟(jì)補(bǔ)償；乙方裝修改建 部分的損壞由乙方負(fù)責(zé)維修并承擔(dān)費(fèi)用。

2、水以水表為界，靠該房屋一側(cè)的管路由乙方維修并承擔(dān)費(fèi)用，水表以外（含水表）由甲方維修并承擔(dān)費(fèi)用；

3、電以電表及控制箱為界，靠該房屋一側(cè)由乙方維修并承擔(dān)費(fèi)用，電表及控制箱以外（含電表及控制箱）由甲方維修并承擔(dān)費(fèi)用；

4、污水管道到該房屋外第一個(gè)窖井前（含該窖井）由乙方維修并承擔(dān)費(fèi)用，第一個(gè)窖井后管路由甲方維修并承擔(dān)費(fèi)用；

5、乙方設(shè)置的隔油池由乙方維修并承擔(dān)費(fèi)用，隔油池靠該房屋側(cè)的管路由乙方維修并承擔(dān)費(fèi)用，隔油池外側(cè)管路由甲方維修并承擔(dān)費(fèi)用；

6、煤氣由乙方與供氣方約定相互責(zé)任；

7、弱電系統(tǒng)以該房屋控制箱為界，控制箱靠該房屋側(cè)管路由乙方維修并承擔(dān)費(fèi)用，控制箱以外（含控制箱）管路由甲方維修并承擔(dān)費(fèi)用；

8、該房屋內(nèi)部消防設(shè)施由乙方維修并承擔(dān)費(fèi)用；乙方自行改建設(shè)施由乙方維修并承擔(dān)費(fèi)用。第十九條：乙方須提供有效的資信證件，如營業(yè)執(zhí)照、稅務(wù)登記證、商標(biāo)注冊證、經(jīng)營許可證、食品衛(wèi)生許可證及經(jīng)營有關(guān)的文件和資料等。

第二十條：合同履行過程中，甲方不履行合同規(guī)定應(yīng)承擔(dān)的義務(wù)，嚴(yán)重影響乙方正常經(jīng)營活動，乙方有權(quán)提前以書面形式通知甲方解除合同，并無需承擔(dān)任何責(zé)任。

第六部分 裝飾裝修 第二十一條：本合同生效后，在不影響商鋪建筑結(jié)構(gòu)的情況下，乙方有權(quán)依其經(jīng)營需要，對該商鋪及設(shè)施進(jìn)行內(nèi)部裝修、布置和改造，乙方應(yīng)提前將裝修方案送甲方審批。經(jīng)甲方批準(zhǔn)方案后，乙方方可依相關(guān)法規(guī)（如《消防法》等）進(jìn)行申報(bào)及裝修。

第二十二條：本合同生效后，乙方自行裝修該房屋（包括道具、照明設(shè)備及其他用品用具），經(jīng)乙方裝修后該房屋的裝潢物，在合同終止后，除經(jīng)甲方同意外，其處置權(quán)歸甲方所有。

第二十三條：乙方同意支付裝修施工押金 元（含水、電押金）并于施工開始前支付給甲方。裝修完畢，經(jīng)甲方檢驗(yàn)合格，退還押金。

第七部分 物業(yè)管理

第二十四條：在本合同有效期內(nèi)，乙方對該商鋪擁有使用權(quán)，經(jīng)甲方同意，乙方可以進(jìn)行轉(zhuǎn)租、分租、轉(zhuǎn)讓（包括無償轉(zhuǎn)借給第三方使用），但經(jīng)營范圍應(yīng)符合甲方的要求。

第二十五條：乙方保證其一切經(jīng)營活動必須遵守國家和地方有關(guān)的法律法規(guī)，并遵守甲方制訂的有關(guān)商鋪管理的規(guī)定。

第二十六條：乙方應(yīng)保持該商鋪及各項(xiàng)設(shè)施設(shè)備清潔完好，在租賃期滿時(shí)，將其以完好狀態(tài)（正常磨損除外）交還甲方。

第二十七條：乙方不得自行或允許他人在該商鋪內(nèi)存放有毒有害、易燃易爆的危險(xiǎn)物品，亦不得自行或允許他人在該商鋪內(nèi)放置超過樓層設(shè)計(jì)載荷的物品，或裝設(shè)可能引起震動、噪音、干擾的機(jī)具。

第二十八條：乙方自行負(fù)責(zé)所經(jīng)營場貨物、物品及其他設(shè)施的安全，包括對自然災(zāi)害的保險(xiǎn)及治安防盜等，并應(yīng)對在其經(jīng)營場地范圍內(nèi)發(fā)生的人身傷害負(fù)責(zé)。

第二十九條：甲方應(yīng)為乙方的店招牌提供合理、醒目的架設(shè)或懸掛處，并經(jīng)協(xié)商有償為乙方提供在該房屋外或公共部位，人行通道等處懸掛廣告牌、指示牌的合理位置。

第三十條： 甲乙雙方任一方由于自身原因需提前終止合同，應(yīng)提前一個(gè)月以書面方式通知對方。

第三十一條：乙方在合同期滿后無意繼續(xù)租賃，應(yīng)提前一個(gè)月以書面通知方式通知甲方。第三十二條：合同終止時(shí)，乙方保證依照甲方通知的時(shí)間，七日內(nèi)撤離現(xiàn)場，辦妥該商鋪移交手續(xù)。逾期視同乙方放棄權(quán)益，甲方有權(quán)清理該場地及貨物，乙方不得有異

議。

第八部分 不可抗力規(guī)定 第三十三條：不可抗力是指無法預(yù)見或雖可預(yù)見但無法控制或避免其發(fā)生的事件，包括但不限于地震、火災(zāi)、戰(zhàn)爭等。由于不可抗力的發(fā)生致使本合同項(xiàng)下各項(xiàng)義務(wù)無法正常履行時(shí)，其履行可以減免或延遲，直至影響其正常履行的因素消失；如不可抗力的發(fā)生致使本合同無法繼續(xù)履行，本合同終止，雙方不承擔(dān)責(zé)任。

第九部分 違約責(zé)任

第三十四條：甲方如無故自行終止合同，構(gòu)成違約。甲方應(yīng)就其違約行為給乙方造成的經(jīng)濟(jì)損失向乙方進(jìn)行賠償。

第三十五條：本合同約定的租賃期限開始后，如甲方不能按期將該商鋪交付乙方使用，甲方需提前三十日書面通知乙方，并告知乙方預(yù)定交付場地時(shí)間，推遲期間累計(jì)不超過九十日。如九十日后甲方仍未能將經(jīng)營場地交付乙方使用，乙方有權(quán)以書面形式通知甲方解除本合同。

第三十六條：乙方如有違反本合同規(guī)定的行為，甲方有權(quán)扣除保證金以補(bǔ)償甲方因乙方違約而受到的損害。此外甲方還可按合同規(guī)定終止本合同，并要求乙方賠償保證金不足的部分 第三十七條：乙方應(yīng)向甲方賠償因乙方過錯所造成的該商鋪及設(shè)備設(shè)施的損壞，及因乙方違約給甲方造成的其它經(jīng)濟(jì)損失。如雙方無爭議，乙方應(yīng)在收到甲方書面通知之日起五日內(nèi)向甲方支付賠償。

第三十八條：違約金、賠償金應(yīng)于明確責(zé)任之日起十日內(nèi)支付給對方。第十部分 其它

第三十九條：本合同的訂立、效力、解釋、履行和爭議的解決，均受中國法律管轄，凡與本合同有關(guān)的一切爭議，雙方通過友好協(xié)商解決。如果協(xié)商不成，提交甲方所在地法院裁決。

第四十條： 依本合同所發(fā)出的任何通告及其它文件，均須為書面方式，若通告及其他文件以派送、掛號郵件或圖文傳真，需按雙方已簽訂的地址或圖文傳真號碼發(fā)送；如有變更，其中一方以書面通知另一方按變更后之地址或傳真號碼發(fā)送，即被視為正式發(fā)送之文件。

第四十一條：本合同未盡事宜，雙方可通過友好協(xié)商訂立補(bǔ)充協(xié)議，附件和補(bǔ)充協(xié)議作為本合同的有效組成部分，與本合同具有同等法律效力。

第四十二條：本合同一式二份，甲、乙兩方各執(zhí)一份，每份具有同等的法律效力。第四十三條：本合同自甲、乙雙方代表簽字蓋章之日起生效。
