上述服務每小時每人80元，總計費用為人民幣貳佰肆拾萬零肆仟元整（小寫：￥2404000.00元），如有增加，以實際增加進行計算。上述費用包含乙方服務人員來往交通、裝備、薪酬、福利、保險等費用。

第三條：甲方權(quán)利義務

Article third : the rights and obligations of Party A

1.甲方應為乙方現(xiàn)場工作人員提供必要的工作條件及相應辦公值班用具(指辦公座椅、照明接入工具如電線、電扇等，負責對保全人員進行本單位規(guī)章制度的教育。保全人員進駐現(xiàn)場后，甲方應把企業(yè)自身防盜、消防等真實情況通報乙方及乙方保全人員，使之能在執(zhí)勤過程中及時發(fā)現(xiàn)隱患，及時報告和妥善處理。

indemnity clause

1.事故發(fā)生后甲方或乙方警衛(wèi)人員（以先發(fā)現(xiàn)者為準）應立即向警方報案并通知對方，對因乙方未及時通知甲方，導致甲方無法對事故原因進行合理查勘或無法核實損失情況，由乙方承擔責任。

本合同中所有條款均屬商業(yè)秘密，甲、乙雙方均負有保密義務，未經(jīng)對方書面同意，不得向任何第三方透漏。任何一方向第三方透漏本合同相關(guān)信息，均屬違約行為，未泄密方有權(quán)要求泄密方支付違約金，相當于本合同規(guī)定的保全服務費用總額的30%，并保留向泄密方追究因泄密造成的商業(yè)利益損失的權(quán)利。

甲方保證該房地產(chǎn)產(chǎn)權(quán)清晰、權(quán)屬明確，無異議登記、單方預告登記，無司法、行政查封等限制性交易情形存在；若因本條所述情況導致本協(xié)議效力瑕疵，甲方應返還乙方所有已付房款并賠償乙方實際損失。

Party a guarantees that it has full and clear ownership to this real estate, which is free of any dispute registered, unilateral advanced registration, judicial or administrative attachment or other events restricting trades.If any defect affecting the validity of this Contract is occurred due to any misrepresentation hereunder, Party A shall refund all transfer prices paid by Party B, and indemnify any and all losses and damages suffered by Party B there-from.五、【爭議解決】

6.DISPUTE SETTLEMENT

各方在本協(xié)議履行過程中發(fā)生爭議的，應友好協(xié)商；協(xié)商不成的，應向該房地產(chǎn)所在地人民法院起訴。

Any dispute arising out of or in connection with the performance hereof shall be settled by amiable negotiation, if fails, either Party may bring a lawsuit before the People’s Court with jurisdiction where this real estate is located.六、【合同效力】

6.VALIDITY

本協(xié)議自甲、乙雙方簽署起對甲、乙生效，丙方簽署后對丙方生效，一式三份，甲、乙、丙三方各執(zhí)一份。

1.Terms of the contract 合同條款

2.Project stages項目階段

4.Force Majeure不可抗力

“Force Majeure” under the contract means the external circumstances that can not be foreseen, avoided and surmounted in the process of fulfilment of the contract, the incidents of which makes either party fails to fulfill the obligations under the contract, such as wars, riots, government behaviors, earthquake, fire, storms, floods or other severe weathers.本合同下的“不可抗力”是指在執(zhí)行合同的過程中不能被預見、避免、克服的外在因素，從而導致合同任意一方無法履行合同責任，如戰(zhàn)爭、**、政府行為、地震、火災、風暴、洪水或其他惡劣天氣。

All technologies, laws and financial informations relating to this contract are trade secrets, shall not be disclosed to the third parties listed out of the contract without the consent of all parties under the contract, otherwise, the telltale party shall be liable to assume 10% of the total contract price for breach of the contract to the other party.Should the compensation not be sufficient for the actual losses, the amount of the compensation shall be increased in accordance with the actual losses.與本項目相關(guān)的所有技術(shù)、法律和金融信息都被視為商業(yè)秘密，任何一方不得透露給合同外的第三方，否則，泄密的一方因違約須賠償合同總額的10%予另一方。如果賠償不足以賠付實際損失的，賠償額應根據(jù)實際損失相應的增加。
