三、【買賣交易細(xì)則】

3.SALES RULES

4）Delivery.At the date on which all transfer prices，party A shall deliver this real estate to Party B and the Certificate of Transfer and Handover shall be concluded by the Parties therefore.Property Management Fees and Utilities Expenses arising out of or in connection with this real estate shall be borne by Party A prior to such delivery, or shall be borne by Party B upon such delivery.Charges or expenses related to the fixtures and ancillary equipments & facilities of this real estate, as well as the prices of home appliances and furniture agreed by the Parties, have been included in the transfer price and Party A guarantee that all such ancillary equipments & facilities may work properly, all interior decorations thereof satisfy the conditions provided herein.5）相關(guān)費(fèi)用：Miscellaneous Charge.[交易稅費(fèi)]：雙方同意，交易中所涉及的上述買賣雙方的稅費(fèi)由 □各自承擔(dān)并支付；□由甲方承擔(dān)并支付；□由乙方承擔(dān)并支付。

4.APPLICATION OF LEGAL LIABILITIES

甲方保證該房地產(chǎn)產(chǎn)權(quán)清晰、權(quán)屬明確，無異議登記、單方預(yù)告登記，無司法、行政查封等限制性交易情形存在；若因本條所述情況導(dǎo)致本協(xié)議效力瑕疵，甲方應(yīng)返還乙方所有已付房款并賠償乙方實(shí)際損失。

Party a guarantees that it has full and clear ownership to this real estate, which is free of any dispute registered, unilateral advanced registration, judicial or administrative attachment or other events restricting trades.If any defect affecting the validity of this Contract is occurred due to any misrepresentation hereunder, Party A shall refund all transfer prices paid by Party B, and indemnify any and all losses and damages suffered by Party B there-from.五、【爭(zhēng)議解決】

6.DISPUTE SETTLEMENT

各方在本協(xié)議履行過程中發(fā)生爭(zhēng)議的，應(yīng)友好協(xié)商；協(xié)商不成的，應(yīng)向該房地產(chǎn)所在地人民法院起訴。

Any dispute arising out of or in connection with the performance hereof shall be settled by amiable negotiation, if fails, either Party may bring a lawsuit before the People’s Court with jurisdiction where this real estate is located.六、【合同效力】

6.VALIDITY

本協(xié)議自甲、乙雙方簽署起對(duì)甲、乙生效，丙方簽署后對(duì)丙方生效，一式三份，甲、乙、丙三方各執(zhí)一份。

This Contract shall have binding force to Party A and Party B upon signatures of such two Parties are made hereon, and shall have binding force to Party C if signature of Party C is also made hereon.This Contract shall be executed in triplicate and each Party shall have one copy.

1.Terms of the contract 合同條款

2.Project stages項(xiàng)目階段

4.Force Majeure不可抗力

“Force Majeure” under the contract means the external circumstances that can not be foreseen, avoided and surmounted in the process of fulfilment of the contract, the incidents of which makes either party fails to fulfill the obligations under the contract, such as wars, riots, government behaviors, earthquake, fire, storms, floods or other severe weathers.本合同下的“不可抗力”是指在執(zhí)行合同的過程中不能被預(yù)見、避免、克服的外在因素，從而導(dǎo)致合同任意一方無法履行合同責(zé)任，如戰(zhàn)爭(zhēng)、**、政府行為、地震、火災(zāi)、風(fēng)暴、洪水或其他惡劣天氣。

All texts, graphics, charts, datas and other documents described about this project are the properties belonging to XXXXX.XXXXX shall not disclose any information of this project to any third party without authorization, shall not use any of the documents and informations above in any other project, otherwise, all resulting legal liabilities shall be assumed by XXXXX.本項(xiàng)目涉及的所有材料均屬于甲方。乙方在未授權(quán)的情況下，不應(yīng)向任何第三方透露本項(xiàng)目的任何信息，也不能在其他項(xiàng)目中使用本項(xiàng)目的任何資料與信息，否則，由此產(chǎn)生的法律責(zé)任由乙方負(fù)責(zé)。

The copyright(except authorship)of the design results in this project is belonging to XXXXX.XXXXX shall not use the design results under this project on the irrelated

intentions and purposes to the project, shall not authorize any third party or disclose any content of the design results.XXXXX may inform XXXXX before using the design results submitted by XXXXX on other occasions besides this project, XXXXX shall not have any right to reject the foregoing acts.本項(xiàng)目涉及的所有版權(quán)（除著作權(quán)外）均屬于甲方，乙方不得在與本項(xiàng)目無關(guān)的意圖或目的下使用其設(shè)計(jì)成果，也不可以授權(quán)第三方或透露任何設(shè)計(jì)細(xì)節(jié)。甲方在與本項(xiàng)目無關(guān)的場(chǎng)合下使用乙方提交的設(shè)計(jì)成果，可提前告知乙方，乙方無權(quán)拒絕前述行為。

All technologies, laws and financial informations relating to this contract are trade secrets, shall not be disclosed to the third parties listed out of the contract without the consent of all parties under the contract, otherwise, the telltale party shall be liable to assume 10% of the total contract price for breach of the contract to the other party.Should the compensation not be sufficient for the actual losses, the amount of the compensation shall be increased in accordance with the actual losses.與本項(xiàng)目相關(guān)的所有技術(shù)、法律和金融信息都被視為商業(yè)秘密，任何一方不得透露給合同外的第三方，否則，泄密的一方因違約須賠償合同總額的10%予另一方。如果賠償不足以賠付實(shí)際損失的，賠償額應(yīng)根據(jù)實(shí)際損失相應(yīng)的增加。

The terms of intellectual property and the duty of confidentiality shall not be invalidated by the completion of the execution, change, termination and inefficacy of the contract.知識(shí)產(chǎn)權(quán)和保密責(zé)任條款不應(yīng)隨工作的完成或合同的變更、終止和失效而無效。

6.Payment款項(xiàng)

Payments shall be made as follows:

7.Scope of service服務(wù)范圍

XXXXX shall provide the individual services described during the specified time period.The decision as to the priority of the individual measures shall be taken by mutual consent together with XXXXX.The individual services are as follows:

XXXXX assists XXXXX to complete the design concept for Shanghai Nature History Museum(subbranch of Shanghai Science and Technology Museum)project based on a high international standard.設(shè)計(jì)概念

乙方協(xié)助甲方確定上海自然博物館（上?？萍拣^分館）項(xiàng)目的設(shè)計(jì)概念，并保證概念的國(guó)際化高標(biāo)準(zhǔn)。

Consultancy

XXXXX offers individual consultanting services to XXXXX in different phases of the project and direct XXXXX to a way of which a proper design result could come out.Experienced and qualified experts shall be transferred to XXXXX during the design period as required.咨詢顧問工作

乙方向甲方提供不同階段的咨詢顧問服務(wù)，引導(dǎo)甲方更好的完成設(shè)計(jì)成果。設(shè)計(jì)期內(nèi)，乙方應(yīng)根據(jù)需要將有經(jīng)驗(yàn)和資質(zhì)的專家調(diào)職到甲方。

Presentations

XXXXX is in charge of all the presentations designed for Shanghai Nature History Museum(subbranch of Shanghai Science and Technology Museum).XXXXX shall ensure the quality of the presentation with XXXXX’s advices.方案介紹

乙方負(fù)責(zé)所有需為XXXXXX設(shè)計(jì)的方案展示。在甲方的意愿下保證方案展示的質(zhì)量。

Design drawings

XXXXX shall assist XXXXX in design drawing details if necessary.設(shè)計(jì)圖

在甲方需要的情況下，乙方應(yīng)在設(shè)計(jì)圖細(xì)節(jié)方面給予協(xié)助。

8.Provision of third party services 第三方服務(wù)條款

Where services are provided by third parties(e.g.printing, etc.), XXXXX shall monitor production and guarantee that the service is performed competently.Payment for this service is covered by the overall budget.由第三方提供服務(wù)的地方，乙方應(yīng)監(jiān)督制作及保證服務(wù)質(zhì)量。此服務(wù)涉及的費(fèi)用包含在總預(yù)算中。

10.Concluding provisions 最后條款
