Documents for Applying for Establishing a Foreign-invested Enterprise

一、外資企業(yè)

I.Foreign-capital enterprise

＊

1、設(shè)立外資企業(yè)申請(qǐng)書(shū)（原件1份，投資者簽字蓋章）；

* 1.Application for establishing a foreign-capital enterprise(1 original, signed and sealed by the investor);＊

2、可行性研究報(bào)告（原件1份、投資者簽字、蓋章）； * 2.Feasibility study report(1 original, signed and sealed by the investor);＊

3、外資企業(yè)章程（正本4份，投資者簽字并加蓋公章）；

* 3.Articles of association of the foreign-capital enterprise(4 originals, signed by the investor, affixing the official seal).4、外資企業(yè)法定代表人人選（或者董事會(huì)人選名單，如有）（原件1份）；

4.Legal representative of the foreign-capital enterprise(or roster of directors, if applicable)(1 original);

5、經(jīng)所在國(guó)家公證機(jī)關(guān)公證并經(jīng)我國(guó)駐該國(guó)使（領(lǐng)）館認(rèn)證的外國(guó)投資者的注冊(cè)登記證明或身份證明文件（原件1份），香港、澳門(mén)或臺(tái)灣地區(qū)投資者應(yīng)當(dāng)依法提供經(jīng)當(dāng)?shù)毓C機(jī)構(gòu)公證的注冊(cè)登記或身份證明文件（原件1份），投資者資信證明文件（原件1份）；

5.Registration certificate or identity certificate(1 original)of the overseas investor, as notarized by the national notarial organization in the country of the investor and accredited by the Chinese embassy or consulate in that country.The investors in Hong Kong, Macao or Taiwan shall present the registration or identity certificate(1 original)notarized by the local notarial organization as well as the investor’s certification of credit standing(1 original)according to law.6、工商行政管理部門(mén)出具的名稱(chēng)核準(zhǔn)書(shū)（復(fù)印件1份）；

7.Advice of Codes Pre-assigned to Nationwide Organizations(the leaf specific to arranging for the permit)issued by the quality & technology supervision authority.*

8、填報(bào)《外商投資企業(yè)（臺(tái)港澳僑）批準(zhǔn)證書(shū)存根》1份；

* 8.Counterfoil of Permit for Foreign-invested Enterprise(for overseas investors from Taiwan, Hong Kong and Macao)(1 completed copy).9、對(duì)可能造成環(huán)境影響的項(xiàng)目，提交環(huán)保部門(mén)出具的環(huán)保批文（原件、復(fù)印件各1份）；

9.Environmental permit(1 original and 1 Xerox)issued by the environment protection authority if the project may bring adverse effect to the environment.＊

10、外國(guó)投資者或香港、澳門(mén)和臺(tái)灣地區(qū)投資者與境內(nèi)法律文件送達(dá)接受人簽署的《法律文件送達(dá)授權(quán)委托書(shū)》（原件1份）。

* 10.Power of Attorney for Serving Legal Documents(1 original)signed between the Chinese recipient of legal documents and the investor from abroad or from Hong Kong, Macao and Taiwan.前列1、3項(xiàng)文件必須用中文書(shū)寫(xiě)；2、4、5項(xiàng)文件可以用外文書(shū)寫(xiě)，但應(yīng)當(dāng)附中文譯文（可自行翻譯，投資者簽字蓋章；如由專(zhuān)業(yè)翻譯公司翻譯的，提交翻譯公司證明材料）。兩個(gè)或者兩個(gè)以上外國(guó)投資者共同申請(qǐng)?jiān)O(shè)立外資企業(yè)，應(yīng)當(dāng)將其簽訂的合同副本報(bào)送審批機(jī)關(guān)備案。

The documents mentioned in the foregoing paragraphs 1 and 3 must be prepared in Chinese;the documents mentioned in the foregoing paragraphs 2, 4 and 5 can be prepared in a foreign language with a Chinese version attached thereto(which can be either a result of translating by the investor, in which case the investor shall affix a signature and a seal to it, or a result of translating by a professional translation company, in which case the translation company shall submit a certification).In case two or more foreign investors jointly apply for establishing a foreign-capital enterprise, the counterpart of the signed contract shall be presented to the approving authority for putting on record.二、中外合資企業(yè)

II.Chinese-foreign equity joint venture

* 10.Power of Attorney for Serving Legal Documents(1 original)signed between the Chinese recipient of legal documents and the investor from abroad or from Hong Kong, Macao and Taiwan.前列文件，除第4項(xiàng)中所列外國(guó)合營(yíng)者提供的文件外，必須報(bào)送中文譯文（可自行翻譯，投資者簽字蓋章；如由專(zhuān)業(yè)翻譯公司翻譯的，提交翻譯公司證明材料），第2、第3和第5項(xiàng)所列文件可以同時(shí)報(bào)送合營(yíng)各方商定的一種外文本。

A Chinese version of the documents mentioned above shall be presented except for those listed in foregoing paragraph 4 which are to be furnished by the foreign joint ventures.(The Chinese version may be either a result of translating by the foreign investor, in which case the investor shall affix a signature and a seal to it;or a result of translating by a professional translation company, in which case the certification document from the translation company shall be submitted.)A foreign language version of the documents mentioned in paragraphs 2, 3 and 5 as agreed by the parties to the equity joint venture can be presented additionally.三、中外合作企業(yè)

III.Chinese-foreign contractual joint venture

* 2.Feasibility study report prepared by the parties to the contractual joint venture(3 originals, signed and sealed by the parties to the contractual joint venture).＊

3、由合作各方法定代表人或其授權(quán)的代表簽署、并加蓋各方公章的合作企業(yè)合同和章程（正本各4份）；

* 3.Contract and articles of association of the contractual joint venture(4 originals of each)signed by legal/authorized representatives of the parties to the contractual joint venture, with an official seal of each party being affixed to them.4、合營(yíng)各方的營(yíng)業(yè)執(zhí)照或者注冊(cè)登記證明或身份證明（加蓋企業(yè)公章的中方企業(yè)法人營(yíng)業(yè)執(zhí)照復(fù)印件1份[驗(yàn)原件]；經(jīng)所在國(guó)家公證機(jī)關(guān)公證并經(jīng)我國(guó)駐該國(guó)使[領(lǐng)]館認(rèn)證的外國(guó)投資者的注冊(cè)登記證明或身份證明文件原件1份，香港、澳門(mén)或臺(tái)灣地區(qū)投資者應(yīng)當(dāng)依法提供經(jīng)當(dāng)?shù)毓C機(jī)構(gòu)公證的注冊(cè)登記或身份證明文件原件1份）、資信證明及法定代表人的有效證明文件（原件各1份）；

Notice on equity acquisition 1．股權(quán)并購(gòu)須報(bào)送下列材料：

1.For equity acquisition, the following documents shall be presented:（1）被并購(gòu)境內(nèi)公司依法變更設(shè)立為外商投資企業(yè)的申請(qǐng)書(shū)（原件1份，被并購(gòu)境內(nèi)公司法定代表人簽字并加蓋公章）； 1)Application for modifying the acquired Chinese company to a foreign capital enterprise(1 original, with signature of legal representative of the acquired Chinese company as well as the official seal);（2）被并購(gòu)的境內(nèi)有限責(zé)任公司股東一致同意外國(guó)投資者股權(quán)并購(gòu)的股東會(huì)決議，或被并購(gòu)的境內(nèi)股份有限公司同意外國(guó)投資者股權(quán)并購(gòu)的股東大會(huì)決議（原件1份）；

2)Resolution of the shareholders’ general meeting where the shareholders of the acquired Chinese limited liability company or the acquired Chinese joint stock limited company unanimously consent to the equity acquisition by the foreign investor(1 original);（3）股權(quán)并購(gòu)后由投資各方簽署的所設(shè)外商投資企業(yè)的合同、章程（原件各4份；外資企業(yè)只提交章程，其中外商合資企業(yè)的還須提交投資者共同出資協(xié)議原件1份）；

3)Contract and articles of association of the foreign-invested enterprise signed by the investing parties after equity acquisition(4 originals of each;the foreign-capital enterprise only needs to submit the articles of association, and the Chinese-foreign equity joint venture needs to submit 1 original of the joint contribution agreement of the investors);（4）外國(guó)投資者購(gòu)買(mǎi)境內(nèi)公司股東股權(quán)或認(rèn)購(gòu)境內(nèi)公司增資的協(xié)議（原件1份）；

4)Agreement that the foreign investor purchases the shareholders’ equity of the Chinese company or subscribes for the increased capital of the Chinese company(1 original);（5）被并購(gòu)境內(nèi)公司最近財(cái)務(wù)年度的財(cái)務(wù)審計(jì)報(bào)告（復(fù)印件1份）；

5)Financial audit report for the last fiscal year of the acquired Chinese company(1 Xerox);（6）經(jīng)公證和依法認(rèn)證的投資者的身份證明文件或開(kāi)業(yè)證明、資信證明文件（原件各1份）；

6)Notarized or legally certified identity certificate, business start certificate, or investor’s certification of credit standing(1 original of each);（7）被并購(gòu)境內(nèi)公司所投資企業(yè)的情況說(shuō)明（原件1份），被并購(gòu)境內(nèi)公司及其所投資企業(yè)的營(yíng)業(yè)執(zhí)照（副本），（復(fù)印件各1份）；

7)Corporate information on the enterprise invested by the acquired Chinese company(1 original), business license of the acquired Chinese company and its invested enterprise(counterpart)(1 Xerox of each).（8）被并購(gòu)境內(nèi)公司職工安置計(jì)劃（原件1份，由并購(gòu)后所設(shè)外商投資企業(yè)各方投資者法人或授權(quán)代表簽字并加蓋公章）； 8)Scheme of settling staff of the acquired Chinese company(1 original, signed by the legal person or authorized representative of the investors of the foreign-invested enterprise established after acquisition, with an official seal of each party);（9）外國(guó)投資者、被并購(gòu)境內(nèi)公司、債權(quán)人及其他當(dāng)事人對(duì)被并購(gòu)境內(nèi)公司的債權(quán)債務(wù)的處置另行達(dá)成協(xié)議的，提交債權(quán)債務(wù)的處置協(xié)議（原件1份）；

9)In case an agreement is otherwise reached between the foreign investor, the acquired Chinese company, creditor and other acting parties about disposing of the creditor’s rights and liabilities of the acquired Chinese company, such agreement shall be submitted(1 original).（10）外國(guó)投資者對(duì)并購(gòu)行為是否存在造成境內(nèi)市場(chǎng)過(guò)度集中，妨害境內(nèi)正當(dāng)競(jìng)爭(zhēng)、損害境內(nèi)消費(fèi)者利益的情況說(shuō)明（原件1份）；（注：根據(jù)《關(guān)于外國(guó)投資者并購(gòu)境內(nèi)企業(yè)的規(guī)定》第五章要求書(shū)寫(xiě)）；

10)Clarification by the foreign investor on whether the acquisition makes the Chinese market over-centralized, impedes normal competition in China, or impairs the interests of the Chinese consumers(1 original)(Note: The clarification shall be prepared in accordance with Chapter 5 of Regulations on Foreign Investors Acquiring Chinese Enterprises);（11）中國(guó)境內(nèi)依法設(shè)立的資產(chǎn)評(píng)估機(jī)構(gòu)對(duì)被并購(gòu)境內(nèi)公司所作的《資產(chǎn)評(píng)估報(bào)告》（原件1份）；

11)Assets Evaluation Report on the acquired Chinese company made by an asset evaluation organization established in China according to law(1 original);（12）外國(guó)投資者和被并購(gòu)境內(nèi)公司的股東名錄（原件各1份）、各股東的開(kāi)業(yè)證明或者身份證明文件（復(fù)印件各1份）； 12)Roster of shareholders of the foreign investor and the acquired Chinese company(1 original of each), business start certificate or identity certificate of the shareholders(1 Xerox);（13）并購(gòu)當(dāng)事人對(duì)并購(gòu)各方是否存在關(guān)聯(lián)關(guān)系的說(shuō)明，其中包括并購(gòu)各方實(shí)際控制人的情況說(shuō)明、并購(gòu)目的、評(píng)估結(jié)果是否符合市場(chǎng)公允價(jià)值的說(shuō)明等內(nèi)容（原件1份）；

18)“Organization code certificate” of the acquired Chinese company(1 Xerox).2．資產(chǎn)并購(gòu)須報(bào)送下列材料：

1)Application for establishing a foreign-invested enterprise signed by the investors(1 original);（2）被并購(gòu)境內(nèi)公司產(chǎn)權(quán)持有人或權(quán)力機(jī)構(gòu)同意出售資產(chǎn)的決議（原件1份）；

2)Resolution that the property rights holder or authority of the acquired Chinese company consents to selling the assets(1 original);（3）投資各方簽署的擬設(shè)立外商投資企業(yè)的合同、章程（原件各4份；外資企業(yè)只提交章程，其中外商合資企業(yè)的還須提交投資者共同出資協(xié)議原件1份）；

3)Contract and articles of association of the planned foreign-invested enterprise signed by the investing parties(4 originals of each;the foreign-capital enterprise only needs to submit the articles of association, and the Chinese-foreign equity joint venture also needs to submit 1 original of the joint contribution agreement of the investors);（4）擬設(shè)立的外商投資企業(yè)與被并購(gòu)境內(nèi)公司簽署的資產(chǎn)購(gòu)買(mǎi)協(xié)議，或外國(guó)投資者與被并購(gòu)境內(nèi)公司簽署的資產(chǎn)購(gòu)買(mǎi)協(xié)議（原件1份）；

4)Asset acquisition agreement signed between the planned foreign-invested enterprise and the acquired Chinese company, or asset acquisition agreement signed between the foreign investor and the acquired Chinese company(1 original);（5）被并購(gòu)境內(nèi)公司的章程、營(yíng)業(yè)執(zhí)照（副本）（復(fù)印件各1份）；

5)Articles of association and business license of the acquired Chinese company(counterpart)(1 Xerox of each);（6）被并購(gòu)境內(nèi)公司通知、公告?zhèn)鶛?quán)人的證明以及債權(quán)人是否提出異議的說(shuō)明（原件各1份）；

6)Notification made by the acquired Chinese company, announcement of the creditors, and clarification on whether the creditors put forward disputes(1 original of each);（7）經(jīng)公證和依法認(rèn)證的投資者的身份證明文件或開(kāi)業(yè)證明文件、資信證明文件（原件各1份）；

Step 2：發(fā)改委核準(zhǔn)/備案

? 核準(zhǔn)范圍：根據(jù)《核準(zhǔn)目錄》，實(shí)行核準(zhǔn)制的外商投資項(xiàng)目的范圍為：

（一）《外商投資產(chǎn)業(yè)指導(dǎo)目錄》中有中方控股（含相對(duì)控股）要求的總投資（含增資）3億美元及以上鼓勵(lì)類(lèi)項(xiàng)目，總投資（含增資）5000 萬(wàn)美元及以上限制類(lèi)（不含房地產(chǎn)）項(xiàng)目，由國(guó)家發(fā)展和改革委員會(huì)核準(zhǔn)。

（二）《外商投資產(chǎn)業(yè)指導(dǎo)目錄》限制類(lèi)中的房地產(chǎn)項(xiàng)目和總投資（含增資）5000萬(wàn)美元以下的其他限制類(lèi)項(xiàng)目，由省級(jí)政府核準(zhǔn)?！锻馍掏顿Y產(chǎn)業(yè)指導(dǎo)目錄》中有中方控股（含相對(duì)控股）要求的總投資（含增資）3億美元以下鼓勵(lì)類(lèi)項(xiàng)目，由地方政府核準(zhǔn)。

（三）前兩項(xiàng)規(guī)定之外的屬于《核準(zhǔn)目錄》第一至十一項(xiàng)所列的外商投資項(xiàng)目，按照《核準(zhǔn)目錄》第一至十一項(xiàng)的規(guī)定核準(zhǔn)。

（四）由地方政府核準(zhǔn)的項(xiàng)目，省級(jí)政府可以根據(jù)本地實(shí)際情況具體劃分地方各級(jí)政府的核準(zhǔn)權(quán)限。由省級(jí)政府核準(zhǔn)的項(xiàng)目，核準(zhǔn)權(quán)限不得下放。本辦法所稱(chēng)項(xiàng)目核準(zhǔn)機(jī)關(guān)，是指本條規(guī)定具有項(xiàng)目核準(zhǔn)權(quán)限的行政機(jī)關(guān)。

? 備案范圍：《核準(zhǔn)目錄》范圍以外的外商投資項(xiàng)目由地方政府投資主管部門(mén)備案。

申報(bào)文件：

? 發(fā)改委核準(zhǔn)提交材料：

1、項(xiàng)目申請(qǐng)報(bào)告；

5、國(guó)土資源行政主管部門(mén)出具的用地預(yù)審意見(jiàn)（不涉及新增用地，在已批準(zhǔn)的建設(shè)用地范圍內(nèi)進(jìn)行改擴(kuò)建的項(xiàng)目，可以不進(jìn)行用地預(yù)審）；

6、環(huán)境保護(hù)行政主管部門(mén)出具的環(huán)境影響評(píng)價(jià)審批文件；

審批權(quán)限：

1、投資總額屬于《外商投資企業(yè)產(chǎn)業(yè)指導(dǎo)目錄》鼓勵(lì)類(lèi)、允許類(lèi)5000萬(wàn)美元（以下簡(jiǎn)稱(chēng)“限額”）及以下的外商投資企業(yè)的合同/章程及其變更事項(xiàng)，由各市、縣（市、區(qū)）外經(jīng)貿(mào)局，國(guó)家級(jí)、省級(jí)開(kāi)發(fā)區(qū)管委會(huì)（以下簡(jiǎn)稱(chēng)“地方審批部門(mén)”）根據(jù)相關(guān)法律、法規(guī)規(guī)定審核；

2、《外商投資產(chǎn)業(yè)指導(dǎo)目錄》總投資1億美元以下鼓勵(lì)類(lèi)、允許類(lèi)及總投資5000萬(wàn)美元以下限制類(lèi)的外商投資道路運(yùn)輸（旅客運(yùn)輸）、城市規(guī)劃服務(wù)、進(jìn)出口商品檢驗(yàn)鑒定機(jī)構(gòu)、國(guó)際船舶運(yùn)輸、國(guó)際船舶代理、光盤(pán)復(fù)制生產(chǎn)、認(rèn)證培訓(xùn)和認(rèn)證咨詢(xún)，由省級(jí)商務(wù)主管部門(mén)和國(guó)家級(jí)經(jīng)濟(jì)技術(shù)開(kāi)發(fā)區(qū)依法負(fù)責(zé)審核、管理

3、經(jīng)所在國(guó)家公證機(jī)關(guān)公證并經(jīng)我國(guó)駐該國(guó)使（領(lǐng)）館認(rèn)證的外國(guó)投資者主體資格證明或身份證明（香港、澳門(mén)和臺(tái)灣地區(qū)投資者的主體資格證明或身份證明應(yīng)當(dāng)依法提供當(dāng)?shù)毓C機(jī)構(gòu)的公證文件）

外商投資企業(yè)設(shè)立

（一）中外合資經(jīng)營(yíng)企業(yè)設(shè)立申請(qǐng)材料

1．設(shè)立合營(yíng)企業(yè)的申請(qǐng)書(shū)（原件1份，合營(yíng)各方簽字、蓋章）；

2．合營(yíng)各方共同編制的可行性研究報(bào)告（原件3份，合營(yíng)各方簽字、蓋章）；

3．合營(yíng)各方授權(quán)代表簽署的合營(yíng)企業(yè)合同和章程（正本各4份，由合營(yíng)各方法定代表人或授權(quán)代表簽字并加蓋各方公章）；

4．合營(yíng)各方的營(yíng)業(yè)執(zhí)照或者注冊(cè)登記證明或身份證明文件[（加蓋企業(yè)公章的中方企業(yè)法人營(yíng)業(yè)執(zhí)照（復(fù)印件1份）；經(jīng)所在國(guó)家公證機(jī)關(guān)公證并經(jīng)我國(guó)駐該國(guó)使（領(lǐng)）館認(rèn)證的外國(guó)投資者的注冊(cè)登記證明或身份證明文件（原件1份），香港、澳門(mén)和臺(tái)灣地區(qū)投資者應(yīng)當(dāng)依法提供經(jīng)當(dāng)?shù)毓C機(jī)構(gòu)公證的注冊(cè)登記證明或身份證明文件（原件1份）]；

5．由合營(yíng)各方委派的合營(yíng)企業(yè)董事長(zhǎng)、副董事長(zhǎng)、董事人選名單（原件1份）；

6．工商行政管理部門(mén)出具的名稱(chēng)核準(zhǔn)書(shū)（復(fù)印件1份）；

7．《全國(guó)組織機(jī)構(gòu)代碼預(yù)賦碼通知單》（第1聯(lián)）；

8．填報(bào)《外商投資企業(yè)（臺(tái)港澳僑）批準(zhǔn)證書(shū)存根》1份；

9．涉及環(huán)境項(xiàng)目，提交環(huán)保部門(mén)出具的環(huán)保批文（原件、復(fù)印件各1份）。

前列文件，除第4項(xiàng)中所列外國(guó)合營(yíng)者提供的文件外，必須報(bào)送中文本，第2、第3和第5項(xiàng)所列文件可以同時(shí)報(bào)送合營(yíng)各方商定的一種外文本。

10．外國(guó)投資者（包括香港、澳門(mén)和臺(tái)灣地區(qū)投資者）與境內(nèi)法律文件送達(dá)接受人簽署的《法律文件送達(dá)授權(quán)委托書(shū)》（原件1份）。
