EXCLUSIVE AGENCY AGREEMENT

本協(xié)議于年月日，由ABC公司（一家根據(jù)中國法律組建并存在的公司，其主營業(yè)地在，以下簡稱賣方）與XYZ公司（一家根據(jù)XX國法律組建并存在的公司，其主營地在XXX，以下簡稱代理商）共同簽定并一致約定如下：

Thisagreementis made and entered into this XXX day of XXXby and between ABC CO.,LTD.a corporation dully organized and existing under the the laws of People's Republic of China, with its principal place of business at XXX(hereinafter called seller)and XYZ CO.,LTD.a

corporation uly organized and existing under the laws of XXX , with its principal of business at XX(hereinafter called agent),Whereby it's mutually agreed as follows:

第一條委仸與接受

在本協(xié)議有效期內(nèi)，賣方指定代理商為本協(xié)議第四條項(xiàng)下商品的獨(dú)家代理商，在第三條規(guī)定的區(qū)域內(nèi)招攬訂單。代理商同意并接受上述委仸。Article 1 Appointment and AcceptanceDuring the effective period of this agreement, seller hereby appoints agent as its exclusive agent to solicit orders for products stipulated in Article 4 from customers in the territory stipulated in Article 3 and agent accepts and assumes such appointment.第二條代理商的義務(wù)

代理商應(yīng)嚴(yán)格遵守賣方隨時給予的仸何指令，而且不得代表賣方作出仸何擔(dān)保、承諾以及訂立合同、協(xié)議或做其他對賣方有約束力的行為。對于代理上違反賣方指令或超出指令范圍的一切作為或不作為，賣方不承擔(dān)仸何責(zé)仸。

Article 2 Agents Duty

agent shall strictly conform with any and all instructions given by seller to agent from time to time and shall not make any representation , warranty ,promise,contract, agreement or do any other act binding

seller.seller shall not be held responsible for any acts or failures to act by agent in excess of or contrary to such instructions.第三條代理區(qū)域

本協(xié)議所指的代理區(qū)域是：XXX（以下簡稱區(qū)域）

Article 3Territory

the territory covered under this agreement shall be expressly confined to XXX(hereinafter called Territory).第四條代理商品

本協(xié)議所指的代理商品是XXX（以下簡稱商品）。

Article 4 Products

the products covered under this agreement shall be expressly confined to XXX(hereinafter called products).第五條獨(dú)家代理權(quán)

基于本協(xié)議授予的獨(dú)家代理權(quán)，賣方不得在代理區(qū)域內(nèi)，直接或間接地，通過其他渠道銷售、出口代理商品。代理商也不得在代理區(qū)域內(nèi)經(jīng)銷、分銷或促銷與代理商品類似或有競爭性的商品，也不能招攬或接受以向區(qū)域外銷售為目的的訂單。在本協(xié)議有效期內(nèi)，對來自區(qū)域內(nèi)其他顧客有關(guān)代理商品的訂單、詢價，賣方都應(yīng)將其轉(zhuǎn)交給代理商。

Article 5 Exclusive Right in consideration of the exclusive right herein granted,seller shall not , directly or indirectly , sell or export products to Territory through other channel than agent and agent shall not sell, distribute or promote the sale of any products competitive with or similar to products in territory and shall not solicit or accept orders for the purpose of selling products outside territory.seller shall refer to agent any inquiry or order for

products seller may receive from others in territory during the effective period of this agreement.第六條最低交易金額與價格

在本協(xié)議有效期內(nèi)，如果賣方通過代理商每年（12個月）從顧客處收到的貨款金額低于 XXXXXXX，則賣方有權(quán)提前30天書面通知代理商解除本協(xié)議。

Article 6 Minimum Transaction and Price

in the event that during one year(12months)during the effective period of this agreement , aggregate payment received by seller from

customers on orders obtained by agent under this agreement amounts to less than XXXX, seller shall have the right to terminated this agreement by giving thirty(30)day's written notice to agent.the seller shall from time to time furnish the agent with a statement of the minimum price and the terms and conditions of sales at which the good are respectively to be sold.第七條訂單

在招攬訂單時，代理商應(yīng)將賣方銷售合同的一般交易條件給顧客以充分通知，也應(yīng)告之顧客，仸何合同的訂立都必須經(jīng)賣方確認(rèn)。代理商應(yīng)將收到的訂單立即轉(zhuǎn)交賣方，由賣方確定接受與否。

賣方有權(quán)利拒絕履行或接受代理商轉(zhuǎn)交的訂單或訂單的一部分，而代理商對于被拒絕的訂單或其中一部分，無權(quán)要求傭金。

Article 7 Orders

in soliciting orders , agent shall adequately advise customers of the general terms and conditions of seller's sales note or contract note and of any contract being subject to the confirmation of acceptance by seller.agent shall immediately dispatch any order received to seller for its acceptanec or rejection.the seller shall have the right to refuse to execute or accept any such orders or any part thereof and the agent shall not be entitled to any commission in respect of any such rejected order or part thereof refused.第八條費(fèi)用分擔(dān)

除另有約定，所有費(fèi)用和支出，如電訊費(fèi)、差旅費(fèi)以及其他相關(guān)銷售費(fèi)用，都應(yīng)由代理商承擔(dān)。此外，代理商還應(yīng)承擔(dān)維持其辦公處所、銷售人員以及用于執(zhí)行賣方有關(guān)代理商義務(wù)的所有指令而發(fā)生的費(fèi)用。Article 8 Expenses

all expenses and disbursements such as cabling,travelling and other expenses incurred in connection with the sale of products shall be for the account of agents, unless especially arranged.further agent shall ,at his own expenses, maintain offic(s),salesman and other sufficient for the performance of the obligation of agent in conformity with any and all instructions given by seller.第九條傭金

賣方接受代理商直接獲得的所有訂單后，應(yīng)按發(fā)票凈售價XX%，以XX（貨幣）支付給代理商傭金。傭金在賣方收到全部貨款后每六個月以匯款方式支付。

Article 9 Commission

seller shall pay to agent commission in XX currency at the rate of XX% of the net invoiced slling price of products on all orders directly

obtained by agent accepted by seller, such commission shall by payable every six moinths only after seller receives the full amount of all

paymnets due to seller, payments of such commission shall be made to agent by way of remittance.第十條商情報告

賣方和代理商都應(yīng)按季度或按對方要求提供市場報告，以盡可能促進(jìn)商品銷售。代理商應(yīng)向賣方報告商品庫存情況、市場狀況以及其他商業(yè)活動。

Article 10 Information and Report both seller and agent shall quarterly and/or on the request of eigher party furnish information and market report each other to promote the

sale of products as much as possible.agent shall furnish to seller report of inventory ,market situation and other commercial actiities.第十一條促銷

在代理區(qū)域內(nèi)，代理商應(yīng)積極、充分地進(jìn)行廣告宣傳以促進(jìn)商品銷售。賣方應(yīng)向代理商提供一定數(shù)量的廣告印刷品、樣本、小冊子以及代理商合理要求的其他材料。

Article 11 Sales Promotion

agent shall diligently and adequately advertise and promote the sale of products throughout territory.seller shall furnish to agent reasonable quantity of advertising literatures catalogues ,leafleats, and the like as agent may reasonable require.第十二條工業(yè)產(chǎn)權(quán)

在本協(xié)議有效期內(nèi)，代理商可以使用賣方的商標(biāo)，但僅限于代理商品的銷售。本協(xié)議終止后，代理商銷售庫存的代理商品時，仍可使用賣方商標(biāo)。代理商承認(rèn)使用于或包含代理商品中的仸何專利、商標(biāo)、版權(quán)以及其他工業(yè)產(chǎn)權(quán)，都屬于賣方所有，并不得以仸何方式提出異議。一旦發(fā)現(xiàn)侵權(quán)，代理商應(yīng)及時通知賣方，并協(xié)助賣方采取措施保護(hù)賣方的工業(yè)產(chǎn)權(quán)。

Article 12 Industrial Property Rights

agent may use the trade mark of seller during the effective period of this agreement only in aonnection with the sale of products, provided that even after the termination of this agreement agent may use the trade marketin connection with the sale of products held by it in stock at the time of termination.agent shall also acknowledge that any and all paterns , trade markets,copyright and other industrial property rights used or embodied in products shall remain to be sole properties of

seller and shall not dispute them in any way.if an y infringement being found, agent shall promptly notify sller and assist seller to take steps to protect its right.第十三條協(xié)議有效期

本協(xié)議經(jīng)雙方簽字生效。在本協(xié)議終止前至少3個月，賣方或代理商應(yīng)共同協(xié)商協(xié)議的延續(xù)。如雙方一致同意延續(xù)，本協(xié)議應(yīng)在上述各項(xiàng)條款（以及相關(guān)修改，若有的話）的基礎(chǔ)上，繼續(xù)有效 XX年。否則，本協(xié)議將于X年X月X日終止。

Article 13 Duration this agreement shall enter into force on the signing of both parties.at least three months before the expiration of the agreement, both seller and agent shall consult each other for renewal of this agreement.if the renewal of this agreement is agreed upon by both parties , this

agreement shall be renewed for anotherXX year(s)period under the terms and conditions herein set forth, with a mendments , if agreed upon by both parties.unless this agreement shall expire on XX.第十四條協(xié)議的中止

在本協(xié)議有效期內(nèi)，仸何一方當(dāng)事人不履行協(xié)議或違反協(xié)議條款，雙方當(dāng)事人應(yīng)力爭及時、友好地解決爭議以期雙方滿意。如果在違反方接到書面通知后30日內(nèi)問題仍無法解決，非違約方有權(quán)終止本協(xié)議，由此造成的損失概由違約方承擔(dān)。此外，若協(xié)議一方發(fā)生破產(chǎn)、清算、死亡幾/或被第三放重組，雙方均有權(quán)中止本協(xié)議。

Article 14 Termination

in case there is any non-performance and/or wiolation of the terms and conditions under this agreement by eigher party during the effective period of this agreement , the parties hereto shall do their best to settle the matter in question as prompt and amicable as posissble to mutual satisfaction.unless settlement should be reached within thirty days after notification in writing of the other party,such other party shall have the right to cancel this agreement and the loss and damages sustained thereby shall be indemnified by the party responsible for the non-performance and/or violation.further in case of bankruptcy or insolvency or liquidation or death and/or reorganization by the third party of the other party, eigher party have the right to terminate this agreement.第十五條不可抗力

仸何一方對因下列原因?qū)е虏荒芑驎簳r不能履行全部或部分協(xié)議義務(wù)不負(fù)責(zé)仸。這些原因包括：自然災(zāi)害、政府采購或禁令以及其他仸何雙方在簽約時不能預(yù)料、無法控制且不能避免和克服的事件。受不可抗力影響的一方應(yīng)盡快地將發(fā)生的時間書面通知對方。

Article 15 Force Majeure

either party shall not be responsible for failure or delay to perform all or any part of the obligations under this agreement ,which include: acts of god, government orders or restriction or any other events which cuold not be predicted at the time of the conclusion of the agreement and could not be controlled, avoided or overcome by the parties.however , the party effected by the event of force majeure shall inform the other party of its occurrence in written as soon as possible.第十六條貿(mào)易條件與合同準(zhǔn)據(jù)法

本協(xié)議使用的貿(mào)易條件應(yīng)按INCOTERMS 2000解釋。本協(xié)議的有效性、締結(jié)及履行受中華人民共和國法律管轄。

Article 16 Trade Terms and Governing Law

the trade terms under this agreement shall be governed and interpreted

under the provisions of INCOTERMS 2000 and this agreement shall be governed as to all matters including validity , construction, and performance under the laws of People's Republic of China.第十七條仲裁

對于因履行本協(xié)議發(fā)生的一切爭議，雙方應(yīng)友好協(xié)商解決。若無法協(xié)商解決，則應(yīng)提交中國國際經(jīng)濟(jì)貿(mào)易仲裁委員會（北京）根據(jù)其仲裁規(guī)則進(jìn)行仲裁。仲裁裁決是最終的，對雙方均有約束力。仲裁費(fèi)用應(yīng)由敗訴方承擔(dān)。

Article 17 Arbitration all disputes arising from the performance of the agreement should be settled through friendly negotiations.should no settlement be reached trhough negotiation, the case shall be submiteted for arbitration to the China International Economic and Trade arbitration Commission(Beijing)and the rules of this commission shall be applied.the award of the arbitration shal be final and binding upon both parties.the arbitration fee shall be born by the losing party.本協(xié)議由雙方代表簽字后生效，正本一式兩份，雙方各執(zhí)一份。WITNESS THEREOF：This agreement shall come into effect

第三條 代理產(chǎn)品

甲方授權(quán)乙方在區(qū)域內(nèi)銷售甲方授權(quán)的產(chǎn)品及

第五條 最低業(yè)務(wù)量

乙方同意，在本協(xié)議有效期內(nèi)在上述代理區(qū)域內(nèi)銷售上述商品的訂單價值不低于人民幣元。

第六條價格與支付

1、交貨/訂貨，由乙方下定單至甲方經(jīng)甲方確認(rèn)交貨時間，乙方將全部貨款匯入甲方指定帳號，甲方按期將貨物發(fā)送至乙方指定的地方。（特殊情況除外）

2、乙方每次訂貨量運(yùn)輸費(fèi)用有雙方友好協(xié)商確定。

3、票據(jù)-本代理協(xié)議之營銷價格全部為不含稅之價格，如代理要求發(fā)票，則在代理價格上加收稅款。

每一筆交易的貨物價格應(yīng)由乙方與買主通過談判確定，并須經(jīng)甲方最后確 1

認(rèn)。

付款使用保兌的、不可撤銷的信用證，由買方開出，以甲方為受益人。信用證須在裝運(yùn)日期前______天到達(dá)甲方。

第七條獨(dú)家代理權(quán)

基于本協(xié)議授予的獨(dú)家代理權(quán)，甲方不得直接或間接地通過乙方以外的渠道向中國顧客銷售或出口第三條所列商品，乙方不得在中國經(jīng)銷、分銷或促銷與上述商品相競爭或類似的產(chǎn)品，也不得招攬或接受以到中國以外地區(qū)銷售為目的的訂單，在本協(xié)議有效期內(nèi)，甲方應(yīng)將其收到的來自中國其他商家的有關(guān)代理產(chǎn)品的詢價或訂單轉(zhuǎn)交給乙方。

第八條 商情報告

為使甲方充分了解現(xiàn)行市場情況，乙方承擔(dān)至少每季度一次或在必要時隨時向甲方提供市場報告，內(nèi)容包括與本協(xié)議代理商品的進(jìn)口與銷售有關(guān)的地方規(guī)章的變動、當(dāng)?shù)厥袌霭l(fā)展趨勢以及買方對甲方按協(xié)議供應(yīng)的貨物的品質(zhì)、包裝、價格等方面的意見。乙方還承擔(dān)向甲方提供其他供應(yīng)商類似商品的報價和廣告資料。

第十條傭金

對乙方直接獲取并經(jīng)甲方確認(rèn)接受的訂單，甲方按凈發(fā)票售價向乙方支付___%的傭金。傭金在甲方收到每筆訂單的全部貨款后_____天內(nèi)向乙方支付。

第十三條 協(xié)議有效期

本協(xié)議經(jīng)雙方簽署后生效，有效期為_____年，從2____年___月___日至2____年____月____日。除非作出相反通知，本協(xié)議期滿后將延長______個月。

第十四條 協(xié)議的終止

在本協(xié)議有效期內(nèi)，如果一方被發(fā)現(xiàn)違背協(xié)議條款，另一方有權(quán)終止協(xié)議。

五、售后服務(wù)

1、乙方應(yīng)至少有一專職人員負(fù)責(zé)甲方產(chǎn)品的售后服務(wù)，并有能力進(jìn)

行簡單維修及判定客戶申訴/調(diào)換貨物是否合理；甲方承諾由售出之日起月包換，一年內(nèi)免費(fèi)保修，所有保修服務(wù)按照<保修單>處理。

2、乙方在擔(dān)當(dāng)甲方產(chǎn)品代理時，有銷售與甲方同一類型的產(chǎn)品需與

甲方協(xié)商。

3、乙方確定為甲方代理，乙方可以拓展自己的銷售范圍。并能嚴(yán)

格執(zhí)行甲方公司規(guī)定的價格體系，監(jiān)督其他代理商串貨及不執(zhí)行價格體系銷售的行為。

4、甲方在已確立獨(dú)家代理商區(qū)域內(nèi)，不再確立第二家代理商。

5、在市場及產(chǎn)品材料價格變化而引致產(chǎn)品調(diào)價時，甲方第一時間通

知乙方并妥善處理價格體系。

6、甲方保證乙方的利益/權(quán)益，對代理商的違約行為：不按價格體系及總代理區(qū)域銷售等進(jìn)行懲罰和制止。

7、甲乙雙方正常合作期間 返修費(fèi)用，雙方各承擔(dān)一半。如果乙方月銷售額低于元，或由于乙方項(xiàng)目轉(zhuǎn)變造成雙方三個月未合作，合同自動失效，甲方將不再承擔(dān)維修及其他任何費(fèi)用。

六、違約及終止

1、乙方違約，甲方將視情況，停止供貨，終止代理代理協(xié)議等措施，嚴(yán)重?fù)p害甲方企業(yè)利益及形象/破壞產(chǎn)權(quán)等行為，甲方將通過法律手段予與處理。并追究經(jīng)濟(jì)損失。

2、雙方中任一方終止代理代理協(xié)議，需提前一個月告知對方，并取得對方同意。有關(guān)終止代理代理協(xié)議善后工作，雙方商議解決。

七、本代理協(xié)議一式兩份，雙方簽字后生效。

八、本協(xié)議解釋權(quán)在甲方。如有其他未盡事宜，雙方協(xié)商解決。若發(fā)生糾紛，以甲方所在地法律機(jī)關(guān)仲裁為準(zhǔn)。

Party B shall undertake to solicit orders for the above commodity from customers in the above territory during the effective period of this agreement for not less than USD100,000,00.6.價格與支付 Price and Payment 每一筆交易的貨物價格應(yīng)由乙方與買主通過談判確定，并須經(jīng)甲方最后確認(rèn)。

付款使用保兌的、不可撤銷的信用證，由買方開出，以甲方為受益人。信用證須在裝運(yùn)日期前15天到達(dá)甲方。
