Exclusive Agency Agreement

本協(xié)議于1992年9月20日在中國(guó)青島由有關(guān)雙方在平等互利基礎(chǔ)上達(dá)成，按雙方同意的下列條件發(fā)展業(yè)務(wù)關(guān)系：

This agreement is made and entered into by and between the parties concerned on September 20,1992 in Qingdao, China on the basis of equality and mutual benefit to develop business on terms and conditions mutually agreed upon as follow:

2.委任

Appointment

甲方指定乙方為其獨(dú)家代理，為第三條所列商品從第四條所列區(qū)域的顧客中招攬訂單，乙方接受上述委任。

Party A hereby appoints Party B as its Exclusive Agent to solicit orders for the commodity stipulate in Article 3 from customers in the territory stipulated in Article 4,and Party B accepts and assumes such appointment.3.代理商品

每一筆交易的貨物價(jià)格應(yīng)由乙方與買主通過談判確定，并須經(jīng)甲方最后確認(rèn)。

付款使用保兌的、不可撤銷的信用證，由買方開出，以甲方為受益人。信用證須在裝運(yùn)日期前15天到達(dá)甲方。

Exclusive Right

基于本協(xié)議授予的獨(dú)家代理權(quán)，甲方不得直接或間接地通過乙方以外的渠道向新加坡顧客銷售或出口第三條所列商品，乙方不得在新加坡經(jīng)銷、分銷或促銷與上述商品相競(jìng)爭(zhēng)或類似的產(chǎn)品，也不得招攬或接受以到新加坡以外地區(qū)銷售為目的的訂單，在本協(xié)議有效期內(nèi)，甲方應(yīng)將其收到的來(lái)自新加坡其他商家的有關(guān)代理產(chǎn)品的詢價(jià)或訂單轉(zhuǎn)交給乙方。

In consideration of the exclusive rights granted herein, Party A shall not, directly or indirectly, sell or export the commodity stipulated in Article 4 to customers in Singapore through channels other than Party B;Party B shall not sell, distribute or promote the sales of any products competitive with or similar to the above commodity in Singapore and shall not solicit or accept orders for the purpose of sellingthem outside Singapore.Party A shall refer to Party B any enquiries or orders for the commodity in question received by Party A from other firms in Singapore during the validity of this agreement.8.商情報(bào)告

Market Report

為使甲方充分了解現(xiàn)行市場(chǎng)情況，乙方承擔(dān)至少每季度一次或在必要時(shí)隨時(shí)向甲方提供市場(chǎng)報(bào)告，內(nèi)容包括與本協(xié)議代理商品的進(jìn)口與銷售有關(guān)的地方規(guī)章的變動(dòng)、當(dāng)?shù)厥袌?chǎng)發(fā)展趨勢(shì)以及買方對(duì)甲方按協(xié)議供應(yīng)的貨物的品質(zhì)、包裝、價(jià)格等方面的意見。乙方還承擔(dān)向甲方提供其他供應(yīng)商類似商品的報(bào)價(jià)和廣告資料。

In order to keep Party A well informed of the prevailing market conditions, Party B should undertake to supply Party A, at least once a quarter or at any time when necessary, with market reports concerning changes of the local regulations in connection with the import and sales of the commodity covered by this agreement, local market tendency and the buyer's comments on quality, packing, price, etc.of the goods supplied by Party A under this agreement.Party B shall also supply party A with quotations and advertising materials on similar products of other suppliers.9.廣告及費(fèi)用

Advertising and Expenses

乙方負(fù)擔(dān)本協(xié)議有效期內(nèi)在新加坡銷售代理商品做廣告宣傳的一切費(fèi)用，并向甲方提交所用于廣告的聲像資料，供甲方事先核準(zhǔn)。

Party A shall bear all expenses for advertising and publicity in connection with the commodity in question in Singapore within the validity of this agreement, and shall submit to Party A all audio and video materials intended for advertising for prior approval.10.傭金

Commission

對(duì)乙方直接獲取并經(jīng)甲方確認(rèn)接受的訂單，甲方按凈發(fā)票售價(jià)向乙方支付5%的傭金。傭金在甲方收到每筆訂單的全部貨款后才會(huì)支付。

Party A shall pay Party B a commission of 5% on the net invoiced selling price on all orders directly obtained by Party B and accepted byparty A.No commission shall be paid until Party A receives the full payment for each order.11.政府部門間的交易

Transactions Between Governmental Bodies

在甲、乙雙方政府部門之間達(dá)成的交易不受本協(xié)議條款的限制，此類交易的金額也不應(yīng)計(jì)入第五條規(guī)定的最低業(yè)務(wù)量。

Transactions concluded between govenmental bodies of Party A and Party B shall not be restricted by the terms and conditions of this agreement, nor shall the amount of such transactions be counted as part of the turnover stipulated in Article 5.12.工業(yè)產(chǎn)權(quán)

Industrial Property Rights

在本協(xié)議有效期內(nèi)，為銷售有關(guān)洗衣機(jī)，乙方可以使用甲方擁有的商標(biāo)，并承認(rèn)使用于或包含于洗衣機(jī)中的任何專利商標(biāo)、版權(quán)或其他工業(yè)產(chǎn)權(quán)為甲方獨(dú)家擁有。一旦發(fā)現(xiàn)侵權(quán)，乙方應(yīng)立即通知甲方并協(xié)助甲方采取措施保護(hù)甲方權(quán)益。

Party B may use the trade-marks owned by Party A for the sale of the Washing Machines covered herein within the validity of this agreement, and shall acknowledge that all patents, trademarks, copy rights or any other industrial property rights used or embodied in the Washing Machines shall remain to be the sole properties of Party A.Should any infringement be found, Party B shall promptly notify and assist Party A to take steps to protect the latter's rights.13.協(xié)議有效期

Validity of Agreement

本協(xié)議經(jīng)有關(guān)雙方如期簽署后生效，有效期為1年，從1992年10月1日至1993年9月30日。除非作出相反通知，本協(xié)議期滿后將延長(zhǎng)12個(gè)月。

This agreement, when duly signed by the both parties concerned, shall remain if force for 12 months from October 1, 1992 to September 30,1993, and it shall be extended for another 12 months upon expiration unless notice in writing is given to the contrary.14.協(xié)議的終止

Termination

在本協(xié)議有效期內(nèi)，如果一方被發(fā)現(xiàn)違背協(xié)議條款，另一方有權(quán)終止協(xié)議。During the validity of this agreement, if either of the two parties is found to have violated the stipulations herein, the other party has the right to terminate this agreement.15.不可抗力

Force Majeure

由于水災(zāi)、火災(zāi)、地震、干旱、戰(zhàn)爭(zhēng)或協(xié)議一方無(wú)法預(yù)見、控制、避免和克服的其他事件導(dǎo)致不能或暫時(shí)不能全部或部分履行本協(xié)議，該方不負(fù)責(zé)任。但是，受不可抗力事件影響的一方須盡快將發(fā)生的事件通知另一方，并在不可抗力事件發(fā)生15天內(nèi)將有關(guān)機(jī)構(gòu)出具的不可抗力事件的證明寄交對(duì)方。

Either party shall not be held responsible for failure or delay to perform all or any part of this agreement due to flood, fire, earthquake, draught, war or any other events which could not be predicted, controlled, avoided or overcome by the relative party.However, the party affected by the event of Force Majeure shall inform the other party of its occurrence in writing as soon as possible and thereafter send a certificate of the event issued by the relevant authorities to the other party within 15 days after its occurrence.16.仲裁

Arbitration

因履行本協(xié)議所發(fā)生的一切爭(zhēng)議應(yīng)通過友好協(xié)商解決。如協(xié)商不能解決爭(zhēng)議，則應(yīng)將爭(zhēng)議提交中國(guó)國(guó)際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)（北京），依據(jù)其仲裁規(guī)則進(jìn)行仲裁。仲裁裁決是終局的，對(duì)雙方都有約束力。

All disputes arising from the performance of this agreement shall be settled through friendly negotiation.Should no settlement be reached throught negotiation, the case shallthen be submitted for arbitration to the China International Economic and Trade Arbitration Commission(Beijing)and the rules of this Commission shall be applied.The award of the arbitration shall be final and binding upon both parties.甲方:

7.Market Report

為使甲方充分了解現(xiàn)行市場(chǎng)情況，乙方應(yīng)至少每季度一次或在必要時(shí)隨時(shí)向甲方提供市場(chǎng)報(bào)告，內(nèi)容包括與本協(xié)議代理商品的進(jìn)口與銷售有關(guān)的地方規(guī)章的變動(dòng)、當(dāng)?shù)厥袌?chǎng)發(fā)展趨勢(shì)以及買方對(duì)甲方按協(xié)議供應(yīng)的貨物的品質(zhì)、包裝、價(jià)格等方面的意見。乙方還承擔(dān)向甲方提供其他供應(yīng)商類似商品的報(bào)價(jià)和廣告資料。

8.Advertising and Expenses

Party A shall bear all expenses for advertising and publicity in connection with the Commodity in Korea within the validity of this agreement, and shall submit to Party A all audio and video materials intended for advertising for prior approval of Party A.7.傭金

9.Commission

對(duì)乙方直接獲取并經(jīng)甲方確認(rèn)接受的訂單，甲方按發(fā)票售價(jià)向乙方支付___%的傭金。傭金在甲方收到每筆訂單的全部貨款后_____天內(nèi)向乙方支付。

在本協(xié)議有效期內(nèi)，為銷售本協(xié)議項(xiàng)下的代理商品，乙方可以使用甲方擁有的商標(biāo)，并承認(rèn)使用于或包含于代理商品中的任何專利商標(biāo)、版權(quán)或其他工業(yè)產(chǎn)權(quán)為甲方獨(dú)家擁有。一旦發(fā)現(xiàn)侵權(quán)，乙方應(yīng)立即通知甲方并協(xié)助甲方采取措施保護(hù)甲方權(quán)益。

Party B may use the trade-marks owned by Party A for the sale of the Commodity covered herein within the validity of this agreement, and shall acknowledge that all patents, trademarks, copy rights or any other industrial property rights used or

11.Validity of Agreement

12.Termination

13.Force Majeure

Either party shall not be responsible for failure or delay to perform all or any part of this agreement due to flood, fire, earthquake, draught, war or any other events which could not be predicted, controlled, avoided or overcome by the relevant party.However, the party affected by the event of Force Majeure shall inform the other party of its occurrence in writing as soon as possible and thereafter shall send a certificate of the event issued by the relevant authorities to the other party within 15 days after its occurrence.12.爭(zhēng)議解決

14.Dispute Resolution

因凡因本合同引起的或與本合同有關(guān)的任何爭(zhēng)議，雙方應(yīng)首先嘗試友好協(xié)商解決。如果一方向另一方發(fā)出協(xié)商通知之日起三十日內(nèi)，爭(zhēng)議仍未得到解決，則應(yīng)將爭(zhēng)議提交中國(guó)國(guó)際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)上海分會(huì)，按照申請(qǐng)仲裁時(shí)該會(huì)實(shí)施的仲裁規(guī)則進(jìn)行仲裁。仲裁裁決是終局的，對(duì)雙方均有約束力。

Any dispute arising from or in connection with this agreement shall first be attempted to be resolved through discussions and consultations between the Parties in good faith.If the dispute remains unresolved upon expiration of 30 days after written notice has been sent by one Party to the other Party, the dispute shall

be submitted to China International Economic and Trade Arbitration Commission, Shanghai Sub-Commission for arbitration, which shall be conducted in accordance with the Commission's arbitration rules in effect at the time of applying for arbitration.The arbitral award is final and binding upon both Parties.13.語(yǔ)言

15.Language

本合同以中英文書就，如中英文內(nèi)容存在不一致，已中文為準(zhǔn)

16.Governing Law

本協(xié)議受中華人民共和國(guó)法律管轄并按中華人民共和國(guó)法律解釋。

This agreement shall be governed, construed and interpreted in accordance with the laws of the People’s Republic of China.雙方于文首日期簽署本獨(dú)家代理協(xié)議。

During the validity of this Agreement, if each of the two parties is found to have infringed the stipulations of the Agreement, the other party has the right to terminate this

Model: All models and all new models which will be developed in the future.(2).銷售數(shù)量: 甲方要求乙方代理出口的銷售數(shù)量.2012年1月1日至2012年12月31日：不低于*********個(gè)

Sale target: the quantity that part A requires part B export.Export not less than ********pieces from January 1, 2012 to Dec 31, 2012;

Validity of Agreement:

⑴ 協(xié)議生效：此協(xié)議自有關(guān)當(dāng)事人簽署之日起生效。

Effectivity of sole agent agreement: the sole agent agreement will come into force

upon duly signatures of the concerted parties.⑵ 協(xié)議有效期：2012年1月1日到2012年12月31日。(3)如果乙方未能完成協(xié)議規(guī)定的階段目標(biāo)銷量的70%，甲方有權(quán)單方面終止協(xié)議。如果乙方和乙方

完成規(guī)定的階段目標(biāo)銷量的70%本協(xié)議繼續(xù)生效。

If Party B couldn’t fulfill the 70% of sales target required，Party A has the right to

terminate the Agreement unilaterally.Party B shall be treated as qualified exclusive agent

and exclusive exporter if Party B reaches the sales target no less than 70%, the

agreement will be effective.（4）如果乙方完成本協(xié)議規(guī)定總量的80%，本協(xié)議到期日期自動(dòng)延續(xù)到2013年12月31日

If Party B fulfills the 80% of the total sales target, the Agreement will be automatically

extended to 31th Dec.2013.6、市場(chǎng)情況報(bào)告：

Reports on Market Conditions:

乙方有義務(wù)每三個(gè)月就當(dāng)前市場(chǎng)情況及消費(fèi)者意見提供詳細(xì)報(bào)告給甲方，一旦有特殊市場(chǎng)變動(dòng)，乙方也應(yīng)即時(shí)向甲方提供書面詳情報(bào)告。所有對(duì)該品種的產(chǎn)品升級(jí)改良的要求，只要經(jīng)濟(jì)合理，甲方應(yīng)予以考慮，依據(jù)乙方要求對(duì)產(chǎn)品進(jìn)行改進(jìn)和開發(fā)。

Party B shall have the obligation to forward once every three months to Party A detailed reports on current market conditions and of consumer’s comments, and if there is any special change in the market, Party B shall also report timely to Party A its full particulars in writing.All economically reasonable requests for upgrades and changes to the

products in the line will be considered by Party A and Party A will make improvements according to the feedback or requirements from Party B.7、價(jià)格和貨款支付方式：

Price and payment terms:

(1)價(jià)格：甲方同意給予乙方相關(guān)系列產(chǎn)品最優(yōu)惠的人民幣價(jià)格。

Prices: Party A agrees to provide Party B the most favorable price for the produced

products.(2)貨款支付方式：雙方都同意的付款方式。

Terms of payment: by the terms agreed and accepted by each both parties.8、生產(chǎn)和交貨周期：根據(jù)實(shí)際生產(chǎn)情況, 最長(zhǎng)不得超過30天。

Production and delivery date: according to actual producing situation but it shall within 30 days maximum。

9、商標(biāo)的使用權(quán)和網(wǎng)絡(luò)銷售權(quán)的授予：

Usufruct of the trade mark and internet marketing right

(1)商標(biāo)的使用權(quán):甲方同意乙方在本協(xié)議有效期內(nèi)在*******區(qū)域使用甲方的”BBB”品牌和BBAB以及“” 商標(biāo)標(biāo)志；且品牌和商標(biāo)的選定最終由乙方?jīng)Q定。

Usufruct of the trade mark: Party A agrees that party B use the “BBB”, “BBAB” BRAND and the trading marks“” of the party A in territory of **************.And the option of the brand and trading mark decided by party B.(2)網(wǎng)絡(luò)銷售權(quán)的授予：甲方同意提供給乙方上述產(chǎn)品網(wǎng)絡(luò)分銷權(quán)開展分售業(yè)務(wù)

Party A agrees to provide Party B distributing marketing rights for the forementioned products for retail markets.10、廣告宣傳和市場(chǎng)推廣：甲方同意乙方在市場(chǎng)宣傳和推廣中傳播 “BBB” 和“BBAB”的品牌為*******************公司為其生產(chǎn)商和品牌持有人.乙方保證不在代理的目標(biāo)市場(chǎng)對(duì)上述的商標(biāo)進(jìn)行注冊(cè)。根據(jù)乙方的銷售活動(dòng)和市場(chǎng)運(yùn)作活動(dòng)計(jì)劃甲方有義務(wù)向乙方提供廣告支持，包括提供樣本，宣傳冊(cè)，電子版樣本和大型的廣告圖畫等。

Advertisements and market promotion regulation: Part A agrees that Party B use the brand of “BBB”、“BBAB” and trade mark“

第八條商情報(bào)告

第十條傭金

第十三條協(xié)議有效期

2、乙方在擔(dān)當(dāng)甲方產(chǎn)品代理時(shí)，有銷售與甲方同一類型的產(chǎn)品需與

甲方協(xié)商。

3、乙方確定為甲方代理，乙方可以拓展自己的銷售范圍。并能嚴(yán)

格執(zhí)行甲方公司規(guī)定的價(jià)格體系，監(jiān)督其他代理商串貨及不執(zhí)行價(jià)格體系銷售的行為。

4、甲方在已確立獨(dú)家代理商區(qū)域內(nèi)，不再確立第二家代理商。

5、在市場(chǎng)及產(chǎn)品材料價(jià)格變化而引致產(chǎn)品調(diào)價(jià)時(shí)，甲方第一時(shí)間通

知乙方并妥善處理價(jià)格體系。

6、甲方保證乙方的利益/權(quán)益，對(duì)代理商的違約行為：不按價(jià)格體系及總代理區(qū)域銷售等進(jìn)行懲罰和制止。

7、甲乙雙方正常合作期間返修費(fèi)用，雙方各承擔(dān)一半。如果乙方月銷售額低于元，或由于乙方項(xiàng)目轉(zhuǎn)變?cè)斐呻p方三個(gè)月未合作，合同自動(dòng)失效，甲方將不再承擔(dān)維修及其他任何費(fèi)用。

六、違約及終止

1、乙方違約，甲方將視情況，停止供貨，終止代理代理協(xié)議等措施，嚴(yán)重?fù)p害甲方企業(yè)利益及形象/破壞產(chǎn)權(quán)等行為，甲方將通過法律手段予與處理。并追究經(jīng)濟(jì)損失。

2、雙方中任一方終止代理代理協(xié)議，需提前一個(gè)月告知對(duì)方，并取得對(duì)方同意。有關(guān)終止代理代理協(xié)議善后工作，雙方商議解決。

七、本代理協(xié)議一式兩份，雙方簽字后生效。

八、本協(xié)議解釋權(quán)在甲方。如有其他未盡事宜，雙方協(xié)商解決。若發(fā)生糾紛，以甲方所在地法律機(jī)關(guān)仲裁為準(zhǔn)。
