合同貨款應由買方通過賣方可接受的銀行，按合同總價開出以賣方為受益人的、無追索權、保兌、不可撤銷、可轉(zhuǎn)讓、可分批裝運、可轉(zhuǎn)船的信用證支付。憑________即其期匯票在提示第10條所列裝運單據(jù)時付款。該信用證最遲應于裝運期開始前________天開到賣方，而且在裝運期結束后15天內(nèi)仍能在中國有效議付。

若買方未能履行上述義務，根據(jù)賣方的選擇，可終止本合同，或接受本合同的部分或全部，或就由此而發(fā)生的任何損失提出索賠。

Payment hereunder shall be made by confirmed;irrevocable and transferable without recourse letter of credit in favour of the seller for the total contract value opened by a band acceptable to the Seller permitting part shipments and transshipments in one or more vessels ,and available by______sight draft(s)against presentation of the shipping documents mentioned in Clause 10.The letter of credit shall reach the Seller not less than______days prior to the start of the Shipment Period and remain valid for negotiation in China until the 15th day after the expiry of the Shipment Period.Should the Buyer fail to fulfil its obligations mentioned above , the Seller shall ,at its discretion, terminate the Contract or accept whole or part of this contract ,or lodge a claim for losses thus sustained ,if any.13．裝運單據(jù)：

LICENSES,DUTIES AND TAXES:

除本合同另有規(guī)定外，所有進口許可、許可證以及一切進口稅、關稅和各種稅收均由買方負擔。

Except as otherwise provided herein , all import permits and licenses and the import duties, customs fees and all taxes，shall be the sole responsibility of the Buyer.15．不可抗力：

FORCE MAJEURE:

如果賣方遇到人力不可抗拒事件，包括但不限于火災、水災、地震、臺風、自然災害以及任何其他賣方不能合理控制的任何意外事故和情況，阻止、妨礙或干擾了本合同的履行時，本合同規(guī)定的賣方履約時間應自動延長，其延長年時間應相當于因人力不可抗拒事件直接地或間接地使賣方不能履行本合同的時間。受不可抗力事件影響的賣方應在合理的時間內(nèi)，用電報或電傳將不可抗力事件的發(fā)生通知買方，并于__個月內(nèi)將有關當局出具的有關不可抗力事件的證明航寄買方。

如果不履約的情況延續(xù)達___天以上，雙方應立即協(xié)商修改合同。若從不可抗力事件發(fā)生之日起___天內(nèi)雙方當事人未能取得雙方滿意的解決辦法時，任何一方都可以終止履行本合同未執(zhí)行部分。

The time for the performance of the Seller’s obligations set forth in this Contract shall be automatically extended for a period equal to the duration of any nonperformance arising derecly or indirectly from Force Majeure events including but not limited to fire , flood , earthquake , typhoon , natural catastrophe ,and all other contingencies and circumstances whatsoever beyond the Seller’s reasonable control preventing , hindering or interfering with the performance thereof , The Seller so prevented by force majeure shall in reasonable time inform the Buyer by cable or telex of the occurrence of force majeure and within one month by air mail a relevant certificate issued by competent authorities as evidence thereof.If the nonperformance lasts for more than ___(___)days ,the Parties shall immediately consult together in an effort to agree upon a revised Contract basis.If the Parties are unable to arrive at a mutually satisfactory solution within _____(___)days from the beginning of such force Majeure , then either of the Parties may terminate the Contract in respect of the unexecuted portion of the Contract.16．索賠

CLAIMS:

如發(fā)現(xiàn)貨物在質(zhì)量、數(shù)量或規(guī)格方面與本合同第一條規(guī)定不符，賣方同意審核任何因此而提出的索賠。該索賠要求應經(jīng)賣方認可的有信譽的檢驗機構出具的報告證實。質(zhì)量方面的索賠要求應于貨物到達目的港后__個月內(nèi)以書面形式提出，數(shù)量或規(guī)格方面的索賠要求，應于貨物到達目的港后__天內(nèi)以書面的形式提出。

在任何情況下，賣方對利潤損失、時間延誤、商譽損害或其他由此而引起的任何特殊或間接損失概不負責。

對于任何原因造成的任何性質(zhì)的一切滅失或損害，賣方的賠償責任，在任何情況下不得超過索賠部分貨物的合同價款，或者根據(jù)賣方的選擇，對此貨物修復或更換。

Should the quality , quantity and / or specification of the commodity be found not in conformity with the description set out in Clause one , the Seller agrees to examine any claim , which shall be supported by a report issued by a reputable surveyor approved by the Seller ,Claims concerning quality shall be made in writing within ___months after the arrival of the goods at the port of destination.l Claims concerning quantity and / ofr specification shall be made in writing within ______ days after the arrival of the goods at the port of destination.In no event shall the Seller be liable for lost profits , delay , injury to goodwill or any special or consequential damages howsoever any lr the same are caused.The Seller ’ s liability for any and all losses of damages of whatsoever nature resulting from any cause whatsoever shall in no event exceed the portion of the Total Contract Price attributable to commodity in respect of which the claim is made , or at the election of the repair of replacement of such commodity.17．仲裁：

ARBITRATION:

凡因本合同引起的或與本合同有關的任何爭議，均應提交中國國際經(jīng)濟貿(mào)易仲裁委員會天津國際經(jīng)濟金融仲裁中心，按照申請仲裁時該會現(xiàn)行有效的仲裁規(guī)則進行仲裁。仲裁裁決是終局的，對雙方均有約束力。

Any dispute arising from or in connection with this CONTRACT shall be submitted to CIETAC Tianjin International Economic and Financial Arbitration Center for arbitration which shall be conducted in accordance with the Commission’s arbitration rules in effect at the time of applying for arbitration.The arbitral awards is final and binding upon all parties.18.其他約定：需由買賣雙方授權代表在以下日期簽屬一式兩份原件,買賣雙方各持有一份完整并經(jīng)過簽屬完整的合同，買賣雙方所持有之合同并具同等法律效力。本合同為中英文版本書寫, 如條款有中英文本不一致之處則以中文為準。本合同適用中國法律。

Terms of Payment：Upon receipt from the Sellers of the advice as to the time and quantify expected ready

for shipment, the Buyers shall open, 20days before shipment, with the Bank of China ,Shanghai, an irrevocable

Letter of Credit in favour of the Sellers payable by the opening bank against sight draft accompanied by the

documents as stipulated in Clause(9)of this Contract.（9）單據(jù)：各項單據(jù)均須使用與本合同相一致的文字，以便買方審核查對：

Documents：To facilitate the Buyers to cheek up, all documents should be made in a version identical to that

used in this contract.填寫通知目的口岸對外貿(mào)易運輸公司的空白抬頭、空白背書的全套已裝船的清潔提單。（如本合同為

FOB價格條件時，提單應注明“運費到付”或“運費按租船合同辦理”字樣；如本合同為CFR價格條件時，提單應注明“運費已付”字樣。）

Complete set of Clean On Board Shipped Bill of Lading made out to order, blank endorsed, notifying the

China National Foreign Trade Transportation Corporation ZHONGWAIYUN at the port of destination.(if the

prise in this Contract is Based on FOB, marked “freight to collect” or “freight as per charter party”;if the price in

this Contract is Based on CFR, marked “freight prepaid”.)

Certificates of Quality and Quantity/Weight of the contracted goods issued by the manfactures.品質(zhì)證明書內(nèi)應列入根據(jù)合同規(guī)定的標準進行化學成分、機械性能及其他各種試驗結果。

Quality Certificate to show actual results of tests to be made, on chemical compositions, mechanical

properties and all other tests called for by the Standard stipulated heron.E.按本合同第（11）條規(guī)定的裝運通知電報抄本。

（10）裝運條件

Terms of Shipment ：

A． 離岸價條款 Terms of FOB Delivery：

a)裝運本合同貨物的船只，由買方或買方運輸代理人中國租船公司租訂艙位。賣方負擔貨物的一切費用風

險到貨物裝到船面為止。

For the goods ordered in this Contract, the carrying vessel shall be arranged by the Buyers or the Buyers?

Shipping Agent China National Chartering Corporation.The Sellers shall bear all the charges and risks until the

goods are effectively loaded on board the carrying vessel.b)賣方必須在合同規(guī)定的交貨期限三十天前，將合同號碼、貨物名稱、數(shù)量、裝運口岸及預計貨物運達裝

運口岸日期，以電報通知買方以便買方安排艙位。并同時通知買方在裝港的船代理。倘在規(guī)定期內(nèi)買方未

接到前述通知，即作為賣方同意在合同規(guī)定期內(nèi)任何日期交貨，并由買方主動租訂艙位。

The Sellers shall advise the Buyers by cable, and simultaneously advise the Buyers? shipping agent at the

loading port, 30 days before the contracted time of shipment, of the contract number, name of commodity, quantity,loading port and expected date of arrival of the goods at the loading port, enabling the Buyers to arrange for

shipping space.Absence of such advice within the time specified above shall be considered as Sellers? readiness to

deliver the goods during the time of shipment contracted and the Buyers shall arrange for shipping space

accordingly.c)買方應在船只受載期12天前將船名、預計受載日期、裝載數(shù)量、合同號碼、船舶代理人，以電報通知

賣方。賣方應聯(lián)系船舶代理人配合船期備貨裝船。如買方因故需要變更船只或更改船期時，買方或船舶代

理人應及時通知賣方。

The Buyers shall advise the Sellers by cable, 12 days before the expected loading date, of the estimated laydays,contract number, name of vessel, quantity, to be loaded and shipping agent.The Sellers shall then arrange with the

shipping agent for loading accordingly.In case of necessity for substitution of vessel or alteration of shipping

schedule, the Buyers or the shipping agent shall duly advise the Sellers to the same effect.d)買方所租船只按期到達裝運口岸后，如賣方不能按時備貨裝船，買方因而遭受的一切損失包括空艙費、延期費及/或罰款等由賣方負擔。如船只不能于船舶代理人所確定的受載期內(nèi)到達，在港口免費堆存期滿后

第16天起發(fā)生的倉庫租費，保險費由買方負擔，但賣方仍負有載貨船只到達裝運口岸后立即將貨物裝船之

義務并負擔費用及風險。前述各種損失均憑原始單據(jù)核實支付。

In the event of the Sellers? failure in effecting shipment upon arrival of the vessel at the loading port, all losses,including dead freight, demurrage fines etc.thus incurred shall be for Sellers? account.If the vessel fails to arrive

at the loading port within the laydays.previously declared by the shipping agent, the storage charges and insurance

premium from the 16th day after expiration of the free storage time at the port shall be borne by the Buyers.However, the Sellers shall be still under the obligation to load the goods on board the carrying vessel immediately

after her arrival at the loading port, at their own expenses and risks.The expenses and losses mentioned above

shall be reimbursed against original receipts or invoices.B． 成本加運費價條款 Terms of CFR Delivery：

賣方負責將本合同所列貨物由裝運口岸裝直達班輪到目的口岸，中途不得轉(zhuǎn)船。貨物不得用懸掛買方

不能接受的國家的旗幟的船只裝運。

The Sellers undertake to ship the contracted goods from the port of loading to the port of destination on

adirect liner, with no transhipment allowed.The contracte goods shall not be carried by a vessel flying the flag of

the countries which the Buyers can not accept.（11）裝運通知：賣方在貨物裝船后，立即將合同號、品名、件數(shù)、毛重、凈重、發(fā)票金額、載貨船名及

裝船日期以電報通知買方。

Advice of Shipment：The Sellers shall upon competition of loading, advise immediately the Buyers by cable

of the contract number, name of commodity, number of packages, gross and net weights, invoice value, name of

vessel and loading date.（12）保 險：自裝船起由買方自理，但賣方應按本合同第（11）條通知買方。如賣方未能按此辦理，買方因而遭受的一切損失全由賣方負擔。

Insurance：To be covered by the Buyers from shipment, for this purpose the Sellers shall advise the Buyers by cable of the particulars as called for in Clause(11)of this Contract, In the event of the Buyers being unable to arrange for insurance in consequence of the Sellers? failure to send the above advice, the Sellers shall be held responsible for all the losses thus sustained by the Buyers.（13）檢驗和索賠：貨卸目的口岸，買方有權申請中華人民共和國國家質(zhì)量監(jiān)督檢驗檢疫總局進行檢驗。如發(fā)現(xiàn)貨物的品質(zhì)及/或數(shù)量/重量與合同或發(fā)票不符：除屬于保險公司及/或船公司的責任外，買方有權在貨卸目的口岸后90天內(nèi)，根據(jù)中華人民共和國國家質(zhì)量監(jiān)督檢驗檢疫總局出具的證明書向賣方提出索賠，因索賠所發(fā)生的一切費用（包括檢驗費用）均有賣方負擔。FOB價格條件時，如重量短缺，買方有權同時索賠短重部分的運費。

Inspection and Claim：The Buyers shall have the right to apply to the General Administration of Quanlity Supervision, Inspection and Quarantine of the People?s Republic of China(AQSIQ)for inspection after discharge of the goods at the port of destination.Should the quality and/or quantity/weight be found not in conformity with the contract or invoice the Buyers shall be entitled to lodge claims with the Sellers on the basis of AQSIQ ?s Survey Report, within 90 days after discharge of the goods at the port of destination , with the exception, however, of those claims for which the shipping company and/or the insurance company are to be held responsible.All expenses incurred on the claim including the inspection fee as per the AQSIQ inspection certificate are to be borne by the Sellers.In case of FOB terms, the buyers shall also be entitled to claim freight for short weight if any.（14）不可抗力：由于人力不可抗拒事故，使賣方不能在合同規(guī)定期限內(nèi)交貨或者不能交貨，賣方不負責任。但賣方必須立即通知買方，并以掛號函向買方提出有關政府機關或者商會所出具的證明，以證明事故的存在。由于人力不可抗拒事故致使交貨期限延期一個月以上時，買方有權撤銷合同。賣方不能取得出口許可證不得作為不可抗力。

Force Majeure：In case of Force Majeure the Sellers shall not held responsible for delay in delivery or non-delivery of the goods but shall notify immediately the Buyers and deliver to the Buyers by registered mail a certificate issued by government authorities or Chamber of Commerce as evidence thereof.If the shipment is delayed over one month as the consequence of the said Force Majeure, the Buyers shall have the right to cancel this Contract.Sellers? inability in obtaining export licence shall not be considered as Force Majeure.（15）延期交貨及罰款：除本合同第（14）條人力不可抗拒原因外，如賣方不能如期交貨，買方有權撤銷該部分的合同，或經(jīng)買方同意在賣方繳納罰款的條件下延期交貨。買方可同意給予賣方15天優(yōu)惠期。罰款率為每10天按貨款總額的1%。不足10天者按10計算。罰款自第16天起計算。最多不超過延期貨款總額的5%。

Delayed Delivery and Penalty：Should the Sellers fail to effect delivery on time as stipulated in this Contract owing to causes other than Force Majeure as provided for in Clause(14)of this Contract, the Buyers shall have the right to cancel the relative quantity of the contract, Or altenatively, the Sellers may, with the Buyers? consent, postpone delivery on payment of penalty to the Buyers.The Buyers may agree to grant the Sellers a grace period of 15 days.Penalty shall be calculated from the 16th day and shall not exceed 5% of the total value of the goods involved.（16）仲裁：一切因執(zhí)行本合同或與本合同有關的爭執(zhí)，應由雙方通過友好方式協(xié)商解決。如經(jīng)協(xié)商不能得到解決時，應提交北京中國國際貿(mào)易促進委員會對外經(jīng)濟貿(mào)易仲裁委員會。按照中國國際貿(mào)易促進委員會對外經(jīng)濟貿(mào)易仲裁委員會仲裁程序暫行規(guī)定進行仲裁。仲裁委員會的裁決為終局裁決，對雙方均有約束力。仲裁費用除非仲裁委員會另有決定外，由敗訴一方負擔。

Arbitration：All disputes in connection with this Contract or the execution thereof shall be friendly negotiation.If no settlement can be reached, the case in dispute shall then be submitted for arbitration to the Foreign Economic and Trade Arbitration Commission of the China Council for the Promotion of International Trade in accordance with the Provisional Rules of Procedure of the Foreign Economic and Trade Arbitration Commission of the China Council for the Promotion of International Trade.The Award made by the Commission shall be accepted as final and binding upon both parties.The fees for arbitration shall be borne by the losing party unless otherwise awarded by the Commission.（17）附加條款：以上任何條款如與以下附加條款有抵觸時，以以下附加條款為準。

三、【買賣交易細則】

3.SALES RULES

4）Delivery.At the date on which all transfer prices，party A shall deliver this real estate to Party B and the Certificate of Transfer and Handover shall be concluded by the Parties therefore.Property Management Fees and Utilities Expenses arising out of or in connection with this real estate shall be borne by Party A prior to such delivery, or shall be borne by Party B upon such delivery.Charges or expenses related to the fixtures and ancillary equipments & facilities of this real estate, as well as the prices of home appliances and furniture agreed by the Parties, have been included in the transfer price and Party A guarantee that all such ancillary equipments & facilities may work properly, all interior decorations thereof satisfy the conditions provided herein.5）相關費用：Miscellaneous Charge.[交易稅費]：雙方同意，交易中所涉及的上述買賣雙方的稅費由 □各自承擔并支付；□由甲方承擔并支付；□由乙方承擔并支付。

4.APPLICATION OF LEGAL LIABILITIES

甲方保證該房地產(chǎn)產(chǎn)權清晰、權屬明確，無異議登記、單方預告登記，無司法、行政查封等限制性交易情形存在；若因本條所述情況導致本協(xié)議效力瑕疵，甲方應返還乙方所有已付房款并賠償乙方實際損失。

Party a guarantees that it has full and clear ownership to this real estate, which is free of any dispute registered, unilateral advanced registration, judicial or administrative attachment or other events restricting trades.If any defect affecting the validity of this Contract is occurred due to any misrepresentation hereunder, Party A shall refund all transfer prices paid by Party B, and indemnify any and all losses and damages suffered by Party B there-from.五、【爭議解決】

6.DISPUTE SETTLEMENT

各方在本協(xié)議履行過程中發(fā)生爭議的，應友好協(xié)商；協(xié)商不成的，應向該房地產(chǎn)所在地人民法院起訴。

Any dispute arising out of or in connection with the performance hereof shall be settled by amiable negotiation, if fails, either Party may bring a lawsuit before the People’s Court with jurisdiction where this real estate is located.六、【合同效力】

6.VALIDITY

本協(xié)議自甲、乙雙方簽署起對甲、乙生效，丙方簽署后對丙方生效，一式三份，甲、乙、丙三方各執(zhí)一份。

This Contract shall have binding force to Party A and Party B upon signatures of such two Parties are made hereon, and shall have binding force to Party C if signature of Party C is also made hereon.This Contract shall be executed in triplicate and each Party shall have one copy.

10.SHIPMENT:

15.LATE DELIVERY AND PENALTY: Should the Sellers fail to make delivery on time as stipulated in the Contract, with exception of Force Majeure causes specified in Clause 15 of this Contract.The Buyers shall agree to postpone the delivery on condition that the Sellers agree to pay a penalty which shall be deducted by the paying bank from the payment.The Penalty, however, shall not exceed 5% of the total value of the goods involved in the late delivery.The rate of penalty is charged at 0.5% for every seven days.Odd days less than seven days should be counted as seven days.In case the Sellers fail to make delivery ten weeks later than the time of shipment stipulated in the Contract, the Buyers shall have the right to cancel the contract and the Sellers, in spite the cancellation, shall still pay the aforesaid penalty to the Buyers without delay.遲交貨和罰金：如果賣方未能按合同規(guī)定及時交貨(除了本合同15條款所言的不可抗力)，買方同意在賣方付罰金的前提下遲交貨。罰金的金額不超過遲交貨的合同貨物部分的價值的5%，罰金按每7日0.5%計算，少于7日的增加天數(shù)按7日計。如果賣方未能于合同規(guī)定的交貨期之后的十周內(nèi)發(fā)運，買方有權取消該合同，除此之外，賣方仍要將有關罰金不加拖延地付給買方。16.TERMINATION OF CONTRACT: Terminate contract by through negotiation by both sides.Sellers should give back mould that have paid, The transport costs of give back mould, to be covered by buyers.合同終止：經(jīng)雙方協(xié)商終止合同的。賣方應將買方已付費的模具全部歸還買方，歸還模具產(chǎn)生的運輸費用，由買方支付。

17.ARBITRATION: Any dispute arising from or in connection with this Contract shall be submitted to China International Economic and Trade Arbitration Commission for arbitration which shall be conducted in accordance with the Commission's arbitration rules in effect at the time of applying for arbitration.The arbitral award is final and binding upon both partied.Arbitration fee shall be borne by the losing party.仲裁：與此合同有關的爭議應通過友好協(xié)商解決。如果協(xié)商無法解決，提交中國國際經(jīng)濟貿(mào)易仲裁委員會進行仲裁。按照申請仲裁時該會現(xiàn)行有效的仲裁規(guī)則進行仲裁。仲裁裁決是終局的，對雙方均有約束力。仲裁費用由敗訴方承擔。
