第2條

委托人在此向保證人聲明、承諾和保證如下：

Article 2 The Client hereby makes a declaration, commitment and warrant to the Guarantor as follows: 2.1委托人為依照中華人民共和國法律正式成立及有效存在的商事主體，有充分的民事行為能力簽訂和履行本協(xié)議；

2.1 The Client is a commercial subject legally incorporated and validly in existence under the laws of the P.R.of China, and has full civil capacity to sign and perform the Agreement;2.2委托人有合法的資格簽署及履行本協(xié)議，簽訂和履行本合同已獲得董事會或任何其他有權(quán)機構(gòu)的充分授權(quán)；

2.2 The Client is eligible to sign and perform the Agreement, and has obtained the full authorization of the Board of Directors or any other competent authorities to sign and perform the Contract;2.3 委托人或被擔保人有合法資格與受益人簽署合同，有足夠的能力履行與受益人簽署的合同；委托人保證委托人或被擔保人履行與受益人簽署的合同，并有義務及時向保證人通報履約情況及出現(xiàn)的問題；

2.3 The Client or the Guaranteed is eligible to sign the Contract with the Beneficiary, and has full capacity to perform the Contract signed with the Beneficiary;and the Client undertakes that the Client or the Guaranteed shall perform the Contract signed with the Beneficiary, and has duty to inform the Guarantor about the performance of contract and any issue arisen in due course;2.4 委托人接受和認可保證人向受益人開立的保函的內(nèi)容；

2.4 The Client accepts and acknowledges the contents of the letter of guarantee issued by the Guarantor to the Beneficiary;2.5 委托人保證不使保證人因為開具保函而蒙受任何損害和損失；

2.5 The Client undertakes to protect the Guarantor from any damage or loss as a result of issuing the letter of guarantee;2.6 委托人無條件地同意保證人按有關(guān)法律規(guī)定及/或在無其他約定的情況下按辦理保函項下的一切事宜，并承擔由此產(chǎn)生的責任；

2.6 The Client unconditionally agrees the Guarantor shall handle any matters under the letter of guarantee according to the relevant provisions of the laws except otherwise stipulated, and assume any liability arisen therefrom;2.7委托人保證當受益人向保證人索賠時，委托人無條件承擔第一位付款責任；

2.7 The Client undertakes that where the Beneficiary claims against the Guarantor, the Client shall unconditionally assume the primary liability for payment;2.8委托人保證保函項下的項目符合國家有關(guān)法律法規(guī)的規(guī)定，由于項目本身而產(chǎn)生的一切經(jīng)濟和法律責任由委托人承擔，與保證人無任何關(guān)聯(lián)；

2.8 The Client undertakes that the project under the letter of guarantee conforms to the provisions

of the laws and regulations of the state, and any economic and legal liability arisen from the project itself shall be only borne by the Client, but have no relationship with the Guarantor;2.9委托人同意按本協(xié)議規(guī)定，按期足額支付上述保函項下的依照保證人要求應付的各項費用；

2.9 The Client agrees to duly pay in full any expenses payable under the above letter of guarantee upon request of the Guarantor according to the provisions of the Agreement;2.10 委托人同意保證人僅有義務審核保函項下受益人提交的索賠文件、單據(jù)或證明（以下統(tǒng)稱“索賠文件”）的表面真實性，而不對索賠文件所述事實的真實性負任何責任；

2.10 The Client agrees that the Guarantor only has duty to examine the apparent authenticity of the claim documents, vouchers or certificates(hereinafter uniformly referred to as the “claim documents”)submitted by the Beneficiary under the letter of guarantee, but assume no liability for the authenticity of the facts stated in the claim documents;2.11委托人同意當因匯率波動或可能發(fā)生波動或保函修改等原因?qū)е卤ＷC金賬戶資金不足時，將按保證人的要求不時存入足額資金，該資金自存入保證金賬戶之日起視為特定化并移交保證人占有，作為委托人履行本協(xié)議項下各項義務的質(zhì)押擔保；

2.11 The Client agrees to deposit adequate fund from time to time upon request of the Guarantor where the guarantee fund account falls short due to any movement or would-be movement of exchange rates or any amendment to the letter of guarantee, and such fund shall be deemed as designated and handed over to the occupancy of the Guarantor as of the date when it is deposited into the guarantee fund account as the pledge guarantee for the Client to perform each obligation under the Agreement;2.12 委托人同意在辦理保函業(yè)務時，如郵電、電訊傳遞過程中發(fā)生的任何延誤、遺失、殘缺或其他差錯，保證人無須承擔責任；

2.12 The Client agrees that the Guarantor shall assume no liability for any delay, loss, defect or other error incurred in the process of posts and telecommunications transmission at the time of handling the guarantee business;2.13 委托人保證按季向保證人報送貸后檢查所需財務數(shù)據(jù)及與保函業(yè)務相關(guān)的資料。

2.13 The Client undertakes to submit the Guarantor with any financial data required for post-loan examination and any materials related to the guarantee business quarterly.

4.APPLICATION OF LEGAL LIABILITIES

甲方保證該房地產(chǎn)產(chǎn)權(quán)清晰、權(quán)屬明確，無異議登記、單方預告登記，無司法、行政查封等限制性交易情形存在；若因本條所述情況導致本協(xié)議效力瑕疵，甲方應返還乙方所有已付房款并賠償乙方實際損失。

Party a guarantees that it has full and clear ownership to this real estate, which is free of any dispute registered, unilateral advanced registration, judicial or administrative attachment or other events restricting trades.If any defect affecting the validity of this Contract is occurred due to any misrepresentation hereunder, Party A shall refund all transfer prices paid by Party B, and indemnify any and all losses and damages suffered by Party B there-from.五、【爭議解決】

6.DISPUTE SETTLEMENT

各方在本協(xié)議履行過程中發(fā)生爭議的，應友好協(xié)商；協(xié)商不成的，應向該房地產(chǎn)所在地人民法院起訴。

Any dispute arising out of or in connection with the performance hereof shall be settled by amiable negotiation, if fails, either Party may bring a lawsuit before the People’s Court with jurisdiction where this real estate is located.六、【合同效力】

6.VALIDITY

本協(xié)議自甲、乙雙方簽署起對甲、乙生效，丙方簽署后對丙方生效，一式三份，甲、乙、丙三方各執(zhí)一份。

This Contract shall have binding force to Party A and Party B upon signatures of such two Parties are made hereon, and shall have binding force to Party C if signature of Party C is also made hereon.This Contract shall be executed in triplicate and each Party shall have one copy.

1.Terms of the contract 合同條款

XXXXX authorizes XXXXX to implement the consultancy to the preliminary design concept of XXXXX project, and to assist XXXXX in completing preliminary design drawings.甲方授權(quán)委托乙方執(zhí)行其在XXXXX展示工程初步設(shè)計概念的顧問工作，并幫助甲方完成初步設(shè)計稿。

2.Project stages項目階段

The project shall be carried out in cooperation and in close guidance by the XXXXXX.The general consulting plan shall be provided before the design starts, a detailed plan shall be sent to XXXXX after each biding conference or press release meeting as follows: An idea explanation presentation shall be showed within 7 days after the tender starting date.A draft design drawing shall be submitted within 7 days after the first presentation meeting between XXXXXXXX and XXXXXXXX.Following the meeting of draft design drawing, a number of amendments requested by X shall be carried out.The final presentation of the preliminary design shall be submitted within 3 days before the bidding deadline to assist XXXXX in completing the tendering documents.本項目應在相互合作以及吸取XXXXX指導方針的前提下開展。乙方應在設(shè)計前期提供整體咨詢計劃書，每次招標或信息發(fā)布大會后，乙方也應按如下提供詳細計劃：投標開始后的七日內(nèi)向甲方展示初步設(shè)想；設(shè)想探討會議結(jié)束后的七日內(nèi)遞交設(shè)計草圖，遞交后，乙方須執(zhí)行甲方的修改要求；最終初始設(shè)計稿應在招標截止期前三天內(nèi)交予甲方，從而幫助甲方整理其投標文件。

3.Term of validity合同效力期限

The consultancy contract shall apply from 1 Jan 2011 to 31 December 2012.此項目顧問合同適用于2011年1月1日至2012年12月31日。

4.Force Majeure不可抗力

“Force Majeure” under the contract means the external circumstances that can not be foreseen, avoided and surmounted in the process of fulfilment of the contract, the incidents of which makes either party fails to fulfill the obligations under the contract, such as wars, riots, government behaviors, earthquake, fire, storms, floods or other severe weathers.本合同下的“不可抗力”是指在執(zhí)行合同的過程中不能被預見、避免、克服的外在因素，從而導致合同任意一方無法履行合同責任，如戰(zhàn)爭、**、政府行為、地震、火災、風暴、洪水或其他惡劣天氣。

The period required to complete the obligations shall be extended accordingly due to the affect of the force majeure, the extension shall be the same as the period of time affected by the force majeure or the period of time is agreed upon both parties.由于不可抗力造成的影響，履約責任期可被相應延長，延長期應與不可抗力的影響期相同或通過雙方協(xié)商確定。

5.Intellectual Property Rights and confidentiality 知識產(chǎn)權(quán)與保密

XXXXX shall ensure that the results of his design are not with any flaw to any right and none of the rights of third parties is impinged, and shall ensure that XXXXX is not

claimed by any third party for using XXXXX's design results to be against the intellectual property rights.Should the case above occur, XXXXX shall be responsible for disposing and assuming all legal liabilities arised therefrom.乙方應確定其設(shè)計不存在任何所有權(quán)瑕疵，不會牽涉到任何第三方的權(quán)利，并保證甲方不會因使用乙方的設(shè)計而產(chǎn)生侵權(quán)賠償。如果發(fā)生上述情況，乙方應負責處理所有因此造成的法律責任。

All texts, graphics, charts, datas and other documents described about this project are the properties belonging to XXXXX.XXXXX shall not disclose any information of this project to any third party without authorization, shall not use any of the documents and informations above in any other project, otherwise, all resulting legal liabilities shall be assumed by XXXXX.本項目涉及的所有材料均屬于甲方。乙方在未授權(quán)的情況下，不應向任何第三方透露本項目的任何信息，也不能在其他項目中使用本項目的任何資料與信息，否則，由此產(chǎn)生的法律責任由乙方負責。

The copyright(except authorship)of the design results in this project is belonging to XXXXX.XXXXX shall not use the design results under this project on the irrelated

intentions and purposes to the project, shall not authorize any third party or disclose any content of the design results.XXXXX may inform XXXXX before using the design results submitted by XXXXX on other occasions besides this project, XXXXX shall not have any right to reject the foregoing acts.本項目涉及的所有版權(quán)（除著作權(quán)外）均屬于甲方，乙方不得在與本項目無關(guān)的意圖或目的下使用其設(shè)計成果，也不可以授權(quán)第三方或透露任何設(shè)計細節(jié)。甲方在與本項目無關(guān)的場合下使用乙方提交的設(shè)計成果，可提前告知乙方，乙方無權(quán)拒絕前述行為。

All technologies, laws and financial informations relating to this contract are trade secrets, shall not be disclosed to the third parties listed out of the contract without the consent of all parties under the contract, otherwise, the telltale party shall be liable to assume 10% of the total contract price for breach of the contract to the other party.Should the compensation not be sufficient for the actual losses, the amount of the compensation shall be increased in accordance with the actual losses.與本項目相關(guān)的所有技術(shù)、法律和金融信息都被視為商業(yè)秘密，任何一方不得透露給合同外的第三方，否則，泄密的一方因違約須賠償合同總額的10%予另一方。如果賠償不足以賠付實際損失的，賠償額應根據(jù)實際損失相應的增加。

The terms of intellectual property and the duty of confidentiality shall not be invalidated by the completion of the execution, change, termination and inefficacy of the contract.知識產(chǎn)權(quán)和保密責任條款不應隨工作的完成或合同的變更、終止和失效而無效。

6.Payment款項

Payments shall be made as follows:

The budget of RMB 430,000 is payable in three installments.The first installment shall be 30% of the budget(RMB 129,000), the second installment shall be 30% of the budget(RMB 129,000), the third installment shall be 40% of the budget(RMB 172,000).Payments shall be made to the account of XXXXX Design B.V..款項支付情況如下：

Consultancy

Presentations

Design drawings

8.Provision of third party services 第三方服務條款

Where services are provided by third parties(e.g.printing, etc.), XXXXX shall monitor production and guarantee that the service is performed competently.Payment for this service is covered by the overall budget.由第三方提供服務的地方，乙方應監(jiān)督制作及保證服務質(zhì)量。此服務涉及的費用包含在總預算中。
