依照中華人民共和國(guó)法律和有關(guān)法規(guī)規(guī)定，為明確雙方的權(quán)利、義務(wù)關(guān)系，經(jīng)甲乙雙方 協(xié)商一致，特訂立本合同條款供共同遵守執(zhí)行：
In accordance with relevant Chinese statutory laws, to clarify the rights and responsibilities of both sides, through A, B both parties negotiate amicably before signing the tenancy agreement.一、甲方將座落于XX市建筑面積約平方米的房產(chǎn)及附屬設(shè)施租給乙方作使用、甲方房屋產(chǎn)權(quán)要保證清晰，租賃期間，雙方應(yīng)遵守合同約定。

RMB in total.The second installment will be paid RMB in total.The third installment will be paid RMB in total.The fourth installment will be paid RMB in total.(year), whichRMB in total.The sixth installment will be paid(year),RMB in total.四、雙方同意于年日由甲方將上述房屋交付給乙方使用，如甲方?jīng)]有按期將房屋交付給乙方使用，應(yīng)賠償乙方的經(jīng)濟(jì)損失，如乙方拖欠租金，甲方除追回所欠租金款項(xiàng)，可終止合同，并有權(quán)收回出租房屋。
4.Party A agrees to provide the premises and associate amenities for Party B for use.Party A should make appropriate compensation for any losses due to the property not being ready on time.Party A has the right to recover funds, in addition, Party A also has the right to take back the premises and take actions against Party B in case of breach of contract.五、乙方經(jīng)過(guò)甲方同意方能轉(zhuǎn)租，租賃期間，乙方如需改變用途，必須征得甲方同意。
5、Party B will not transfer or sublet the premises, Party B must get the approval from Party A if Party B wants to change the use of the property during the tenancy term.六、租用期間，該房產(chǎn)的正常維修由乙方負(fù)責(zé)，乙方如需改變租賃房屋的原有建筑格局必須事先征得甲方同意，方可進(jìn)行，如沒有告知甲方，按被損壞建筑物的價(jià)值賠償甲方。租賃期滿，固定裝修不得拆除，歸甲方所有。
6.Party B should be responsible for the day to day repair and maintenance during the tenancy term.If Party B requires, for any reason, to alter the original structural layout of the property, they must seek approval from Party A before taking any action.Otherwise, Party A will make appropriate compensation to Party B.Upon the expiration of the contract, Party B cannot remove the fixtures and decorations or any furniture belonging to Party A.七、租賃期間乙方不得將租賃房屋作為抵押物或非法活動(dòng)場(chǎng)所使用，同時(shí)要做好防火、防 水、防風(fēng)等工作，否則一切經(jīng)濟(jì)損失和法律責(zé)任由乙方單方負(fù)責(zé)承擔(dān)(除不可抗力原因)。
7.Party B cannot use the property as collateral or use for illegal activities.Party B is responsible for taking appropriate action to safeguard the property against fire, water and wind damage.Party B will make appropriate compensation for any losses and is held legally responsible(except for mitigating circumstances)for failing to safeguard the property against the aforementioned.八、該房屋如發(fā)生產(chǎn)權(quán)糾葛，應(yīng)由甲方妥善解決，與乙方無(wú)關(guān)。
8.Party A will be responsible for resolving any issues or disputes unrelated the Party B.九、因不可抗力的原因?qū)е卤竞贤瑹o(wú)法履行時(shí)，本合同自然終止，雙方互不承擔(dān)責(zé)任。
9.Party A and Party B cannot be held responsible for criminal damage or breaches of contract instigated by third parties.十、甲乙雙方應(yīng)該嚴(yán)格履行本合同規(guī)定。如果甲方違約，應(yīng)該賠償乙方因此造成的損失；如果乙方違約，甲方有權(quán)終止合同，收回出租房屋，并追究乙方因違約而造成的一切責(zé)任。
10.Both parties shall strictly adhere to the terms and obligations under this contract.Party A will be liable for any compensation to Party B, should Party A breach the terms and conditions of the contract.Party A has the right to terminate the contract and take back the premises, and take any appropriate action against Party B in case of breaches of contract.十一、乙方承租期間，該房屋使用水費(fèi)、電費(fèi)、工商、稅務(wù)、房產(chǎn)稅、物業(yè)管理費(fèi)等費(fèi)用都由乙方單方負(fù)責(zé)。
11.During the tenancy terms, Party B shall be responsible for the of any payments pertaining to water, electricity and amenities charges;industry tax, commerce tax, property tax, management fees and any other fees related to the property.十二、乙方在付給甲方租賃金額同時(shí)，應(yīng)付給甲方租賃保證金人民幣)元。租賃期滿時(shí)乙方如付清當(dāng)月水費(fèi)、電費(fèi)、物業(yè)管理費(fèi)，該房屋內(nèi)配套的家電沒有人為損壞時(shí)，甲方將退還乙方租賃保證金(人民幣)元。
12.Party B shall pay a deposit of ______RMB at the commencement of the tenancy agreement.At the expiration of the agreement, Party B shall pay any outstanding of remaining charges such as water, electricity and property management fees.Party A, then, shall refund Party B ________RMB if the dwelling, facilities and household appliances are undamaged.十三、租賃期滿或合同終止，乙方必須按時(shí)搬出全部物品，期滿五天內(nèi)租賃房屋如仍有物品，視為乙方放棄所有權(quán)，由甲方處理；期滿后在同等條件下，乙方有續(xù)租優(yōu)先權(quán)。
13.Upon the expiration or termination of the tenancy agreement, Party B shall, duly, remove all their belongings and vacate the property.Party A reserves the right to remove any items or belongings, left behind by Party B, after five day;Party B, thereafter, shall lose all rights to the aforementioned items.On expiration of the tenancy agreement, Party
B has the right to renew the contract and continue with rental payments.十四、乙方內(nèi)外債權(quán)債務(wù)與甲方及見證人無(wú)關(guān)。
14.Party A and the witnesses are responsible for Party B’s financial circumstance or business undertakings.十五、本合同一式三份，由甲方、乙方、見證方各執(zhí)一份。任何一方不得籍詞中途解除合同，否則由違約一方承擔(dān)完全責(zé)任。本合同自簽訂之日起生效，租賃期滿本合同自然作廢。This contract is in triplicates.Each party(i.e.Party A, Party B and the witness)will retain an original copy.The contract is binding for the agreed duration its term.Early termination of the contract by either Party A or Party B may incur compensation to the other party.The contract is legal on binding immediately upon signing and will cease on the date of expiry.備注：

important nations for the global economy – for the next four years in the United States’ case, and for a decade in China’s.By the time President Obama is ready to leave office, China will have passed the U.S.in GDP terms, at least according to a report by the OECD.But with GDP no longer Chinese leaders’ top concern, the country has its sights set on catching up with the U.S.in another area – innovation.On a recent to visit to speak at the World Economic Forum's Summer Davos in Tianjin, I was struck by the sense of urgency among Chinese leaders to close the gap when it comes to innovation.It was clear to me that it is time for the U.S.to pay close attention, because urgency in China is generally followed by execution.Unfortunately, America has worked itself up over the wrong issues as far as “competitiveness” is concerned: we bemoan the fact that China has taken our jobs(and 42 percent of Americans believe that China is already the world’s largest economy, a Pew survey suggested).But those worried about the country’s future would be better served focusing on U.S.competitiveness in innovation, something that has the potential to put this country’s growth back on track.The problem is that there is a general(and misplaced)belief that China will always be a loser, that it can only imitate, not innovate.Critics argue that its society is too top-down and that American innovation will always be buoyed by Silicon Valley.More from CNN: U.S.needs an infrastructure bank But the reality is that it is na?ve to believe China cannot narrow the gap in innovation, and the second Obama administration would do well to consider that America could actually learn a thing or two from across the Pacific.And it could start by grappling with some widely held myths: 1.There is no innovation in China, only piracy and imitation.Most innovation begins with imitation;America got its start by imitating inventions from the Old World.Meanwhile, many Chinese “imitations, ” such as Alibaba, Tencent or Sina Weibo, have moved far beyond being mere copies of their U.S.counterparts.Each is solving problems uniquely relevant to Chinese businesses and consumers, something that could create platforms for innovations that are propelled into global markets.2.The Chinese approach to innovation is too top-down and state-led – real innovation only comes from the bottom-up.The Chinese state is committed to bringing China to the ranks of the innovative nations by 2020.Silicon Valley entrepreneurs might shudder at this top-down approach.Yet consider, for example, where the American entrepreneur would be if the U.S.government had not funded the Defense Advanced Research Projects Agency that gave birth to the Internet.The state must play a role in investing in foundational innovations, such as the Internet and mobile technologies.Once these foundations are laid, then a competitive bottom-up ecosystem will encourage creative destruction.But sadly, U.S.government investment in such foundational innovations has been on a steady decline.3.Intellectual property rights protection in China is too weak to encourage innovation.China's weaker intellectual property protection could, arguably, make it easier to foster a climate conducive to open innovation.Of course, a balance needs to be struck between open access to intellectual property and protecting it – with no protection, innovation will stall, because investors need returns on their investment.Unfortunately, in the U.S., intellectual property protections block innovation just as much as they promote it.4.In a globalized economy, sustaining innovation requires investment in international markets;China's brand and soft power abroad is weak and dated.Despite several unresolved issues such as territorial disputes and balance of trade, China's influence in the world's fast-growing regions, including Africa, Latin America and East Asia, is growing more rapidly than that of the United States.When Chinese innovations look for inputs or consumers and they turn to these markets, they are likely to have as many opportunities as well-known U.S.brands – perhaps even a better chance.Indeed, when it comes to ties with Africa and Latin America, China is often one step ahead of the U.S.5.China's education model emphasizes rote learning;innovation can only flourish in environments that encourage exploration, critical thinking and a broad education in the liberal arts tradition.The danger with the Chinese approach is that if you don’t expose students to other disciplines and encourage critical thinking, they may lack the breadth to blossom into creative problem-solvers and risk takers.However, the U.S.system has some severe deficits of its own.A recent U.S.Department of Commerce report, for example, highlights a growing gap in science, technology, engineering and mathematics education.Notably, immigrants are the ones filling the education gap – half the start-ups in Silicon Valley were founded by immigrants.Sure, the Chinese model of innovation needs plenty of work, but in many ways China is also learning from the U.S.and following in our early footsteps.As China moves up the curve and adds the uniqueness of its own experience and approach, it may create a new hybrid model that has lessons for other nations, including the United States.Remember, it’s true that the global positioning system is a product of the U.S.Department of Defense.But the Chinese were the ones who gave us the compass in the first place.Chakravorti is 4、在一個(gè)全球化的經(jīng)濟(jì)中，持續(xù)創(chuàng)新要求投資于國(guó)際市場(chǎng)；中國(guó)在國(guó)外的品牌和軟實(shí)力是弱的且過(guò)時(shí)的。

根據(jù)《中華人民共和國(guó)城市房地產(chǎn)管理法》、《中華人民共和國(guó)合同法》及有關(guān)法律規(guī)定，甲乙雙方現(xiàn)就乙方租用甲方房產(chǎn)及相關(guān)事項(xiàng)，訂立以下合同。
第1條 合同前提條件
1．1 鑒于本合同項(xiàng)下的房產(chǎn)所有權(quán)人均系甲方或其下屬的子公司及其所控制的企業(yè)或單位，且其下屬的公司、企業(yè)或單位已同意委托甲方行使本合同項(xiàng)下房產(chǎn)的出租權(quán)，甲方同意將合同房產(chǎn)出租給乙方，乙方同意承租。
第2條 合同房產(chǎn)范圍、使用和處置
2．1 合同房產(chǎn)是指甲方及其下屬的公司、企業(yè)或單位所擁有的部分房產(chǎn)共_________處，所占總建筑面積共為_________平方米（以下簡(jiǎn)稱“合同房產(chǎn)”）。對(duì)該等房產(chǎn)的詳細(xì)描述見附件一“合同房產(chǎn)一覽表”及附件二“股份有限公司總部辦公大樓租賃合同”，該等附件構(gòu)成本合同之一部分。
2．2 甲方下屬擁有房產(chǎn)的企業(yè)將嚴(yán)格按照本合同規(guī)定的條款和條件就其所擁有的一處或多處房產(chǎn)與乙方簽署具體房產(chǎn)租賃合同。具體合同的約定與本合同有沖突的，以本合同為準(zhǔn)。
2．3 乙方須根據(jù)各具體合同約定用途使用合同房產(chǎn)，并接受甲方的監(jiān)督，如改變用途，需征得甲方同意。
2．4 非經(jīng)甲方同意，乙方不得改變合同房產(chǎn)主體結(jié)構(gòu)。
2．5 租賃期滿不再續(xù)約的，乙方須及時(shí)、完整地向甲方交回合同房產(chǎn)。
2．6 租賃期間，如合同房產(chǎn)所有權(quán)人將合同房產(chǎn)所有權(quán)轉(zhuǎn)讓給第三方，本合同對(duì)該第三方具約束力。
第3條 租賃期限
3．1 除乙方總部辦公大樓租賃期限為二年外，合同房產(chǎn)租賃期限為_________年，追溯自_________年_________月_________日起算。
3．2 如果乙方要求延長(zhǎng)房產(chǎn)的租賃期限，乙方應(yīng)在前述租賃期限期滿之前至少6個(gè)月以書面形式通知甲方。
3．3 甲方在收到乙方按前款發(fā)出的延長(zhǎng)租賃期通知后，應(yīng)同意該等延長(zhǎng)，并應(yīng)同乙方在前述租賃期滿前簽訂新的租賃合同。甲方應(yīng)在租期屆滿前辦理完畢該房產(chǎn)續(xù)租的一切與政府部門有關(guān)的審批及手續(xù)。續(xù)租的租金標(biāo)準(zhǔn)依國(guó)家的有關(guān)規(guī)定標(biāo)準(zhǔn)或（在無(wú)該等標(biāo)準(zhǔn)時(shí)）依當(dāng)時(shí)的市場(chǎng)價(jià)格執(zhí)行。
3．4 甲乙雙方同意，乙方可以在本條第1款租賃期滿前的任何時(shí)候終止租賃本合同項(xiàng)下的部分或全部合同房產(chǎn)，但乙方須在其所要求的終止日前6個(gè)月書面通知甲方。
第4條 租金和稅費(fèi)
4．1 乙方每年應(yīng)按照平均每個(gè)平方米人民幣_(tái)________元（_________元）的價(jià)格向甲方支付租金。但對(duì)其中乙方總部辦公大樓一萬(wàn)平方米租金的約定見附件二《股份有限公司總部辦公大樓租賃合同》。
4．2 本合同所規(guī)定的租金，由乙方按季度向甲方支付，每次支付的租金額為該租金總額的四分之一。每一筆租金應(yīng)于每年1月10日、4月10日、7月10日、10月10日、（前述每個(gè)日期均為“付款日”）之前交付甲方。無(wú)論前款規(guī)定如何，第一筆租金應(yīng)按下述計(jì)算方法計(jì)算并在本合同生效后第一個(gè)付款日支付給甲方：年租金／365×合同生效日至合同生效后第一個(gè)付款日的實(shí)際天數(shù)。
4．3 甲方負(fù)責(zé)辦理租賃期間該合同房產(chǎn)的房產(chǎn)稅及其他法定稅費(fèi)的繳納手續(xù)。但除本合同附件二所指的辦公大樓的租賃外，該等費(fèi)用應(yīng)由乙方實(shí)際負(fù)擔(dān)，于收到甲方通知及相關(guān)憑證之日起十日內(nèi)匯入甲方指定帳戶。
4．4 租賃期間，合同房產(chǎn)的房屋水、電、暖費(fèi)、維修費(fèi)及其他有關(guān)使用該合同房產(chǎn)的費(fèi)用由乙方負(fù)擔(dān)。
第5條 運(yùn)作方式
5．1 甲乙雙方應(yīng)于每年11月30日前分別制定各自的租金分配計(jì)劃，并就該等租金計(jì)劃達(dá)成一致，分別下發(fā)。甲方在制定該計(jì)劃時(shí)，應(yīng)考慮按不同區(qū)域和不同房產(chǎn)的情況，內(nèi)部調(diào)整房產(chǎn)單價(jià)，并于每年11月30日前將該計(jì)劃提交給乙方。
第6條 雙方權(quán)利義務(wù)
6．1 甲方權(quán)利：
（a）甲方有權(quán)依據(jù)本合同的約定收取租金。
（b）甲方有權(quán)對(duì)乙方使用合同房產(chǎn)的情況進(jìn)行監(jiān)督。
（c）租賃期限內(nèi)，對(duì)因乙方原因造成的合同房產(chǎn)的損壞，甲方有向乙方索賠的權(quán)利。
（d）甲方有權(quán)享有本合同規(guī)定的其他權(quán)利。
6．2 甲方義務(wù)：
（a）甲方保證合同房產(chǎn)的產(chǎn)權(quán)所有人的合法性以及根據(jù)本合同出租房產(chǎn)的合法性，同時(shí)保證合同房產(chǎn)不存在任何抵押權(quán)和其他第三方權(quán)利。甲方保證采取一切必要措施使根據(jù)本合同項(xiàng)下所出租的房產(chǎn)在租賃期限內(nèi)持續(xù)符合有關(guān)法規(guī)對(duì)出租該等房產(chǎn)的規(guī)定。如果因此類原因使乙方受到損害，甲方保證對(duì)乙方進(jìn)行賠償。
（b）對(duì)乙方提出的與使用合同房產(chǎn)相關(guān)的合理請(qǐng)求，甲方應(yīng)及時(shí)提供必要的幫助。
（c）甲方不得因自身任何作為或不作為而影響乙方正常使用合同房產(chǎn)。
（d）甲方應(yīng)在本合同生效之日起六十日內(nèi)向有關(guān)部門辦理房產(chǎn)租賃登記手續(xù)。
（e）除非本合同另有規(guī)定，本合同有效期內(nèi)，甲方不得提前收回合同房產(chǎn)。
（f）對(duì)于甲方暫無(wú)法取得房產(chǎn)證的房產(chǎn)，甲方允許乙方使用，同時(shí)甲方應(yīng)保證自_________年_________月_________日起一年內(nèi)辦理相關(guān)手續(xù)，在此期間，乙方對(duì)該等房產(chǎn)的權(quán)利義務(wù)參照本合同執(zhí)行。
6．3 乙方權(quán)利：
（a）乙方有權(quán)依據(jù)各具體合同及本合同約定的原則使用合同房產(chǎn)。
（b）乙方依據(jù)生產(chǎn)經(jīng)營(yíng)需要，并征得甲方同意，可對(duì)合同房產(chǎn)進(jìn)行改造添附，并享有改造添附部分的所有權(quán)。
（c）乙方可以轉(zhuǎn)租，但需經(jīng)甲方同意。
（d）乙方可以退租，但應(yīng)至少提前6個(gè)月書面通知甲方。
6．4 乙方義務(wù)：
（a）乙方必須依法使用合同房產(chǎn)。
（b）依照本合同約定交付租金。
第7條 雙方進(jìn)一步的責(zé)任
7．1 合同雙方有義務(wù)采取進(jìn)一步的其他必要的行動(dòng)，包括簽署其他有關(guān)的協(xié)議或合同或文件，以確保實(shí)現(xiàn)本合同的宗旨和規(guī)定的內(nèi)容。
第8條 合同的變更和終止
8．1 本合同的任何變更，須經(jīng)雙方同意，并以書面形式作出方可生效。為了避免歧義，乙方按本合同要求延長(zhǎng)對(duì)房產(chǎn)的租期或提前退租，應(yīng)按本合同的有關(guān)條款進(jìn)行。
8．2 本合同按下列方式終止：
（a）本合同期限屆滿，或
（b）本合同有效期限內(nèi)雙方達(dá)成終止協(xié)議，或
（c）本合同任何一方因地震、風(fēng)暴、水災(zāi)、戰(zhàn)爭(zhēng)等不可抗力喪失繼續(xù)履行本合同的能力，或
（d）根據(jù)法律、法規(guī)的規(guī)定，或有管轄權(quán)的法院或仲裁機(jī)構(gòu)所做出的終止本合同的判決、裁定或決定而終止本合同。

甲、乙雙方經(jīng)友好協(xié)商,根據(jù)合同法有關(guān)規(guī)定,簽訂合同條款如下:
1、甲方自愿將位于昆明市 小區(qū)56棟 1 單元 7 樓 706 號(hào) 3房2 廳建筑面積90平方米房租給乙方作居住使用,租期為壹年，從 2019 年 月 日起至2019 年 月 日止。
2、乙方需繳納每月租金1500元整,租金為三個(gè)月壹付,計(jì)人民幣4500元整,簽訂合同時(shí)乙方即向甲方交清房租并向甲方交納租房押金2000元。
3、出租房的維修、房產(chǎn)稅、土地使用費(fèi)等由甲方負(fù)責(zé)，每月管理費(fèi)、水電費(fèi)、電話費(fèi)等由乙方負(fù)責(zé)。
4、租貨期間，甲乙雙方都不得無(wú)故解除合同，否則，違者處以2000元罰款。
5、租賃期滿后，乙方是否續(xù)租，甲方是否出租都應(yīng)提前壹個(gè)月告知對(duì)方，乙方合同期滿應(yīng)提前壹個(gè)月支付甲方續(xù)租租金，租賃期滿后，如甲方收取了乙方押金，在房屋完好無(wú)損、各種費(fèi)用結(jié)清時(shí)，應(yīng)如數(shù)退還乙方。
6.乙方在使用房屋期間，不得擅自改變房屋結(jié)構(gòu)及用途,并嚴(yán)格基守國(guó)家的有關(guān)法律、法規(guī)，如乙方對(duì)房量設(shè)施故意或過(guò)失造成損毀，應(yīng)負(fù)責(zé)修繕恢復(fù)原狀或按價(jià)賠償。
7、租賃期滿，乙方須按時(shí)搬走,不得故意拖延時(shí)間，未經(jīng)甲方同意，過(guò)期三天仍未搬走，甲方有權(quán)自行處理屋內(nèi)財(cái)物并收回房屋，如甲方的房產(chǎn)繼續(xù)出租或出賣，在同等條件下乙方享有優(yōu)先權(quán)。

9、本合同如發(fā)生糾紛，甲、乙雙方應(yīng)通過(guò)發(fā)好協(xié)商解決，不能解決即提請(qǐng)有關(guān)部門裁決。
10、本合同一式三份，甲、乙、丙三方各執(zhí)一份，三方簽字后，此合同生效。
