本協(xié)議由 甲方：深圳翻譯有限公司（以下簡稱“甲方”）

乙方應(yīng)為公司提供的信息保密，并且不得披漏（或許可其雇員披漏）信息予其機(jī)構(gòu)以

外任何其他人。乙方及其工作人員只能在翻譯工作進(jìn)行時(shí)使用該信息，未經(jīng)甲方先書面同意，不得為自身或他方的利益使用或試圖使用該信息。

甲方提供信息及其相關(guān)所有專利、版權(quán)、貿(mào)易秘密、商標(biāo)及其它知識(shí)產(chǎn)權(quán)的唯一所有人。

本協(xié)議未授予或暗示乙方對(duì)此類權(quán)利的任何許可或轉(zhuǎn)讓。

對(duì)于相關(guān)文稿、專利、版權(quán)、貿(mào)易秘密、商標(biāo)及其它知識(shí)產(chǎn)權(quán)的翻譯，甲方享有唯一所

有權(quán)。乙方無權(quán)向任何第三方提供、復(fù)制或銷售該譯稿。

乙方若違背以上條款得承擔(dān)相關(guān)的法律責(zé)任。

本協(xié)議一式兩份，具有同等法律效力。甲方保存一份，乙方保存一份，傳真件合同及掃

描件合同具有同等法律效力。

本保密協(xié)議為 《兼職翻譯合同》附件，為《兼職翻譯合同》構(gòu)成與合同正文具有同等的法律效力。

鑒于乙方為甲方提供翻譯服務(wù)，雙方當(dāng)事人就乙方在服務(wù)期間及服務(wù)結(jié)束以后保守甲方技術(shù)秘密和其他商業(yè)秘密的有關(guān)事項(xiàng)，商定下列條款并共同遵守： Whereas:Party B provides translation service for Party A, and with regards to confidentiality of Party A’s technical know-how and other commercially related secrets during and after the service period, both parties have concluded and committed to observe the following terms and conditions.一.定義

I.Definitions：

1.公司秘密(指關(guān)系公司權(quán)利和利益，在一定時(shí)間內(nèi)只限一定范圍內(nèi)的人員知悉的事項(xiàng)，包括但不限于專利、著作權(quán)、技術(shù)秘密和其他商業(yè)機(jī)密)。

Company secrets(i.e., any matters related to the rights and interests of the Company, which are only known to limited number of persons within a certain period, including but not limited to patents, copyrights, technical know-how and commercial secrets)

2.甲方已經(jīng)或即將交付給乙方、向乙方披露或乙方知悉的相關(guān)信息和資料(包括但不限于上 面印有“保密”、“confidential”字樣或其它同義的文字)。

Any relevant information and materials that Party A has delivered, disclosed or known or is ready to deliver, disclose or make known to Party B(including but not limited to those stamped with “保密”, “confidential” or other words or characters bearing the equivalent meanings).3.乙方在為甲方提供服務(wù)期間所完成的、與甲方業(yè)務(wù)相關(guān)或主要利用甲方所提供的信息所完 成的作品或其他商業(yè)秘密信息等成果。

Any works or achievements that have been completed by Party B during the service period, or that are related to Party A’s businesses or that have been completed mainly with the information provided by Party A, and/or other commercial secrets.4.形式：包括但不限于書面、口頭、模型或其他存儲(chǔ)于任何硬件上的信息，如光盤、計(jì)算機(jī)、便攜式硬盤等。

Forms: including but not limited to information that is paper based, orally made, modeled or stored in any other hardware, such as CDs, computers, portable hard drives, etc.二.乙方充分認(rèn)知并同意甲方就上述秘密、信息資料及服務(wù)成果具有下列利害關(guān)系的全部或一部分：

II.Party B has fully understood and agreed that the above mentioned secrets, information and materials as well as service achievements are bearing all or part of the following significance: 1.乙方對(duì)第三人具有保密必要或義務(wù)。

Party B has the responsibility and obligation to keep the concerned information secret to any third party.2.具有知識(shí)產(chǎn)權(quán)的價(jià)值或商業(yè)利益。

The concerned information is of intellectual property values or of commercial interests.三.下列情形乙方不負(fù)保密責(zé)任：

III.Party B shall not be held confidential responsibility for: 1.已公開為眾所周知的文件或資料；

Documents or materials that had previously been made public 2.甲方同意公開的；

That Party A has agreed to disclose;or

3.基于法律規(guī)定或法院的判決，裁定而披露者。

That has to be disclosed in accordance with laws and regulations or the court decisions.四.乙方保密職責(zé)

IV.Party B’s Confidential Responsibilities

1.乙方同意采取必要合理的措施維護(hù)甲方的保密資料或信息。

Party B has agreed to undertake appropriate measures necessary for protecting the confidentiality of Party A’s materials or information.2.乙方必須遵守甲方規(guī)定的任何成文或不成文的保密規(guī)章、制度、履行與其服務(wù)相應(yīng)的保密

職責(zé)。甲方的保密規(guī)章、制度沒有規(guī)定或者規(guī)定不明確之處，乙方亦應(yīng)本著謹(jǐn)慎、誠實(shí)的態(tài) 度、采取任何必要、合理的措施，維護(hù)其于服務(wù)期間知悉或者持有的任何屬于甲方或者屬于 第三方但甲方承諾有保密義務(wù)的技術(shù)秘密或其他商業(yè)秘密信息，以保持其機(jī)密性。

Party B shall abide by any written or unwritten confidential regulations and systems provided for by Party A, and shall fully implement its confidential responsibilities associated with the service provided.In case that there exists any unregulation or indefiniteness in the confidential regulations and systems provided for by Party A, Party B shall, with a cautious and faithful attitude, undertake any appropriate measures necessary for confidential protection of any technical know-how or other commercial secrets belonging to Party A that it has acquired or held during the service period, or that does not belong to Party A while Party A has the commitment to take the confidential responsibilities.五.所有權(quán)保留

V.Reserve of Ownership

1.凡甲方交付給乙方的資料，其所有權(quán)仍屬于甲方，甲方可以隨時(shí)以書面形式通知乙方交還 或銷毀該資料，以及其所有的拷貝本。

Party A reserves the right of ownership for any materials sent to Party B, and reserves the right to make a request in writing, requiring Party B to return or destroy such materials and all the copies.2.甲方交付乙方文件或資料，如含有任何可申請(qǐng)專利權(quán)或著作權(quán)等知識(shí)產(chǎn)權(quán)者，乙方不得據(jù)

為己有而申請(qǐng)或提供他人申請(qǐng)專利或著作權(quán)等知識(shí)產(chǎn)權(quán)。

In case that the documents or materials contain any works or technical achievements that may apply for patents, copyrights and/or other intellectual properties, Party B shall not take such works or technical achievements as its own, and apply or provide to any third party to apply for patents, copyrights and/or other intellectual properties.3.乙方完成的服務(wù)成果，相關(guān)知識(shí)產(chǎn)權(quán)歸甲方所有，乙方不得在未經(jīng)甲方明確授權(quán)的前提下

利用這些成果進(jìn)行生產(chǎn)、經(jīng)營或自行向第三方轉(zhuǎn)讓。

The relevant intellectual properties of any service achievements that have been completed by Party B belong to Party A.Without Party A’s clear authorization, Party B shall not conduct any production or operation by use of such achievements, or transfer such achievements to any third party.六.資料返還 VI.Return of Materials

服務(wù)合同結(jié)束時(shí)，乙方有義務(wù)按甲方的要求將甲方已交付乙方的資料以及其所有的復(fù)制或拷 貝本交還給甲方。無法返還的資料，包括但不限于已安裝于硬設(shè)備的軟件程序，乙方應(yīng)即清 除銷毀。

Upon termination of the service contract, Party B is obliged to return all the materials previously delivered to him by Party A and all copies back to Party A as per Party A’s request.For those that could not be physically returned, including but not limited to software program installed in hard devices, Party A shall eliminate from such devices immediately.七.保密期間

VII.Period of Confidentiality

乙方同意自服務(wù)結(jié)束之后對(duì)在為甲方提供服務(wù)期間接觸、知悉屬于甲方或者雖屬于第三方但 甲方承諾保密義務(wù)的技術(shù)秘密和其他商業(yè)秘密信息，承擔(dān)如同服務(wù)期間一樣的保密義務(wù)和不 擅自使用有關(guān)秘密信息的義務(wù)，直至甲方宣布解密或該信息實(shí)際上已經(jīng)公開。

After the ending of translation service, Party B has agreed to take the same confidential responsibility as regulated within the service period for any technical know-how or other commercial secrets belonging to Party A that it has acquired or held during the service period, or that does not belong to Party A while Party A has the commitment to take the confidential responsibilities, and committed that he will not use any secret information without Party A’s authorization or approval, until Party A declares the disclosure of such information or such information has been actually disclosed to the public.八.違約責(zé)任

VIII.Responsibility for Breach of Agreement

乙方同意如違反本合約任何條款的，甲方有權(quán)單方面解除與乙方的服務(wù)合同，并保留依法追 究乙方違約責(zé)任的權(quán)利。

Party B has agreed that if he has violated any term or condition under this Agreement, Party A will reserve the right to terminate the service contract signed with Party B, and reserve the right to claim Party B’s responsibility for breach of this Agreement.九.因本合同而引起的糾紛，如果協(xié)商解決不成，任何一方均有權(quán)提起訴訟。

IX.For any dispute aroused under this Agreement, any party may propose for legal proceedings if a resolution fails to be reached under negotiation.十.雙方確認(rèn)，在簽署本合同前已仔細(xì)審閱過本合同的內(nèi)容，并完全了解合同各條款的法律 含義。X.Both parties have confirmed that prior to signing this Agreement, they have carefully reviewed this Agreement and have fully understood the legal meaning of each term and condition under this Agreement.十一.本合同一式兩份，作為服務(wù)合同的附件,與對(duì)應(yīng)的服務(wù)合同同時(shí)簽署,自雙方簽字或蓋章完成之日起生效，雙方各執(zhí)一份。

甲方委托乙方翻譯資料，乙方為甲方提供規(guī)范、保密的翻譯服務(wù)，雙方本著平等互利的原則經(jīng)友好協(xié)商，達(dá)成以下保密協(xié)議：

1.商業(yè)秘密

本合同提及的商業(yè)秘密，包括但不限于：技術(shù)方案、工程設(shè)計(jì)、電路設(shè)計(jì)、制造方法、配方、工藝流程、技術(shù)指標(biāo)、計(jì)算機(jī)軟件、數(shù)據(jù)庫、研究開發(fā)記錄、技術(shù)報(bào)告、檢測(cè)報(bào)告、實(shí)驗(yàn)數(shù)據(jù)、試驗(yàn)結(jié)果、圖紙、樣品、樣機(jī)、模型、模具、操作手冊(cè)、技術(shù)文檔、相關(guān)的函電，等等。

本合同提及的其他商業(yè)秘密，包括但不限于：客戶名單、行銷計(jì)劃、采購資料、定價(jià)政策、財(cái)務(wù)資料、進(jìn)貨渠道，等等。

2.秘密來源

乙方從甲方獲得的與項(xiàng)目有關(guān)或因項(xiàng)目產(chǎn)生的任何商業(yè)、營銷、技術(shù)、運(yùn)營數(shù)據(jù)或其他性質(zhì)的資料，無論以何種形式或載于何種載體，無論在披露時(shí)是否以口頭、圖像或以書面方式表明其具有保密性。

3.保密義務(wù)

對(duì)甲方的商業(yè)秘密，乙方在此同意：

(1)嚴(yán)守機(jī)密，并采取所有保密措施和制度保護(hù)該秘密（包括但不僅限于乙方為保護(hù)其自有商業(yè)秘密所采用的措施和制度）；

（2）不泄露任何商業(yè)秘密給任何第三方；

（3）除在履行為甲方的翻譯業(yè)務(wù)之外，任何時(shí)候均不得利用該秘密；

（4）不復(fù)制或通過反向工程使用該秘密。

（5）未經(jīng)甲方允許，不得將翻譯工作轉(zhuǎn)交他人代理。

4.返還信息

任何時(shí)候，只要收到甲方的書面或口頭要求，乙方應(yīng)立即歸還全部商業(yè)秘密資料和文件，包含該商業(yè)秘密資料的媒體及其任何或全部復(fù)印件或摘要。如果該技術(shù)資料屬于不能歸還的形式、或已經(jīng)復(fù)制或轉(zhuǎn)錄到其他資料或載體中，則應(yīng)刪除。

5.保密期限

本協(xié)議有效期限為永久。

6.爭(zhēng)議解決

本協(xié)議受中國法律管轄并按照中國的法律進(jìn)行解釋。由于本協(xié)議的履行或解釋而產(chǎn)生的或與之有關(guān)的任何爭(zhēng)議，如雙方無法協(xié)商解決，應(yīng)提交甲方所在地人民法院審理。

本合同一式貳份，雙方各持一份，具有同等效力。

7.Statement and warranty clauses on omission 7.1 Party A has never made any express or implied representation and warranty on the completeness or accuracy of the confidential materials in the above, and Party B shall review and do due diligence investigation for the confidential materials on its own.7.2 Undertakings and warranties of Party B 7.2.1 Party B undertakes and warrants that it shall not discuss anything to any potential investor regarding any other known asset package, and will not provide any information or documents relevant to the marketing and transaction of the asset package to the potential investor of any known asset package, or enable any potential investor to obtain any of the confidential information.7.2.2.Party B agrees and undertakes that it has not been employed by any other potential investor.Party B or its representatives shall not collude, conspire or reach agreement with any other potential investors, corporations, entities or individuals, submit a bid that is competitive to the transaction, or avoid the submission of bid relevant to the transaction, or reach agreement, collude, communicate or discuss with any other potential investors, corporation, or individual in any direct or indirect manner to fix one or more items of price in the bid of investors or the bid of any potential investor.If Party B or any of its advisors may have already violated the above, then Party A may, at its sole discretion, terminate its consignment to Party B immediately, and nullify Party B’s qualification for doing the due diligence investigation.Translation 7.不作為之聲明及保證條款

7.1 甲方從未對(duì)上述機(jī)密資料的完整性和準(zhǔn)確性作出任何明示或暗示之陳述及保證，乙方應(yīng)當(dāng)獨(dú)立對(duì)機(jī)密資料盡職審查。

7.2 乙方之承諾及保證

7.2.1 乙方承諾并保證，不得與任何潛在投資者商議任何其他已知的資產(chǎn)包，亦不得對(duì)其披露任何與該資產(chǎn)包之市場(chǎng)和交易相關(guān)的信息或文件，或允許其獲取任何機(jī)密信息。

7.2.2 乙方同意并承諾并未受雇于任何潛在投資者。乙方或其代表不得與任何潛在投資者、企業(yè)、實(shí)體或個(gè)人串通、密謀或達(dá)成協(xié)議，提交對(duì)交易具有競(jìng)爭(zhēng)力之出價(jià)，或避免提交與交易相關(guān)之出價(jià)，或與任何其他潛在投資者、企業(yè)、實(shí)體或個(gè)人以任何直接或間接的方式，就一或多項(xiàng)投資者或潛在投資者之出價(jià)達(dá)成協(xié)議、進(jìn)行串通、溝通或協(xié)商。若乙方或其任何顧問已違反上述條款，甲方可全權(quán)決定即刻終止對(duì)乙方之委托，并取消乙方盡職審查之資格。

鑒于上述雙方擬進(jìn)行或正在進(jìn)行業(yè)務(wù)合作，一方為此需向另一方披露某些保密資料，特簽署協(xié)議如下：

（一）有關(guān)本協(xié)議中的定義

1、“保密資料”：指不為公眾所知悉，由披露方以任何形式向獲取方披

露的能為披露方帶來經(jīng)濟(jì)利益，具有實(shí)用性，并經(jīng)披露方采取保密措施的技術(shù)資料及經(jīng)營資料，包括（但不僅限于）設(shè)計(jì)、程序、制造方式、管理訣竅、市場(chǎng)情報(bào)、客戶名單、經(jīng)營策略、內(nèi)部報(bào)價(jià)、財(cái)務(wù)報(bào)告等資料，及該些資料的整體或部分及該資料派生被獲取方利用的資料。

2、“披露方”：指披露保密資料的一方。

3、“獲取方”：指獲取保密資料的一方。

（二）披露方的權(quán)利和獲取方的義務(wù)

1、披露方享有其披露的自己的一切保密資料的所有權(quán)，任何人不得侵

犯；

2、未經(jīng)披露方事先書面授權(quán)，獲取方不得為業(yè)務(wù)目的以外的任何目的使

用、處分保密資料以及自保密資料得到收益；

3、獲取方不得以任何原因或任何目的向任何第三方披露保密資料的任

何內(nèi)容；

4、獲取方對(duì)披露方的保密資料應(yīng)加以嚴(yán)格保護(hù)，其保護(hù)措施應(yīng)等同于獲

取方對(duì)自己秘密資料所采取的保密措施；

5、獲取方有權(quán)向其有關(guān)雇員披露他們必須了解的保密資料，但上列人員

必須履行本合同規(guī)定的保密義務(wù)；

6、由于獲取方非法使用披露方提供的保密資料致使披露方損失的，披露

方有權(quán)追究獲取方的責(zé)任；

7、披露方有權(quán)以書面形式通知獲取方歸還披露的保密資料及歸還或銷

毀保密資料的書面或電子形式的任何拷貝；

8、獲取方必須在收到披露方的通知之日起三十日內(nèi)將披露方披露的保

密資料還給披露方，并按要求歸還或銷毀一切拷貝，并保證對(duì)披露的保密資料不做任何形式的保留。

（三）聲明

1、除外聲明：下列情況不受本合同規(guī)定義務(wù)的制約：

（1）已為公眾所知悉的；

（2）根據(jù)披露方的書面授權(quán)而披露的；

（3）獲取方有書面證明的，在披露方披露之前，在未違法的前提下已實(shí)

際占有的；

（4）獲取方有書面證明的，由獲取方自行開發(fā)的與披露方的相同的或是

相類似的；

（5）根據(jù)政府管理機(jī)構(gòu)及司法機(jī)關(guān)的要求所披露的。

2、本協(xié)議的履行不得以口頭或默認(rèn)方式，此項(xiàng)下的一切通知，必須以書

面形式，以專人遞送或郵政專遞方式送達(dá)至對(duì)方經(jīng)營地，遇緊急情況可先以傳真方式發(fā)送后，于五日內(nèi)再將本書面通知以郵政專遞方式送達(dá)。

3、本協(xié)議的變更，必須經(jīng)雙方協(xié)商達(dá)成一致。

4、任何一方終止本協(xié)議，須提前一個(gè)月向另一方發(fā)出書面終止通知，經(jīng)

對(duì)方同意后本協(xié)議終止，其間，本協(xié)議仍具有法律約束力。

5.任何時(shí)候，只要收到甲方的書面要求，乙方應(yīng)立即歸還全部商業(yè)秘密資料和文件，包含該商業(yè)秘密資料的媒體及其任何或全部復(fù)印件或摘要。如果該技術(shù)資料屬于不能歸還的形式、或已經(jīng)復(fù)制或轉(zhuǎn)錄到其他資料或載體中，則應(yīng)刪除。所有翻譯資料的知識(shí)產(chǎn)權(quán)歸甲方所有，任何時(shí)候乙方未經(jīng)許可不得用于（包括報(bào)告全文、摘錄、單項(xiàng)數(shù)據(jù)等）公開發(fā)布、轉(zhuǎn)載、使用或其他用途，否則視為違約，乙方同意如違反本合約任何條款的，甲方有權(quán)單方面解除與乙方的服務(wù)合同，并保留依法追 究乙方違約責(zé)任的權(quán)利。

下列情形乙方不負(fù)保密責(zé)任：1.已公開為眾所周知的文件或資料； 2.甲方同意公開的； 3.基于法律規(guī)定或法院的判決，裁定而披露者。

6.違約責(zé)任

1.乙方違反此協(xié)議，甲方有權(quán)無條件解除聘用合同，并取消收回已支付的全部翻譯費(fèi)用，但甲方未盡本協(xié)議約定義務(wù)的或甲方存在過錯(cuò)的除外。

2.乙方違反此協(xié)議，給造成甲方經(jīng)濟(jì)損失的（非乙方原因造成的除外），應(yīng)賠償甲方因此所受的直接經(jīng)濟(jì)損失。

4.以上違約責(zé)任的執(zhí)行，超過法律、法規(guī)、賦予雙方權(quán)限的，申請(qǐng)仲裁機(jī)構(gòu)仲裁或向法院提出上訴。

（四）法律的適用及爭(zhēng)議的解決

1、本協(xié)議適用中華人民共和國有關(guān)法律，并按適用之法律解釋。

2、凡因執(zhí)行本協(xié)議發(fā)生的或與本協(xié)議有關(guān)的一切，應(yīng)由雙方通過友好協(xié)

商予以解決，如果協(xié)商不成，雙方均有權(quán)向有管轄權(quán)的人民法院提起訴訟。爭(zhēng)議解決 本協(xié)議受中國法律管轄并按照中國的法律進(jìn)行解釋。

（五）生效

本協(xié)議自簽署之日起至雙方業(yè)務(wù)合作終止后兩年內(nèi)有效，協(xié)議一式貳份，雙方各執(zhí)一份，具有同等法律效力（傳真的復(fù)印件有效）。
