SALES CONTRACT

經(jīng)雙方確認(rèn)訂立本合同，具體條款如下：

This sales Contract is made out as per the following terms and conditions mutually confirmed by both parties：

(9)付款條件：憑以賣方為受益人的、100％保兌的、不可撤銷的、無追索權(quán)的、可以轉(zhuǎn)運及分批發(fā)運的即期信用證，議付期延至裝運日期后第15天在中國到期.買方在信用證上請?zhí)钭⒈竞贤柎a，貨物名稱要按照本合同規(guī)定.Payment： By 100％ confirmed，irrevocable，without recourse L/C，in favor of the Seller，available by sight draft，allowing transshipment and partial shipments，valid for negotiation in

按照中國人民保險公司的保險條款，按發(fā)票金額的110％投保但不包括罷工險，保至目的口岸為止.如買方要增加保額或保險范圍，應(yīng)于裝運前經(jīng)賣方同意，因此而增加的保險費由買方負(fù)責(zé).Insurance： For 110％ of invoice value，up to the port of destination，as per the insurance clauses of the people's Insurance Company of China，overnight excluding SRCC Risks.If additional insurance amount Or coverage in required，the Buyer shall have the consent of the Seller before shipment，and the additional premium thus incurred shall be borne by the Buyer.由買方自理.To be effected by the Buyer.(11)其它條款：other Conditions：

(12)包裝：所有在本合同項下出售的貨物將以賣方認(rèn)為適合于第五條規(guī)定的運輸方式的包裝材料包裝.如果對包裝有其它要求，買方應(yīng)征得賣方同意并承擔(dān)由此而增加的一切額外費用.Packing ：all the commodities sold thereunder will be packed with packing materials deemed by the Seller suitable for the mode of transportation stipulated in Clause 5 hereof． If additional requirement for packing is needed，the Buyer shall have the consent of the Seller and bear all the extra charges thus incurred.(13)單據(jù)：賣方只向買方提供下列單據(jù)：

a)海運時，海運提單；空運時，空運提單；鐵路運輸時，貨物承運收據(jù).b)商業(yè)發(fā)票.c)裝箱單.d)當(dāng)支付條款為CIF時，保險單或保險憑證.倘若需要的其它單據(jù)，如產(chǎn)地證、領(lǐng)事發(fā)票等，賣方可以根據(jù)要求提供，但費用由買方承擔(dān).Documents：The seller will only provide the Buyer with the following documents for payment ：

a)Ocean bill of lading in case of shipment by sea or airway bill in case of shipment by air or cargo receipt in case of shipment by rail.b)Commercial invoice.c)packing list

c)鐵路運輸時在其已交鐵路保管時.Risk of Loss：The risk of the commodity shall transfer to the Buyer

a)when it has passed over the rail of the vessel and been released from tackle in case of shipment by sea；

b)when it has been delivered into the custody of the air carrier or agent in case of shipment by air；

c)when it has been delivered into the custody of the railway；

(15)品質(zhì)／數(shù)量異議：如買方提出異議，凡屬品質(zhì)異議應(yīng)于貨到目的口岸之日起90天內(nèi)提出，凡屬數(shù)量異議應(yīng)于貨到目的口岸之日起15天內(nèi)提出，過期不予受理.對所裝貨物所提任何異議屬于保險公司、輪船公司、其它有關(guān)運輸機構(gòu)或郵遞機構(gòu)所負(fù)責(zé)者，賣方不負(fù)任何責(zé)任.理賠只限于賣方在收到買方所在地聲譽良好的商檢機構(gòu)或商會出具的商品抽樣檢查報告，證明貨物與合同不符后，對品質(zhì)不符的貨物按一比一更換或按照貨物的疵劣程度和損壞的范圍將貨物降價，對數(shù)量不符的貨物給予補足.無論哪種情況下，賣方均不對貨物的可銷售性或適用性負(fù)責(zé)，也不對任何損失賠償負(fù)責(zé)，包括但不僅限于直接的、間接的、附帶的損失.如買方不能在合同規(guī)定的期限內(nèi)將信用證開到或?qū)㈩A(yù)付款匯到，或者開來的信用證不符合會同規(guī)定，而且在接到賣方通知后，不能按期辦妥改證，賣方有權(quán)撤消或延期交貨，并有權(quán)提出索賠.quality／Quantity Discrepancy ： In case of quality discrepancy，claims shall be filed by the Buyer within 90 days after the arrival of the commodity at the port of destination，while for quantity discrepancy，claims shall be filed by the Buyer within l5 days after the arrival of the commodity at the port of destination.Otherwise no claim will be accepted． It is understood that the Sellers shall not be liable for any discrepancy of the commodity shipped due to causes for

which the insurance company，other transportation organization or post office are liable.The settlement of such claims is restricted to replacement of the non-conforming commodity on a one-to-one basis or devaluation of the commodity according to the degree to inferiority and extent of damage in case of quality discrepancy or supply for the shortage in case of quantity discrepancy after the Seller has received an inspection report on the commodity by sampling is sued by a reputable commodity inspection organization or chamber of commerce at the place where the Buyer is located，certifying the non-conformity thereof． In no event shall the Seller be held liable for the merchantability or fitness for any purpose，nor shall it have any liability or responsibility for damages of any kind Whatsoever，including but not limited to any direct，indirect or collateral damages，In case the L／C or the advance payment does not reach the seller within the time stipulated in the Contract or does not correspond to the contract terms and the Buyer fails to amend its terms within the time limit after being notified by the Seller，the Seller has the right to cancel the contract or to delay the delivery of the commodity as well as to lodge claims for damages？

(16)不可抗力：本合同內(nèi)所述全部或部分貨物，如因不可抗力的原因，以致不能履約或不得不延期交貨，賣方概不負(fù)責(zé).Force Majeure： The Seller shall not be held liable for failure delay delivery of the entire lot or a portion of the commodity under this Contract in consequence of any force majeure incidents.(17)仲裁：在執(zhí)行本合同中所發(fā)生的或者與合同有關(guān)的一切爭執(zhí)，由雙方協(xié)商解決.如果協(xié)商后仍不能解決時，得提請仲裁.仲裁在中國進行，由中國國際經(jīng)濟貿(mào)易仲裁委員會，根據(jù)該委員會的仲裁程序規(guī)則進行仲裁.仲裁裁決為最終決定，買賣雙方都應(yīng)服從.除仲裁委員會另有決定外，仲裁費用由敗訴一方負(fù)擔(dān).Arbitration ： Any or all disputes arising from or in connection with the performance of the Contract shall be settled through negotiation by both parties，failing which they shall be submitted for arbitration，The arbitration shall take place in China and shall be conducted by China International Economic and Trade Arbitration Commission in accordance with the rules of procedures of the said commission.The arbitration award shall be final and binding upon both Buyer and seller.Unless otherwise awarded by the said arbitration commission，the arbitration fees shall be borne by the Losing party.

Payment

訂單確認(rèn)之后，乙方須按照有關(guān)確認(rèn)書所規(guī)定的時間開立以甲方為受益人的保兌的、不可撤銷的即期信用證。乙方開出信用證后，應(yīng)立即通知甲方，以便甲方準(zhǔn)備交貨。

After confirmation of the order，Party B shall arrange to open a confirmed，irrevocable L/C available by draft at sight in favour of Party A within the time stipulated in the relevant S/C.Party B shall also notify Party A immediately after L/C is opened so that Party A can get prepared for delivery.6．傭金

Commission

在本協(xié)議期滿時，若乙方完成了第二款所規(guī)定的數(shù)額，甲方應(yīng)按裝運貨物所收到的發(fā)票累計總金額付給乙方_________％的傭金。

Upon the expiration of the Agreement and Party B's fullfilment of the total turnover mentioned in Article 2，Party A shall pay to Party B _________% commission on the basis of the aggregate amount of the invoice value against the shipments effected.7．市場情況報告

Reports on Market Conditions

乙方每3個月向甲方提供一次有關(guān)當(dāng)時市場情況和用戶意見的詳細(xì)報告。同時，乙方應(yīng)隨時向甲方提供其他供應(yīng)商的類似商品樣品及其價格、銷售情況和廣告資料。

Party B shall forward once every three months to party A detailed reports on current market conditions and of consumers' comments.Meanwhile，Party B shall，from time to time，send to party A samples of similar commodities offered by other suppliers，together with their prices，sales information and advertising materials.8．宣傳廣告費用

Advertising & Publicity Expenses

在本協(xié)議有效期內(nèi)，乙方在上述經(jīng)銷地區(qū)所作廣告宣傳的一切費用，由乙方自理。乙方須事先向甲方提供宣傳廣告的圖案及文字說明，由甲方審閱同意。

Party B shall bear all expenses for advertising and publicity within the aforementioned territory in the duration of this Agreement and submit to Party A all patterns and/or drawings and description for prior approval.9．協(xié)議有效期

Validity of Agreement

本協(xié)議經(jīng)雙方簽字后生效，有效期為_________天，自_________至_________。若一方希望延長本協(xié)議，則須在本協(xié)議期滿前1個月書面通知另一方，經(jīng)雙方協(xié)商決定。

若協(xié)議一方未履行協(xié)議條款，另一方有權(quán)終止協(xié)議。

All disputes arising from the execution of this Agreement shall be settled through friendly consultations.In case no settlement can be reached，the case in dispute shall then be submitted to the Foreign Trade Arbitration Commission of the China Council for the Promotion of International Trade for arbitration in accordance with its provisional rules of procedure.The decision made by this Commission shall be regarded as final and binding upon both parties.Arbitration fees shall be borne by the losing party，unless otherwise awarded.11．其他條款

Other Terms & Conditions

（1）甲方不得向經(jīng)銷地區(qū)其他買主供應(yīng)本協(xié)議所規(guī)定的商品。如有詢價，當(dāng)轉(zhuǎn)達給乙方洽辦。若有買主希望從甲方直接訂購，甲方可以供貨，但甲方須將有關(guān)銷售確認(rèn)書副本寄給乙方，并按所達成交易的發(fā)票金額給予乙方_________％的傭金。

Party A shall not supply the contracted commodity to any other buyer(s)in the above mentioned territory.Direct enquiries，if any，will be referred to Party B.However，should any other buyers wish to deal with Party A directly，Party A may do so.But party A shall send to Party B a copy of Sales Confirmation and give Party B _________% commission on the basis of the net invoice value of the transaction(s)concluded.（2）若乙方在_________月內(nèi)未能向甲方提供至少_________訂貨，甲方不承擔(dān)本協(xié)議的義務(wù)。

10.1.裝運船只由買方安排,并自行承擔(dān)相關(guān)費用及風(fēng)險。

10.2.裝貨港船舶代理由賣方推薦，買方有權(quán)指定并承擔(dān)相應(yīng)費用。10.3.在同賣方協(xié)商后，買方須于裝船期首日前15天宣布一個展期為5天的裝船期。10.4.買方須于裝船期首日前5個工作日指定受載船舶，買方可以在征得賣方同意后，在符合指定的裝船期內(nèi)有權(quán)更換受載船舶；買方須于裝船期首日前3個工作日天向賣方提供指定船舶的規(guī)范。

Arbitration

10.PAYMENT TERMS & PROCEDURES付款條件及程序：

After contract sign, the selling party is open by first-rate bank in 3 workdays a can’t cancel of fulfill contract andPerformance Bond, with 2% of the total payment amount.The buyer receives to fulfill contract to protect the letter, being opened a list by the bank of CHINA in 7 workdays the IRREVOCABLE, TRANSFERABLE CONFIRMED “AT SIGHT” DOCUMENTARY letter of credit, the amount of money is 100% of the total payment, from open a day valid for 60 days, a nd should in the selling party bank in time 95% documents against payment in counter.5% payment of the surplus, at the arrival of the goods purpose harbor, business the both parties examine the report at the port of discharge CIQ result to settle accounts.PB open once receive L/C, L/C shall automatic active once PB open.Has the CIQ to report in 10 work days, business the both parties settle accounts the tail style with the method of T/T.合同簽訂之后，賣方在3個工作日內(nèi)由第一流銀行開出不可撤銷的履約保函（文章轉(zhuǎn)載自[個人簡歷網(wǎng)-范文頻道] http://i.gerenjianli.com/ 請保留此標(biāo)記），金額為總貨款金額的2%；買方收到履約保函，在7個工作日內(nèi)由中國的銀行開出不可撤銷、可轉(zhuǎn)讓，確認(rèn)信用證，金額為總貨款的100%，從開證之日起60天內(nèi)有效，信用證應(yīng)在賣方銀行柜臺95%付款交單。剩余的5%貨款，在貨物到達目的港，買賣雙方以卸貨港CIQ 檢驗報告結(jié)果來結(jié)算。PB開立一次信用證，PB將自動積極一次啟動信用證。出具CIQ報告10個工作天內(nèi)，買賣雙方以T/T方式結(jié)算尾款。

11.DOCUMENTS REQUIRED FOR PAYMENT付款所需單證：

(1)Signed Commercial Invoice indicating the Contract number, name of the carrying vessel a nd B/L Number，the L/C number ,3 originals a nd 3 copies.已簽章的商業(yè)發(fā)票，包括合同號，信用證號，貨船名稱以及提單號碼：3份原件和3份副本。

(2)Full set(3/3)of original Clean On-Board Bills of Lading made out to order;blank endorsed a nd marked “Freight Prepaid”, indicating the name of the carrying vessel with the Buyer as the “Notifying Party”.全套（3/3）正本已裝船清潔提單;空白背書，標(biāo)有“運費預(yù)付”寫明裝運船的名稱，買方作為“通知方”

(3)Certificate of Quantity certificate issued by SGS(PT.SUCOFINDO)at the port of loading.: 1 original a nd 3 copies.由SGS在裝運港發(fā)出的重量檢測證書：1份原件和3份副本。

(4)Certificate of Origin issued by the Chamber of Commerce in the country of the loading:original a nd 1 copy..由裝運國家商會頒發(fā)的產(chǎn)地證：1份原件和1份副本。

The bank charge(s)for the issuance of the Letter of Credit shall be borne by the Buyer.The bank charge(s)after the issuance of the Letter of Credit shall be borne by the Seller.The bank charge(s)for amendment of the Letter of Credit, if any, shall be borne by the responsible party.買方負(fù)擔(dān)銀行開證費用。賣方負(fù)擔(dān)開證后的銀行費用。信用證更改產(chǎn)生的銀行費用由責(zé)任方負(fù)擔(dān)。

16.WITHOUT ANY PENALTY TO BUYER

買方不須負(fù)擔(dān)任何罰款：Seller then to offer another cargo that

件的貨品與買方，否則買方有權(quán)取消本合約，而賣方必須支付包括卸貨港所有損失罰款費用于買方。17.WEIGHMENT重量：The invoice weight shall be determined by

DRAFT SURVEY at Load Port, certified by

SGS(PT.SUCOFINDO)/CIQ at Sellers

Expense, after adjustment to obtain Quantity

accepted by Seller a nd Buyer.發(fā)票上的實際重量應(yīng)以船舶在裝貨港的吃

水鑒定作為貨品實際重量，鑒定報告是由

SGS(PT.SUCOFINDO)/CIQ以實際貨量調(diào)

整額為基準(zhǔn)所開出，費用由賣方負(fù)擔(dān)，此一

數(shù)量額為買賣雙方共同所接受。

Buyer shall be entitled, at its own expense, to have his representative present at the Draft Survey, a nd any difference of opinion is to be settled by the MASTER of the Charter Vessel, whose decision shall be final.買方有權(quán)以自費方式指派代表人參與船身吃水鑒定，且船公司得接受其意見，并共同決定鑒定結(jié)果。Buyer shall be entitled to have DRAFT SURVEY conducted by SGS o r another

independent international inspection agency at

the Discharge Port, at its own expense.買方亦有權(quán)以自費方式，由SGS

(PT.SUCOFINDO)或其它國家檢驗公證機構(gòu)

于卸貨港實施船身吃水鑒定。

18.CHEMICAL ANALYSIS化學(xué)成分分析：

The chemical composition of the cargo shall

be determined by an independent international

Agency at Load Port, Seller cost.貨物之化學(xué)組成成份分析，須由獨立的國際

公證檢驗機構(gòu)在裝貨港檢驗證明，所需費用由賣方負(fù)擔(dān)。19.MOISTURE CONTENT水分含量：The moisture content shall be determined by obtaining the moisture loss at 105 degrees centigrade.If the moisture loss exceeds 8 % SELLER shall adjust the Final Weight

obtained from Draft Survey by the excess

moisture content so found, a nd Invoice only the resulting Net Weight.水份含量是以攝氏105℃下水氣逸失后所測得知濕度值8%基準(zhǔn)，若所測之知濕度值超過8%時，賣方必須按照船身吃水鑒定報告

來調(diào)整出最后實際重量，發(fā)票僅依凈重。20.SAMPLING a nd ANALYSIS抽樣及分析：All sampling a nd analysis relevant to the contract terms shall be conducted at Load Port.依照合約內(nèi)容所進行的采樣及分析工作應(yīng)

于裝貨港口實施之。

Supposing the cargo gets any discrepancy between the inspection at discharge port a nd the SGS(PT.SUCOFINDO)/CIQ(according to the agreement).The ending result by CIQ for this contract.若買方在卸貨港檢驗時與賣方的SGS 0.5%）。

賣方可以自費指定卸貨港檢測員。在卸貨港由 CIQ頒發(fā)的檢測證書應(yīng)為最終結(jié)果。

買賣雙方之間對超出或短缺部分的差額之(PT.SUCOFINDO)/CIQ證明(符合合約規(guī)范)有所差異時，以CIQ檢驗為最終檢驗標(biāo)準(zhǔn)結(jié)果。

21.TITLE TO CARGO貨物所有權(quán)：

The title with respect to the shipment shall pass from the Seller to the Buyer when the Seller receives reimbursement of the proceeds from the Opening Bank through the negotiating Bank against the relative shipping documents as forth herein.The Seller shall have full right a nd title to dispose of the cargo in any manner that he should think fit, if the payment is delayed o r any unreasonable objection is raised by the opening o r negotiating Bank.賣方于檢附海運提單及相關(guān)文件經(jīng)由押匯行向開狀銀行取得應(yīng)收的押匯款后，貨物所有權(quán)同時歸買方所擁有。若開狀銀行或押匯行以不合理之異議作為拒付或者有延遲付款情形產(chǎn)生時，賣方有完全的權(quán)利以其單方所認(rèn)定的合適方法對貨物做任何的處理。

22.INSPECTION檢測:

Draft Survey weight at loading port certified by SGS(PT.SUCOFINDO)at the loading port shall be final subject to 0.5% franchise against B/L weight.In case, there is a difference in weight compared to B/L weight exceeding 0.5%, Buyer o r Seller will compensate the amount in excess o r shortage(including 0.5%).Seller may appoint a surveyor at discharging port at the Seller’s expense.Inspection certificates issued by CIQ at the discharging port shall be deemed as final.All compensation amounts in excess o r shortage between the Buyer a nd the Seller will be paid within 7(seven)banking days.在裝運港由SGS(PT.SUCOFINDO)檢測的重量與提單重量相差0.5%以內(nèi)應(yīng)為最終結(jié)算標(biāo)準(zhǔn)。如果與提單所示重量相差超過0.5%，買方或賣方應(yīng)補償超出或短缺部分（包括

補償應(yīng)在7個銀行工作日內(nèi)付清。
