13.雙方同意以裝運(yùn)港中國(guó)進(jìn)出口商品檢驗(yàn)局簽發(fā)的品質(zhì)的數(shù)量（重量）檢驗(yàn)證書(shū)作為信用證項(xiàng)下議付所提出單據(jù)的一部分。買方有權(quán)對(duì)貨物的品質(zhì)和數(shù)量（重量）進(jìn)行復(fù)驗(yàn)，復(fù)驗(yàn)費(fèi)由買方負(fù)擔(dān)。如發(fā)現(xiàn)品質(zhì)或數(shù)量（重量）與合同不符，買方有權(quán)向賣方索賠。但須提供經(jīng)賣方同意的公證機(jī)構(gòu)出具之檢驗(yàn)報(bào)告。

It is mutually agreed that the Inspection Certificate of Quality(Weight)issued by the China Import and Export Commodity Ispection Bureau at the port of shipment shall be part of the documents to be presented for negotiation under the relevant L/C.The buyers shall have the right to reinspect the Quality and Quality(Weight)of the cargo.The reinspection fee shall be borne by the Buyers.Should the Quality and/or Quantity(Weight)be found not in conformity with that of the contract, the Buyers are entitled to lodge with the Sellers a claim which should be supported by survey reports issued by a recognized Surveyer approved by the Sellers.14.備注 REMARKS：

(1)買方須于 年 月 日前開(kāi)到本批交易的信用證（或通知售方進(jìn)口許可證號(hào)碼），否則，售方有權(quán)不 經(jīng)通知取消本確認(rèn)書(shū)，或接受買方對(duì)本約未執(zhí)行的全部或一部，或?qū)σ虼嗽馐艿膿p失提出索賠。

The buyers shall have the covering Letter of Credit reach the Sellers(or notify the Import.License Number)before ________ otherwise the Sellers reserve the right to rescind without further notice or to accept whole or any part of this Sales Confirmation not fulfilled by the Buyers, or to lodge a claim for lossees this sustained of any.(2)凡以CIF條件成交的業(yè)務(wù)，保額為發(fā)票的110%，投保險(xiǎn)別以本售貨確認(rèn)書(shū)中所開(kāi)列的為限，買方要求增加保額或保險(xiǎn)范圍，應(yīng)于裝船前經(jīng)售方同意，因此而增加的保險(xiǎn)費(fèi)由買方負(fù)責(zé)。

For transactions concluded on C.I.F.basis it is undrstood that the insurance amount will be for 110% of the invoice value against the risks specified in the Sales Confirmation.If additional Insurance amount of coverage is required, the buyers must have the consent of the Sellers before Shipment and the additional premium is to be borne by the buyers.(3)品質(zhì)數(shù)量異議：如買方提出索賠，凡屬品質(zhì)異議須于貨到目的口岸之日起3個(gè)月內(nèi)提出，凡屬數(shù)量異議須于貨到目的口岸之日起15在內(nèi)提出，對(duì)所裝運(yùn)物所提任何異議屬于保險(xiǎn)公司、輪船公司及其他有關(guān)運(yùn)輸機(jī)構(gòu)或郵遞機(jī)構(gòu)所負(fù)責(zé)者，售方不負(fù)任何責(zé)任。

QUATLITY/QUANTITY DISCREPANCY: In case of quality discrepancey, claim should be filed by the Buyers within 3 months after the arrival of the goods at port of destination, while of quantity discrepancy, claim should be filed by the Buyers within 15 days after the arrival of the goods at port of destination.It is understood that the Sellers shall not be liable for any discrepancy of the goods shipped due to causes for which the Insurance Company, Shipping company, other transportation, organization/or Post Office are liable.(4)本確認(rèn)書(shū)所述全部或部分商品，如因人力不可抗拒的原因，以致不能履約或延遲交貨，售方概不負(fù)責(zé)。

The Sellers shall not be held liable for failure or delay in delivery of the entire lot or a portion of the goods under this Sales Confirmation on consequence of any Force Majeure incidents.(5)買方開(kāi)給售方的信用證上請(qǐng)?zhí)钭⒈敬_認(rèn)書(shū)號(hào)碼。

The buyers are requested always to quote THE NUMBER OF THIS SALES CONFIRMATION in the Letter of Credit to be opened in favour of the Sellers.(6)仲裁： 凡因執(zhí)行本合同或與本合同有關(guān)事項(xiàng)所發(fā)生的一切爭(zhēng)執(zhí)，應(yīng)由雙方通過(guò)友好的方式協(xié)商解決。如果不能取得協(xié)議時(shí)，則在被告國(guó)家根據(jù)被告仲裁機(jī)構(gòu)的仲裁程序規(guī)則進(jìn)行仲裁。仲裁決定是終局的，對(duì)雙方具有同等約束力。仲裁費(fèi)用除非仲裁機(jī)構(gòu)另有決定外，均由敗訴一方負(fù)擔(dān)。

Arbitration: All disputes in connection with this Contract or the execution thereof shall be settled by negotiation between two parties.If no settlement can be reached, the case in dispute shall then be submitted for arbitration in the country of defendant in accordance with the arbitration regulations of the arbitration organization of the defendant country.The decision made by the arbitration organization shall be taken as final and binding upon both parties.The arbitratio expenses shall be borne by the losing party unless otherwise awarded by the arbitration organization.(7)買方收到本售貨確認(rèn)書(shū)后立即簽回一份，如買方對(duì)本確認(rèn)書(shū)有異議，應(yīng)于收到后5天內(nèi)提出，否則認(rèn)為買方已同意本確認(rèn)書(shū)所規(guī)定的各項(xiàng)條款。

（2）凡以cif條件成交的業(yè)務(wù)，保額為發(fā)票價(jià)的110％投保，險(xiǎn)別以本銷售確認(rèn)書(shū)中所開(kāi)列的為限；買方如要求增加保額或保險(xiǎn)范圍，應(yīng)于裝船前經(jīng)售方同意，由此而增加的保險(xiǎn)費(fèi)由買方負(fù)責(zé)；

（3）品質(zhì)／數(shù)量異議：如買方提出索賠，凡屬品質(zhì)異議須于貨到目的口岸之日起60天內(nèi)提出；凡屬數(shù)量異議須于貨到目的口岸之日起15天內(nèi)提出，但須提供經(jīng)售方同意的公認(rèn)機(jī)構(gòu)出具的檢查報(bào)告，對(duì)所裝貨物所提任何異議屬于保險(xiǎn)公司、輪船公司、其他有關(guān)運(yùn)輸機(jī)構(gòu)或郵遞機(jī)構(gòu)所負(fù)責(zé)，售方不負(fù)任何責(zé)任；

（4）凡因執(zhí)行本協(xié)議發(fā)生的一切爭(zhēng)執(zhí)，應(yīng)以友好方式協(xié)商解決，如果協(xié)商不能獲得解決，應(yīng)提交北京中國(guó)國(guó)際貿(mào)易促進(jìn)委員會(huì)對(duì)外經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)根據(jù)該會(huì)的仲裁程序暫行規(guī)定進(jìn)行仲裁，仲裁裁決是終局，對(duì)雙方都有約束力；

（5）本確認(rèn)書(shū)內(nèi)所述全部或部分商品，如因人力不可抗拒的原因以致不能履約或遲延交貨，售方概不負(fù)責(zé)；

（6）買方在開(kāi)給售方的信用證上請(qǐng)?zhí)钭⒈敬_認(rèn)書(shū)號(hào)碼；

（7）買方于收到本銷售確認(rèn)書(shū)后請(qǐng)立即簽回一份。如買方對(duì)本確認(rèn)書(shū)有異議，應(yīng)于收到后5天內(nèi)提出，否則認(rèn)為買方已同意接受本確認(rèn)書(shū)所規(guī)定的各項(xiàng)條款。

一般條款為本合同不可分割的部分。

公司為一方（以下簡(jiǎn)稱賣

方）公司為另一方（以下簡(jiǎn)稱買方）雙方授權(quán)代表友好協(xié)商，取得一致意見(jiàn)，簽訂銷售確認(rèn)書(shū)，其條款如下：

1.根據(jù)買方要求，賣方同意提供×××零備件，憑賣方樣品買賣；

2.本銷售確認(rèn)書(shū)貨款總金額為U.S.D.（大寫：美元）為F.O.B.價(jià)，即包括下列各項(xiàng)費(fèi)用：

（1）價(jià)格；

（2）貨物從生產(chǎn)廠到達(dá)交貨港的運(yùn)輸費(fèi)；
