2007年02月27日 星期二 12:05 引子:鑒于現(xiàn)在對(duì)外交流事例逐漸增多,英文合同特別是經(jīng)濟(jì)合同的翻譯愈顯重要,若譯文不準(zhǔn)確或不嚴(yán)謹(jǐn),勢(shì)必會(huì)引起不必要的經(jīng)濟(jì)糾紛.故今以一英文(經(jīng)濟(jì))合同寫(xiě)作書(shū)籍為藍(lán)本,錄入一些有益文字,希望大家共同提高英文(經(jīng)濟(jì))合同的翻譯和寫(xiě)作。

合同文件是合同雙方簽訂并必須遵守的法律文件,因此合同中的語(yǔ)言應(yīng)體現(xiàn)其權(quán)威性.英文合同用語(yǔ)的特點(diǎn)之一就表現(xiàn)在用詞上,即選擇那些法律用詞,以及正式用詞,使合同表達(dá)的意思準(zhǔn)確無(wú)誤,達(dá)到雙方對(duì)合同中使用的詞無(wú)可爭(zhēng)議的程度。一.hereby 英文釋義:by means of , by reason of this 中文譯詞:特此,因此,茲 用法:常用于法律文件、合同、協(xié)議書(shū)等正式文件的開(kāi)頭語(yǔ)；在條款中需要強(qiáng)調(diào)時(shí)也可用。語(yǔ)法：一般置于主語(yǔ)后,緊鄰主語(yǔ).例1： 參考譯文: 業(yè)主特此立約保證在合同規(guī)定的期限內(nèi),按合同規(guī)定的方式向承包人支付合同價(jià),或合同規(guī)定的其它應(yīng)支付的款項(xiàng),以作為本工程施工、竣工及修補(bǔ)工程中缺陷的報(bào)酬。注釋:(1)hereby: by reason of this 特此

第一條 凡在國(guó)內(nèi)經(jīng)公路運(yùn)輸?shù)呢浳锞蔀楸颈ｋU(xiǎn)之標(biāo)的。

第二條 下列貨物非經(jīng)投保人與被保險(xiǎn)人特別約定，并在保險(xiǎn)單(憑證)上載明，不在保險(xiǎn)標(biāo)的范圍以內(nèi)：金銀、珠寶、鉆石、玉器、首飾、古幣、古玩、古書(shū)、古畫(huà)、郵票、藝術(shù)品、稀有金屬等珍貴財(cái)物。

第三條 下列貨物不在保險(xiǎn)標(biāo)的范圍以內(nèi)：蔬菜、水果、活牲畜、禽魚(yú)類和其他動(dòng)物。

保險(xiǎn)責(zé)任

第四條 由于下列保險(xiǎn)事故造成保險(xiǎn)貨物的損失和費(fèi)用，保險(xiǎn)人依照本條款約定負(fù)責(zé)賠償：

(一)火災(zāi)、爆炸、雷電、冰雹、暴風(fēng)、暴雨、洪水、海嘯、地陷、崖崩、突發(fā)性滑坡、泥石流；

(二)由于運(yùn)輸工具發(fā)生碰撞、傾覆或隧道、碼頭坍塌，或在駁運(yùn)過(guò)程中因駁運(yùn)工具遭受擱淺、觸礁、沉沒(méi)、碰撞；

(三)在裝貨、卸貨或轉(zhuǎn)載時(shí)因意外事故造成的損失；

(四)因碰撞、擠壓而造成貨物破碎、彎曲、凹癟、折斷、開(kāi)裂的損失；

(五)因包裝破裂致使貨物散失的損失；

(六)液體貨物因受碰撞或擠壓致使所用容器(包括封口)損壞而滲漏的損失，或用液體保藏的貨物因液體滲漏而造成該貨物腐爛變質(zhì)的損失；

(七)符合安全運(yùn)輸規(guī)定而遭受雨淋所致的損失；

(八)在發(fā)生上述災(zāi)害事故時(shí)，因紛亂造成貨物的散失以及因施救或保護(hù)貨物所支付的直接合理的費(fèi)用。

責(zé)任免除

第五條 由于下列原因造成保險(xiǎn)貨物的損失，保險(xiǎn)人不負(fù)賠償責(zé)任：

(一)戰(zhàn)爭(zhēng)、敵對(duì)行為、軍事行動(dòng)、扣押、罷工、暴動(dòng)、哄搶；

(二)地震造成的損失；

(三)盜竊或整件提貨不著的損失；

(四)在保險(xiǎn)責(zé)任開(kāi)始前，被保險(xiǎn)貨物已存在的品質(zhì)不良或數(shù)量短差所造成的損失；

(五)被保險(xiǎn)貨物的自然損耗、本質(zhì)缺陷、特性所引起的損失或費(fèi)用；

(六)市價(jià)跌落、運(yùn)輸延遲所引起的損失；

(七)屬于發(fā)貨人責(zé)任引起的損失；

(八)投保人、被保險(xiǎn)人的故意行為或違法犯罪行為；

第六條 經(jīng)國(guó)家有關(guān)部門(mén)認(rèn)定的違法、非法貨物，保險(xiǎn)人不負(fù)賠償責(zé)任。

第七條 其他不屬于保險(xiǎn)責(zé)任范圍的損失。

責(zé)任起訖

第八條 保險(xiǎn)責(zé)任的起訖期是自簽發(fā)保險(xiǎn)憑證后，保險(xiǎn)貨物運(yùn)離起運(yùn)地發(fā)貨人的最后一個(gè)倉(cāng)庫(kù)或儲(chǔ)運(yùn)處所時(shí)起，至該保險(xiǎn)憑證上注明的目的地的收貨人在當(dāng)?shù)氐牡谝粋€(gè)倉(cāng)庫(kù)或儲(chǔ)存處所時(shí)終止。但保險(xiǎn)貨物運(yùn)抵目的地后，如果收貨人未及時(shí)提貨，則保險(xiǎn)責(zé)任的終止期最多延長(zhǎng)至保險(xiǎn)貨物卸離運(yùn)輸工具后的15天為限。

保險(xiǎn)價(jià)值和保險(xiǎn)金額

第九條 保險(xiǎn)價(jià)值按貨價(jià)或貨價(jià)加運(yùn)雜費(fèi)確定。

保險(xiǎn)金額按保險(xiǎn)價(jià)值確定，也可以由保險(xiǎn)雙方協(xié)商確定。

投保人、被保險(xiǎn)人的義務(wù)

第十條 被保險(xiǎn)人如果不履行下述任何一條規(guī)定的義務(wù)，保險(xiǎn)人有權(quán)終止保險(xiǎn)責(zé)任或拒絕賠償部分或全部經(jīng)濟(jì)損失。

第十二條 投保人在保險(xiǎn)人或其代理人簽發(fā)保險(xiǎn)單(憑證)的同時(shí)，應(yīng)一次繳清應(yīng)付的保險(xiǎn)費(fèi)。

第十三條 投保人應(yīng)當(dāng)嚴(yán)格遵守國(guó)家及交通運(yùn)輸部門(mén)關(guān)于安全運(yùn)輸?shù)母黜?xiàng)規(guī)定，還應(yīng)當(dāng)接受并協(xié)助保險(xiǎn)人對(duì)保險(xiǎn)貨物進(jìn)行的查驗(yàn)防損工作，貨物運(yùn)輸包裝必須符合國(guó)家和主管部門(mén)規(guī)定的標(biāo)準(zhǔn)。

第十四條 保險(xiǎn)貨物如果發(fā)生保險(xiǎn)責(zé)任范圍內(nèi)的損失時(shí)，投保人或被保險(xiǎn)人獲悉后，應(yīng)迅速采取合理的施救和保護(hù)措施并立即通知保險(xiǎn)人的當(dāng)?shù)貦C(jī)構(gòu)(最遲不超過(guò)10天)。

賠償處理

第十五條 被保險(xiǎn)人向保險(xiǎn)人申請(qǐng)索賠時(shí)，必須提供下列有關(guān)單證：

(一)保險(xiǎn)單(憑證)、運(yùn)單(貨票)、提貨單、發(fā)票(貨價(jià)證明)；

(二)承運(yùn)部門(mén)簽發(fā)的事故簽證、交接驗(yàn)收記錄、鑒定書(shū)；

(三)收貨單位的入庫(kù)記錄、檢驗(yàn)報(bào)告、損失清單及救護(hù)保險(xiǎn)貨物所支付的直接合理的費(fèi)用單據(jù)；

(四)其他有利于保險(xiǎn)理賠的單證。

保險(xiǎn)人在接到上述索賠單證后，應(yīng)當(dāng)根據(jù)保險(xiǎn)責(zé)任范圍，迅速核定應(yīng)否賠償。賠償金額一經(jīng)保險(xiǎn)人與被保險(xiǎn)人達(dá)成協(xié)議后，應(yīng)在10天內(nèi)賠付。

第十六條 保險(xiǎn)貨物發(fā)生保險(xiǎn)責(zé)任范圍內(nèi)的損失時(shí)，按保險(xiǎn)價(jià)值確定保險(xiǎn)金額的，保險(xiǎn)人應(yīng)根據(jù)實(shí)際損失計(jì)算賠償，但最高賠償金額以保險(xiǎn)金額為限；保險(xiǎn)金額低于保險(xiǎn)價(jià)值的，保險(xiǎn)人對(duì)其損失金額及支付的施救保護(hù)費(fèi)用按保險(xiǎn)金額與保險(xiǎn)價(jià)值的比例計(jì)算賠償。保險(xiǎn)人對(duì)貨物損失的賠償金額，以及因施救或保護(hù)貨物所支付的直接合理的費(fèi)用，應(yīng)分別計(jì)算，并各以不超過(guò)保險(xiǎn)金額為限。

第十七條 保險(xiǎn)貨物發(fā)生保險(xiǎn)責(zé)任范圍內(nèi)的損失，如果根據(jù)法律規(guī)定或有關(guān)約定，應(yīng)當(dāng)由承運(yùn)人或其他第三者負(fù)責(zé)賠償一部分或全部的，被保險(xiǎn)人應(yīng)首先向承運(yùn)人或其他第三者提出書(shū)面索賠，直至訴訟。被保險(xiǎn)人若放棄對(duì)第三者的索賠，保險(xiǎn)人不承擔(dān)賠償責(zé)任；如被保險(xiǎn)人要求保險(xiǎn)人先予賠償，被保險(xiǎn)人應(yīng)簽發(fā)權(quán)益轉(zhuǎn)讓書(shū)和應(yīng)將向承運(yùn)人或第三者提出索賠的訴訟書(shū)及有關(guān)材料移交給保險(xiǎn)人，并協(xié)助保險(xiǎn)人向責(zé)任方追償。

由于被保險(xiǎn)人的過(guò)錯(cuò)致使保險(xiǎn)人不能行使代位請(qǐng)求賠償權(quán)利的，保險(xiǎn)人可以相應(yīng)扣減保險(xiǎn)賠償金。

第十八條 保險(xiǎn)貨物遭受損失后的殘值，應(yīng)充分利用，經(jīng)雙方協(xié)商，可作價(jià)折歸被保險(xiǎn)人，并在賠款中扣除。

第二十一條 凡經(jīng)公路與其他運(yùn)輸方式聯(lián)合運(yùn)輸?shù)谋ｋU(xiǎn)貨物，按相應(yīng)的運(yùn)輸方式分別適用本條款及《鐵路貨物運(yùn)輸保險(xiǎn)條款》、《水路貨物運(yùn)輸保險(xiǎn)條款》和《航空貨物運(yùn)輸保險(xiǎn)條款》。

第二十二條 凡涉及本保險(xiǎn)的約定均采用書(shū)面形式。

第十五條 投保人、被保險(xiǎn)人應(yīng)當(dāng)謹(jǐn)慎選擇承運(yùn)人,并督促其嚴(yán)格遵守國(guó)家及交通運(yùn)輸部門(mén)關(guān)于安全運(yùn)輸?shù)母黜?xiàng)規(guī)定,還應(yīng)當(dāng)接受并協(xié)助保險(xiǎn)人對(duì)保險(xiǎn)貨物進(jìn)行的查驗(yàn)防損工作,貨物運(yùn)輸包裝必須符合國(guó)家和主管部門(mén)規(guī)定的標(biāo)準(zhǔn)。

第十六條 保險(xiǎn)貨物運(yùn)抵保險(xiǎn)憑證所載明的目的地的收貨人在當(dāng)?shù)氐牡谝粋€(gè)倉(cāng)庫(kù)或儲(chǔ)存處所時(shí)起,被保險(xiǎn)人應(yīng)在10天內(nèi)向當(dāng)?shù)乇ｋU(xiǎn)機(jī)構(gòu)申請(qǐng)并會(huì)同檢驗(yàn)受損的貨物。

第十七條 被保險(xiǎn)人獲悉或應(yīng)當(dāng)獲悉保險(xiǎn)貨物發(fā)生保險(xiǎn)責(zé)任范圍內(nèi)的損失時(shí),應(yīng)立即通知保險(xiǎn)人或保險(xiǎn)人在當(dāng)?shù)乇ｋU(xiǎn)機(jī)構(gòu),并迅速采取合理的施救和保護(hù)措施,減少貨物損失。

賠償處理

第十八條 被保險(xiǎn)人向保險(xiǎn)人申請(qǐng)索賠時(shí),應(yīng)當(dāng)提供下列有關(guān)單證:

(一)保險(xiǎn)單(憑證)、運(yùn)單(貨票)、提貨單、發(fā)票(貨價(jià)證明);

(二)承運(yùn)部門(mén)簽發(fā)的貨運(yùn)記錄、普通記錄、交接驗(yàn)收記錄、鑒定書(shū);

(三)收貨單位的入庫(kù)記錄、檢驗(yàn)報(bào)告、損失清單及救護(hù)貨物所支付的直接費(fèi)用的單據(jù);

(四)其他有利于保險(xiǎn)理賠的單證。

保險(xiǎn)人在接到上述索賠單證后,應(yīng)當(dāng)根據(jù)保險(xiǎn)責(zé)任范圍,迅速核定應(yīng)否賠償。賠償金額一經(jīng)保險(xiǎn)人與被保險(xiǎn)人達(dá)成協(xié)議后,應(yīng)在10天內(nèi)賠付。

第十九條 保險(xiǎn)貨物發(fā)生保險(xiǎn)責(zé)任范圍內(nèi)的損失時(shí),按保險(xiǎn)價(jià)值確定保險(xiǎn)金額的,保險(xiǎn)人應(yīng)根據(jù)實(shí)際損失計(jì)算賠償,但最高賠償金額以保險(xiǎn)金額為限;保險(xiǎn)金額低于保險(xiǎn)價(jià)值的,保險(xiǎn)人對(duì)其損失金額及支付的施救保護(hù)費(fèi)用按保險(xiǎn)金額與保險(xiǎn)價(jià)值的比例計(jì)算賠償。

保險(xiǎn)人對(duì)貨物損失的賠償金額,以及因施救或保護(hù)貨物所支付的直接合理的費(fèi)用,應(yīng)分別計(jì)算,并各以不超過(guò)保險(xiǎn)金額為限。

第二十條 保險(xiǎn)貨物發(fā)生保險(xiǎn)責(zé)任范圍內(nèi)的損失時(shí),如果根據(jù)法律規(guī)定或有關(guān)約定,應(yīng)當(dāng)由承運(yùn)人或其他第三者負(fù)責(zé)賠償部分或全部的,被保險(xiǎn)人應(yīng)首先向承運(yùn)人或其他第三者提出書(shū)面索賠,直至訴訟。被保險(xiǎn)人若放棄對(duì)第三者的索賠,保險(xiǎn)人不承擔(dān)賠償責(zé)任;如被保險(xiǎn)人要求保險(xiǎn)人

由于被保險(xiǎn)人的過(guò)錯(cuò)致使保險(xiǎn)人不能行使代位請(qǐng)求賠償權(quán)利的,保險(xiǎn)人可以相應(yīng)扣減保險(xiǎn)賠償金。

第二十一條 保險(xiǎn)貨物遭受損失后的殘值,應(yīng)充分利用,經(jīng)雙方協(xié)商,可作價(jià)折歸被保險(xiǎn)人,并在賠款中扣除。

第二十二條 被保險(xiǎn)人從獲悉或應(yīng)當(dāng)獲悉保險(xiǎn)貨物遭受損失的次日起,如果經(jīng)過(guò)2年不向保險(xiǎn)人申請(qǐng)賠償,不提供必要的單證,或者不領(lǐng)取應(yīng)得的賠款,則視為自愿放棄權(quán)益。

第二十三條 被保險(xiǎn)人與保險(xiǎn)人發(fā)生爭(zhēng)議時(shí),應(yīng)當(dāng)實(shí)事求是,協(xié)商解決,雙方不能達(dá)成協(xié)議時(shí),按()項(xiàng)解決:(1)提交仲裁機(jī)構(gòu)仲裁;(2)由人民法院起訴。

保險(xiǎn)標(biāo)的范圍

第一條 凡在國(guó)內(nèi)經(jīng)航空運(yùn)輸?shù)呢浳锞蔀楸颈ｋU(xiǎn)之標(biāo)的。

第二條 下列貨物非經(jīng)投保人與被保險(xiǎn)人特別約定，并在保險(xiǎn)單(憑證)上載明，不在保險(xiǎn)標(biāo)的范圍以內(nèi)：金銀、珠寶、鉆石、玉器、首飾、古幣、古玩、古書(shū)、古畫(huà)、郵票、藝術(shù)品、稀有金屬等珍貴財(cái)物。

第三條 下列貨物不在保險(xiǎn)標(biāo)的范圍以內(nèi)：蔬菜、水果、活牲畜、禽魚(yú)類和其他動(dòng)物。

保險(xiǎn)責(zé)任

第四條 由于下列保險(xiǎn)事故造成保險(xiǎn)貨物的損失，保險(xiǎn)人負(fù)賠償責(zé)任：

(一)火災(zāi)、爆炸、雷電、冰雹、暴風(fēng)、暴雨、洪水、海嘯、地陷、崖崩；

(二)因飛機(jī)遭受碰撞、傾覆、墜落、失蹤(在3個(gè)月以上)，在危難中發(fā)生卸載以及遭受惡劣氣候或其他危難事故發(fā)生拋棄行為所造成的損失；

(三)因受震動(dòng)、碰撞或壓力而造成破碎、彎曲、凹癟、折斷、開(kāi)裂的損失；

(四)因包裝破裂致使貨物散失的損失；

(五)凡屬液體、半流體或者需要用液體保藏的保險(xiǎn)貨物，在運(yùn)輸途中因受震動(dòng)、碰撞或壓力致使所裝容器(包括封口)損壞發(fā)生滲漏而造成的損失，或用液體保藏的貨物因液體滲漏而致保藏貨物腐爛的損失；

(六)遭受盜竊或者提貨不著的損失；

(七)在裝貨、卸貨時(shí)和港內(nèi)地面運(yùn)輸過(guò)程中，因遭受不可抗力的意外事故及雨淋所造成的損失。

第五條 在發(fā)生責(zé)任范圍內(nèi)的災(zāi)害事故時(shí)，因施救或保護(hù)保險(xiǎn)貨物而支付的直接合理費(fèi)用。

責(zé)任免除

第六條 由于下列原因造成保險(xiǎn)貨物的損失，保險(xiǎn)人不負(fù)責(zé)賠償：

(一)戰(zhàn)爭(zhēng)、軍事行動(dòng)、扣押、罷工、哄搶和暴動(dòng)；

(二)核反應(yīng)、核子幅射和放射性污染；

(三)保險(xiǎn)貨物自然損耗，本質(zhì)缺陷、特性所引起的污染、變質(zhì)、損壞，以及貨物包裝不善；

(四)在保險(xiǎn)責(zé)任開(kāi)始前，被保險(xiǎn)貨物已存在的品質(zhì)不良或數(shù)量短差所造成的損失；

(五)市價(jià)跌落、運(yùn)輸延遲所引起的損失；

(六)屬于發(fā)貨人責(zé)任引起的損失；

(七)被保險(xiǎn)人或投保人的故意行為或違法犯罪行為。

第七條 由于行政行為或執(zhí)法行為所致的損失。

第八條 其他不屬于保險(xiǎn)責(zé)任范圍內(nèi)的損失。

第十條 由于被保險(xiǎn)人無(wú)法控制的運(yùn)輸延遲、繞道、被迫卸貨、重行裝載、轉(zhuǎn)載或承運(yùn)人運(yùn)用運(yùn)輸契約賦予的權(quán)限所作的任何航行上的變更或終止運(yùn)輸契約，致使被保險(xiǎn)貨物運(yùn)輸?shù)椒潜ｋU(xiǎn)單所載目的地時(shí)，在被保險(xiǎn)人及時(shí)將獲知的情況通知保險(xiǎn)人，并在必要時(shí)加繳保險(xiǎn)費(fèi)的情況下，本

保險(xiǎn)仍繼續(xù)有效。保險(xiǎn)責(zé)任按下述規(guī)定終止：

(一)保險(xiǎn)貨物如在非保險(xiǎn)單所載目的地出售，保險(xiǎn)責(zé)任至交貨時(shí)為止。但不論任何情況，均以保險(xiǎn)貨物在卸載地卸離飛機(jī)后滿15天為止。

(二)保險(xiǎn)貨物在上述15天期限內(nèi)繼續(xù)運(yùn)往保險(xiǎn)單所載原目的地或其他目的地時(shí)，保險(xiǎn)責(zé)任仍按上述第(一)款的規(guī)定終止。

保險(xiǎn)價(jià)值和保險(xiǎn)金額

第十一條 保險(xiǎn)價(jià)值按貨價(jià)或貨價(jià)加運(yùn)雜費(fèi)確定，保險(xiǎn)金額按保險(xiǎn)價(jià)值確定，也可以由保險(xiǎn)雙方協(xié)商確定。

投保人、被保險(xiǎn)人義務(wù)

第十二條 投保人、被保險(xiǎn)人如果不履行下述任何一條規(guī)定的義務(wù)，保險(xiǎn)人有權(quán)終止保險(xiǎn)合同或拒絕賠償部分或全部經(jīng)濟(jì)損失。
