Expression of Amount in Contract 英文中金額的大寫(xiě)，由三個(gè)部分組成：“SAY + 貨幣”+ 大寫(xiě)數(shù)字（amount in words）+ ONLY(相當(dāng)于我們的“整”)。和漢語(yǔ)不同的是，數(shù)字中有零不用寫(xiě)出來(lái)，而是把數(shù)字讀法寫(xiě)出來(lái)即可。

AND CENT FIVE ONLY 為避免金額數(shù)量的差漏、偽造或涂改，英文合同對(duì)于金額有十分嚴(yán)格的規(guī)范。一是在小寫(xiě)(阿拉伯?dāng)?shù)字)的后面用括號(hào)內(nèi)的大寫(xiě)(文字?jǐn)?shù)字)重寫(xiě), 即使原文合同中沒(méi)有大寫(xiě)，英譯時(shí)也有必要加上大寫(xiě)；二是貨幣單位準(zhǔn)確無(wú)誤；三是大寫(xiě)要求頂格，前加動(dòng)詞SAY（即為），單詞之間疏密均勻，在大寫(xiě)文字前加上“SAY”，意為“大寫(xiě)”；在最后加上“ONLY”。意思為“整”。必須注意：小寫(xiě)與大寫(xiě)的金額數(shù)量要一致。

例：甲方方須每月付給乙方美元 500 元整。

Party A shall pay Party B a monthly salary of USD $ 500(SAY FIVE HUNDRED US DOLLARS ONLY).一般是中文的大寫(xiě)在前面，后面用括號(hào)加小寫(xiě)阿拉伯?dāng)?shù)字；但翻譯成英文時(shí)正好相反：小寫(xiě)在前面，后面是大寫(xiě)。

例：人民幣叁仟元整（3,000元整）的英文表達(dá)為 RMB3,000(RMB THREE THOUSAND ONLY IN WORD)這里，中文的“整”可以用only in word 或者僅用only 表達(dá)。RMB可以用人民幣符號(hào)￥代替。英文US Dollar 可以用US $代替，也可以簡(jiǎn)單用USD表達(dá)，但要注意符號(hào)“$”既可代表“美元”，又可代表其他某些地區(qū)的貨幣，如港幣HK$；大寫(xiě)前面的SAY（即）往往被省略。美元U.S DOLLAR用單復(fù)數(shù)均可。

例：美元叁仟元整（美元3,000元整）的英文表達(dá)為 US Dollar 3,000(SAY USD THREE THOUSAND ONLY IN WORD)例：AMOUNT: $1,234,567.89（U.S DOLLARS ONE MILLION TWO HUNDRED THIRTY-FOUR THOUSAND AND FIVE HUNDRED AND SIXTY-SEVEN POINT EIGHT ONLY）

當(dāng)金額用數(shù)字書(shū)寫(xiě)時(shí)，金額數(shù)字必須緊靠貨幣符號(hào)，例如：Can $891,568，不能寫(xiě)成：Can $ 891,568。另外，翻譯的還要特別注意金額中是小數(shù)點(diǎn)（.）還是分節(jié)號(hào)（,），因?yàn)檫@兩個(gè)符號(hào)極易引起筆誤。

MOISTURE : 水分

In the event that the free moisture loss at 105 degrees Centigrade exceeds the respective guaranteed maximum as set forth in Clause 4 here

CLAUSE 7 : PAYMENT

Buyer shall open within seven(7)working days after the date of this contract, on at sight Letter of Credit(“L/C”)in favor of Seller providing for payment of the full invoice value of quantity of Ore.The LC should contain the following terms and conditions:買(mǎi)方應(yīng)在簽訂合同后的7個(gè)工作日內(nèi),開(kāi)可見(jiàn)信用證 信用證應(yīng)符合以下條款條件:

The aforesaid L/C shall be payable against Seller’s sight draft(s)for the amount of ninety-five(95)percent of the CIF value of the shipment accompanied by the documents as stipulated in Clause 8 hereof.The Certificate of Weight issued by SGS Brazil Private, Ltd.(“SGS Brazil”)in Brazil by survey of ship’s draft together with the Certificate of Analysis of sample and of the percentage of the free moisture loss at 105 degrees Centigrade issued by SGS Brazil shall be a basis for the Seller’s provisional invoice for the provisional payment.(B)Final Payment

The balance(+/-)of the CIF value of the shipment after the provisional payment to Seller shall be settled in accordance with Seller’s draft payable at sight together with the final invoice and the documents stated in Clause 8.(2)hereof or by telegraphic transfer by Seller to Buyer in accordance with Buyer’s debit note to Seller together with the documents(except Seller’s final invoice)stated in Clause

8.(2)hereof within ten(10)days from the date of receipt of the said documents, as the case may be.The validity of the L/C should be maintained in accordance with the above.Seller’s final invoice or Buyer’s debit note for the settlement of the balance of the CIF value of the shipment shall be based on the certificate issued by the State General Administration of the People’s Republic of China for Quality Supervision and Inspection and Quarantine or its branches(collectively “CIQ China”)as provided in Clause 8 and Clause 9 hereof.If an umpire analysis is required under the Clause 10 hereof, payment adjustment arising from this will be made when the umpire’s certificate is available.If Buyer is not able to submit to Seller the Inspection Certificate issued by CIQ China as per Clause 9 hereof within seventy five(75)days after the completion of discharging, the Draft Survey Certificate of Weight and Certificate of Analysis at loading port shall be the base of the final invoice or debit note.If the cargo is rejected based on CIQ analysis report Seller shall refund the amount vide Clause 7(A)Provisional Payment, within 30 days after the receipt of the CIQ analysis report.Buyer’s banking details:

WHEREAS, Consultant has agreed to search for a loan or loans, or other forms of

financing from a Lender(hereinafter referred to as “Lending Facility”)or financing sources for the Company;

1.The Company hereby engages Consultant as its authorized agent under the Terms

The Company grants to Consultant restricted access to any and all Company financial data, including but not limited to books, records, financial statements etc…The Company hereby agrees to provide such data toConsultant on a

commercially reasonable basis.The Company agrees to provide to Consultant the financial data that the Company provides to a Consultant Funding Source.融資公司財(cái)務(wù)數(shù)據(jù)：融資公司授予顧問(wèn)公司的準(zhǔn)入限制級(jí)獲取融資公司的任何及所有財(cái)務(wù)數(shù)

5.Consultant’s Funding Sources are a valuable asset of

Consultant.The Company acknowledges that Consultant’s Funding Sources have been

developed at considerable cost of time, effort, and resources, and as such, are fundamental to Consultant’s livelihood and future.Accordingly, the Company agrees not to make direct or indirect contact with any Consultant’s funding sources except through Consultant.The

Company further agrees not to disclose the names of Consultant’s deal funding sources to any third party.This non-circumvention clause will remain in effect for THREE(3)YEARS.非規(guī)避：顧問(wèn)公司的資金來(lái)源是其一筆寶貴的財(cái)富。融資公司認(rèn)可顧問(wèn)公司的資金來(lái)源的發(fā)展是花費(fèi)了相當(dāng)?shù)臅r(shí)間，精力，成本和資源，正因?yàn)槿绱?，是顧?wèn)公司的生命線(xiàn)和未來(lái)。因此，融資公司同意不直接或間接接觸任何通過(guò)咨詢(xún)顧問(wèn)以外的資金來(lái)源。融資公司還同意不向任何第三方透露成交的顧問(wèn)來(lái)源資金的姓名。這里啟用的非規(guī)避條款，有效期限在三（3）年。

6.Consultant agrees to present each lending facility or investment proposal it may

develop to the Company for discussion and approval.The Company retains the sole right to accept or reject any proposals submitted to the Company by Consultant or Consultant’s funding sources.顧問(wèn)公司同意向融資公司呈報(bào)各貸款機(jī)構(gòu)或投資機(jī)構(gòu)的建議作為討論和批準(zhǔn)的依據(jù)。融資

a)The Company agrees to pay Consultant a fee of Four(4)PERCENT of the total

Lending Facility(CREDIT LINE)developed by Consultant and accepted by the Company(“Fee”).The fee shall be based on the total of all facilities offered to and accepted by the

Company.This fee shall be due and payable to Consultant only upon the successful completion and funding of a lending facility developed by Consultant and accepted by the Company.The entire fee shall be due and payable upon funding of a lending facility from Consultant’s lending source or the Company.Company agrees that the Consultant’s lending source that funds a lending facility for the Company will be instructed through the use of an intermediary bank account or escrow, or instructing the Lender to pay Consultant’s fee directly by wire transfer to Consultant from the initial proceeds of the lending facility.融資公司同意支付給顧問(wèn)公司發(fā)展的并且被公司所承認(rèn)的借貸總量總數(shù)的4% 為傭金。傭金以

CREDIT LINE INCREASES:Should the Company receive additional or incremental Credit Line increases beyond the initial loan facility within a Two(2)year period from the initial

funding date, Consultant shall be entitled to and receive THREE QUARTERS(equal to 75% of the Original Commission Fee Percentage)commission(Fee)on the increased amount as described above, within Ten(10)days of the additional funding being completed.信貸額度增加：如果公司在最初的資金日簽署的兩年內(nèi)收到額外的增長(zhǎng)額，那么顧問(wèn)公司有權(quán)利取得額外增長(zhǎng)額傭金的75%作為傭金（等于原來(lái)傭金率的75%），在額外增長(zhǎng)額完成的10天之內(nèi)顧問(wèn)公司就應(yīng)該拿到傭金。

The Company shall furnish to Consultant, a detailed list of Funding Sources it has

approached in the past, describing what was concluded if anything and the name of the contact person at each Funding Source.The Company will not breach any Non-Disclosure Agreement(NDA)previously signed with other potential lending sources.The Company will ask each Lender for a release from the NDA to disclose their names and result.融資公司需要向顧問(wèn)公司提供過(guò)去獲得的資金來(lái)源的詳細(xì)清單，說(shuō)明現(xiàn)在資金狀況是什么結(jié)

10.This Agreement shall be governed by, construed by and

enforced in accordance with the laws of the State of New York.The parties further agree, if a

dispute arises as to the terms and or breach of the terms of this Agreement, jurisdiction and venue shall occur in New York County.However, in the event injunctive relief is reasonably necessary or available to the Finder with regard to payment of the Fee, Finder may move and commence a proceeding for appropriate injunctive relief in any court of competent jurisdiction.The parties further agree, the rights of the Parties under this Agreement are personal to that Party and may not be assigned or transferred to any other person, firm, corporation or any other entity without the other’s express written consent.適用法律：本協(xié)議應(yīng)根據(jù)紐約州的法律解釋和執(zhí)行。雙方進(jìn)一步同意，如果有發(fā)生爭(zhēng)議的條款或違反了本協(xié)議的條款，司法管轄權(quán)和地點(diǎn)將在紐約州紐約郡。然而，在對(duì)發(fā)現(xiàn)人關(guān)于支付傭金的問(wèn)題上，禁令救濟(jì)是合理必要的，發(fā)現(xiàn)者可尋找可移動(dòng)，并開(kāi)始適當(dāng)?shù)慕罹葷?jì)，在任何有管轄權(quán)的法

12.document or agreement referred to herein, or copy of counterpart thereof, delivered by facsimile transmission, shall for all purposes be treated as if it were delivered containing an original manual signature of whose signature appears in the facsimile, and shall be binding upon such party in the same manner as though an originally signed copy had been delivered.傳真簽字：任何通過(guò)傳真發(fā)送的簽署的協(xié)議或與此關(guān)聯(lián)的任何其他文件或協(xié)議，復(fù)制的副本，就所有目的而言，如果它包含一個(gè)原始的手工簽名出現(xiàn)在交付傳真中，應(yīng)與該位人士以同樣的方式最初簽署的已交付的副本同樣具有約束力。
