第三篇：貿(mào)易術(shù)語翻譯

1.EX Works(EXW)EX Works 是指當(dāng)賣方在其所在地或其他指定的地點(diǎn)（如工場、工廠或倉庫）將貨物交給買方處置時(shí)，即完成交貨，賣方不需要將貨物裝上任何買方付費(fèi)的運(yùn)輸工具，也不需要辦理出口清關(guān)手續(xù)，即使這種清關(guān)是適用的。

當(dāng)事人最好明確指定交付地點(diǎn)，同樣也要明確到達(dá)指定地點(diǎn)的費(fèi)用及風(fēng)險(xiǎn)由賣方承擔(dān)。買方承擔(dān)在雙方協(xié)定地點(diǎn)或指定交付地點(diǎn)受領(lǐng)貨物的全部費(fèi)用和風(fēng)險(xiǎn)。

EXW是賣方承擔(dān)責(zé)任最小的術(shù)語，使用該術(shù)語時(shí)應(yīng)注意：

a)賣方?jīng)]有義務(wù)為買方裝載貨物，即使在實(shí)踐中賣方更適合負(fù)責(zé)裝載。即使賣方裝載了貨物，那也應(yīng)由買方負(fù)擔(dān)所需費(fèi)用和風(fēng)險(xiǎn)。當(dāng)賣方擁有良好的裝載條件時(shí)，強(qiáng)制賣方負(fù)擔(dān)風(fēng)險(xiǎn)和費(fèi)用裝載貨物的FCA（貨交承運(yùn)人）通常更加適用。

b)基于EXW對(duì)出口的規(guī)定，買方必須明確賣方僅僅有義務(wù)在買方需要辦理出口時(shí)提供幫助，但沒有義務(wù)為其辦理出口清關(guān)手續(xù)。因此在買方不能直接或間接辦理出口手續(xù)時(shí)，不應(yīng)使用該術(shù)語。

c)買方對(duì)向賣方提供貨物出口的相關(guān)信息負(fù)有限責(zé)任。然而，買方也許會(huì)需要這些信息，例如稅款及目的報(bào)告。

2.Free Carrier(FCA)“Free Carrier”是指賣方只要將貨物在其所在地或指定交貨地點(diǎn)交給買方指定的承運(yùn)人，即完成交貨。當(dāng)事人應(yīng)盡可能精準(zhǔn)地指定交付地點(diǎn)，因?yàn)榈竭_(dá)指定地點(diǎn)后風(fēng)險(xiǎn)由買方承擔(dān)。如果當(dāng)事人計(jì)劃在賣方所在地交貨，則應(yīng)指明賣方所在地的地址為指定的交付地點(diǎn)。如果當(dāng)事人計(jì)劃在另一地點(diǎn)交貨，則應(yīng)指明另一明確的交貨地點(diǎn)。

FCA要求在需要辦理海關(guān)手續(xù)時(shí)由賣方負(fù)責(zé)貨物出口清關(guān)。然而，賣方并沒有義務(wù)辦理貨物進(jìn)口清關(guān)、負(fù)擔(dān)任何進(jìn)口關(guān)稅或辦理任何進(jìn)口海關(guān)手續(xù)。

3.Carriage Paid To(CPT)“Carriage Paid To”是指賣方在約定地點(diǎn)（如果當(dāng)事人間約定了交貨地點(diǎn)）向其指定的承運(yùn)人或其他人交貨，但賣方還必須訂立貨物運(yùn)至指定目的地的合同并支付運(yùn)費(fèi)。當(dāng)使用CPT, CIP, CFR 或 CIF等術(shù)語時(shí)，賣方承擔(dān)其將貨物交付指定承運(yùn)人前所有風(fēng)險(xiǎn)和費(fèi)用，而當(dāng)貨物運(yùn)至指定目的地后，由買方承擔(dān)一切風(fēng)險(xiǎn)和費(fèi)用。

在需要辦理清關(guān)手續(xù)時(shí)，CPT要求賣方應(yīng)負(fù)責(zé)貨物的出口清關(guān)。然而，賣方并沒有義務(wù)辦理貨物進(jìn)口清關(guān)、負(fù)擔(dān)任何進(jìn)口關(guān)稅或辦理任何進(jìn)口海關(guān)手續(xù)。
