教育部關(guān)于啟用中外合作辦學(xué)許可證和中外合作辦學(xué)項(xiàng)目批準(zhǔn)書等的通知

各省、自治區(qū)、直轄市教育廳（教委）：

根據(jù)《中華人民共和國中外合作辦學(xué)條例》和《中華人民共和國中外合作辦學(xué)條例實(shí)施辦法》的有關(guān)規(guī)定，決定自2004年9月1日起啟用《中華人民共和國中外合作辦學(xué)許可證》（以下簡稱辦學(xué)許可證）和《中華人民共和國中外合作辦學(xué)項(xiàng)目批準(zhǔn)書》（以下簡稱項(xiàng)目批準(zhǔn)書）。現(xiàn)就有關(guān)問題通知如下：

一、辦學(xué)許可證由國務(wù)院教育行政部門制定式樣，由國務(wù)院教育行政部門和勞動(dòng)行政部門按照職責(zé)分工分別組織印刷。

項(xiàng)目批準(zhǔn)書由國務(wù)院教育行政部門制定式樣，由國務(wù)院教育行政部門和省、自治區(qū)、直轄市人民政府教育行政部門按照職責(zé)分工分別組織印刷。

二、經(jīng)國務(wù)院教育行政部門，各省、自治區(qū)、直轄市人民政府及其教育行政部門批準(zhǔn)設(shè)立的中外合作辦學(xué)機(jī)構(gòu)，應(yīng)當(dāng)頒發(fā)國務(wù)院教育行政部門統(tǒng)一編號的辦學(xué)許可證。

經(jīng)國務(wù)院教育行政部門，各省、自治區(qū)、直轄市人民政府教育行政部門批準(zhǔn)舉辦的中外合作辦學(xué)項(xiàng)目，應(yīng)當(dāng)頒發(fā)國務(wù)院教育行政部門統(tǒng)一編號的項(xiàng)目批準(zhǔn)書。

三、辦學(xué)許可證和項(xiàng)目批準(zhǔn)書是中外合作辦學(xué)機(jī)構(gòu)和舉辦中外合作辦學(xué)項(xiàng)目的中外合作辦學(xué)者依法開展教育教學(xué)活動(dòng)的憑證。辦學(xué)許可證和項(xiàng)目批準(zhǔn)書均分為正本和副本。正本應(yīng)當(dāng)放置在中外合作辦學(xué)機(jī)構(gòu)法定住所和中外合作辦學(xué)項(xiàng)目法定辦學(xué)場所的醒目位置。

四、辦學(xué)許可證和項(xiàng)目批準(zhǔn)書各欄目填寫要求：

（一）辦學(xué)許可證

1.中外合作辦學(xué)機(jī)構(gòu)名稱：中外合作辦學(xué)機(jī)構(gòu)章程規(guī)定且符合法律規(guī)定的名稱。

2.住所：中外合作辦學(xué)機(jī)構(gòu)章程規(guī)定的中外合作辦學(xué)機(jī)構(gòu)所在地的詳細(xì)地址。

3.法定代表人：申請?jiān)O(shè)立具有法人資格的中外合作辦學(xué)機(jī)構(gòu)的中外合作辦學(xué)者協(xié)商確定的中外合作辦學(xué)機(jī)構(gòu)的理事長、董事長或者校長；申請?jiān)O(shè)立不具有法人資格的中外合作辦學(xué)機(jī)構(gòu)的中國高等學(xué)校的法定代表人。

4.校長或主要行政負(fù)責(zé)人：中外合作辦學(xué)機(jī)構(gòu)理事會(huì)、董事會(huì)或者聯(lián)合管理委員會(huì)依法聘任并經(jīng)審批機(jī)關(guān)核準(zhǔn)的中外合作辦學(xué)機(jī)構(gòu)的校長或主要行政負(fù)責(zé)人。

5.中外合作辦學(xué)者：申請?jiān)O(shè)立中外合作辦學(xué)機(jī)構(gòu)的中國教育機(jī)構(gòu)和外國教育機(jī)構(gòu)。

6.辦學(xué)層次和類別：審批機(jī)關(guān)批準(zhǔn)的層次（如高等教育、高級中等教育、學(xué)前教育等）和類別（學(xué)歷教育、非學(xué)歷教育，普通教育、職業(yè)教育等）。

7.有效期：根據(jù)中外合作辦學(xué)者簽訂的合作辦學(xué)協(xié)議載明的合作期限確定。

8.備注：注明中外合作辦學(xué)者是否要求取得合理回報(bào)。

9.發(fā)證機(jī)關(guān)：審批機(jī)關(guān)。

10.發(fā)證日期：審批機(jī)關(guān)的簽發(fā)日期。

（二）項(xiàng)目批準(zhǔn)書

1.項(xiàng)目名稱：中外合作辦學(xué)者通過簽訂合作辦學(xué)協(xié)議確定并經(jīng)審批機(jī)關(guān)批準(zhǔn)的中外合作辦學(xué)項(xiàng)目名稱。

2.辦學(xué)地址：舉辦中外合作辦學(xué)項(xiàng)目所在地的詳細(xì)地址。

3.中國教育機(jī)構(gòu)法定代表人：中外合作辦學(xué)項(xiàng)目隸屬中國教育機(jī)構(gòu)的法定代表人。

4.中外合作辦學(xué)者：申請舉辦中外合作辦學(xué)項(xiàng)目的中國教育機(jī)構(gòu)和外國教育機(jī)構(gòu)。

5.辦學(xué)層次和類別：審批機(jī)關(guān)批準(zhǔn)的層次（如高等教育、高級中等教育、學(xué)前教育等）和類別（學(xué)歷教育、非學(xué)歷教育等）。

6.開設(shè)專業(yè)或課程：經(jīng)審批機(jī)關(guān)批準(zhǔn)的專業(yè)或課程。

7.有效期：根據(jù)中外合作辦學(xué)者簽訂的合作辦學(xué)協(xié)議載明的合作期限確定。

8.發(fā)證機(jī)關(guān)：審批機(jī)關(guān)。

9.發(fā)證日期：審批機(jī)關(guān)的簽發(fā)日期。

五、辦學(xué)許可證和項(xiàng)目批準(zhǔn)書內(nèi)容如有變更的，審批機(jī)關(guān)須在副本中注明，加蓋“發(fā)證機(jī)關(guān)變更專用章”，并換發(fā)辦學(xué)許可證和項(xiàng)目批準(zhǔn)書正本。

六、頒發(fā)辦學(xué)許可證和項(xiàng)目批準(zhǔn)書是一項(xiàng)政策性很強(qiáng)的工作，各審批機(jī)關(guān)要制訂有關(guān)管理制度，切實(shí)做好此項(xiàng)工作。

七、內(nèi)地教育機(jī)構(gòu)與港澳臺地區(qū)教育機(jī)構(gòu)設(shè)立和舉辦合作辦學(xué)機(jī)構(gòu)和合作辦學(xué)項(xiàng)目，啟用《內(nèi)地與港澳臺地區(qū)合作辦學(xué)許可證》和 《內(nèi)地與港澳臺地區(qū)合作辦學(xué)項(xiàng)目批準(zhǔn)書》，其具體規(guī)范參照本通知的精神辦理。

第二篇：中外合作辦學(xué)項(xiàng)目備案和項(xiàng)目批準(zhǔn)書編號辦法

中外合作辦學(xué)項(xiàng)目備案和項(xiàng)目批準(zhǔn)書編號辦法（試行）

第一條根據(jù)《中華人民共和國中外合作辦學(xué)條例》（以下簡稱《中外合作辦學(xué)條例》）和《中華人民共和國中外合作辦學(xué)條例實(shí)施辦法》（以下簡稱《中外合作辦學(xué)條例實(shí)施辦法》），制定本辦法。

第二條各省、自治區(qū)、直轄市人民政府教育行政部門依法批準(zhǔn)舉辦的中外合作辦學(xué)項(xiàng)目備案和中外合作辦學(xué)項(xiàng)目批準(zhǔn)書編號的程序和規(guī)范，適用本辦法。國務(wù)院教育行政部門依法批準(zhǔn)舉辦的中外合作辦學(xué)項(xiàng)目的批準(zhǔn)書編號規(guī)范，適用本辦法。

第三條中外合作辦學(xué)項(xiàng)目批準(zhǔn)書編號由字母和數(shù)字組合的八部分構(gòu)成，涵蓋了中外合作辦學(xué)機(jī)構(gòu)的審批機(jī)關(guān)、所在行政區(qū)劃、辦學(xué)層次和性質(zhì)、順序號等內(nèi)容。第一部分（三個(gè)字母）為審批機(jī)關(guān)代碼，分別代表國務(wù)院教育行政部門、省級教育行政部門；第二部分（兩位數(shù)字）為行政區(qū)劃代碼；第三部分（兩個(gè)字母）為外國教育機(jī)構(gòu)所在國別或地區(qū)的代碼；第四部分（一位數(shù)字）代表辦學(xué)層次；第五部分（一個(gè)字母）區(qū)分學(xué)歷學(xué)位教育和非學(xué)歷學(xué)位教育；第六部分（四位數(shù)字）代表審批年份；第七部分（四位數(shù)字）為全國中外合作辦學(xué)項(xiàng)目順序號；第八部分（一個(gè)字母）區(qū)分《中外合作辦學(xué)條例》和《中外合作辦學(xué)條例實(shí)施辦法》施行前后設(shè)立的中外合作辦學(xué)項(xiàng)目。

第四條依法舉辦的中外合作辦學(xué)項(xiàng)目的項(xiàng)目批準(zhǔn)書由國務(wù)院教育行政部門統(tǒng)一編號，且編號具有唯一性。

第五條各省、自治區(qū)、直轄市人民政府教育行政部門依法批準(zhǔn)舉辦的中外合作辦學(xué)項(xiàng)目，由該教育行政部門向國務(wù)院教育行政部門備案并提出中外合作辦學(xué)項(xiàng)目批準(zhǔn)書的編號申請。

第六條各省、自治區(qū)、直轄市人民政府教育行政部門應(yīng)當(dāng)根據(jù)本辦法所附行文式樣提出申請，同時(shí)提交批準(zhǔn)舉辦的中外合作辦學(xué)項(xiàng)目的《中外合作辦學(xué)項(xiàng)目申請表》復(fù)印件和該表的mdb電子文檔。

國務(wù)院教育行政部門應(yīng)當(dāng)在收到申請后7個(gè)工作日內(nèi)進(jìn)行備案登記并完成編號工作。

第七條各省、自治區(qū)、直轄市人民政府教育行政部門依據(jù)國務(wù)院教育行政部門核定的編號，向依法批準(zhǔn)舉辦的中外合作辦學(xué)項(xiàng)目頒發(fā)中外合作辦學(xué)項(xiàng)目批準(zhǔn)書。

第八條違反《中外合作辦學(xué)條例》和《中外合作辦學(xué)條例實(shí)施辦法》的有關(guān)規(guī)定，超越職權(quán)審批的中外合作辦學(xué)項(xiàng)目，國務(wù)院教育行政部門不予備案。

各省、自治區(qū)、直轄市人民政府教育行政部門批準(zhǔn)的中外合作辦學(xué)項(xiàng)目明顯違反《中外合作辦學(xué)條例》和《中外合作辦學(xué)條例實(shí)施辦法》有關(guān)規(guī)定的，暫不予備案，由國務(wù)院教育行政部門主管司局建議審批機(jī)關(guān)自行糾正。

第九條內(nèi)地教育機(jī)構(gòu)與港澳臺地區(qū)教育機(jī)構(gòu)舉辦的合作辦學(xué)項(xiàng)目的備案和批準(zhǔn)書編號，參照本辦法執(zhí)行。

第十條本辦法由國務(wù)院教育行政部門負(fù)責(zé)解釋，自發(fā)布之日起施行。

第三篇：上海中外合作辦學(xué)

上海中外合作辦學(xué)

上海立信會(huì)計(jì)學(xué)院和英國AIA會(huì)計(jì)師公會(huì)合作的出國留學(xué)項(xiàng)目。中外合作辦學(xué)計(jì)劃外招生，自主招生，免高考成績！報(bào)名之后需要參加我校組織的英文入學(xué)考試。

報(bào)名后，學(xué)生必須參加立信AIA國際的入學(xué)考試，確認(rèn)入讀AIA專業(yè)課程的資格。測試成績相當(dāng)于IELTS 5.0分及以上者，獲準(zhǔn)進(jìn)入2+1模式學(xué)習(xí)；測試成績相當(dāng)于IELTS 4.0分及以上者，獲準(zhǔn)進(jìn)入3+1/3+0模式學(xué)習(xí)；測試成績相當(dāng)于IELTS 3.5分者，獲準(zhǔn)進(jìn)入AIA預(yù)科課程學(xué)習(xí)。

立信AIA國際有權(quán)根據(jù)學(xué)生的學(xué)習(xí)情況和考試通過情況，及時(shí)調(diào)整學(xué)生的學(xué)習(xí)進(jìn)度和學(xué)習(xí)模式。對于學(xué)習(xí)2+1模式的學(xué)生，累計(jì)2個(gè)學(xué)期4門AIA專業(yè)課程需重修和重考者，將被調(diào)整到更適合的3+1/3+0模式學(xué)習(xí)。其學(xué)習(xí)立信AIA國際資格課程的時(shí)間將被相應(yīng)地延長。

甲乙雙方合作,在甲方開辦赴美留學(xué)的培訓(xùn)項(xiàng)目.赴美培訓(xùn)項(xiàng)目為非學(xué)歷教育,引進(jìn)全美大學(xué)通用的,可替代托福成績的esl英語證書培訓(xùn)課程,目的是為了使留美學(xué)生到美國后,其英語水平能夠達(dá)到與母語為英語的學(xué)生一起上課的要求.由甲方提供場所及教學(xué)設(shè)施,負(fù)責(zé)招生,乙方提供課程的全部師資,教材,教育教學(xué)軟件和證書.招生人數(shù)少于xx人不得開班.iii.content & mode

both sides shall cooperate in launching a training program at party a for the student to study in the us.being a non-academic credential education program, the u.s.a training program shall introduce esl---english certificate training course, which is commonly recognized among american universities and can substitute toefl scores.its purpose is to ensure that the students acquire an english language proficiency level high enough for taking classes together with those native english speaking students after they go to the u.s.a.party a shall offer classrooms and teaching facilities and is responsible for recruiting new students, while party b shall provide the overall teaching materials, educational software, teachers of esl course as well as esl english certificate which is universally recognized among us universities.the new class shall not be started in case the enrollment is less than xx.四,甲乙雙方的權(quán)利與義務(wù)

(一)甲方

負(fù)責(zé)赴美留學(xué)項(xiàng)目開辦的相關(guān)立項(xiàng)和報(bào)批手續(xù).負(fù)責(zé)提供赴美留學(xué)英語培訓(xùn)項(xiàng)目的教學(xué)設(shè)施及相關(guān)服務(wù).負(fù)責(zé)教學(xué)質(zhì)量的監(jiān)控,確保教學(xué)計(jì)劃的順利實(shí)施.如乙方所提供的師資質(zhì)量出現(xiàn)問題,甲方有權(quán)保留提出整改并進(jìn)一步更換師資的權(quán)利

負(fù)責(zé)項(xiàng)目宣傳和招生.負(fù)責(zé)收取學(xué)生的學(xué)費(fèi),住宿費(fèi)等.負(fù)責(zé)按照本協(xié)議的約定,將乙方應(yīng)分得學(xué)費(fèi)及時(shí),足額地支付給乙方.負(fù)責(zé)教學(xué)安排和學(xué)生管理.負(fù)責(zé)美方教師的食宿安排,并支付規(guī)定的食宿費(fèi),共計(jì)每人每年人民幣xxxx元,其中住宿費(fèi)為人民幣xxxx元/年/人,伙食費(fèi)為xxxx元/年/人.(二)乙方

同意甲方以與美國xxxx大學(xué)合作的名義開展赴美留學(xué)英語培訓(xùn)項(xiàng)目.負(fù)責(zé)為甲方提供招生宣傳資料和招生簡章的主要內(nèi)容.負(fù)責(zé)提供留美預(yù)科班的全部師資,教材,教學(xué)軟件和全美大學(xué)通行的esl英語證書.并確保提供師資的質(zhì)量,自愿接受甲方的教學(xué)監(jiān)控.負(fù)責(zé)美方教師往返中國的機(jī)票和薪酬.負(fù)責(zé)美方教師在中國期間的人身意外和醫(yī)療保險(xiǎn).負(fù)責(zé)為參加赴美留學(xué)英語培訓(xùn)班學(xué)習(xí)的學(xué)生申請美國大學(xué),并為美國大學(xué)錄取.負(fù)責(zé)為赴美留學(xué)英語培訓(xùn)班的學(xué)生申請到美國大學(xué)給予國際學(xué)生最優(yōu)厚的獎(jiǎng)學(xué)金.負(fù)責(zé)為赴美留學(xué)英語培訓(xùn)班的學(xué)生提供赴美簽證培訓(xùn)和代理赴美簽證服務(wù).iv.rights & obligations of both parties

(1)party a:

1.to be responsible for relevant formalities in launching, reporting and obtaining approval for the study in u.s.a training program of esl.2.to be responsible for offering teaching facilities and relevant services for the study in u.s.a training program of esl.3.to be responsible for the supervision and control of the teaching quality to ensure the smooth implementation of the program.should the teachers dispatched by party b not match the quality requirements, party a reserves the right to demand correction and change the teachers concerned.4.to be responsible for propagating and enrolling new students of the program.5.to be responsible for gathering tuition fees and dormitory charges from students.6.to be responsible for paying in full and in time the part of tuition fees due to party b according to the terms of this agreement.7.to take charge of teaching arrangement and managing students.8.to be responsible for arranging dormitory for us teachers and pay the living expenses as stipulated, i.e.rmb xxxx yuan in total per person per year, of which hotel expense is rmbxxxx yuan / year / person, board expenses for rmbxxxx/ year/ person.(ii)party b:

to agree for party a to launch the study in u.s.a training program of esl in the name of cooperating with xxxx university.to be responsible for offering the main content of the propaganda material and school admission brochure for party a.to be responsible for providing all the teachers of the study in u.s.a preparatory course program,teaching materials, teaching software and esl english certificate commonly recognized among us universities.to be responsible for the us teachers' plane tickets and salary to china.to be responsible for the us teachers' personal accident and medical insurance during their stay in china.to apply for students who participate in the program of studying in u.s.a training program of esl, and ensure that they are admitted by a us university.to be responsible for applying for the best scholarship which the us university can grant to international students for students in the program of studying at u.s.a training program of esl.to offer the necessary training and service of visa application to students in the program of studying in u.s.a training program of esl to facilitate their obtaining the us entry visa.五,收費(fèi)和雙方利益分配

學(xué)費(fèi): 培訓(xùn),考試及證書費(fèi)用為每人每期xxxx元人民幣,報(bào)到注冊時(shí)一次性交清.其中甲方分得xx%,乙方分得xx%;各自用于辦學(xué)成本開支.學(xué)費(fèi)由甲方統(tǒng)一收取,在每個(gè)學(xué)期開學(xué)后15個(gè)工作日內(nèi)由甲方將乙方應(yīng)分得部分劃入乙方在北京的指定賬戶.教材費(fèi):由乙方以合理價(jià)格收取.學(xué)生住宿費(fèi):按甲方標(biāo)準(zhǔn)收取.ⅴ.charges and profits distribution

1.tuition fee: rmb xxxx yuan per student for the program, collected at the time of registration.party a shall get a proportion of xx% from the tuition and party b shall get xx%, each side shall use it to cover the respective education cost.all the tuition shall be collected by party a, and within 15 work days at the beginning of the each semester, party a shall transfer the part of tuition due to party b into the designated account of party b in beijing.2.textbook charge shall be collected by party b at reasonable price.3.dormitory shall be charged at the standard set by party a.六,合作期限

本協(xié)議自甲,乙雙方簽字之日起生效,有效期兩年.協(xié)議到期前三個(gè)月,如雙方一致認(rèn)為可以繼續(xù)合作,可正式續(xù)簽書面協(xié)議.ⅵ.cooperation term

the agreement shall come into effect after being signed by both sides, and it shall last for two years since the signed date.if both sides consider it necessary to continue the cooperation, then an official written agreement of extension shall be signed three months before the expiration.七,協(xié)議的變更

本協(xié)議未盡事宜,或需變更,需經(jīng)甲,乙雙方共同協(xié)商,做出書面補(bǔ)充協(xié)議;補(bǔ)充協(xié)議與本協(xié)議具有同等法律效力.ⅶ.change of the agreement

any change or affairs not stated in this agreement shall be covered by written supplemental agreement reached between both sides through negotiation.the supplemental agreement has the same legal effect as this agreement.八,協(xié)議的終止和不可抗力

本協(xié)議有效期滿時(shí),自動(dòng)終止.由于政治原因,自然災(zāi)害,戰(zhàn)爭及其它不可預(yù)見因素,或?qū)ζ浒l(fā)生及后果不能防止或避免的不可抗拒因素影響本協(xié)議的履行或不能按預(yù)定條件履行的,遇上述不可抗拒因素的一方應(yīng)立即通知對方,并應(yīng)在三十日內(nèi)提供詳情及有效證明文件.因不可抗力致使本協(xié)議中止時(shí),簽約雙方互不承擔(dān)經(jīng)濟(jì)責(zé)任.因不可抗力致使本協(xié)議中止時(shí),簽約雙方應(yīng)共同對參加本教育項(xiàng)目學(xué)習(xí)的學(xué)生做出妥善安排,并將學(xué)生的損失降到最低限度.本協(xié)議執(zhí)行期間,任何一方如有不規(guī)范操作,違背協(xié)議約定,在對方提出三次整改要求后仍未改正的情況下,對方有權(quán)提出解除本協(xié)議.但甲,乙雙方應(yīng)繼續(xù)履行各自職責(zé),完成未完成的培訓(xùn),不得侵犯已入學(xué)學(xué)生的合法權(quán)益.ⅷ.termination and force majeure

1.the agreement will be automatically terminated upon expiration.2.when unpredictable circumstances like political policy, natural disasters, war or other force majeure whose occurrence and consequences cannot be prevented, and which leads to the situation in which the agreement cannot be carried out or be implemented as planned, the party who suffers one of the above shall notify the counterpart without delay and provide details and valid supporting documents within thirty days.if the agreement has to terminate because of force majeure, neither side shall bear the economic responsibilities.in addition, both parties shall make proper arrangements for participants of the education program, and do their best to minimize the students'loss.3.during implementation of the agreement, if any party's improper conducts breach the agreement, and the said party makes no corrections after the counterpart's warning for three times, the counterpart shall have the right to suggest terminating the agreement.nevertheless, both sides have duties to complete the ongoing training and must not violate the legal rights and interests of the enrolled students.九,違約責(zé)任的認(rèn)定和賠償

簽約的任何一方,不能按約定的時(shí)間,方式和要求履行本協(xié)議應(yīng)承擔(dān)的責(zé)任,義務(wù),均視為違約.違約方因其違約行為造成本協(xié)議目標(biāo)不能實(shí)現(xiàn)或給簽約對方造成經(jīng)濟(jì)損失,均應(yīng)承擔(dān)相應(yīng)的賠償責(zé)任.違約方因其違約行為或因已方不當(dāng)行為侵害了教育項(xiàng)目的學(xué)生合法權(quán)益,或社會(huì)相關(guān)方面合法權(quán)益,或違反了中國法律及政府法令,均應(yīng)獨(dú)自承擔(dān)相應(yīng)的法律責(zé)任.違約方因其違約行為或因已方不當(dāng)行為引發(fā)與第三方糾紛,致使無責(zé)任的簽約方被要求承擔(dān)連帶賠償責(zé)任時(shí),無責(zé)任的簽約方有權(quán)要求有違約責(zé)任或?qū)嵤┎划?dāng)行為的簽約方賠償相應(yīng)的損失.ⅸ.establishment of breach responsibilities and indemnifications

1.it shall be regarded as breach if any side cannot implement the agreement and perform its own duties or responsibilities in accordance with the time, manner and requirements stipulated.2.if behaviors of the breach side cause the objective of the agreement not being realized or cause economic loss for the counterpart, the breach side shall bear the relevant compensation duties.3.if the breach behavior or improper behavior of the breach side violates the legal rights or interests of the students in this education program, or the relevant legal rights or interests of related organizations in the society, or the laws or government decrees of prc, the breach side shall undertake the related legal duties independently.4.if the breach behavior or improper behavior of the breach side causes dispute with a third party and involves the counterpart into the compensation affairs, the party who has no fault shall have the right to request the breach side(or the side which has improper behaviors)to indemnify the relevant loss.十,爭議的解決

項(xiàng)目管理辦法

為促進(jìn)學(xué)校國際教育交流合作工作，拓展中外合作辦學(xué)領(lǐng)域，提升合作辦學(xué)水平，規(guī)范中外合作辦學(xué)項(xiàng)目管理，更好地發(fā)揮國際交流合作對學(xué)校事業(yè)發(fā)展的推進(jìn)作用，根據(jù)《中華人民共和國中外合作辦學(xué)條例》及《中華人民共和國中外合作辦學(xué)條例實(shí)施辦法》等文件精神，結(jié)合學(xué)校實(shí)際情況，特制定本辦法。

一、項(xiàng)目聯(lián)系和申報(bào)

1．國際交流處統(tǒng)一負(fù)責(zé)學(xué)校各類中外合作辦學(xué)項(xiàng)目的申報(bào)工作，并提供相關(guān)事宜的咨詢、建議、審核和報(bào)批服務(wù)。

2．學(xué)院（部）作為合作辦學(xué)項(xiàng)目的實(shí)施主體，應(yīng)積極開展與國外大學(xué)的聯(lián)系，尋求合作機(jī)遇，洽談合作意向，形成框架方案，并向國際交流處提交書面申請報(bào)告，由國際交流處報(bào)分管校長審閱。

3．分管校長審閱同意后，由國際交流處會(huì)同有關(guān)學(xué)院（部）、教務(wù)處、科技處（研究生辦公室）、財(cái)務(wù)處等職能部門，與國外合作方商談合作辦學(xué)的具體內(nèi)容、條件和相關(guān)事項(xiàng)，擬定合作辦學(xué)協(xié)議文本，并形成下列申報(bào)材料：

（1）可行性論證報(bào)告

（2）合作辦學(xué)方案（教學(xué)計(jì)劃、課程設(shè)置、師資配備等）（3）合作辦學(xué)申請書

（4）合作雙方簽署的合作意向書或合作協(xié)議（5）中外合作方的身份證明

（6）中外合作方經(jīng)公證或認(rèn)證的資信證明（7）外方授予文憑或有關(guān)證書的樣本（8）其它所要求提供的材料

其中第（1）、（2）項(xiàng)由學(xué)院（部）負(fù)責(zé)，其它各項(xiàng)由國際交流處負(fù)責(zé)。國際交流處負(fù)責(zé)審核所有書面材料，提出綜合意見后報(bào)分管校長和校長辦公會(huì)議審議。

4．校長辦公會(huì)議討論批準(zhǔn)后，國際交流處將有關(guān)材料報(bào)上級主管部門審批。

二、項(xiàng)目管理

1．學(xué)校成立“中外合作項(xiàng)目管理委員會(huì)”。其職責(zé)：負(fù)責(zé)全校所有中外合作辦學(xué)項(xiàng)目的統(tǒng)一管理、指導(dǎo)和檢查評估；提交學(xué)校中外合作辦學(xué)工作的總結(jié)；根據(jù)上級主管部門要求，部署學(xué)校接受教育部、上海市教委對中外合作辦學(xué)項(xiàng)目的評估檢查工作。

中外合作辦學(xué)項(xiàng)目管理委員會(huì)由分管校領(lǐng)導(dǎo)任主任，成員由國際交流處、教務(wù)處、學(xué)生處、人事處、財(cái)務(wù)處、科技處（研究生辦公室）等職能部門負(fù)責(zé)人組成。討論具體項(xiàng)目事項(xiàng)時(shí)，項(xiàng)目所在學(xué)院（部）負(fù)責(zé)人和項(xiàng)目負(fù)責(zé)人共同參加。

2．設(shè)立中外合作辦學(xué)項(xiàng)目負(fù)責(zé)人。其職責(zé)：負(fù)責(zé)該項(xiàng)目的教學(xué)安排、質(zhì)量監(jiān)控、學(xué)生事務(wù)（學(xué)生赴國外合作學(xué)校學(xué)習(xí)的派遣和安排等）、外籍教師管理等工作，并保持與國外合作方的常規(guī)溝通和聯(lián)系，維持項(xiàng)目正常運(yùn)行。項(xiàng)目負(fù)責(zé)人由項(xiàng)目所在學(xué)院（部）推薦，報(bào)學(xué)校中外合作辦學(xué)項(xiàng)目管理委員會(huì)批準(zhǔn)后確定。

項(xiàng)目負(fù)責(zé)人可聘請本學(xué)院（部）相關(guān)教師組成項(xiàng)目工作小組，處理相關(guān)事項(xiàng)。項(xiàng)目工作小組成員名單報(bào)國際交流處備案。

3．中外合作辦學(xué)項(xiàng)目需向社會(huì)宣傳、發(fā)布廣告或招生簡章時(shí)，必須事先提交國際交流處審核，并報(bào)上級主管部門審查通過后，方可發(fā)布。各類宣傳中嚴(yán)禁以各種方式向?qū)W生及家長作出任何未明確事項(xiàng)的承諾。

三、經(jīng)費(fèi)管理和使用

1．原則。學(xué)校依法對中外合作辦學(xué)項(xiàng)目實(shí)施財(cái)務(wù)管理。在學(xué)校賬戶內(nèi)設(shè)立中外合作辦學(xué)項(xiàng)目專項(xiàng)，統(tǒng)一辦理收支業(yè)務(wù)。每個(gè)項(xiàng)目單獨(dú)設(shè)立一個(gè)專項(xiàng)。中外合作辦學(xué)項(xiàng)目除去各類成本和支出后形成的辦學(xué)結(jié)余，原則上應(yīng)用于該項(xiàng)目的教育與教學(xué)活動(dòng)，不斷改善辦學(xué)條件。

2．經(jīng)費(fèi)來源。中外合作辦學(xué)項(xiàng)目經(jīng)費(fèi)來源為項(xiàng)目注冊學(xué)生的學(xué)費(fèi)收入。

3．經(jīng)費(fèi)支出結(jié)構(gòu)。

（1）國外合作方費(fèi)用。指雙方簽訂的合作辦學(xué)協(xié)議中明確規(guī)定需向外方學(xué)校支付的費(fèi)用和成本，或者規(guī)定應(yīng)由我方承擔(dān)的外方教師的差旅和授課費(fèi)等支出。學(xué)費(fèi)收入扣除國外合作外方費(fèi)用之后形成項(xiàng)目凈收入。

（2）學(xué)院（部）教學(xué)經(jīng)費(fèi)。占項(xiàng)目凈收入的30%，由學(xué)院（部）負(fù)責(zé)管理使用，定向用于中外合作辦學(xué)項(xiàng)目的教育教學(xué)活動(dòng)。

（3）項(xiàng)目管理費(fèi)。占項(xiàng)目凈收入的6%，由項(xiàng)目負(fù)責(zé)人審批使用。用于對外聯(lián)絡(luò)、日常業(yè)務(wù)支出和人員獎(jiǎng)勵(lì)等。

（4）學(xué)校事業(yè)經(jīng)費(fèi)。項(xiàng)目凈收入的64%上交學(xué)校，補(bǔ)充學(xué)校教學(xué)與學(xué)科建設(shè)、師資隊(duì)伍建設(shè)、改善教育教學(xué)設(shè)施等經(jīng)費(fèi)。

4．以上各類經(jīng)費(fèi)的結(jié)算和劃撥，由財(cái)務(wù)處會(huì)同國際交流處執(zhí)行。使用部門必須嚴(yán)格管理，?？顚Ｓ?，發(fā)揮最大效益。財(cái)務(wù)處、審計(jì)處應(yīng)加強(qiáng)對經(jīng)費(fèi)使用情況及使用效益的監(jiān)督檢查。

5．學(xué)院（部）教學(xué)經(jīng)費(fèi)與項(xiàng)目管理費(fèi)之間的比例確因辦學(xué)需要進(jìn)行調(diào)整，需報(bào)分管財(cái)務(wù)、國際交流校領(lǐng)導(dǎo)審核批準(zhǔn)。

四、附則

1．本辦法適用于本科及以上層次的中外合作辦學(xué)項(xiàng)目。2．本辦法自頒布之日起試行，《上海應(yīng)用技術(shù)學(xué)院中外合作辦學(xué)項(xiàng)目管理辦法（試行）》（滬應(yīng)院外?2003?10號）同時(shí)廢止。

3．本辦法由國際交流處負(fù)責(zé)解釋。
