《上海市職工代表大會(huì)條例》(以下簡(jiǎn)稱《條例》)已于2010年12月23日經(jīng)上海市第十三屆人大常委會(huì)第二十三次會(huì)議表決通過(guò),并于今年5月1日起正式施行,為貫徹落實(shí)市總工會(huì)有關(guān)文件精神和要求,認(rèn)真學(xué)習(xí)宣傳《條例》,推動(dòng)《條例》在本系統(tǒng)全面貫徹落實(shí),現(xiàn)就有關(guān)事項(xiàng)通知如下。
一、充分認(rèn)識(shí)《條例》施行的重要意義,增強(qiáng)貫徹落實(shí)《條例》的自覺(jué)性
《條例》是上海市第一部全面規(guī)范基層企事業(yè)單位職工代表大會(huì)制度的地方性法規(guī),具有很強(qiáng)的權(quán)威性、普適性和指導(dǎo)性?!稐l例》對(duì)企事業(yè)單位職工代表大會(huì)職權(quán)、職工代表、組織制度、議事規(guī)則、工會(huì)的職責(zé)、實(shí)施職代會(huì)制度的監(jiān)督檢查和法律責(zé)任等作出了明確的規(guī)定。2011年是實(shí)施“十二五”規(guī)劃、教育改革發(fā)展規(guī)劃綱要的開(kāi)局之年?!稐l例》的頒布實(shí)施,必將對(duì)本系統(tǒng)深入貫徹落實(shí)科學(xué)發(fā)展觀和黨的全心全意依靠工人階級(jí)指導(dǎo)方針,推進(jìn)基層民主政治建設(shè),切實(shí)保障和維護(hù)教職工合法權(quán)益,加強(qiáng)依法治校和完善學(xué)校管理體制,促進(jìn)現(xiàn)代學(xué)校制度建設(shè),提高科學(xué)民主決策和管理水平等方面發(fā)揮重要作用。同時(shí),也對(duì)進(jìn)一步加強(qiáng)基層黨風(fēng)廉政建設(shè)和干部隊(duì)伍建設(shè)、密切黨群和干群關(guān)系起到積極的促進(jìn)作用。各工會(huì)和工會(huì)干部要充分認(rèn)識(shí)貫徹《條例》的重要意義,切實(shí)增強(qiáng)貫徹落實(shí)《條例》的自覺(jué)性,將《條例》的各項(xiàng)規(guī)定在各單位得到真正落實(shí)。
二、集中開(kāi)展學(xué)習(xí)宣傳活動(dòng),努力營(yíng)造貫徹落實(shí)《條例》的良好氛圍
各工會(huì)要加大對(duì)《條例》的學(xué)習(xí)宣傳力度。5月份定為“《條例》學(xué)習(xí)宣傳月”,要求各工會(huì)在這段時(shí)間內(nèi)集中開(kāi)展學(xué)習(xí)和宣傳教育活動(dòng),提升學(xué)校領(lǐng)導(dǎo)、教職工群眾對(duì)《條例》的關(guān)注度和認(rèn)知度,為《條例》的全面實(shí)施營(yíng)造良好的氛圍。“學(xué)習(xí)宣傳月”要做到:第一,大力宣傳《條例》。各工會(huì)要通過(guò)本單位的校刊、網(wǎng)絡(luò)、黑板報(bào)等各種手段、形式以及工會(huì)宣傳陣地,廣泛宣傳《條例》的重要意義、主要內(nèi)容以及相關(guān)規(guī)定等,盡可能使廣大教職工人人知曉《條例》。第二、深入學(xué)習(xí)《條例》。各工會(huì)要充分利用各種手段,對(duì)工會(huì)干部、教代會(huì)代表開(kāi)展有針對(duì)性的專題學(xué)習(xí)培訓(xùn),進(jìn)一步增強(qiáng)他們的法制、民主管理等意識(shí),為更好地依法履行職責(zé)創(chuàng)造條件。同時(shí),要求各工會(huì)將《條例》納入近期本單位黨政干部、教職工的政治學(xué)習(xí)的重要內(nèi)容。第三、開(kāi)展《條例》的學(xué)習(xí)交流活動(dòng)。各工會(huì)在開(kāi)展學(xué)習(xí)的基礎(chǔ)上,可以組織知識(shí)競(jìng)賽、學(xué)習(xí)體會(huì)交流等活動(dòng)。
三、以落實(shí)《條例》為契機(jī),進(jìn)一步加強(qiáng)民主管理工作
各工會(huì)要根據(jù)《條例》的規(guī)定,結(jié)合本單位的實(shí)際,進(jìn)一步加強(qiáng)校務(wù)公開(kāi)民主管理工作,力求在注重實(shí)效、提高質(zhì)量方面下功夫。一是貫徹《條例》,提高民主管理制度化、規(guī)范化和程序化水平。各工會(huì)要協(xié)助黨政加強(qiáng)教代會(huì)制度建設(shè),進(jìn)一步完善規(guī)章制度體系。近期要按照《條例》的有關(guān)規(guī)定和要求,對(duì)本單位現(xiàn)有的教代會(huì)規(guī)章制度進(jìn)行梳理,并加以補(bǔ)充、細(xì)化和完善、填補(bǔ)有關(guān)制度的空白點(diǎn)。二是貫徹《條例》,不斷提高教代會(huì)質(zhì)量。各單位要從實(shí)際出發(fā),堅(jiān)持開(kāi)拓創(chuàng)新,進(jìn)一步充實(shí)教代會(huì)的內(nèi)容、創(chuàng)新教代會(huì)的形式、突破工作的薄弱環(huán)節(jié)。當(dāng)前,各單位要以落實(shí)《條例》為契機(jī),重點(diǎn)在全面落實(shí)教代會(huì)職權(quán),完善重大制度票決制,發(fā)揮教代會(huì)代表在教代會(huì)閉會(huì)期間經(jīng)常性作用,建立健全教代會(huì)維權(quán)機(jī)制等方面有新的進(jìn)展。
四、加強(qiáng)組織領(lǐng)導(dǎo),不斷把《條例》貫徹落實(shí)工作引向深入
《條例》貫徹落實(shí)是一項(xiàng)長(zhǎng)期而艱巨的任務(wù)。各工會(huì)要把《條例》貫徹落實(shí)放在重要工作日程,形成上下互動(dòng)、左右聯(lián)動(dòng)的工作格局。要切實(shí)加強(qiáng)對(duì)學(xué)習(xí)、宣傳、落實(shí)《條例》工作的組織領(lǐng)導(dǎo),主動(dòng)爭(zhēng)取黨政組織的重視和支持。區(qū)教育工會(huì)將適時(shí)組織檢查各單位貫徹情況,工作研討和經(jīng)驗(yàn)交流等活動(dòng)。當(dāng)前以及今后一個(gè)時(shí)期,各工會(huì)要結(jié)合本單位實(shí)際,將學(xué)習(xí)宣傳和貫徹落實(shí)《條例》工作與全面實(shí)施教育改革發(fā)展規(guī)劃綱要、加強(qiáng)學(xué)校黨建工作、構(gòu)建和諧校園、深化校務(wù)公開(kāi)民主管理、創(chuàng)建教職工滿意(企)事業(yè)單位等結(jié)合起來(lái),不斷將《條例》貫徹落實(shí)工作引向深入。

上海市職工代表大會(huì)條例
2010年12月23日上海市第十三屆人民代表大會(huì)常務(wù)委員會(huì)第二十三次會(huì)議通過(guò))
第一章總則
第一條為了保障職工的民主權(quán)利,構(gòu)建和諧穩(wěn)定的勞動(dòng)關(guān)系,促進(jìn)職工和企業(yè)、事業(yè)單位以及民辦非企業(yè)單位等組織共同發(fā)展,根據(jù)《中華人民共和國(guó)憲法》、《中華人民共和國(guó)勞動(dòng)法》、《中華人民共和國(guó)工會(huì)法》、《中華人民共和國(guó)公司法》、《中華人民共和國(guó)勞動(dòng)合同法》以及其他有關(guān)法律、行政法規(guī),結(jié)合本市實(shí)際,制定本條例。
第二條本市行政區(qū)域內(nèi)的企業(yè)、事業(yè)單位以及民辦非企業(yè)單位等組織(以下統(tǒng)稱“企事業(yè)單位”)建立和實(shí)施職工代表大會(huì)制度,適用本條例。
第三條企事業(yè)單位應(yīng)當(dāng)建立職工代表大會(huì)制度。
職工人數(shù)在一百人以上的企事業(yè)單位應(yīng)當(dāng)召開(kāi)職工代表大會(huì);職工人數(shù)不足一百人的企事業(yè)單位一般召開(kāi)職工大會(huì)。
職工代表大會(huì)(或者職工大會(huì),下同)是企事業(yè)單位實(shí)行民主管理的基本形式,是協(xié)調(diào)勞動(dòng)關(guān)系的重要制度,是職工行使民主管理權(quán)力的機(jī)構(gòu)。
職工代表大會(huì)應(yīng)當(dāng)充分發(fā)揚(yáng)民主,實(shí)行少數(shù)服從多數(shù)的原則。
第四條企事業(yè)單位應(yīng)當(dāng)保障職工代表大會(huì)依法行使職權(quán),保障職工依法享有知情權(quán)、參與權(quán)、表達(dá)權(quán)和監(jiān)督權(quán)。
職工通過(guò)職工代表大會(huì)依法參與企事業(yè)單位民主管理,支持企事業(yè)單位合法的生產(chǎn)經(jīng)營(yíng)和管理活動(dòng),維護(hù)自身合法權(quán)益。
第五條企事業(yè)單位的工會(huì)是職工代表大會(huì)的工作機(jī)構(gòu),承擔(dān)職工代表大會(huì)的日常工作。
第六條本市各級(jí)人民政府及其國(guó)有資產(chǎn)、教育、衛(wèi)生等主管部門(mén)和人力資源社會(huì)保障等有關(guān)行政管理部門(mén)應(yīng)當(dāng)指導(dǎo)、督促企事業(yè)單位實(shí)行職工代表大會(huì)制度。
第七條上級(jí)工會(huì)、行業(yè)協(xié)會(huì)和相關(guān)企業(yè)聯(lián)合組織應(yīng)當(dāng)指導(dǎo)和幫助企事業(yè)單位建立健全職工代表大會(huì)制度。
第二章職權(quán)
第八條職工代表大會(huì)依法行使審議建議、審議通過(guò)、審查監(jiān)督、民主選舉、民主評(píng)議等職權(quán)。
第九條下列事項(xiàng)應(yīng)當(dāng)向職工代表大會(huì)報(bào)告,接受職工代表大會(huì)審議,聽(tīng)取職工代表大會(huì)代表(以下簡(jiǎn)稱“職工代表”)的建議:
(一)企事業(yè)單位的發(fā)展規(guī)劃,經(jīng)營(yíng)管理情況和重要決策;
(二)企事業(yè)單位制訂、修改、決定直接涉及職工切身利益的規(guī)章制度或者重大事項(xiàng);
(三)工會(huì)與企業(yè)就職工工資調(diào)整、經(jīng)濟(jì)性裁員、群體性勞動(dòng)糾紛和生產(chǎn)過(guò)程中發(fā)現(xiàn)的重大事故隱患或者職業(yè)危害等事項(xiàng)進(jìn)行集體協(xié)商的情況;
(四)職工代表大會(huì)工作機(jī)構(gòu)的工作情況、聯(lián)席會(huì)議協(xié)商處理的事項(xiàng);
(五)國(guó)有、集體及其控股企業(yè)財(cái)務(wù)預(yù)決算,重組改制方案和重大改革措施,申請(qǐng)破產(chǎn)或者解散等重要事項(xiàng);
(六)事業(yè)單位的財(cái)務(wù)預(yù)決算、重大改革改制方案等重要事項(xiàng);
(七)法律法規(guī)規(guī)定或者企事業(yè)單位與工會(huì)協(xié)商確定應(yīng)當(dāng)向職工代表大會(huì)報(bào)告的其他事項(xiàng)。
第十條下列事項(xiàng)應(yīng)當(dāng)向職工代表大會(huì)報(bào)告,并由職工代表大會(huì)審議通過(guò):
(一)涉及勞動(dòng)報(bào)酬、工作時(shí)間、休息休假、保險(xiǎn)福利等事項(xiàng)的集體合同草案;
(二)工資調(diào)整機(jī)制、女職工權(quán)益保護(hù)、勞動(dòng)安全衛(wèi)生等專項(xiàng)集體合同草案;
(三)國(guó)有、集體及其控股企業(yè)的薪酬制度,福利制度,勞動(dòng)用工管理制度,職工教育培訓(xùn)制度,改革改制中涉及的職工安置方案,以及其他涉及職工切身利益的重要事項(xiàng);
(四)事業(yè)單位的職工聘任、考核獎(jiǎng)懲辦法,收益分配的原則和辦法,職工生活福利制度,改革改制中涉及的職工安置方案,以及其他涉及職工切身利益的重要事項(xiàng);
(五)法律法規(guī)規(guī)定或者企事業(yè)單位與工會(huì)協(xié)商確定應(yīng)當(dāng)提交職工代表大會(huì)審議通過(guò)的其他事項(xiàng)。
第十一條下列事項(xiàng)應(yīng)當(dāng)向職工代表大會(huì)報(bào)告,并接受審查監(jiān)督:
(一)職工代表大會(huì)提案辦理情況;
(二)職工代表大會(huì)審議通過(guò)的重要事項(xiàng)落實(shí)情況;
(三)集體合同和專項(xiàng)集體合同履行情況;
(四)勞動(dòng)安全衛(wèi)生標(biāo)準(zhǔn)執(zhí)行、社會(huì)保險(xiǎn)費(fèi)交繳、職工教育培訓(xùn)經(jīng)費(fèi)提取使用等情況;
(五)法律法規(guī)規(guī)定或者企事業(yè)單位與工會(huì)協(xié)商確定應(yīng)當(dāng)向職工代表大會(huì)報(bào)告并接受審查監(jiān)督的其他事項(xiàng)。
第十二條下列人員應(yīng)當(dāng)由職工代表大會(huì)民主選舉產(chǎn)生:
(一)民主管理專門(mén)小組(委員會(huì))成員;
(二)董事會(huì)和監(jiān)事會(huì)中的職工代表;
(三)法律法規(guī)規(guī)定或者企事業(yè)單位與工會(huì)協(xié)商確定應(yīng)當(dāng)由職工代表大會(huì)民主選舉產(chǎn)生的其他人員。第十三條下列人員應(yīng)當(dāng)接受職工代表大會(huì)的民主評(píng)議:
(一)董事會(huì)和監(jiān)事會(huì)中的職工代表;
(二)國(guó)有、集體及其控股企業(yè)的高級(jí)管理人員,事業(yè)單位負(fù)責(zé)人,以及按照本市有關(guān)規(guī)定應(yīng)當(dāng)接受職工代表大會(huì)民主評(píng)議的其他人員;
(三)法律法規(guī)規(guī)定或者企事業(yè)單位與工會(huì)協(xié)商確定應(yīng)當(dāng)接受職工代表大會(huì)民主評(píng)議的其他人員。
第三章職工代表
第十四條企事業(yè)單位的職工可以當(dāng)選為職工代表。
職工代表由職工民主選舉產(chǎn)生,實(shí)行常任制,可以連選連任,任期與職工代表大會(huì)屆期相同。
選舉職工代表一般以分公司、分院(校)、部門(mén)、班組、科室等為選區(qū)。選舉應(yīng)當(dāng)有選區(qū)全體職工三分之二以上參加,候選人獲得選區(qū)全體職工半數(shù)以上贊成票方可當(dāng)選。選舉結(jié)果應(yīng)當(dāng)公布。
第十五條職工代表的構(gòu)成應(yīng)當(dāng)以一線職工為主體,中、高層管理人員不超過(guò)百分之二十,但跨地區(qū)、跨行業(yè)的大型集團(tuán)型企業(yè)的比例可以適當(dāng)提高。女職工代表比例一般與本單位女職工人數(shù)所占比例相適應(yīng)。
教育、科技、文化、衛(wèi)生等領(lǐng)域的企事業(yè)單位,職工代表應(yīng)當(dāng)以直接從事專業(yè)技術(shù)工作的人員為主體。
第十六條職工代表的權(quán)利:
(一)在職工代表大會(huì)上,有選舉權(quán)、被選舉權(quán)、審議權(quán)和表決權(quán);
(二)對(duì)涉及本單位發(fā)展和職工權(quán)益的重要事項(xiàng)有知情權(quán)、建議權(quán)、參與權(quán)和監(jiān)督權(quán);
(三)參加與職工代表履職相關(guān)的培訓(xùn)、檢查等活動(dòng);
(四)因履職活動(dòng)而占用生產(chǎn)、工作時(shí)間,按照正常出勤享受應(yīng)得的待遇。
第十七條職工代表的義務(wù):
(一)學(xué)習(xí)、宣傳有關(guān)法律法規(guī)和政策,提高自身素質(zhì),增強(qiáng)參與民主管理的能力,做好本職工作;
(二)聯(lián)系選區(qū)職工,聽(tīng)取職工
2的意見(jiàn)和建議,表達(dá)職工的意愿和要求;
(三)執(zhí)行職工代表大會(huì)決議,做好職工代表大會(huì)交辦的各項(xiàng)工作;
(四)及時(shí)向選區(qū)職工通報(bào)參加職工代表大會(huì)活動(dòng)和履行職責(zé)的情況,接受評(píng)議監(jiān)督;
(五)模范遵守單位規(guī)章制度,保守商業(yè)秘密。第十八條職工代表出現(xiàn)缺額時(shí),應(yīng)當(dāng)由原選區(qū)依照規(guī)定的民主程序及時(shí)補(bǔ)選。選舉結(jié)果應(yīng)當(dāng)公布。
職工代表因無(wú)故不履行或者無(wú)法履行代表職責(zé)而被撤免的,應(yīng)當(dāng)經(jīng)原選區(qū)全體職工半數(shù)以上同意。
第十九條職工代表依法行使權(quán)利,任何組織和個(gè)人不得壓制、阻撓和打擊報(bào)復(fù)。
第四章組織制度
第二十條企事業(yè)單位職工代表大會(huì)的職工代表名額,按照下列規(guī)定確定:
(一)職工人數(shù)在一百人至三千人的,職工代表名額以三十名為基數(shù),職工人數(shù)每增加一百人,職工代表名額增加不得少于五名;
(二)職工人數(shù)在三千人以上的,職工代表名額不得少于一百七十五名;
(三)職工人數(shù)不足一百人,實(shí)行職工代表大會(huì)制度的,職工代表名額不得少于三十名。
職工代表大會(huì)可以根據(jù)需要設(shè)置列席代表。列席代表無(wú)表決權(quán)和選舉權(quán)。第二十一條職工代表大會(huì)每屆任期為三年至五年。職工代表大會(huì)因故需要延期換屆的,延期時(shí)間不得超過(guò)一年。
職工代表大會(huì)每年至少召開(kāi)一次會(huì)議。企事業(yè)單位、工會(huì)或者三分之一以上職工代表提議,可以召開(kāi)職工代表大會(huì)。
第二十二條職工代表大會(huì)選舉產(chǎn)生的主席團(tuán)主持會(huì)議,處理大會(huì)期間有關(guān)重大問(wèn)題。主席團(tuán)人數(shù)不得少于七人,其中一線職工代表的比例不得少于百分之五十。第二十三條職工代表大會(huì)可以設(shè)立若干民主管理專門(mén)小組(委員會(huì)),組織職工代表開(kāi)展民主管理專項(xiàng)活動(dòng),辦理職工代表大會(huì)交辦的有關(guān)事項(xiàng)。專門(mén)小組(委員會(huì))負(fù)責(zé)人由職工代表?yè)?dān)任。
第二十四條職工代表大會(huì)閉會(huì)期間,除法律法規(guī)規(guī)定應(yīng)當(dāng)提交職工代表大會(huì)審議通過(guò)的事項(xiàng)外,對(duì)需要及時(shí)處理的重要事項(xiàng),企事業(yè)單位可以召開(kāi)職工代表大會(huì)聯(lián)席會(huì)議進(jìn)行協(xié)商處理,處理結(jié)果應(yīng)當(dāng)向下一次職工代表大會(huì)報(bào)告。
聯(lián)席會(huì)議由工會(huì)負(fù)責(zé)召集,由職工代表團(tuán)(組)長(zhǎng)、民主管理專門(mén)小組(委員會(huì))負(fù)責(zé)人、主席團(tuán)成員、工會(huì)委員會(huì)委員參加。
第二十五條企事業(yè)單位下屬的分公司(廠)、分院(校)應(yīng)當(dāng)建立職工代表大會(huì)制度,行使與其管理權(quán)限相對(duì)應(yīng)的職工民主管理權(quán)利。
第二十六條職工代表大會(huì)的經(jīng)費(fèi)由企事業(yè)單位在管理費(fèi)用中列支。
第五章議事規(guī)則
第二十七條職工代表大會(huì)須有全體職工代表三分之二以上出席,方可召開(kāi)。第二十八條職工代表大會(huì)的議題和議程,由企事業(yè)單位與工會(huì)協(xié)商確定。第二十九條提交職工代表大會(huì)審議和審議表決的書(shū)面材料,應(yīng)當(dāng)在職工代表大會(huì)召開(kāi)的七日前送交職工代表;職工代表團(tuán)(組)應(yīng)當(dāng)組織職工代表討論,由工會(huì)及時(shí)匯總整理職工代表團(tuán)(組)的意見(jiàn)和建議。
職工代表對(duì)涉及職工切身利益的重要事項(xiàng)意見(jiàn)分歧較大的,由企事業(yè)單位和工會(huì)根據(jù)職工代表意見(jiàn)進(jìn)行協(xié)商修改后,提交職工代表大會(huì)再次審議。
第三十條職工代表大會(huì)審議通過(guò)事項(xiàng),應(yīng)采取無(wú)記名投票方式,并須獲得全體職工代表半數(shù)以上贊成票方可通過(guò)。
第三十一條職工代表大會(huì)審議通過(guò)的事項(xiàng)和決議應(yīng)當(dāng)在職工代表大會(huì)閉會(huì)后向全體職工公布。
第三十二條法律法規(guī)規(guī)定應(yīng)當(dāng)提交職工代表大會(huì)審議的事項(xiàng),未按照法定程序提交的,企事業(yè)單位的工會(huì)有權(quán)要求糾正,企事業(yè)單位應(yīng)當(dāng)根據(jù)工會(huì)的要求予以糾正。
法律法規(guī)規(guī)定應(yīng)當(dāng)提交職工代表大會(huì)審議通過(guò)的事項(xiàng),未按照法定程序提交審議通過(guò)的,企事業(yè)單位就該事項(xiàng)作出的決定對(duì)本單位職工不具有約束力。
第三十三條職工代表大會(huì)在其職權(quán)范圍內(nèi)審議通過(guò)的事項(xiàng)對(duì)本單位以及全體職工具有約束力,未經(jīng)職工代表大會(huì)重新審議通過(guò)不得變更。
第六章工作機(jī)構(gòu)
第三十四條企事業(yè)單位的工會(huì)在職工代表大會(huì)籌備和召開(kāi)期間,履行下列職責(zé):
(一)組織開(kāi)展職工代表的選舉、撤換、培訓(xùn)等工作;
(二)做好職工代表大會(huì)文件的準(zhǔn)備工作;
(三)提出職工代表大會(huì)主席團(tuán)成員、民主管理專門(mén)小組(委員會(huì))成員候選人建議名單,董事會(huì)、監(jiān)事會(huì)中的職工代表候選人建議名單;
(四)代表職工與企事業(yè)單位開(kāi)展集體協(xié)商,形成集體合同草案、專項(xiàng)集體合同草案和起草說(shuō)明、集體協(xié)商情況的報(bào)告等;
(五)組織職工代表團(tuán)(組)在會(huì)前和會(huì)中對(duì)提交職工代表大會(huì)審議和審議表決的事項(xiàng)進(jìn)行討論,匯總整理意見(jiàn),并與企事業(yè)單位協(xié)商修改;
(六)負(fù)責(zé)職工代表大會(huì)其他籌備和組織工作。
第三十五條企事業(yè)單位的工會(huì)在職工代表大會(huì)閉會(huì)期間,履行下列職責(zé):
(一)動(dòng)員職工執(zhí)行職工代表大會(huì)決議,督促?zèng)Q議的落實(shí)和提案的辦理;
(二)建立與職工代表的聯(lián)系制度,受理職工代表的申訴和提案,維護(hù)職工代表的合法權(quán)益;
(三)組織職工代表、民主管理專門(mén)小組(委員會(huì))開(kāi)展提案、巡視檢查、質(zhì)量評(píng)估等日常民主管理活動(dòng);
(四)完成職工代表大會(huì)交辦的其他工作。
第三十六條企事業(yè)單位的工會(huì)應(yīng)當(dāng)在職工代表大會(huì)閉會(huì)之日起七個(gè)工作日內(nèi),將會(huì)議的有關(guān)情況報(bào)告上一級(jí)工會(huì)。
第七章區(qū)域性、行業(yè)性職工代表大會(huì)
第三十七條社區(qū)、產(chǎn)業(yè)園區(qū)、商務(wù)樓宇等同一區(qū)域內(nèi)的企業(yè)可以聯(lián)合建立區(qū)域性職工代表大會(huì)。生產(chǎn)經(jīng)營(yíng)業(yè)務(wù)相同或者相近的企業(yè)可以聯(lián)合建立行業(yè)性職工代表大會(huì)。區(qū)域性、行業(yè)性職工代表大會(huì)的工作機(jī)構(gòu)是區(qū)域、行業(yè)工會(huì)。
鄉(xiāng)、鎮(zhèn)人民政府和街道辦事處應(yīng)當(dāng)積極推動(dòng)區(qū)域性、行業(yè)性職工代表大會(huì)的建立,支持和保障職工代表大會(huì)制度的正常運(yùn)行。
第三十八條區(qū)域性、行業(yè)性職工代表大會(huì)行使下列職權(quán):
(一)聽(tīng)取區(qū)域、行業(yè)執(zhí)行勞動(dòng)法律法規(guī)和政策情況報(bào)告,區(qū)域、行業(yè)勞動(dòng)關(guān)系狀況報(bào)告,并提出意見(jiàn)和建議;
(二)審議區(qū)域、行業(yè)內(nèi)企業(yè)有關(guān)勞動(dòng)報(bào)酬、工作時(shí)間、休息休假、勞動(dòng)安全衛(wèi)生、保險(xiǎn)福利、職工培訓(xùn),以及勞動(dòng)定額等直接涉及職工切身利益的重大事項(xiàng),提出意見(jiàn)和建議;
(三)審議通過(guò)區(qū)域性、行業(yè)性集體合同草案和專項(xiàng)集體合同草案;
(四)審查監(jiān)督區(qū)域、行業(yè)內(nèi)企業(yè)執(zhí)行勞動(dòng)法律法規(guī)和區(qū)域性、行業(yè)性職
4工代表大會(huì)決定事項(xiàng)的情況,履行區(qū)域性、行業(yè)性集體合同情況;
(五)其他應(yīng)當(dāng)由區(qū)域性、行業(yè)性職工代表大會(huì)行使的職權(quán)。
第三十九條區(qū)域性、行業(yè)性職工代表大會(huì)的職工代表人數(shù)和構(gòu)成,由區(qū)域、行業(yè)工會(huì)與區(qū)域、行業(yè)內(nèi)企業(yè)協(xié)商確定,并根據(jù)實(shí)際設(shè)立選區(qū),組織職工按比例民主選舉產(chǎn)生職工代表。
區(qū)域性、行業(yè)性職工代表大會(huì)的職工代表總數(shù)不得少于三十人,其中企業(yè)經(jīng)營(yíng)管理者不得超過(guò)百分之三十,一線職工不得少于百分之五十。
第四十條區(qū)域性、行業(yè)性職工代表大會(huì)通過(guò)的集體合同、專項(xiàng)集體合同以及有關(guān)決議應(yīng)當(dāng)向全體職工公布。
第四十一條區(qū)域性、行業(yè)性職工代表大會(huì)的組織制度、議事規(guī)則、工作機(jī)構(gòu)的職責(zé)等參照企事業(yè)單位職工代表大會(huì)的有關(guān)規(guī)定實(shí)施。
第八章監(jiān)督檢查和法律責(zé)任
第四十二條市和區(qū)、縣人力資源社會(huì)保障行政管理部門(mén),同級(jí)工會(huì)和企事業(yè)單位代表,通過(guò)勞動(dòng)關(guān)系三方協(xié)商機(jī)制,共同推進(jìn)企事業(yè)單位建立健全職工代表大會(huì)制度。
第四十三條市和區(qū)、縣總工會(huì)應(yīng)當(dāng)將企事業(yè)單位實(shí)行職工代表大會(huì)制度的情況納入工會(huì)勞動(dòng)法律法規(guī)監(jiān)督檢查的內(nèi)容。對(duì)企事業(yè)單位違反本條例規(guī)定的行為,可以發(fā)出工會(huì)勞動(dòng)法律監(jiān)督整改意見(jiàn)書(shū),要求企事業(yè)單位予以改正。對(duì)逾期不改正的,可以根據(jù)需要向同級(jí)國(guó)有資產(chǎn)、教育、衛(wèi)生等主管部門(mén)和人力資源社會(huì)保障等行政管理部門(mén)提出工會(huì)勞動(dòng)法律監(jiān)督處理建議書(shū),國(guó)有資產(chǎn)、教育、衛(wèi)生等主管部門(mén)和人力資源社會(huì)保障等行政管理部門(mén)應(yīng)當(dāng)依法進(jìn)行調(diào)查處理。
第四十四條企事業(yè)單位與工會(huì)因?qū)嵤┞毠ご泶髸?huì)制度的事項(xiàng)發(fā)生爭(zhēng)議,雙方應(yīng)當(dāng)協(xié)商解決;協(xié)商不成的,提請(qǐng)上級(jí)工會(huì)與有關(guān)主管部門(mén)協(xié)調(diào)解決。
第四十五條企事業(yè)單位違反本條例規(guī)定,有下列行為之一的,由市和區(qū)、縣人民政府以及相關(guān)部門(mén)責(zé)令改正,對(duì)企事業(yè)單位法定代表人和有關(guān)責(zé)任人給予批評(píng)教育;拒不改正的,依法處理:
(一)阻撓建立職工代表大會(huì)制度的;
(二)妨礙職工代表大會(huì)依法行使職權(quán)的;
(三)應(yīng)當(dāng)提交職工代表大會(huì)審議和審議通過(guò)的事項(xiàng),未按照法定程序提交,給職工造成損害的;
(四)擅自變更或者拒不執(zhí)行職工代表大會(huì)決議并侵害職工權(quán)益的。
第四十六條企事業(yè)單位法定代表人和其他管理人員對(duì)職工代表進(jìn)行侮辱、誹謗或者以暴力、威脅等手段進(jìn)行打擊報(bào)復(fù)、人身傷害的,公安機(jī)關(guān)依法給予治安處罰;造成嚴(yán)重后果構(gòu)成犯罪的,依法追究刑事責(zé)任。
企事業(yè)單位工會(huì)負(fù)責(zé)人不按照本條例規(guī)定履行職責(zé),對(duì)職工權(quán)益造成損害的,由市和區(qū)、縣、產(chǎn)業(yè)(局)工會(huì)責(zé)令限期改正,情節(jié)嚴(yán)重的,依法予以罷免。第四十七條市和區(qū)、縣人民政府有關(guān)部門(mén)及其工作人員違反本條例規(guī)定,玩忽職守、濫用職權(quán)、徇私舞弊的,由其所在單位或者上級(jí)主管部門(mén)依法給予行政處分;構(gòu)成犯罪的,依法追究刑事責(zé)任。
第九章附則
第四十八條本條例自2011年5月1日起施行。

第一章 總則
第一條為了保障職工的民主權(quán)利,構(gòu)建和諧穩(wěn)定的勞動(dòng)關(guān)系,促進(jìn)職工和企業(yè)、事業(yè)單位以及民辦非企業(yè)單位等組織共同發(fā)展,根據(jù)《中華人民共和國(guó)憲法》、《中華人民共和國(guó)勞動(dòng)法》、《中華人民共和國(guó)工會(huì)法》、《中華人民共和國(guó)公司法》、《中華人民共和國(guó)勞動(dòng)合同法》以及其他有關(guān)法律、行政法規(guī),結(jié)合本市實(shí)際,制定本條例。
第二條本市行政區(qū)域內(nèi)的企業(yè)、事業(yè)單位以及民辦非企業(yè)單位等組織(以下統(tǒng)稱“企事業(yè)單位”)建立和實(shí)施職工代表大會(huì)制度,適用本條例。
第三條推進(jìn)職工代表大會(huì)制度建設(shè),應(yīng)當(dāng)堅(jiān)持中國(guó)共產(chǎn)黨的領(lǐng)導(dǎo),促進(jìn)勞動(dòng)關(guān)系和諧發(fā)展。
第四條企事業(yè)單位應(yīng)當(dāng)建立職工代表大會(huì)制度。
職工人數(shù)在一百人以上的企事業(yè)單位應(yīng)當(dāng)召開(kāi)職工代表大會(huì);職工人數(shù)不足一百人的企事業(yè)單位一般召開(kāi)職工大會(huì)。
職工代表大會(huì)(或者職工大會(huì),下同)是企事業(yè)單位實(shí)行民主管理的基本形式,是協(xié)調(diào)勞動(dòng)關(guān)系的重要制度,是職工行使民主管理權(quán)力的機(jī)構(gòu)。
職工代表大會(huì)應(yīng)當(dāng)充分發(fā)揚(yáng)民主,實(shí)行少數(shù)服從多數(shù)的原則。
第五條企事業(yè)單位應(yīng)當(dāng)保障職工代表大會(huì)依法行使職權(quán),保障職工依法享有知情權(quán)、參與權(quán)、表達(dá)權(quán)和監(jiān)督權(quán)。
職工通過(guò)職工代表大會(huì)依法參與企事業(yè)單位民主管理,支持企事業(yè)單位合法的生產(chǎn)經(jīng)營(yíng)和管理活動(dòng),維護(hù)自身合法權(quán)益。
企事業(yè)單位與本單位工會(huì)應(yīng)當(dāng)協(xié)商制定實(shí)行職工代表大會(huì)制度的具體辦法,并納入本單位的管理制度。
第六條企事業(yè)單位的工會(huì)是職工代表大會(huì)的工作機(jī)構(gòu),承擔(dān)職工代表大會(huì)的日常工作。
第七條本市各級(jí)人民政府應(yīng)當(dāng)建立健全工作機(jī)制,通過(guò)與工會(huì)召開(kāi)聯(lián)席會(huì)議或者采取適當(dāng)方式,推進(jìn)本地區(qū)落實(shí)職工代表大會(huì)制度。
本市各級(jí)國(guó)有資產(chǎn)、教育、科技、文化、衛(wèi)生等主管部門(mén)和人力資源社會(huì)保障等有關(guān)行政管理部門(mén)應(yīng)當(dāng)指導(dǎo)、督促、檢查企事業(yè)單位實(shí)行職工代表大會(huì)制度。
第八條上級(jí)工會(huì)、行業(yè)協(xié)會(huì)和相關(guān)企業(yè)聯(lián)合組織應(yīng)當(dāng)指導(dǎo)和幫助企事業(yè)單位建立健全職工代表大會(huì)制度。
第二章 職權(quán)
第九條職工代表大會(huì)依法行使審議建議、審議通過(guò)、審查監(jiān)督、民主選舉、民主評(píng)議等職權(quán)。
第十條下列事項(xiàng)應(yīng)當(dāng)向職工代表大會(huì)報(bào)告,接受職工代表大會(huì)審議,并通過(guò)職工代表大會(huì)聽(tīng)取職工的意見(jiàn)和建議:
(一)企事業(yè)單位的發(fā)展規(guī)劃,經(jīng)營(yíng)管理情況和重要決策;
(二)企事業(yè)單位制訂、修改、決定直接涉及職工切身利益的規(guī)章制度或者重大事項(xiàng),以及改革改制中職工分流安置、經(jīng)濟(jì)補(bǔ)償?shù)葎趧?dòng)關(guān)系變更的方案;
(三)工會(huì)與企業(yè)就職工工資調(diào)整、經(jīng)濟(jì)性裁員、群體性勞動(dòng)糾紛和生產(chǎn)過(guò)程中發(fā)現(xiàn)的重大事故隱患或者職業(yè)危害等事項(xiàng)進(jìn)行集體協(xié)商的情況;
(四)職工代表大會(huì)工作機(jī)構(gòu)的工作情況、聯(lián)席會(huì)議協(xié)商處理的事項(xiàng);
(五)國(guó)有、集體及其控股的企業(yè)、事業(yè)單位財(cái)務(wù)預(yù)決算等重要事項(xiàng);
(六)法律法規(guī)規(guī)定或者企事業(yè)單位與工會(huì)協(xié)商確定應(yīng)當(dāng)向職工代表大會(huì)報(bào)告的其他事項(xiàng)。
企事業(yè)單位決定改制、合并、分立、搬遷、停產(chǎn)、解散、申請(qǐng)破產(chǎn)等重大問(wèn)題,應(yīng)當(dāng)依照法律的規(guī)定,通過(guò)職工代表大會(huì)審議或者其他形式聽(tīng)取職工的意見(jiàn)和建議。
第十一條下列事項(xiàng)應(yīng)當(dāng)向職工代表大會(huì)報(bào)告,并由職工代表大會(huì)審議通過(guò):
(一)涉及勞動(dòng)報(bào)酬、工作時(shí)間、休息休假、保險(xiǎn)福利等事項(xiàng)的集體合同草案;
(二)工資調(diào)整機(jī)制、女職工權(quán)益保護(hù)、勞動(dòng)安全衛(wèi)生等專項(xiàng)集體合同草案;
(三)企事業(yè)單位因勞動(dòng)關(guān)系變更方案引發(fā)群體性勞動(dòng)糾紛,依照規(guī)定開(kāi)展集體協(xié)商形成的專項(xiàng)集體合同草案;
(四)國(guó)有、集體及其控股企業(yè)的薪酬制度,福利制度,勞動(dòng)用工管理制度,職工教育培訓(xùn)制度,改革改制中涉及的職工安置方案,以及其他涉及職工切身利益的重要事項(xiàng);
(五)事業(yè)單位的職工聘任、考核獎(jiǎng)懲辦法,收益分配的原則和辦法,職工生活福利制度,改革改制中涉及的職工安置方案,以及其他涉及職工切身利益的重要事項(xiàng);
(六)法律法規(guī)規(guī)定或者企事業(yè)單位與工會(huì)協(xié)商確定應(yīng)當(dāng)提交職工代表大會(huì)審議通過(guò)的其他事項(xiàng)。
第十二條下列事項(xiàng)應(yīng)當(dāng)向職工代表大會(huì)報(bào)告,并接受審查監(jiān)督:
(一)職工代表大會(huì)提案辦理情況;
(二)職工代表大會(huì)審議通過(guò)的重要事項(xiàng)落實(shí)情況;
(三)集體合同和專項(xiàng)集體合同履行情況;
(四)勞動(dòng)安全衛(wèi)生標(biāo)準(zhǔn)執(zhí)行、社會(huì)保險(xiǎn)費(fèi)交繳、職工教育培訓(xùn)經(jīng)費(fèi)提取使用等情況;
(五)法律法規(guī)規(guī)定或者企事業(yè)單位與工會(huì)協(xié)商確定應(yīng)當(dāng)向職工代表大會(huì)報(bào)告并接受審查監(jiān)督的其他事項(xiàng)。
第十三條下列人員應(yīng)當(dāng)由職工代表大會(huì)民主選舉產(chǎn)生:
(一)民主管理專門(mén)小組(委員會(huì))成員;
(二)董事會(huì)和監(jiān)事會(huì)中的職工代表;
(三)法律法規(guī)規(guī)定或者企事業(yè)單位與工會(huì)協(xié)商確定應(yīng)當(dāng)由職工代表大會(huì)民主選舉產(chǎn)生的其他人員。
第十四條下列人員應(yīng)當(dāng)接受職工代表大會(huì)的民主評(píng)議:
(一)董事會(huì)和監(jiān)事會(huì)中的職工代表;
(二)國(guó)有、集體及其控股企業(yè)的高級(jí)管理人員,事業(yè)單位負(fù)責(zé)人,以及按照本市有關(guān)規(guī)定應(yīng)當(dāng)接受職工代表大會(huì)民主評(píng)議的其他人員;
(三)法律法規(guī)規(guī)定或者企事業(yè)單位與工會(huì)協(xié)商確定應(yīng)當(dāng)接受職工代表大會(huì)民主評(píng)議的其他人員。
第三章 職工代表
第十五條企事業(yè)單位的職工可以當(dāng)選為職工代表。
職工代表由職工民主選舉產(chǎn)生,實(shí)行常任制,可以連選連任,任期與職工代表大會(huì)屆期相同。
選舉職工代表一般以分公司、分院(校)、部門(mén)、班組、科室等為選區(qū)。選舉應(yīng)當(dāng)有選區(qū)全體職工三分之二以上參加,候選人獲得選區(qū)全體職工半數(shù)以上贊成票方可當(dāng)選。選舉結(jié)果應(yīng)當(dāng)公布。
第十六條職工代表的構(gòu)成應(yīng)當(dāng)以一線職工為主體,中、高層管理人員不超過(guò)百分之二十,但跨地區(qū)、跨行業(yè)的大型集團(tuán)型企業(yè)的比例可以適當(dāng)提高。女職工代表比例一般與本單位女職工人數(shù)所占比例相適應(yīng)。
教育、科技、文化、衛(wèi)生等領(lǐng)域的企事業(yè)單位,職工代表應(yīng)當(dāng)以直接從事專業(yè)技術(shù)工作的人員為主體。
第十七條職工代表的權(quán)利:
(一)在職工代表大會(huì)上,有選舉權(quán)、被選舉權(quán)、審議權(quán)和表決權(quán);
(二)對(duì)涉及本單位發(fā)展和職工權(quán)益的重要事項(xiàng)有知情權(quán)、建議權(quán)、參與權(quán)和監(jiān)督權(quán);
(三)參加與職工代表履職相關(guān)的培訓(xùn)、檢查等活動(dòng);
(四)因履職活動(dòng)而占用生產(chǎn)、工作時(shí)間,按照正常出勤享受應(yīng)得的待遇。
第十八條職工代表的義務(wù):
(一)學(xué)習(xí)、宣傳有關(guān)法律法規(guī)和政策,提高自身素質(zhì),增強(qiáng)參與民主管理的能力,做好本職工作;
(二)聯(lián)系選區(qū)職工,聽(tīng)取職工的意見(jiàn)和建議,表達(dá)職工的意愿和要求;
(三)執(zhí)行職工代表大會(huì)決議,做好職工代表大會(huì)交辦的各項(xiàng)工作;
(四)及時(shí)向選區(qū)職工通報(bào)參加職工代表大會(huì)活動(dòng)和履行職責(zé)的情況,接受評(píng)議監(jiān)督;
(五)模范遵守單位規(guī)章制度,保守商業(yè)秘密。
第十九條職工代表出現(xiàn)缺額時(shí),應(yīng)當(dāng)由原選區(qū)依照規(guī)定的民主程序及時(shí)補(bǔ)選。選舉結(jié)果應(yīng)當(dāng)公布。
職工代表因無(wú)故不履行或者無(wú)法履行代表職責(zé)而被撤免的,應(yīng)當(dāng)經(jīng)原選區(qū)全體職工半數(shù)以上同意。
第二十條職工代表依法行使權(quán)利,任何組織和個(gè)人不得壓制、阻撓和打擊報(bào)復(fù)。
第四章 組織制度
第二十一條企事業(yè)單位職工代表大會(huì)的職工代表名額,按照下列規(guī)定確定:
(一)職工人數(shù)在一百人至三千人的,職工代表名額以三十名為基數(shù),職工人數(shù)每增加一百人,職工代表名額增加不得少于五名;
(二)職工人數(shù)在三千人以上的,職工代表名額不得少于一百七十五名;
(三)職工人數(shù)不足一百人,實(shí)行職工代表大會(huì)制度的,職工代表名額不得少于三十名。
職工代表大會(huì)可以根據(jù)需要設(shè)置列席代表。列席代表無(wú)表決權(quán)和選舉權(quán)。
第二十二條職工代表大會(huì)每屆任期為三年至五年。職工代表大會(huì)因故需要延期換屆的,延期時(shí)間不得超過(guò)一年。
職工代表大會(huì)每年至少召開(kāi)一次會(huì)議。企事業(yè)單位、工會(huì)或者三分之一以上職工代表提議,可以召開(kāi)職工代表大會(huì)。
第二十三條職工代表大會(huì)選舉產(chǎn)生的主席團(tuán)主持會(huì)議,處理大會(huì)期間有關(guān)重大問(wèn)題。
職工代表人數(shù)在三十人至一百人的,主席團(tuán)可以設(shè)三至五人;職工代表人數(shù)在一百人以上的,主席團(tuán)人數(shù)不得少于七人。主席團(tuán)成員中,一線職工代表的比例不得少于百分之五十。
職工人數(shù)在三十人以下的,可以選舉大會(huì)執(zhí)行主席一人,主持召開(kāi)職工大會(huì)。
第二十四條職工代表大會(huì)可以設(shè)立若干民主管理專門(mén)小組(委員會(huì)),組織職工代表開(kāi)展民主管理專項(xiàng)活動(dòng),辦理職工代表大會(huì)交辦的有關(guān)事項(xiàng)。專門(mén)小組(委員會(huì))負(fù)責(zé)人由職工代表?yè)?dān)任。
第二十五條職工代表大會(huì)閉會(huì)期間,除法律法規(guī)規(guī)定應(yīng)當(dāng)提交職工代表大會(huì)審議通過(guò)的事項(xiàng)外,對(duì)需要及時(shí)處理的重要事項(xiàng),企事業(yè)單位可以召開(kāi)職工代表大會(huì)聯(lián)席會(huì)議進(jìn)行協(xié)商處理,處理結(jié)果應(yīng)當(dāng)向下一次職工代表大會(huì)報(bào)告。
聯(lián)席會(huì)議由工會(huì)負(fù)責(zé)召集,由職工代表團(tuán)(組)長(zhǎng)、民主管理專門(mén)小組(委員會(huì))負(fù)責(zé)人、主席團(tuán)成員、工會(huì)委員會(huì)委員參加。
第二十六條企事業(yè)單位下屬的分公司(廠)、分院(校)應(yīng)當(dāng)建立職工代表大會(huì)制度,行使與其管理權(quán)限相對(duì)應(yīng)的職工民主管理權(quán)利。
第二十七條職工代表大會(huì)的經(jīng)費(fèi)由企事業(yè)單位在管理費(fèi)用中列支。
第五章議事規(guī)則
第二十八條職工代表大會(huì)須有全體職工代表三分之二以上出席,方可召開(kāi)。
第二十九條職工代表大會(huì)的議題和議程,由企事業(yè)單位與工會(huì)協(xié)商確定。
第三十條提交職工代表大會(huì)審議和審議表決的書(shū)面材料,應(yīng)當(dāng)在職工代表大會(huì)召開(kāi)的七日前送交職工代表;職工代表團(tuán)(組)應(yīng)當(dāng)組織職工代表討論,由工會(huì)及時(shí)匯總整理職工代表團(tuán)(組)的意見(jiàn)和建議。
職工代表對(duì)涉及職工切身利益的重要事項(xiàng)意見(jiàn)分歧較大的,由企事業(yè)單位和工會(huì)根據(jù)職工代表意見(jiàn)進(jìn)行協(xié)商修改后,提交職工代表大會(huì)再次審議。
第三十一條職工代表大會(huì)審議通過(guò)事項(xiàng),應(yīng)采取無(wú)記名投票方式,并須獲得全體職工代表半數(shù)以上贊成票方可通過(guò)。
第三十二條職工代表大會(huì)審議通過(guò)的事項(xiàng)和決議應(yīng)當(dāng)在職工代表大會(huì)閉會(huì)后向全體職工公布。
第三十三條法律法規(guī)規(guī)定應(yīng)當(dāng)提交職工代表大會(huì)審議的事項(xiàng),未按照法定程序提交的,企事業(yè)單位的工會(huì)有權(quán)以書(shū)面形式要求糾正,企事業(yè)單位應(yīng)當(dāng)根據(jù)工會(huì)的要求予以糾正,并給予書(shū)面答復(fù)。
法律法規(guī)規(guī)定應(yīng)當(dāng)提交職工代表大會(huì)審議通過(guò)的事項(xiàng),未按照法定程序提交審議通過(guò)的,企事業(yè)單位就該事項(xiàng)作出的決定對(duì)本單位職工不具有約束力。
第三十四條職工代表大會(huì)在其職權(quán)范圍內(nèi)審議通過(guò)的事項(xiàng)對(duì)本單位以及全體職工具有約束力,未經(jīng)職工代表大會(huì)重新審議通過(guò)不得變更。
第六章工作機(jī)構(gòu)
第三十五條企事業(yè)單位的工會(huì)在職工代表大會(huì)籌備和召開(kāi)期間,履行下列職責(zé):
(一)組織開(kāi)展職工代表的選舉、撤換、培訓(xùn)等工作;
(二)做好職工代表大會(huì)文件的準(zhǔn)備工作;
(三)提出職工代表大會(huì)主席團(tuán)成員、民主管理專門(mén)小組(委員會(huì))成員候選人建議名單,董事會(huì)、監(jiān)事會(huì)中的職工代表候選人建議名單;
(四)代表職工與企事業(yè)單位開(kāi)展集體協(xié)商,形成集體合同草案、專項(xiàng)集體合同草案和起草說(shuō)明、集體協(xié)商情況的報(bào)告等;
(五)組織職工代表團(tuán)(組)在會(huì)前和會(huì)中對(duì)提交職工代表大會(huì)審議和審議表決的事項(xiàng)進(jìn)行討論,匯總整理意見(jiàn),并與企事業(yè)單位協(xié)商修改;
(六)負(fù)責(zé)職工代表大會(huì)其他籌備和組織工作。
第三十六條企事業(yè)單位的工會(huì)在職工代表大會(huì)閉會(huì)期間,履行下列職責(zé):
(一)動(dòng)員職工執(zhí)行職工代表大會(huì)決議,督促?zèng)Q議的落實(shí)和提案的辦理;
(二)建立與職工代表的聯(lián)系制度,受理職工代表的申訴和提案,維護(hù)職工代表的合法權(quán)益;
(三)組織職工代表、民主管理專門(mén)小組(委員會(huì))開(kāi)展提案、巡視檢查、質(zhì)量評(píng)估等日常民主管理活動(dòng);
(四)完成職工代表大會(huì)交辦的其他工作。
第三十七條企事業(yè)單位的工會(huì)應(yīng)當(dāng)在職工代表大會(huì)閉會(huì)之日起七個(gè)工作日內(nèi),將會(huì)議的有關(guān)情況報(bào)告上一級(jí)工會(huì)。第七章區(qū)域性、行業(yè)性職工代表大會(huì)
第三十八條社區(qū)、產(chǎn)業(yè)園區(qū)、商業(yè)街區(qū)、商務(wù)樓宇等同一區(qū)域內(nèi)的企業(yè)可以聯(lián)合建立區(qū)域性職工代表大會(huì)。生產(chǎn)經(jīng)營(yíng)業(yè)務(wù)相同或者相近的企業(yè)可以聯(lián)合建立行業(yè)性職工代表大會(huì)。
區(qū)域性、行業(yè)性職工代表大會(huì)的工作機(jī)構(gòu)是區(qū)域、行業(yè)工會(huì)。
第三十九條鄉(xiāng)、鎮(zhèn)人民政府和街道辦事處應(yīng)當(dāng)積極推動(dòng)實(shí)施區(qū)域性、行業(yè)性職工代表大會(huì)制度,支持和保障職工代表大會(huì)制度的正常運(yùn)行,確定相關(guān)職能部門(mén)履行下列職責(zé):
(一)組織、協(xié)調(diào)區(qū)域性、行業(yè)性職工代表大會(huì)制度的建立;
(二)指導(dǎo)、督促區(qū)域性、行業(yè)性職工代表大會(huì)落實(shí)本條例各項(xiàng)規(guī)定、行使各項(xiàng)職權(quán);
(三)會(huì)同工會(huì)和企業(yè)聯(lián)合組織等確定實(shí)施區(qū)域性、行業(yè)性職工代表大會(huì)制度的召集人和責(zé)任人;
(四)督促落實(shí)區(qū)域性、行業(yè)性職工代表大會(huì)決議;
(五)會(huì)同工會(huì)和企業(yè)聯(lián)合組織依法對(duì)違反本條例規(guī)定的企業(yè)提出處理建議。
第四十條區(qū)域性、行業(yè)性職工代表大會(huì)行使下列職權(quán):
(一)聽(tīng)取區(qū)域、行業(yè)內(nèi)企業(yè)執(zhí)行勞動(dòng)法律法規(guī)和政策情況報(bào)告,區(qū)域、行業(yè)勞動(dòng)關(guān)系狀況報(bào)告,并提出意見(jiàn)和建議;
(二)審議區(qū)域、行業(yè)內(nèi)企業(yè)有關(guān)勞動(dòng)報(bào)酬、工作時(shí)間、休息休假、勞動(dòng)安全衛(wèi)生、保險(xiǎn)福利、職工培訓(xùn),以及勞動(dòng)定額等直接涉及職工切身利益的重大事項(xiàng),提出意見(jiàn)和建議;
(三)審議通過(guò)區(qū)域性、行業(yè)性集體合同草案和專項(xiàng)集體合同草案;
(四)審查監(jiān)督區(qū)域、行業(yè)內(nèi)企業(yè)執(zhí)行勞動(dòng)法律法規(guī)和區(qū)域性、行業(yè)性職工代表大會(huì)決定事項(xiàng)的情況,履行區(qū)域性、行業(yè)性集體合同和專項(xiàng)集體合同及繳納社會(huì)保險(xiǎn)費(fèi)等情況;
(五)其他應(yīng)當(dāng)由區(qū)域性、行業(yè)性職工代表大會(huì)行使的職權(quán)。
第四十一條區(qū)域性、行業(yè)性職工代表大會(huì)的職工代表人數(shù)和構(gòu)成,由區(qū)域、行業(yè)工會(huì)與區(qū)域、行業(yè)內(nèi)企業(yè)協(xié)商確定,并根據(jù)實(shí)際設(shè)立選區(qū),組織職工按比例民主選舉產(chǎn)生職工代表。
區(qū)域性、行業(yè)性職工代表大會(huì)的職工代表總數(shù)不得少于三十人,其中企業(yè)經(jīng)營(yíng)管理者不得超過(guò)百分之三十,一線職工不得少于百分之五十。第四十二條區(qū)域性、行業(yè)性職工代表大會(huì)通過(guò)的集體合同、專項(xiàng)集體合同以及有關(guān)決議應(yīng)當(dāng)向全體職工公布。
第四十三條區(qū)域性、行業(yè)性職工代表大會(huì)的組織制度、議事規(guī)則、工作機(jī)構(gòu)的職責(zé)等參照企事業(yè)單位職工代表大會(huì)的有關(guān)規(guī)定實(shí)施。
第八章監(jiān)督檢查和法律責(zé)任
第四十四條市和區(qū)人力資源社會(huì)保障行政管理部門(mén),同級(jí)工會(huì)和企事業(yè)單位代表,通過(guò)勞動(dòng)關(guān)系三方協(xié)商機(jī)制,共同推進(jìn)企事業(yè)單位建立健全職工代表大會(huì)制度。
第四十五條市和區(qū)人力資源社會(huì)保障行政管理部門(mén)與同級(jí)工會(huì)對(duì)企業(yè)執(zhí)行勞動(dòng)保障法律法規(guī)情況開(kāi)展聯(lián)合監(jiān)督檢查時(shí),應(yīng)當(dāng)檢查企業(yè)實(shí)行職工代表大會(huì)制度的情況。
第四十六條市和區(qū)總工會(huì)應(yīng)當(dāng)將企事業(yè)單位實(shí)行職工代表大會(huì)制度的情況納入工會(huì)勞動(dòng)法律法規(guī)監(jiān)督檢查的內(nèi)容。對(duì)企事業(yè)單位違反本條例規(guī)定的行為,可以發(fā)出工會(huì)勞動(dòng)法律監(jiān)督整改意見(jiàn)書(shū),要求企事業(yè)單位在九十日內(nèi)予以改正。對(duì)企事業(yè)單位逾期不改正的,市和區(qū)總工會(huì)可以根據(jù)需要向同級(jí)國(guó)有資產(chǎn)、教育、科技、文化、衛(wèi)生等主管部門(mén)和人力資源社會(huì)保障等行政管理部門(mén)提出工會(huì)勞動(dòng)法律監(jiān)督處理建議書(shū)。
對(duì)違反本條例規(guī)定引發(fā)群體性勞動(dòng)糾紛的企事業(yè)單位,以及工會(huì)開(kāi)具勞動(dòng)法律監(jiān)督處理建議書(shū)的企事業(yè)單位,國(guó)有資產(chǎn)、教育、科技、文化、衛(wèi)生等主管部門(mén)和人力資源社會(huì)保障等行政管理部門(mén)應(yīng)當(dāng)依法進(jìn)行調(diào)查處理,督促企事業(yè)單位在三十日內(nèi)予以改正。
對(duì)企事業(yè)單位逾期仍不改正的,由市總工會(huì)按照本市社會(huì)信用管理的相關(guān)規(guī)定將該信息納入市公共信用信息服務(wù)平臺(tái)。對(duì)違反勞動(dòng)保障法律法規(guī)的,由人力資源社會(huì)保障行政管理部門(mén)依法作出行政處理。
第四十七條企事業(yè)單位與工會(huì)因?qū)嵤┞毠ご泶髸?huì)制度的事項(xiàng)發(fā)生爭(zhēng)議,雙方應(yīng)當(dāng)協(xié)商解決;協(xié)商不成的,提請(qǐng)上級(jí)工會(huì)與有關(guān)主管部門(mén)協(xié)調(diào)解決。
第四十八條企事業(yè)單位違反本條例規(guī)定,有下列行為之一的,由市和區(qū)人民政府以及國(guó)有資產(chǎn)、教育、科技、文化、衛(wèi)生等主管部門(mén)和人力資源社會(huì)保障等行政管理部門(mén)責(zé)令改正,對(duì)企事業(yè)單位法定代表人和有關(guān)責(zé)任人給予批評(píng)教育;拒不改正的,依法處理:
(一)阻撓建立職工代表大會(huì)制度的;
(二)妨礙職工代表大會(huì)依法行使職權(quán)的;
(三)應(yīng)當(dāng)提交職工代表大會(huì)審議和審議通過(guò)的事項(xiàng),未按照法定程序提交,給職工造成損害的;
(四)擅自變更或者拒不執(zhí)行職工代表大會(huì)決議并侵害職工權(quán)益的。
第四十九條企事業(yè)單位法定代表人和其他管理人員對(duì)職工代表進(jìn)行侮辱、誹謗或者以暴力、威脅等手段進(jìn)行打擊報(bào)復(fù)、人身傷害的,公安機(jī)關(guān)依法給予治安處罰;造成嚴(yán)重后果構(gòu)成犯罪的,依法追究刑事責(zé)任。
企事業(yè)單位工會(huì)負(fù)責(zé)人不按照本條例規(guī)定履行職責(zé),對(duì)職工權(quán)益造成損害的,由市和區(qū)、產(chǎn)業(yè)(局)工會(huì)責(zé)令限期改正,情節(jié)嚴(yán)重的,依法予以罷免。
第五十條市和區(qū)人民政府有關(guān)部門(mén)及其工作人員違反本條例規(guī)定,玩忽職守、濫用職權(quán)、徇私舞弊的,由其所在單位或者上級(jí)主管部門(mén)依法給予行政處分;構(gòu)成犯罪的,依法追究刑事責(zé)任。
第九章 附則
第五十一條本條例自2011年5月1日起施行。

Chapter I General Provisions
Article 1 In order to protect the democratic rights of workers and staff members, to build harmonious and stable labor relationship and to promote the common development of workers and staff members, enterprises, public institutions and privately-run non-enterprise units and other organizations, the present Regulations are formulated in accordance with the Constitution of the People’s Republic of China, the Labor Law of the People’s Republic of China, the Trade Union Law of the People’s Republic of China, the Company Law of the People’s Republic of China, the Labor Contract Law of the People’s Republic of China and other relevant laws and administrative regulations and in the light of the actual situation in this Municipality.Article 2 The present Regulations shall apply to all enterprises, public institutions and privately-run non-enterprise units and other organizations(hereinafter referred to as“enterprises and public institutions”), which establish and implement the Workers Congress System in the administrative area of this Municipality.Article 3 Enterprises and public institutions shall establish the Workers Congress System.The Workers Congress should be held in enterprises and public institutions with 100 and more workers and staff members;usually general meeting of workers and staff members should be held in enterprises and public institutions where workers and staff members are less than 100.The Workers Congress(or general meeting of workers and staff members, the same below)is the basic democratic management form of enterprises and public institutions, an important system for coordinating the labor relation and a setup for workers and staff members to exercise their democratic management rights.The Workers Congress should fully promote democracy and implement the majority rule.Article 4 Enterprises and public institutions shall guarantee that the Workers Congress exercises its functions and powers in accordance with laws, and ensure that the workers and staff members have their statutory rights to stay informed, participate, express their views and supervise.Through the Workers Congress, workers and staff members shall participate in the democratic management of enterprises and public institutions in accordance with laws, support the legitimate production operation and management activities and safeguard their own legitimate rights and interests.Article 5 Trade unions of enterprises and public institutions are the operating mechanism of the Workers Congress and undertake its daily work.Article 6 The people’s government at various levels and its competent authorities of the state-owned assets, education, health, etc.as well as the administrative departments of human resources and social security shall guide and urge enterprises and public institutions to implement the Workers Congress System.Article 7 Trade unions at higher level, industrial associations and relative syndicates shall guide and help the enterprises and public institutions to establish and improve the Workers Congress System.Chapter II Authorities
Article 8 The Workers Congress exercises its authorities in accordance with laws to deliberate suggestion, to examine and adopt, to investigate and supervise, to democratically elect and democratically appraise.Article 9 The following matters shall be reported and examined by the Workers Congress, and the opinions of workers and staff members representatives of the Workers Congress(hereinafter referred to as“workers and staff members representatives”)shall be considered:
(1)The development plans, annual operation management situations and important decisions of enterprises and public institutions;
(2)Formulation, revision and decisions made by enterprises and public institutions about the rules and regulations or major issues, which concerned with the immediate interests of workers and staff members;
(3)The collective consultation between trade unions and enterprises for remuneration adjustment, economic lay-offs, mass labor disputes, and serious hidden dangers or occupational hazards and other matters identified in the production process;
(4)The working status of the operating mechanism of the Workers Congress and the matters for consultation and settlement at the joint conference;
(5)Such important matters as financial budget and final statements, restructuring programs and major reform measures as well as bankruptcy application or dissolution of the state-owned, collective and holding enterprises;
(6)Such important matters as financial budget and final statements, major restructuring programs of public institutions;
(7)Other matters stipulated by laws, rules and regulations, or agreed by enterprises and public institutions and trade unions through consultation, which shall be reported to the Workers Congress.Article 10 The following matters shall be reported to the Workers Congress for examination and adoption.(1)The draft collective agreements concerning labor remuneration, working hours, rest and vocations, insurance and welfare, etc.;
(2)The draft specialized collective agreements concerning remuneration adjustment mechanism, protection of the rights and interests of female workers and staff members, working safety and health, etc.;
(3)Such matters as the remuneration system, welfare system, labor management system, education and training system for the workers and staff members, the resettlement programs concerning workers and staff members in the reform and restructuring, and other important matters concerning the immediate interests of workers and staff members, which are planned out by the state-owned, collective and holding enterprises;
(4)Such matters as the appointment, evaluation and performance rewards and penalties, the principle and approach for revenue allocation, welfare system of workers and staff members, the resettlement programs concerning workers and staff members in the reform and restructuring, and other important matters concerning the immediate interests of workers and staff members, which are planned out by the public institutions;
(5)Other matters stipulated by laws, rules and regulations, or agreed by enterprises and public institutions and trade unions through consultation, which shall be submitted to the Workers Congress for examination and adoption.Article 11 The following matters shall be reported to the Workers Congress, and shall be subject to examination and supervision:
(1)The handling status of the proposals raised by the Workers Congress;
(2)The implementation status of the important matters examined and adopted by the Workers Congress;
(3)The performance status of the collective agreements and specialized collective agreements;
(4)The implementation status of working safety and health standards, payment of social insurance premiums, withdrawal and use of education and training funds of workers and staff members, etc.;
(5)Other matters stipulated by laws, rules and regulations, or agreed by enterprises and public institutions and trade unions through consultation, which shall be reported to the Workers Congress and be subject to examination and supervision.Article 12 The following personnel shall be elected democratically by the Workers Congress:
(1)Members of the democratic management panel(committee);
(2)Workers and staff members representatives in the board of directors and the board of supervisors;
(3)Other personnel stipulated by laws, rules and regulations, or agreed by enterprises and public institutions and trade unions through consultation shall be elected democratically by the Workers Congress.Article 13 The following personnel shall be appraised democratically by the Workers Congress:
(1)Workers and staff members representatives in the board of directors and the board of supervisors;
(2)Senior managerial personnel in the state-owned, collective and holding enterprises, and person in charge of public institutions, and other personnel are subject to democratic appraisal by the Workers Congress in accordance with the relevant provisions of this Municipality;
(3)Other personnel stipulated by laws, rules and regulations, or agreed by enterprises and public institutions and trade unions through consultation are subject to democratic appraisal by the Workers Congress.Chapter III Workers and staff members Representatives
Article 14 Workers and staff members of enterprises and public institutions can be elected as workers and staff members representatives.Workers and staff members representatives are democratically elected by workers and staff members, where the permanent tenure system is implemented and workers and staff members representatives can be reelected.Their term of office is same as the term of the Workers Congress.Branch companies, branch institutions(schools), departments, teams, sections, etc.are usually taken as the constituencies for the election of workers and staff members representatives.More than two thirds of all workers and staff members in a constituency shall participate in the election.The candidates with more than half of affirmative votes of all workers and staff members can be elected.The election results shall be published.Article 15 Workers and staff members representatives shall be constituted mainly by the front line workers and staff members, where the middle and senior managerial personnel shall not be more than 20%.But for the trans-regional and cross-industry large-scale group enterprises, the proportion can be increased appropriately.The proportion of female workers and staff members representatives usually adapts to that of the female workers and staff members in the unit.For enterprises and public institutions in the fields of education, science and technology, culture, health, etc., workers and staff members representatives of which shall mainly be composed of the personnel directly involved in the professional and technical work.Article 16 The rights of workers and staff members representatives:
(1)Have the right to elect, to be elected, deliberate and vote in the Workers Congress;
(2)Have the right to know, make proposals for, participate in and supervise important matters concerning the unit development and the rights and interests of workers and staff members;
(3)Participate in such activities concerning the duty performance of workers and staff members representatives as training and inspection;
(4)Be regarded as normal attendance and enjoy due welfare treatment when the duty performance is implemented during the production and working hours.Article 17 The obligations of workers and staff members representatives:
(1)Learn and publicize relevant laws, rules and regulations and policies, improve their own qualities, enhance the ability to participate in democratic management, strive to complete their duties well;
(2)Contact workers and staff members in the constituency, listen to their opinions and suggestions, and express their wishes and demands;
(3)Implement the resolutions of the Workers Congress and perform relevant work assigned by the Workers Congress;
(4)Timely notify workers and staff members in the constituency the information about participating in the activities of the Workers Congress and duty performance, accept appraisal and supervision;
(5)Strictly abide by rules and regulations of the unit, keep business secrets.Article 18 In case vacancies occur in workers and staff members representatives, by-election shall be held in time in accordance with the prescribed democratic process in the original constituency.The election results shall be published.Workers and staff members representatives shall be recalled for not performing without any reason or cannot fulfill the relevant duties, shall be agreed by more than half of all workers and staff members of the original constituency.Article 19 when workers and staff members representatives exercise their rights in accordance with laws, any organization or individual shall not suppress, obstruct or revenge.Chapter IV Organizational System
Article 20 The quota of workers and staff members representatives in the Workers Congress of enterprises and public institutions shall be determined in accordance with the following provisions:
(1)Where the number of workers and staff members is 100 to 3000, the base quota of workers and staff members representatives shall be 30.The increase of quota shall not be less than 5 for the increase of every 100 workers and staff members.(2)Where the number of workers and staff members is more than 3000, the quota of workers and staff members representatives shall not be less than 175.(3)Where the number of workers and staff members is less than 100 and the Workers Congress System is implemented, the quota of workers and staff members representatives shall not be less than 30.The Workers Congress can set nonvoting representatives in accordance with the actual requirements.The nonvoting representatives have no right to vote or elect.Article 21 The term of office of the Workers Congress is three to five years.Where the term of office of the Workers Congress needs to be extended for any reason, the extension shall not be more than one year.The Workers Congress shall hold a meeting at least once a year.The Workers Congress can be held correspondingly when it is proposed by enterprises and public institutions, trade unions or more than one third of workers and staff members representatives.Article 22 The presidium elected by the Workers Congress shall Regulations of the Shanghai Municipality on the Workers Congress preside over the meeting and deal with relevant significant matters during the period.The number of presidium shall not be less than 7 with the proportion of the front line workers no less than 50%.Article 23 The Workers Congress can establish a number of democratic management panels(committees)to organize workers and staff members representatives for carrying out democratic management activities and handle relevant matters assigned by the Workers Congress.The principal of panel(committee)shall be taken charge by workers and staff members representatives.Article 24 When the Workers Congress is not in session, except for matters stipulated by laws, rules and regulations to be submitted to the Workers Congress for examination and adoption, a joint conference of the Workers Congress can be held in enterprises and public institutions to handle the important matters through consultation, which are required to be handled in time.The result shall be reported to the next Workers Congress.The joint conference shall be convened by trade unions.The attendance of the conference shall be the head of workers and staff members representatives group(team), the principal of the democratic management panel(committee), the members of the presidium and trade union committee members.Article 25 The branch companies(factory), branch institutions(schools)subordinated to enterprises and public institutions shall establish the Workers Congress System and exercise the democratic management rights of workers and staff members corresponding to its management
authority.Article 26 The fund of the Workers Congress shall be disbursed from the management cost of enterprises and public institutions.Chapter V Rules of Procedure
Article 27 The Workers Congress must be convened with more than two thirds of all workers and staff members representatives to attend.Article 28 The subject and agenda of the Workers Congress shall be consulted and determined by enterprises and public institutions and trade unions.Article 29 The written materials submitted to the Workers Congress for examination and vote shall be sent to workers and staff members representatives seven days prior to the convening of the Workers Congress;workers and staff members representatives group(team)shall organize workers and staff members representatives for discussion, and trade unions shall collect and sort out the opinions and suggestions of workers and staff members representatives in time.Where workers and staff members representatives have big disagreement on important matters concerning the immediate interests of workers and staff members, enterprises and public institutions and trade unions shall make revision upon consultation according to the opinions of workers and staff members representatives, and resubmit to the Workers Congress for examination.Article 30 The secret ballot method shall be taken for the examination and adoption of the Workers Congress where the adoption is based on winning affirmative votes of more than half of workers and staff members representatives.Article 31 The matters and resolutions examined and adopted by the Workers Congress shall be published to all workers and staff members after the adjournment.Article 32 Trade unions of enterprises and public institutions have the right to request rectification, and enterprises and public institutions shall make corresponding rectification according to the requirements where the matters, which shall be submitted to the Workers Congress for examination in accordance with laws, rules and regulations, are not submitted in accordance with legal procedures.The relevant decision made by enterprises and public institutions shall not be binding on workers and staff members where the matters, which shall be submitted to the Workers Congress for examination and adoption in accordance with laws, rules and regulations, are not submitted in accordance with legal procedures.Article 33 The matters examined and adopted in the scope of the authority of the Workers Congress shall be binding on the present unit and all workers and staff members, which must not be changed without reconsideration and re-adoption by the Workers Congress.Chapter VI Operating Mechanism
Article 34 Trade unions of enterprises and public institutions shall perform the following responsibilities during the preparation and convening of the Workers Congress:
(1)Organize and carry out election, replacement, training, etc.of workers and staff members representatives;
(2)Prepare the relevant documents for the Workers Congress;
(3)Propose the suggested candidate list for presidium, democratic management panel(committee), and workers and staff members representatives in the board of directors and the board of supervisors.(4)Carry out collective consultation with enterprises and public institutions on behalf of workers and staff members, form the draft collective agreements, draft specialized collective agreements and drafting description, collective consultation reports, etc.;
(5)Organize workers and staff members representatives group(team)to discuss the issues submitted to the Workers Congress for examination and vote before and in the meeting, collect and sort out relevant opinions and consult with enterprises and public institutions for rectification;
(6)Be responsible for other preparation and organizational work of the Workers Congress.Article 35 When the Workers Congress is not in session, trade unions of enterprises and public institutions shall perform the following responsibilities:
(1)Mobilize workers and staff members to implement resolutions adopted by the Workers Congress, and urge the implementation of resolutions and handling of proposals;
(2)Establish contact system with workers and staff members representatives, accept the complaints and proposals from workers and staff members representatives, maintain their legitimate rights and interests;
(3)Organize workers and staff members representatives and democratic management panel(committee)to carry out such daily democratic management activities as making proposals, inspection and quality evaluation;
(4)Complete other work assigned by the Workers Congress.Article 36 Within seven working days since the adjournment of the Workers Congress, trade unions of enterprises and public institutions shall report the relevant information to the trade unions at higher level.Chapter VII Area-wide and Industry-wide Workers Congress
Article 37 The enterprises in the same communities, industrial parks or commercial buildings can jointly establish area-wide Workers Congress.The enterprises with the same or similar production or operation business can establish industry-wide Workers Congress.The operating mechanism of the area-wide and industry-wide Workers Congress is the area-wide and industry-wide trade unions.The township and town people’s governments and subdistrict offices shall actively promote the establishment of area-wide and industry-wide Workers Congress, support and protect its normal operation of the Workers Congress System.Article 38 The area-wide and industry-wide Workers Congress shall exercise the following responsibilities:
(1)Listen to the area-wide and industry-wide status report about implementing labor laws, rules and regulations and policies as well as the area-wide and industry-wide labor relations report, and put forward opinions and suggestions;
(2)Examine such important matters directly concerning the immediate interests of workers and staff members as the labor remuneration, working hours, rest and vacations, labor safety and health, insurance and welfare, training programs for workers and staff members and labor quotas, etc., and put forward opinions and suggestions;
(3)Examine and adopt area-wide and industry-wide draft collective agreements as well as the draft specialized collective agreements;
(4)Examine and supervise the enterprises in implementation of laborlaws and rules and regulations, of decisions adopted by the area-wide and industry-wide Workers Congress, and of the area-wide and industry-wide collective agreements;
(5)Other responsibilities shall be exercised by the area-wide and industry-wide Workers Congress.Article 39 The number and composition of workers and staff members representatives in the area-wide and industry-wide Workers Congress shall be determined through consultation between trade unions and enterprises in the same area or industry.The constituencies shall be set up according to the actual situation.Workers and staff members shall be organized to democratically elect their representatives in proportion.The number of workers and staff members representatives in the area-wide and industry-wide Workers Congress shall not be less than 30, of which the managerial personnel shall not be more than 30% and the front line workers and staff members shall not be less than 50%.Article 40 The collective agreements and the specialized collective agreements as well as relevant resolutions adopted by the area-wide or industry-wide Workers Congress shall be published to all workers and staff members.Article 41 The organizational system, rules of procedure, and the responsibilities of operating mechanism of the area-wide and industry-wide Workers Congress shall be implemented according to the relevant provisions of the Workers Congress of enterprises and public institutions.Chapter VIII Supervision, Inspection and Legal Responsibility
Article 42 The municipal, district and county human resources and social security administrative departments, trade unions at the same level and the representatives of enterprises and public institutions shall jointly facilitate the establishment and improvement of the Workers Congress System through the tripartite consultation mechanism of labor relations.Article 43 The municipal, district and county trade unions shall integrate the implementation status of the Workers Congress System by enterprises and public institutions into the supervision and inspection scope of the labor laws and rules and regulations.The Trade Union Labor Laws Supervision Rectification Opinions Notice shall be issued, requiring enterprises and public institutions to make rectification where the activities in breach of the present regulations occur.The Trade Union Labor Law Supervision Treatment Proposal Notice shall be sent to the authorities of the state-owned assets, education, health and the administrative departments for human resources and social security at the same level where enterprises and public institutions fail to make rectification within the prescribed period.These authorities and departments shall investigate and deal with the matters in accordance with relevant laws.Article 44 Where a dispute arises from the implementation of the Workers Congress System, enterprises and public institutions and trade unions shall consult for a settlement.Where no settlement can be reached through consultation, the case shall be submitted to trade unions at higher level for coordination and settlement with the relevant authorities.Article 45 Any enterprise and public institution that, in violation of the provisions of the present Regulations, commits one of the following acts shall be ordered by the people’s governments of the municipal, district and county as well as the relevant departments to make rectification, and the legal representatives and related responsible personnel shall be criticized and educated.The government shall handle the case in accordance with laws where the personnel refuse to make rectification.(1)Obstruct the establishment of the Workers Congress System;
(2)Prevent the Workers Congress from exercising its statutory functions and powers;
(3)The matters, which shall be submitted to the Workers Congress for examination and adoption, are not submitted in accordance with the legal procedures and cause damage to workers and staff members;
(4)Change arbitrarily or refuse to implement the resolutions adopted by the Workers Congress and violate the rights and interests of workers and staff members.Article 46 Where the legal representatives and other managerial personnel of enterprises and public institutions humiliate, slander or revenge by using the means of violence or threat, which inflicts injuries upon workers and staff members, shall be punished by the public security organ in accordance with laws.Where grave consequences are caused and thus a crime is constituted, criminal responsibility shall be investigated in accordance with laws.Where the trade union principal of enterprises and public institutions does not perform duties in accordance with the provisions of the present Regulations and causes damage to the rights and interests of workers and staff members, trade unions at the level of municipality, district, county and industry(bureau)shall order him to make rectification within the prescribed period.In case of serious circumstance, the person who is held responsible shall be dismissed in accordance with laws.Article 47 Where the relevant departments of the municipal, district and county people’s governments and their staff members violate the provisions of the present Regulations, neglect duties, abuse functions and powers, play favoritism and fraudulence, the units or the persons who are held responsible shall be imposed administrative sanctions by their units or the superior competent departments in accordance with laws.Where a crime is constituted, criminal responsibility shall be investigated in accordance with laws.Chapter IX Supplementary Provisions
Article 48 The present Regulations shall become effective as of May 1, 2011.(The translation of the present Regulations is for reference only.In case of discrepancy between the English translation and the original Chinese text, the Chinese text shall prevail.)

職工代表大會(huì)條例(暫行)
第一條為貫徹執(zhí)行國(guó)家《勞動(dòng)合同法》,發(fā)揮職工代表(大會(huì))在企業(yè)執(zhí)行《勞動(dòng)合同法》中應(yīng)有的作用,結(jié)合本廠實(shí)際,制訂本條例。
第二條職工代表大會(huì)是工廠全體職工合法權(quán)益的最高代表形式,是職工合法權(quán)益的代表者。
第三條職工代表遵從《勞動(dòng)合同法》中對(duì)明確的事項(xiàng),行使與企業(yè)平等協(xié)商、提出意見(jiàn)等職能。
第四條職工代表大會(huì)受廠部(辦公室)管理。其管理方式具體為:通知會(huì)議時(shí)間、內(nèi)容、地點(diǎn)、簽到等事項(xiàng);明確會(huì)議結(jié)果;搜集職工代表意見(jiàn);工廠認(rèn)為需要可以宣布的決定;提出貫徹執(zhí)行會(huì)議結(jié)果的要求等。
第五條職工代表大會(huì)須通過(guò)合法方式、合法程序、合法渠道等行使職能。日常生產(chǎn)工作中職工合法權(quán)益通過(guò)職工代表的反映,也須遵從本條規(guī)定。
(一)職工代表大會(huì)組成
二、職工代表大會(huì)
一、總則
第六條職工代表大會(huì)由按規(guī)定的辦法推選出來(lái)的職工代表組成。
第七條職工代表大會(huì)有五分之四及其以上的職工代表到會(huì),視為會(huì)議合法有效。
(二)職工代表大會(huì)職能
第八條依照《勞動(dòng)合同法》,職工代表大會(huì)的主要職能如下
1、與企業(yè)共同提出有關(guān)方案。對(duì)工廠制定、修改或者決定有關(guān)勞動(dòng)報(bào)酬、工作時(shí)間、休息休假、勞動(dòng)安全衛(wèi)生、保險(xiǎn)福利、職工培訓(xùn)、勞動(dòng)紀(jì)律以及勞動(dòng)定額管理等直接涉及勞動(dòng)者切身利益的規(guī)章制度或者重大事項(xiàng)時(shí),經(jīng)職工代表大會(huì)討論,提出方案和意見(jiàn)。
2、與企業(yè)通過(guò)平等協(xié)商制定、修改規(guī)章制度。制定、修改或者決定有關(guān)勞動(dòng)報(bào)酬、工作時(shí)間、休息休假、勞動(dòng)安全衛(wèi)生、保險(xiǎn)福利、職工培訓(xùn)、勞動(dòng)紀(jì)律以及勞動(dòng)定額管理等直接涉及勞動(dòng)者切身利益的規(guī)章制度,與職工代表平等協(xié)商確定。
1如企業(yè)重要規(guī)章制度或重大事項(xiàng)決定,僅涉及部分職工切身利益,則企業(yè)可以僅與涉及部分職工的職工代表協(xié)商。
3、在“規(guī)章制度和重大事項(xiàng)決定實(shí)施過(guò)程中”,職工認(rèn)為不適當(dāng)?shù)?,有?quán)向企業(yè)提出,通過(guò)協(xié)商予以修改完善。
(三)職工代表大會(huì)會(huì)議制度
第九條舉行職工代表大會(huì)實(shí)行以下會(huì)議制度:
1、參加職工代表大會(huì)的職工代表,必須安排好生產(chǎn)工作,按照通知的會(huì)議時(shí)間,準(zhǔn)時(shí)到達(dá)會(huì)議地點(diǎn),并自始至終參加會(huì)議。對(duì)遲到、早退、缺席者,按工廠生產(chǎn)工作出勤制度予以考勤、考核。因故不能到會(huì)者,應(yīng)提前報(bào)告請(qǐng)假。
2、到會(huì)職工代表應(yīng)如實(shí)反映職工有關(guān)意見(jiàn),應(yīng)實(shí)事求是、有理有據(jù)地提出合法、合理、可行的意見(jiàn)或建議。
3、到會(huì)職工代表須遵守會(huì)議程序和會(huì)議紀(jì)律。有過(guò)激言行,將受到會(huì)議警告;情節(jié)嚴(yán)重者,按工廠有關(guān)規(guī)章予以考核或處理。
4、到會(huì)職工代表應(yīng)按要求進(jìn)行到會(huì)簽到,或簽名。
(一)職工代表基本條件
第十條職工代表應(yīng)具備如下基本條件
1、與企業(yè)簽定了勞動(dòng)合同,且入職工作1年以上(屬特殊情況的,特批放寬條件);
2、思想素質(zhì)好。敬業(yè)愛(ài)廠愛(ài)崗,為人公道正派、堅(jiān)持原則,說(shuō)真話講誠(chéng)信;
3、工作表現(xiàn)好。守法遵章守紀(jì),工作期間無(wú)違法違規(guī)行為,關(guān)心工廠發(fā)展,業(yè)務(wù)技能好;
4、具備一定的參政議政能力,在員工中具有一定威信,具有一定表達(dá)能力。
(二)職工代表推選辦法
第十一條根據(jù)工廠生產(chǎn)組織管理方式,以生產(chǎn)小組為單位推選1個(gè)名額的職工代表。
第十二條以生產(chǎn)小組為單位,由組員按條件推選1—2名職工代表候選人,其名單上報(bào)予以資格審查(按條件)后,返回1名候選人經(jīng)小組進(jìn)行等額選舉。
第十三條小組選舉職工代表時(shí),可直接采取舉手表決(也可無(wú)記名投票)2
三、職工代表
方式選舉,被選舉人獲一半以上組員通過(guò)后的名單即行上報(bào)。書(shū)面上報(bào)名單時(shí)須由組員簽字。廠部(辦公室)將上報(bào)資料完整保存待查。
第十四條小組推選的代表經(jīng)廠部確認(rèn)后即為正式職工代表。
(三)職工代表替補(bǔ)辦法
第十五條小組的職工代表因故不能參加職工代表大會(huì)時(shí),由會(huì)議組織者視到會(huì)代表人數(shù)(到會(huì)人數(shù)達(dá)五分之四視為會(huì)議有效)決定缺席小組是否派員參加會(huì)議。如需派員,可由該組臨時(shí)推薦或由會(huì)議組織者臨時(shí)指派1人參會(huì)。
第十六條若小組職工代表與企業(yè)解除勞動(dòng)關(guān)系或調(diào)離該組,由該組按推選辦法產(chǎn)生1名職工代表。
四 有關(guān)說(shuō)明
第十七條本條例解釋權(quán)、修訂權(quán)屬公司。
第十八條本條例自20 年 月 日起執(zhí)行。
