第一篇:項(xiàng)目管理咨詢(xún)服務(wù)合同(中英文對(duì)照)
第三條為保證乙方有效進(jìn)行技術(shù)服務(wù)工作,甲方應(yīng)當(dāng)向乙方提供下列工作條件:甲方若已有以下資料應(yīng)免費(fèi)提供乙方一份;
① 建設(shè)單位情況;
② 項(xiàng)目建議書(shū)及批準(zhǔn)文件;
③ 建設(shè)項(xiàng)目選址意見(jiàn)書(shū);
④ 規(guī)劃局有關(guān)規(guī)劃參數(shù)的批準(zhǔn)文件;
⑤ 經(jīng)有關(guān)方面征詢(xún)的地塊建設(shè)項(xiàng)目的規(guī)劃、環(huán)境保護(hù)、園林綠化、衛(wèi)生防疫、水、電、煤、通信、交通和消防等; ⑥ 土地權(quán)屬證明(房地產(chǎn)權(quán)證)及其他相關(guān)文件;
⑦ 建設(shè)基地動(dòng)遷量及市政配套情況(包括動(dòng)遷安置補(bǔ)償情況、大市政配套情況等);
⑧ 地形圖、地質(zhì)資料;
⑨ 規(guī)劃設(shè)計(jì)總體位置平面圖;周?chē)h(huán)境及其規(guī)劃情況;擬建項(xiàng)目的規(guī)劃用途及分類(lèi)情況;
⑩ 規(guī)劃設(shè)計(jì)方案想法說(shuō)明:(總建筑面積、容積率、綠化率、設(shè)計(jì)戶型、結(jié)構(gòu)類(lèi)型、裝修標(biāo)準(zhǔn)、供配電、煤氣容量)? 如享受減免優(yōu)惠政策的文件或說(shuō)明(公建配套費(fèi)、人防費(fèi)等)
? 建設(shè)項(xiàng)目的資金籌措及資金流入情況;
2.其他
? 甲方提供的資料應(yīng)準(zhǔn)確無(wú)誤,若乙方對(duì)甲方提供的資料或數(shù)據(jù)有異議時(shí),甲方應(yīng)及時(shí)負(fù)責(zé)解答,并盡可能給乙方的工作提供方便;
? 甲方應(yīng)對(duì)乙方工作提供及時(shí)的、合理的相關(guān)協(xié)助。同時(shí)甲方應(yīng)該提前半天通知乙方急需要解決的相關(guān)事情;
第四條甲方向乙方支付技術(shù)服務(wù)費(fèi)及支付方式:
1.乙方項(xiàng)目管理服務(wù)費(fèi)暫按萬(wàn)元的基數(shù)和優(yōu)惠后的包干費(fèi)率工程造價(jià)的1%
2.設(shè)計(jì)、勘察、監(jiān)理、施工、材料招標(biāo)代理費(fèi)可以減免甲方部分相關(guān)費(fèi)用,如甲方要收取乙方相關(guān)費(fèi)用,可以在招標(biāo)時(shí)招標(biāo)文件中說(shuō)明。
3.服務(wù)費(fèi)有甲方分期支付乙方:
具體支付方式和時(shí)間如下:
a、本合同簽定后3日內(nèi),甲方向乙方預(yù)付項(xiàng)目管理服務(wù)費(fèi)的20%,作為項(xiàng)目啟動(dòng)資金;
b、施工招標(biāo)代理工作完成后,甲方向乙方支付到項(xiàng)目管理服務(wù)費(fèi)的40%;
c、根據(jù)總工期按每月平均支付項(xiàng)目管理服務(wù)費(fèi)的95%;
d、竣工驗(yàn)收完畢,甲方向乙方一次性付清余款。

第五條雙方確定在履行本合同期間應(yīng)遵守的保密義務(wù),乙方對(duì)甲方提供的資料按甲方的要求承擔(dān)保密義務(wù);甲方對(duì)乙方提供的成果報(bào)告等承擔(dān)保密義務(wù)。
第六條本合同的變更必須由雙方協(xié)商一致,并以書(shū)面形式確定。
第七條其他
1.質(zhì)量獎(jiǎng)勵(lì):
乙方將爭(zhēng)創(chuàng)優(yōu)質(zhì)結(jié)構(gòu),甲方將按相應(yīng)市優(yōu)質(zhì)結(jié)構(gòu)單體建筑面積×5元/㎡計(jì)算給予乙方獎(jiǎng)勵(lì)。
2.文明施工獎(jiǎng)勵(lì):
如本工程獲市級(jí)文明工地,甲方將按相應(yīng)建筑面積×3元/㎡計(jì)算給予乙方獎(jiǎng)勵(lì)。
3.如由于甲方的資金不能及時(shí)到位而導(dǎo)致的工程延誤或索賠損失,由甲方承擔(dān)。
4.工程籌建和施工期間有乙方原因造成工程質(zhì)量問(wèn)題(事故)視問(wèn)題(事故)大小、責(zé)任程度,承擔(dān)相關(guān)責(zé)任并予以處罰。
5.甲乙雙方優(yōu)勢(shì)互補(bǔ),乙方應(yīng)充分發(fā)揮甲方的前期優(yōu)勢(shì),具體合作由甲乙雙方另行友好商量。
第八條雙方確定在本合同有效期內(nèi),甲方指定為甲方聯(lián)系人,乙方指定為乙方聯(lián)系人。
第九條雙方確定出現(xiàn)下列情況,致本合同的履行行為不必要或不可能,可能解除本合同:
1.發(fā)生不可抗力;
2.第十條雙方因履行本合同而發(fā)生的爭(zhēng)議,應(yīng)當(dāng)協(xié)商解決,協(xié)商或協(xié)調(diào)不成的確定按以下第2種方式處理
1.提交仲裁委員會(huì)仲裁
2.依法向工程所在地人民法院起訴。

1.Terms of the contract 合同條款

4.Force Majeure不可抗力
“Force Majeure” under the contract means the external circumstances that can not be foreseen, avoided and surmounted in the process of fulfilment of the contract, the incidents of which makes either party fails to fulfill the obligations under the contract, such as wars, riots, government behaviors, earthquake, fire, storms, floods or other severe weathers.本合同下的“不可抗力”是指在執(zhí)行合同的過(guò)程中不能被預(yù)見(jiàn)、避免、克服的外在因素,從而導(dǎo)致合同任意一方無(wú)法履行合同責(zé)任,如戰(zhàn)爭(zhēng)、**、政府行為、地震、火災(zāi)、風(fēng)暴、洪水或其他惡劣天氣。

三、【買(mǎi)賣(mài)交易細(xì)則】

4)Delivery.At the date on which all transfer prices,party A shall deliver this real estate to Party B and the Certificate of Transfer and Handover shall be concluded by the Parties therefore.Property Management Fees and Utilities Expenses arising out of or in connection with this real estate shall be borne by Party A prior to such delivery, or shall be borne by Party B upon such delivery.Charges or expenses related to the fixtures and ancillary equipments & facilities of this real estate, as well as the prices of home appliances and furniture agreed by the Parties, have been included in the transfer price and Party A guarantee that all such ancillary equipments & facilities may work properly, all interior decorations thereof satisfy the conditions provided herein.5)相關(guān)費(fèi)用:Miscellaneous Charge.[交易稅費(fèi)]:雙方同意,交易中所涉及的上述買(mǎi)賣(mài)雙方的稅費(fèi)由 □各自承擔(dān)并支付;□由甲方承擔(dān)并支付;□由乙方承擔(dān)并支付。

[中介報(bào)酬]:對(duì)于中介方提供中介服務(wù)所產(chǎn)生的報(bào)酬事宜,詳見(jiàn)附件“中介服務(wù)確認(rèn)書(shū)”。

4.APPLICATION OF LEGAL LIABILITIES
甲方保證該房地產(chǎn)產(chǎn)權(quán)清晰、權(quán)屬明確,無(wú)異議登記、單方預(yù)告登記,無(wú)司法、行政查封等限制性交易情形存在;若因本條所述情況導(dǎo)致本協(xié)議效力瑕疵,甲方應(yīng)返還乙方所有已付房款并賠償乙方實(shí)際損失。
Party a guarantees that it has full and clear ownership to this real estate, which is free of any dispute registered, unilateral advanced registration, judicial or administrative attachment or other events restricting trades.If any defect affecting the validity of this Contract is occurred due to any misrepresentation hereunder, Party A shall refund all transfer prices paid by Party B, and indemnify any and all losses and damages suffered by Party B there-from.五、【爭(zhēng)議解決】
6.DISPUTE SETTLEMENT
各方在本協(xié)議履行過(guò)程中發(fā)生爭(zhēng)議的,應(yīng)友好協(xié)商;協(xié)商不成的,應(yīng)向該房地產(chǎn)所在地人民法院起訴。
Any dispute arising out of or in connection with the performance hereof shall be settled by amiable negotiation, if fails, either Party may bring a lawsuit before the People’s Court with jurisdiction where this real estate is located.六、【合同效力】
6.VALIDITY
本協(xié)議自甲、乙雙方簽署起對(duì)甲、乙生效,丙方簽署后對(duì)丙方生效,一式三份,甲、乙、丙三方各執(zhí)一份。
This Contract shall have binding force to Party A and Party B upon signatures of such two Parties are made hereon, and shall have binding force to Party C if signature of Party C is also made hereon.This Contract shall be executed in triplicate and each Party shall have one copy.

本合同就申報(bào)_____________________________________________________項(xiàng)目進(jìn)行申報(bào)咨詢(xún)服務(wù),并支付咨詢(xún)報(bào)酬。雙方經(jīng)過(guò)平等協(xié)商,在真實(shí)、充分地表達(dá)各自意愿的基礎(chǔ)上,根據(jù)《中華人民共和國(guó)合同法》的規(guī)定,達(dá)成如下協(xié)議,并由雙方共同恪守。
第一條 乙方進(jìn)行項(xiàng)目咨詢(xún)的內(nèi)容、要求和方式:
1.咨詢(xún)內(nèi)容:在甲方提供準(zhǔn)確、完善的可行性研究基礎(chǔ)數(shù)據(jù)的前提下,乙方代寫(xiě)上述項(xiàng)目的申報(bào)材料。
2. 咨詢(xún)方式: 乙方按照項(xiàng)目規(guī)定的時(shí)間和進(jìn)度及時(shí)申報(bào)上述申報(bào)項(xiàng)目。
第二條 為保證乙方有效進(jìn)行技術(shù)咨詢(xún)工作,甲方委托專(zhuān)人與乙方密切保持
聯(lián)系。
第三條 甲方向乙方支付咨詢(xún)報(bào)酬及支付方式為。
咨詢(xún)報(bào)酬總額為:
1、甲方支付乙方申報(bào)材料咨詢(xún)服務(wù)費(fèi)政府無(wú)償資助資金總額(包含地方基金、地方配套資金)或者貸款貼息部分的15%支付乙方作為酬勞,甲方必須從自有資金中列支該筆費(fèi)用。
2、咨詢(xún)服務(wù)費(fèi)研報(bào)告、執(zhí)行全部網(wǎng)上申報(bào)流程、紙質(zhì)文件遞交的工作,不包括其它服務(wù)內(nèi)容。具體支付方式和時(shí)間如下:
本合同簽訂之日起三日內(nèi),甲方支付乙方前期申報(bào)材料咨詢(xún)服務(wù)費(fèi)總額的100%。項(xiàng)目申報(bào)成功后,甲方收到第一筆資金后五個(gè)工作日內(nèi)一次性全額支付
乙方無(wú)償資助資金總額或貸款貼息部分總額的15%。如延期支付,需支付乙方0.3%/日的滯納金。

一方變更項(xiàng)目聯(lián)系人的,應(yīng)當(dāng)及時(shí)以書(shū)面形式通知另一方。未及時(shí)通知并影響本合同履行或造成損失的,應(yīng)承擔(dān)相應(yīng)的責(zé)任。
第五條 如果因?yàn)橐曳綄?duì)政策判斷錯(cuò)誤或者編制材料出現(xiàn)嚴(yán)重錯(cuò)誤造成項(xiàng)目申報(bào)失敗,乙方退還甲方元申報(bào)材料咨詢(xún)服務(wù)費(fèi)。
第六條 雙方確定,出現(xiàn)發(fā)生不可抗力等情形,致使本合同的履行成為不必要或不可能的,可以解除本合同。
第七條 雙方因履行本合同而發(fā)生的爭(zhēng)議,應(yīng)協(xié)商、調(diào)解解決。協(xié)商、調(diào)解不成的,可提交有管轄權(quán)的人民法院訴訟解決。
本合同有效期自合同簽訂之日起生效,雙方完整完成合同內(nèi)容即失效。
第九條 本合同一式
第十條 本合同經(jīng)雙方簽字蓋章后生效。
