該信用證必須在45天前開到賣方, 信用證的有效期應(yīng)為裝船期后15天, 在上述裝運(yùn)口岸到期,否則賣方有權(quán)取消本售貨合約并保留因此而發(fā)生的一切損失的索賠權(quán).The covering Letter of Credit must reach the Sellers45 Days Prior to the Shipment Dateand is to

remain valid in above indicated Loading Ports 15 days after the date of shipment, failing which the Sellers reserve the right to cancel this Sales Contract and to claim from the Buyers compensation for losses resulting therefrom.其他條款OTHER TERMS :

（1）異議 : 品質(zhì)異議須于貨到目的口岸之日起30天內(nèi)提出,數(shù)量異議須于貨到目的口岸之日起15天內(nèi)提出。但均須提供經(jīng)賣方同意的公證行的檢驗(yàn)證明.如責(zé)任屬于賣方者賣方

于收到異議20天內(nèi)答復(fù)買方并提出處理意見.QUALITY/QUANTITY DISCREPANCY: In case of quality discrepancy, claim should be filed

by the Buyers within 30 days after the arrival of the goods at port of destination, while for quantitydiscrepancy claim should be filed by the Buyers within 15 days after the arrival of the goods at

port of destination.In all cases, claims must be accompanied by Survey Reports of Recognized

Public Surveyors agreed to by the Sellers.Should the responsibility of the subject under claim

be found to rest on part of the Sellers, the Sellers shall, within 20 days after receipt of the claim,send his reply to the Buyers together with suggestion for settlement.（2）信用證內(nèi)應(yīng)明確規(guī)定賣方有權(quán)可多裝或少裝所注名的百分?jǐn)?shù)，并按實(shí)際裝運(yùn)數(shù)量議付。（信用證之金額應(yīng)較本售貨合約的金額增加相應(yīng)的百分?jǐn)?shù)）

The Sellers reserve the option of shipping the indicated percentage more or less than the quantityhereby contracted, and the covering Letter of Credit shall be negotiated for the amount coveringthe value of quantity actually shipped.(The Buyers are requested to establish the L/C in accordwith the indicated percentage over the total value of order as per this Sales Contract.)

（3）信用證內(nèi)容須嚴(yán)格符合本售貨合約的規(guī)定，否則修改信用證的費(fèi)用由買方負(fù)擔(dān)，賣方亦不負(fù)因修改信用證而延誤裝運(yùn)的責(zé)任。并保留因此而發(fā)生的一切損失的索賠權(quán)。

The contents of the covering Letter of Credit shall be in strict accordance with stipulations of theSales Contract;in case of any variation thereof necessitating amendment of the L/C, the Buyersshall bear the expenses for effecting the amendment.The sellers shall not be held responsiblefor possible delay of shipment resulting from awaiting the amendment of the L/C, and reserve theright to claim from the Buyers compensation for the losses resulting therefrom.（4）除經(jīng)約定保險(xiǎn)歸買方投保者外，由賣方向中國的保險(xiǎn)公司投保。如買方須增加保險(xiǎn)額或須加保其他險(xiǎn)，可于裝船前提出，經(jīng)買方同意后代為投保，其費(fèi)用由買方負(fù)擔(dān)。

Except in case where the insurance is covered by the Buyers as arranged, insurance is to becovered by the Sellers with a Chinese insurance company.If insurance for additional amountand/or for other insurance terms is required by the Buyers, prior notice to this effect mush reachthe Sellers before shipment and is subject to the Sellers’ agreement, and the extra insurancepremium shall be for the Buyers’ account.（5）買方須將申請(qǐng)?jiān)S可證副本（經(jīng)有關(guān)銀行副署）寄給賣方俟許可證批出后再即用傳真通知 賣方，假如許可證被駁退，買方須征得賣方的同意方可重行申請(qǐng)?jiān)S可證。

The Buyers are requested to send to the Sellers authentic copy of the License-application

(endorsed by the relative bank)filed by the Buyers and to advise the Sellers by fax immediately

when the said License is obtained.Should the Buyers intend to file reapplication for License

in cases of rejection of the original application, the Buyers shall contact the Sellers and obtain the

latter’s consent before filing reapplication.（6）商品檢驗(yàn)：產(chǎn)地證明書或中國有關(guān)機(jī)構(gòu)所簽發(fā)的品質(zhì)數(shù)量/重量檢驗(yàn)證，作為品質(zhì)數(shù)量/ 重量的交貨依據(jù)。

INSPECTION : The Certificate of Origin and/or the Inspection Certification of

Quality/Quantity/Weight issued by the relative institute shall be taken as the basis for the shippingQuality/Quantity/Weight

（7）因人力不可抗拒事故，使賣方不能在本售貨合約規(guī)定期限內(nèi)交貨或不能交貨，賣方不負(fù)責(zé)任，但是賣方必須立即以傳真通知買方，如果買方提出要求，賣方應(yīng)以掛號(hào)函向買方提供由中國國際貿(mào)易促進(jìn)委員會(huì)或有關(guān)機(jī)構(gòu)出具的證明，證明事故的存在。買方不能領(lǐng)

到進(jìn)口證不能被認(rèn)為系屬人力不可抗拒范圍。

The Sellers shall not be held responsible if they owing to Force Majeure cause or causes fail to

make delivery within the time stipulated in this Sales contract or cannot delivery the goods.However the Sellers shall inform immediately the Buyers by fax.The Sellers shall delivery to

the Buyers by registered letter, if it is requested by the Buyers, a certificate issued by the China

council for the Promotion of International Trade or by any competent authority, certifying to the

existence of the said cause or causes.Buyers’ failure to obtain the relative Import license is notto be treated as Force Majeure.（8）仲裁 ： 凡因執(zhí)行本合約或有關(guān)本合約所發(fā)生的一切爭執(zhí)，雙方應(yīng)以友好方式協(xié)商解決，如果協(xié)商不能解決，應(yīng)提交北京中國國際貿(mào)易促進(jìn)委員會(huì)對(duì)外貿(mào)易仲裁委員會(huì)根據(jù)中國國際貿(mào)易促進(jìn)委員會(huì)對(duì)外貿(mào)易仲裁委員會(huì)的仲裁程序暫行規(guī)則進(jìn)行仲裁，仲裁裁決是終局的，對(duì)雙方都有約束力。

ARBITRATION : All disputes arising in connection with the Sales Contract of the executionthereof shall be settled amicably by negotiation.In case no settlement can be reached, the caseunder dispute shall then be submitted for arbitration to the Foreign Trade Arbitration commissionof the China Council for the Promotion of International Trade in accordance with the ProvisionalRules of Procedure of the Foreign Trade Arbitration commission of the China council for thePromotion of International Trade.The decision of the Commission shall be accepted as final andbinding upon both parties.買方賣方THE BUYERSTHE SELLERS.

⑦ Manufacturer’s certified copy of fax dispatched to the applicant within 24 hours after shipment advising flight No., B/L No., shipment date, quantity, Gross weight, Net weight, and value of shipment.制造廠家通知開證申請(qǐng)人有關(guān)貨物裝運(yùn)的詳細(xì)資料傳真復(fù)印件壹份

⑧ The seller’s Certificate and waybill certifying that extra documents have been dispatched according to the contract terms by express airmail.賣方有關(guān)另外用特快郵寄壹套單據(jù)給開證申請(qǐng)人的證明書及郵寄底單.⑨ Certificate of No Wooden Packing or Certificate of Fumigation.非木包裝聲明或熏蒸證.In addition, the Sellers shall, within three days after shipment, send by express airmail one extra sets of the aforesaid documents directly to the Buyers.另外，賣方應(yīng)于貨物發(fā)運(yùn)后三天內(nèi)，用特快專遞寄送一套上述的單據(jù)給買方。

11.SHIPMENT: The Sellers shall ship the goods within the shipment time from the port of shipment to the destination.Transshipment is allowed.Partial shipment is not allowed.運(yùn)輸：賣方應(yīng)于交貨期內(nèi)將合同貨物從裝貨港運(yùn)到目的港，不許分批，允許轉(zhuǎn)運(yùn)。

12.SHIPPING ADVICE: The sellers shall, immediately upon the completion of the loading of the goods, advise by fax the buyers of the Contract No., commodity, quantity, invoiced value, gross weight, name of vessel and date of delivery etc.In case due to the sellers not having faxed in time, all losses caused shall be borne by the sellers.裝運(yùn)通知：賣方應(yīng)于裝貨后，立即用傳真將有關(guān)合同號(hào)、貨物、數(shù)量、發(fā)票價(jià)值、毛重、運(yùn)輸工具名稱、交貨日期、貨物預(yù)計(jì)抵達(dá)日等資料通知買方。如果由于賣方未能通知買方而造成的所有損失均由賣方承擔(dān)。13.GUARANTEE OF QUALITY: The Sellers guarantee that the Commodity hereof is made of the best materials with first class workmanship, brand new and unused, and complies in all respects with the quality and specification stipulated in this Contract.The guarantee period shall be 12 months counting from the date of signing the Acceptance Report of this machine at the end-user‘s site.質(zhì)量保證：賣方保證合同貨物采用最好的材料、精湛的做工、全新、未使用過、質(zhì)量和技術(shù)規(guī)格均符合合同的要求。質(zhì)保期為最終用戶簽定驗(yàn)收?qǐng)?bào)告后12個(gè)月內(nèi)。

14.CLAIMS: Within 90 days after the arrival of the goods at destination, should the quality, specification, or quantity be found in unconformity with the stipulations of the Contract except those claims for which the insurance company or not the owners of the vessel are liable, the Buyers shall, on the strength of the Inspection Certificate issued by the State Administration for Entry-Exit Inspection and Quarantine of P.R.C.or the site inspection report issued by the seller’s engineer, have the right to claim for replacement with new goods, or for compensation, and all expenses(such as inspection charges, freight for returning the goods and for sending the replacement, insurance premium, storage and loading and unloading charges etc.)shall be borne by the Sellers.As regards quality, the Sellers shall guarantee that if within 12 months from the date of signing the acceptance report of this machine, damages occur in the course of operation by reason of inferior quality, bad workmanship or the use of inferior materials, the Buyers shall immediately notify the Sellers in writing and put forward a claim supported by Inspection Certificate issued by the State Administration for Entry-Exit Inspection and Quarantine of P.R.C..The Certificate so issued shall be accepted as the base of a claim.The Sellers, in accordance with the Buyers' claim shall be responsible for the immediate elimination of the defect(s), complete or partial replacement of the commodity or shall devaluate the commodity according to the state of defect(s),.If the Sellers fail to answer the Buyers within one month after receipt of the aforesaid claim, the claim shall be reckoned as having been accepted by the Sellers.索賠：貨物抵達(dá)目的地后90天內(nèi)，如果質(zhì)量、技術(shù)規(guī)格或數(shù)量發(fā)現(xiàn)與合同的規(guī)定不符(除過保險(xiǎn)公司和運(yùn)輸公司的責(zé)任所負(fù))，買方應(yīng)該依據(jù)中華人民共和國出入境檢驗(yàn)檢疫局的檢驗(yàn)報(bào)告或者是賣方的調(diào)試人員在安裝調(diào)試時(shí)出具的報(bào)告，有權(quán)要求替換或補(bǔ)償，所有的費(fèi)用(包括商檢費(fèi)、替補(bǔ)件來回的運(yùn)費(fèi)、保險(xiǎn)費(fèi)、倉儲(chǔ)費(fèi)、貨物裝貨卸貨費(fèi)等)均由賣方承擔(dān)。賣方的質(zhì)量保證為簽定關(guān)于此批貨物的驗(yàn)收?qǐng)?bào)告后12個(gè)月內(nèi)；由于貨物內(nèi)在的質(zhì)量、差的做工、選材不當(dāng)而造成操作中的貨物損壞，買方應(yīng)立即書面通知賣方，并同時(shí)隨附中國商檢局出具的檢驗(yàn)報(bào)告作為索賠依據(jù)。賣方在接到買方的索賠后，有責(zé)任立即解決相應(yīng)的質(zhì)量問題、全部或部分地替換貨物或根據(jù)貨物損壞的程度進(jìn)行折價(jià)； 如果賣方在收到買方的上述索賠后一個(gè)月內(nèi)未能作出答復(fù)，則視為索賠已為賣方所接受。

15.FORCE MAJEURE: The Sellers shall not be held responsible for the delay in shipment or non-delivery of the goods due to Force Majeure, which might occur during the process of manufacturing or in the course of loading or transit.The Sellers shall advise the Buyers immediately of the occurrence mentioned above and within fourteen days thereafter, the Sellers shall send by airmail to the Buyers for their acceptance a certificate of the accident issued by the Competent Government Authorities where the accident occurs as evidence thereof.Under such circumstances the Sellers, however, are still under the obligation to take 3

all necessary measures to hasten the delivery of the goods.In case the accident lasts for more than 10 weeks, the Buyers shall have the right to cancel the Contract.不可抗力：對(duì)于制造或裝船運(yùn)輸過程中可能產(chǎn)生的不可抗力而造成的遲交貨或不能交貨，賣方可以不承擔(dān)責(zé)任。賣方應(yīng)立即在不可抗力產(chǎn)生的十四日內(nèi)將有關(guān)情況通知買方，并且賣方應(yīng)用航空郵件將有關(guān)政府當(dāng)局部門出具的證明不可抗力產(chǎn)生的文件寄送給買方。在此情況下，賣方仍應(yīng)盡最大努力采取各種措施促使貨物的發(fā)運(yùn)。如果事故持續(xù)十周，買方有權(quán)取消該合同。

16.LATE DELIVERY AND PENALTY: Should the Sellers fail to make delivery on time as stipulated in the Contract, with exception of Force Majeure causes specified in Clause 15 of this Contract.The Buyers shall agree to postpone the delivery on condition that the Sellers agree to pay a penalty which shall be deducted by the paying bank from the payment.The Penalty, however, shall not exceed 5% of the total value of the goods involved in the late delivery.The rate of penalty is charged at 0.5% for every seven days.Odd days less than seven days should be counted as seven days.In case the Sellers fail to make delivery ten weeks later than the time of shipment stipulated in the Contract, the Buyers shall have the right to cancel the contract and the Sellers, in spite the cancellation, shall still pay the aforesaid penalty to the Buyers without delay.遲交貨和罰金：如果賣方未能按合同規(guī)定及時(shí)交貨(除了本合同15條款所言的不可抗力)，買方同意在賣方付罰金的前提下遲交貨。罰金的金額不超過遲交貨的合同貨物部分的價(jià)值的5%，罰金按每7日0.5%計(jì)算，少于7日的增加天數(shù)按7日計(jì)。如果賣方未能于合同規(guī)定的交貨期之后的十周內(nèi)發(fā)運(yùn)，買方有權(quán)取消該合同，除此之外，賣方仍要將有關(guān)罰金不加拖延地付給買方。17.ARBITRATION: Any dispute arising from or in connection with this Contract shall be submitted to China International Economic and Trade Arbitration Commission for arbitration which shall be conducted in accordance with the Commission's arbitration rules in effect at the time of applying for arbitration.The arbitral award is final and binding upon both partied.Arbitration fee shall be borne by the losing party.仲裁：與此合同有關(guān)的爭議應(yīng)通過友好協(xié)商解決。如果協(xié)商無法解決，提交中國國際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)進(jìn)行仲裁。按照申請(qǐng)仲裁時(shí)該會(huì)現(xiàn)行有效的仲裁規(guī)則進(jìn)行仲裁。仲裁裁決是終局的，對(duì)雙方均有約束力。仲裁費(fèi)用由敗訴方承擔(dān)。18.BANK CHARGES: All bank charges outside China will be on the account of the Sellers.銀行費(fèi)用：所有中國之外的銀行費(fèi)用均由賣方承擔(dān)。

To be packed by new strong wooden cases suitable for long distance ocean transportation and well protected against dampness, moisture, shock, rust and rough handling.The Seller shall be liable for any damage of the commodity and expenses incurred on account of improper packing and for any rust damage attributable to inadequate or improper protective measures taken by the sellers in regard to the packing.包裝：須用堅(jiān)固的新木箱包裝，適合長途海運(yùn)，防濕、防潮、防震、防銹，防粗暴搬運(yùn)。由于包裝不良所發(fā)生的損失，或采用不妥善的防護(hù)措施而造成的任何銹損，賣方應(yīng)負(fù)擔(dān)由此而產(chǎn)生的一切費(fèi)用和損失。5.SHIPPING MARK:

The Seller shall mark on each package with faceless paint the package number, gross weight, net weight, measurement and the wordings: “RIGHT SIDE UP”,“HANDLE WITH CARE”, “KEEP AWAY FROM MOISTUE”, and the shipping mark.賣方應(yīng)在每件包裝箱上用不褪色的油漆刷上箱號(hào)、毛重、凈重、尺碼和“勿倒置”，“小心輕放”，“防潮”等字樣。

6.TIME OF TRANSPORTATION: BEFORE JUL.30,2014.裝貨時(shí)間：2014年7月30日之前。

In case of by sea transportation, the seller shall send simultaneously with shipment one copy each of the above mentioned documents to XXX CO.LTD.支付單據(jù)：賣方將向買方提供如下單據(jù)以履行支付。

1）商業(yè)發(fā)票兩份；

2）裝箱單兩份；

3）制造商出具的質(zhì)量證明書一份。

4）原產(chǎn)地證一份（正本）

5）衛(wèi)生證一份（正本）

6）工廠出具灌裝證明一份

7）有木質(zhì)包裝情況下的熏蒸證明或非木質(zhì)包裝證明

8）按合同價(jià)的110%投保一切險(xiǎn)的保險(xiǎn)單。

9）標(biāo)簽五份（正面、背面）

如果采用海運(yùn)，賣方在裝船的同時(shí)將如上單據(jù)各一份寄送給目的港的xxx公司。

13.GUARANTEE OF QUALITY:

The Seller guarantee that complies in all respects with the quality and specifications stipulated in this Contract.The seller guarantees that choose the right means of transportation will be the goods arrived at the port of destination.1）質(zhì)量保證：賣方保證貨物的質(zhì)量和規(guī)格與本合同的規(guī)定相符。賣方保證選用合適的運(yùn)輸方式將貨物運(yùn)抵目的港。

14.INSPECTION:

(1)Such as the quality of the goods in conformity with the contract and specification, the buyer of the commodity inspection bureau should be invited for inspection, and shall have the right to claim against the seller according to a report issued by the commodity inspection bureau inspection.(1)如貨物的質(zhì)量與規(guī)格與合同不符，買方應(yīng)請(qǐng)商檢局進(jìn)行檢驗(yàn)，并有權(quán)根據(jù)商檢局出具的檢驗(yàn)報(bào)告向賣方索賠。

15.CLAIMS:

In case that the Seller are liable for the discrepancies and a claim is made by Buyer within the time-limit of inspection and quality guarantee period as stipulated in Clause 14 of this Contract, the Seller shall settle the claim upon the agreement of the Buyers in one or the combination of the following ways:

(1)Agree to the rejection of the goods and refund to the Buyers the value of the goods so rejected in the same currency as contractedherein , and to bear all directlosses and expensesin connectiontherewithincluding interest accrued, banking charges, freight, insurance premium, inspection charges, storage, stevedore charges and all other necessary expensesrequired for the custody and protection of the rejected goods.(2)Devalue the goods according to the degree of inferiority, extent of damage and amount of losses suffered by the Buyers.The claims mentioned above shall be regarded as being accepted if the Sellers fail to reply within 30 days after receiving the Buyers' claim.索賠：買方按照本合同14條的規(guī)定，在檢驗(yàn)或質(zhì)量保證期內(nèi)提出的索賠，其問題應(yīng)由賣方負(fù)責(zé)時(shí)，賣方在取得買方同意后應(yīng)按下列之一或混合的方式處理索賠。

(1)同意買方退貨，并將退貨金額以成交原幣償還買方，并負(fù)擔(dān)因退貨而發(fā)生的一切直接損失和費(fèi)用，包括利息、銀行費(fèi)用、運(yùn)費(fèi)、保險(xiǎn)費(fèi)用、商檢費(fèi)、倉儲(chǔ)費(fèi)和裝卸費(fèi)。

(2)按照貨物的疵劣程度，損壞的范圍和買方所遭受的損失將貨物貶值。

賣方在收到買方的索賠30天內(nèi)沒有答復(fù)將被認(rèn)為接受上述索賠。

16.FORCE MAJEURE:

The seller shall not be held responsible for the delay in shipment or non-delivery of the goods due to Force Majeure , such as war , serious fire , flood , typhoon and earthquake , or other events agreed upon between both parties , which might occur during the process of manufacturing or in the course of loading or transit.The Seller shall advise the Buyer by cable/telex immediately of the occurrence mentioned above and within fourteen days thereafter, shall send by airmail to the Buyer for their acceptance a certificate of the accident issued by the Competent Government Authorities, where the accident occurs as evidence thereof.Under such circumstances the Seller, however , are still under the obligation to take all necessary measures to hasten the delivery of the goods.不可抗力：由于嚴(yán)重的火災(zāi)、水災(zāi)、臺(tái)風(fēng)、地震以及雙方同意的其它不可抗力事故，致使賣方交貨延遲或不能交貨時(shí)，賣方可不負(fù)責(zé)任，但發(fā)生上述事故時(shí)，賣方應(yīng)立即以電傳或電報(bào)通知買方，并于事故發(fā)生后14天內(nèi)將事故發(fā)生地主管當(dāng)局出具的事故證明書用航空寄交買方,依不可抗力事件之輕重,一部或全部免除合同責(zé)任。

17.ARBITRATION:

All disputes in connection with this Contract or the execution there of shall be stetted friendly through negotiations.In case no settlement can be reached, the case may then be submitted for arbitration to China International Economic and Trade Arbitration Commission in accordance with the Rules of Arbitration promulgated by the said Arbitration Commission.The Arbitration shall take place in Dalian and the decision of the Arbitration Commission shall be final and binding upon both parties;neither party shall seek recourse to a law court nor other authorities to appeal for revision of the decision.Arbitration fee shall be borne by the losing party.仲裁：一切因執(zhí)行本合同或與本合同有關(guān)的爭議，應(yīng)由雙方友好協(xié)商解決，如經(jīng)協(xié)商不能解決時(shí)，應(yīng)提交中國國際經(jīng)濟(jì)與貿(mào)易仲裁委員會(huì)根據(jù)該會(huì)仲裁規(guī)則進(jìn)行仲裁，仲裁地點(diǎn)在大連，仲裁裁決是終局的，對(duì)雙方都有約束力，仲裁費(fèi)用由敗訴方承擔(dān)。

18.EFFECTIVENESS OF THE CONTRACT:

This Contract shall come into force immediately after signature by representative of both parties and upon approval by the relevant authority of both parties.合同的生效：本合同在雙方代表簽字后及雙方有關(guān)當(dāng)局批準(zhǔn)后立即生效。

19.SPECIAL PROVISIONS:

The Sellers reserve the option of shipping the indicated percentage more or less than the quantityhereby contracted, and the Letter of Credit shall be negotiated for the amount covering the value of quantity actually shipped.(The Buyers are requested to establish the L/C in accord with the indicated percentage over the total value of order as per this Sales Contract.)

（3）信用證內(nèi)容須嚴(yán)格符合本售貨合約的規(guī)定，否則修改信用證的費(fèi)用由買方負(fù)擔(dān)，賣方亦不負(fù)因修改信用證而延誤裝運(yùn)的責(zé)任。并保留因此而發(fā)生的一切損失的索賠權(quán)。

Except where the insurance is covered by the Buyers as arranged, insurance is to becovered by the Sellers with a Chinese insurance company.If insurance for additional amount and/or for other insurance terms is required by the Buyers, prior notice to this effect must reach the Sellers before shipment and is subject to the Sellers’ agreement, and the extra insurancepremium shall be for the Buyers’ account..（5）買方須將申請(qǐng)?jiān)S可證副本（經(jīng)有關(guān)銀行副署）寄給賣方俟許可證批出后再即用傳真通知
