11、由于發(fā)生當事人不能預見、不可避免或無法控制的不可抗力事件，致使本合約不能履行，部分或全部商品延誤交貨，賣方概不負責。(The Seller shall not be held responsible for failure or delay in delivery of the entire lot or a portion of the goods under this Sales Contract in consequence of any Force Majeure incidents which may occur.Force Majeure as referred to in this contract means unforeseeable, unavoidable and insurmountable objective conditions.)

12、仲裁(Arbitration)：

凡因本合同引起的或與本合同有關的任何爭議，均應提交中國國際貿(mào)易仲裁委員會，按照申請仲裁時該會現(xiàn)行有效的仲裁規(guī)則進行仲裁。仲裁裁決是終局的，對雙方均有約束力。

(Any dispute arising from or in connection with this Contract shall be submitted to China International Economic and Trade Arbitration Commission for arbitration which shall be

conducted in accordance with the commission`s arbitration rules in effect at the time of applying for arbitration.The arbitral awards is final and binding upon both parties.)

(12)索賠：在貨到目的口岸45天內(nèi)如發(fā)現(xiàn)貨物品質(zhì)，規(guī)格和數(shù)量與合同不符，除屬保險公司或船方責任外，買方有權憑中國商檢出具的檢驗證書或有關文件向賣方索賠換貨或賠款。Claims:

Within 45 days after the arrival of the goods at the destination, should the quality, Specifications or quantity be found not in conformity with the stipulations of the contract except those claims for which the insurance company or the owners of the vessel are liable.The Buyers shall, have the right on the strength of the inspection certificate issued by the C.C.I.C and the relative documents to claim for compensation to the Sellers.(13)不可抗力：由于人力不可抗力的原由，發(fā)生在制造、裝載或運輸?shù)倪^程中導致賣方延期交貨或不能交貨者，賣方可免除責任。在不可抗力發(fā)生后，賣方須立即電告買方及在14天

Force Majeure:

The sellers shall not be held responsible for the delay in shipment or non-deli-very of the goods due to Force Majeure, which might occur during the process of manufacturing or in the course of loading or transit.The sellers shall advise the Buyers immediately of the occurrence mentioned above the within fourteen days there after.The Sellers shall send by airmail to the Buyers for their acceptance certificate of the accident.Under such circumstances the Sellers, however, are still under the obligation to take all necessary measures to hasten the delivery of the goods.(14）仲裁：凡有關執(zhí)行合同所發(fā)生的一切爭議應通過友好協(xié)商解決，如協(xié)商不能解決，則將分歧提交中國國際貿(mào)易促進委員會按有關仲裁程序進行仲裁，仲裁將是終局的，雙方均受其約束，仲裁費用由敗訴方承擔。

７．付款條件：簽訂合同后買方于７個銀行日內(nèi)開出以賣方為受益人的，經(jīng)確認的、不可撤銷的、可分割、可轉(zhuǎn)讓的、不得分批裝運的、無追索權的信用證。

８．裝船：從賣方收到買方信用證日期算起，４５天內(nèi)予以裝船。若發(fā)生買方所訂船舶未按時到達裝貨，按本合同規(guī)定，賣方有權向買方索賠損毀／耽擱費，按總金額＿＿＿％計算為限。因此，買方需向賣方提供銀行保證。

１１．裝船通知：賣方在規(guī)定的裝貨時間，至少１４天前用電報方式將裝船條件告知買方。買方或其代理人將裝貨船估計到達裝貨港的時間告知賣方。

１２．其他條款：質(zhì)量、數(shù)量和重量的檢驗可于裝貨港一次進行。若要求提供所需的其他證件，其辦理手續(xù)費、領事簽證費應由買方負擔。

１３．裝船時間：當日１３：００或次日８：００裝船。

１４．裝貨效率：每一個晴天工作日，除星期日，節(jié)假日外，每艙口進貨為＿＿＿＿立方噸。

注：買賣合同是指賣方提供貨物，買方支付貨款的，以買賣為目的雙務合同。賣方將貨物的所有權轉(zhuǎn)移給買方，買方將相應的金額支付給賣方，這是雙方履行合同的權利和義務。若一方不履行其義務，另一方有權拒絕執(zhí)行合同的義務。貨物（Ｇｏｏｄｓ）買賣或稱合同的標的物系指有形動產(chǎn)（Ｃｏｒｐｏｒａｌ Ｍｏｖａｂｌｅ Ｐｒｏｐｅｒｔｙ），但不包括股票（Ｓｔｏｃｋ Ｃｅｒｔｉｆｉｃａｔｅ）、流通票據(jù)（Ｃｅｒｔｉｆｉｃａｔｅ ｏｆ Ｉｎｄｅｂｔｅｄｎｅｓｓ）、財產(chǎn)權利（Ｒｉｇｈｔ ｏｆ Ｐｒｏｐｅｒｔｙ）和不動產(chǎn)（Ｒｅａｌ Ｐｒｏｐｅｒｔｙ）等。

貨物買賣合同屬于諾成合同，買賣雙方達成協(xié)議，經(jīng)簽字即可生效。有些國家對貨物買賣合同的最低交易額作了明文規(guī)定。買賣雙方所簽的合同，一般來講，以書面合同為主，若無書面合同，一旦發(fā)生爭執(zhí)，仲裁委員會（或法院）不予以受理。在國際間采用的買賣合同是由律師事務所書就，以示對買賣雙方的權利和義務平等互利。
