1.合同標(biāo)的1.1.賣方負(fù)責(zé)生產(chǎn)貨物并把貨物（以下簡稱“貨物”）的所有權(quán)移交給買方，同時(shí)，買方應(yīng)根據(jù)銷售確認(rèn)書（下單明細(xì)）第1-N（“N”為合同附件的序列號(hào)）條款規(guī)定的條件和數(shù)量接收此貨物，該銷售確認(rèn)書是本合同的有效組成部分。如本合同與銷售確認(rèn)書有沖突的，應(yīng)以雙方簽訂的銷售確認(rèn)書的內(nèi)容為準(zhǔn)。

2.價(jià)格及支付方式

2.1.貨物應(yīng)以美元計(jì)價(jià)，并以FOB中國INCOTERMS 2000的規(guī)定為準(zhǔn)）的貿(mào)易 語進(jìn)行交易。貨物的價(jià)格應(yīng)包括：

-原料及其配件的成本

-原料及其配件的發(fā)貨前清點(diǎn)和評(píng)級(jí)的費(fèi)用

-貨物的剪裁費(fèi)用

-貨物的休整費(fèi)用

-貨物的標(biāo)簽成本

-貨物的包裝費(fèi)用（按照本合同附錄中買方要求的包裝方法進(jìn)行包裝）

-貨物的運(yùn)輸費(fèi)用

-按照FOB術(shù)語的規(guī)定，應(yīng)由賣方承擔(dān)相關(guān)貨物運(yùn)輸給買方時(shí)產(chǎn)生的所有稅收費(fèi)用以及其他必需的支出。

2.2.根據(jù)本合同的規(guī)定，貨款應(yīng)以美元結(jié)算，并按照下列安排，電匯給賣方：

2.2.1.第一部分貨款-賣方開始生產(chǎn)此貨物前，買方應(yīng)支付相當(dāng)于賣方開具的形式發(fā)票的總金額的20%（百分之二十）的貨款給賣方。

2.2.2.第二部分貨款-買方應(yīng)在賣方簽發(fā)提貨單后的30天內(nèi)，以收到的賣方商業(yè)發(fā)票為

準(zhǔn)，支付給賣方相當(dāng)于全部貨款的80%（百分之八十）。

2.3.買方銀行的所有手續(xù)費(fèi)應(yīng)由買方來承擔(dān)，所有其他的費(fèi)用應(yīng)由賣方承擔(dān)。SWIFT電傳上的日期應(yīng)視為付款日。

3.發(fā)貨、裝運(yùn)單據(jù)的時(shí)間和條件

3.1.每批貨物的裝運(yùn)日期應(yīng)視為貨代公司出具貨物入倉單據(jù)之日，此裝運(yùn)日期應(yīng)在相關(guān)銷售確認(rèn)書上標(biāo)示。發(fā)貨日期應(yīng)為簽發(fā)提貨單的日期。只有得到買方的書面同意，才可以提前發(fā)貨。

3.2.貨物做好裝運(yùn)準(zhǔn)備后，賣方應(yīng)立即通知買方。收到通知后，買方應(yīng)立即提供裝運(yùn)說明給賣方。賣方應(yīng)嚴(yán)格按照買方的裝運(yùn)說明安排每次裝運(yùn)。

3.3.賣方應(yīng)完全按照買方的說明出具裝運(yùn)單據(jù)。

3.3.1發(fā)票應(yīng)包含下列內(nèi)容：

1.與本合同一致的賣方和買方的地址和名稱；

2.合同的編號(hào)和日期；

3.發(fā)票的編號(hào)和日期；

4.與本合同一致的發(fā)貨條款;

5.與本合同的銷售確認(rèn)書一致的、準(zhǔn)確的貨物描述、商品編號(hào);

6.與本合同的銷售確認(rèn)書一致的貨物單價(jià);

7.裝運(yùn)的貨物的總價(jià)值以及預(yù)付款（第一部分貨款）的金額；

8.原產(chǎn)地;

9.布料成分;

10.賣方的蓋章和簽字;

3.3.2.裝箱單應(yīng)包含下列內(nèi)容：

1.與本合同一致的賣方和買方的地址和名稱

2.裝箱單的編號(hào)和日期以及相應(yīng)的發(fā)票號(hào)的參照符號(hào)；

3.貨物的商品編號(hào)和描述，每箱中各款號(hào)顏色尺寸的貨物數(shù)量；

4.毛重、凈重以及每箱的尺寸；

5.混合裝包的數(shù)量；

6.賣方的簽字和蓋章

3.3.賣方應(yīng)在發(fā)貨日后的5個(gè)自然日內(nèi)直接用快遞將如下正本裝運(yùn)單據(jù)發(fā)送到買方指定的地址：

（一）份商業(yè)發(fā)票；

（一）份裝箱單

（一）份貨物原產(chǎn)地證明書

賣方應(yīng)將上述單據(jù)的掃描件通過電子郵件發(fā)給買方。

3.4.賣方也應(yīng)向買方提供以下文件的掃描件：

-入倉單-裝運(yùn)后3

（三）個(gè)工作日內(nèi)

-電放提單的復(fù)印件-貨物放行后立即提供

-海關(guān)當(dāng)局或賣方商會(huì)確認(rèn)的出口報(bào)關(guān)單的復(fù)印件-發(fā)貨日后的30個(gè)自然日內(nèi)

-賣方商會(huì)確認(rèn)的價(jià)格表-發(fā)貨日后的30個(gè)自然日內(nèi)。MsOffice格式的價(jià)格表應(yīng)由買方提供。

4.Gross weight, net weight, measurements of each box;

5.Quantity of Mulit-packs;

3.3.Original shipping documents shall be sent by the Seller via express mail directly to the address indicated by the Buyer within 5(five)calendar days after the date of delivery:within 3(three)business days after the shipment;

-Copy of Telex Release-immediately after the release is effected;

6.DISPUTE SETTLEMENT

各方在本協(xié)議履行過程中發(fā)生爭議的，應(yīng)友好協(xié)商；協(xié)商不成的，應(yīng)向該房地產(chǎn)所在地人民法院起訴。

Any dispute arising out of or in connection with the performance hereof shall be settled by amiable negotiation, if fails, either Party may bring a lawsuit before the People’s Court with jurisdiction where this real estate is located.六、【合同效力】

6.VALIDITY

本協(xié)議自甲、乙雙方簽署起對(duì)甲、乙生效，丙方簽署后對(duì)丙方生效，一式三份，甲、乙、丙三方各執(zhí)一份。

六、甲方義務(wù) Obligations of Party A 1.甲方須按時(shí)將房屋及附屬設(shè)施（詳見附件）交付乙方使用。

房屋租賃合同

tenancy agreement

一、出租人（以下簡稱甲方）

landlord(hereinafter referred to as party a)

二、承租人（以下簡稱乙方）
