商務合同英語詞匯特征淺析

［摘要］商務合同規(guī)定貿(mào)易雙方的權利和義務，是具有法律效力的一種契約性文件，對用詞也有嚴格特殊的要求，主要體現(xiàn)在專業(yè)正式、準確嚴謹和簡潔明了三個方面。［關鍵詞］商務合同 詞匯 專業(yè) 正式 嚴謹

在世界經(jīng)濟全球化和一體化的今天，國際商務活動日益頻繁。貿(mào)易國法人之間為實現(xiàn)一定的經(jīng)濟利益而簽訂的明確規(guī)定了貿(mào)易雙方的權利和義務，具有法律效力的文件—國際商務合同的重要性也越來越突出。作為一種契約性文件，商務合同有很強的法律兼容性，對用詞也有嚴格特殊的要求，主要體現(xiàn)在專業(yè)正式、準確嚴謹和簡潔明了三個方面。

一、專業(yè)正式性

據(jù)英國語言學家Leech對英語詞義的分類，專業(yè)術語、書面語、古語詞、外來詞都是“具有正式含義風格的詞匯”。

1.專業(yè)術語

專業(yè)術語是用來確切表達科學概念的詞，要求單義性，排斥多義性和歧義性，不但意義精確，而且具有國際通用性。商務合同英語中商務專業(yè)術語和法律專業(yè)術語俯拾皆是。

（1)商務專業(yè)術語

對外經(jīng)貿(mào)合同中，國際貿(mào)易及國際投資領域的專業(yè)詞匯經(jīng)常出現(xiàn)。例如，policy（保險單），negotiable（可轉(zhuǎn)讓的），liability（責任、義務），right of recourse（追索權），factoring（保理）等。無疑，這些專業(yè)術語可避免冗長的解釋，簡化交易過程，提高工作效率。需要注意的是合同英語中有不少普通詞匯用作專業(yè)詞匯，對此應從專業(yè)角度來明確含義，否則會導致合同意思模糊不清。例如，dirty of Bill of Lading（不結提單）和flat price（統(tǒng)一價格）很容易誤解為“不潔提單”和“平價”。

（2)法律專業(yè)術語

作為具有法律效力的契約性文件，合同中也使用了較多的法律專業(yè)的術語。法律術語有狹義與廣義之分。狹義的法律術語如action（訴訟），final（終局裁決）等，不以大眾是否理解或接受為轉(zhuǎn)移，是商務合同語言準確表達的保障，是其獨有的現(xiàn)象。而廣義的法律術語則包括在法律文體中被賦子特定法律意義的常用詞語，這類詞語把握不準確的話很容易導致翻譯和理解當中的模糊性，因此要格外留意。如，“The contract is concluded in case of acceptance of the offer.”很容易譯為“提議一旦接受，合同隨即訂立。” 而實際上，“acceptance”與“offer”是合同法中兩個重要的法律術語，其規(guī)范的譯文分別為“承諾”、“要約”，前者是指受要約人對要約內(nèi)容表同意，而后者則指一方希望與另一方訂立合同。

2.外來詞和古體詞

外來詞主要來自法語和拉丁語，它們比英語詞匯更嚴謹、準確。例如，商務合同中常用的ad valorem duty（拉丁語：從價關稅），bona fide holder（拉丁語：匯票的善意持票人），vis-à-vis（法語：與……相比較）。再如，“理解合同”用“construe a contract”或 “comprehend a contract”而不用“understand a contract”。

盡管古體詞在現(xiàn)代英語中已很少使用，但在商務合同等法律文體中卻大量出現(xiàn)。一方面是因為古體詞莊重、正式而且簡潔；另一方面是因為古體詞較少有聯(lián)想意義，語義嚴謹明確。古語詞反映了合同語言的保守傾向和契約性行文正式、嚴肅、古板的文體特征。

合同英語最具特色的古體詞形式當數(shù)自由詞素where、here和 there與in、by、with和

after等構成的復合副詞：(1)here +介詞：如，hereto，hereof，herein，hereinafter等。這里here相當于this，指本文獻、合同或有關文件，因此，“hereto”（本合同）相當于 to this，依此類推。(2)there +介詞：這類詞由thereto，thereon，therein，thereof等。其中there相當于that，指句子前面已出現(xiàn)的某個名詞或名詞詞組，因此，“thereto”（根據(jù)那一點）即為to that。

(3)where +介詞：whereby，wherein，whereof，whereupon中where相當于which或者what，“whereof”（關于它）也就是of which。如，payment in respect thereof（關于此項的付款）。

3.復雜介詞短語

商務合同英語正式性還體現(xiàn)在傾向使用較復雜的介詞短語來代替非正式語體中常見的簡單介詞與連詞。例如，用with regard to和prior to分別代替about和before。

二、準確嚴謹性

1．情態(tài)動詞

合同英語中詞義的確定性在情態(tài)動詞“shall”、“will”、“may”和“should”的使用中體現(xiàn)得尤為明顯。情態(tài)動詞的準確使用旨在明確約定當事人的權利（可以做），義務（應當做），強制性義務（必須做）和禁止性義務（不得做）。

shall在商務合同英語中使用率最高，含有“本條款具有法律規(guī)定的指令性和強制性”之意，其含義相當于“must”但合同中不能使用“must”。如，“The seller shall present the following shipping documents to the bank for negotiation of L/ C”中的“shall”表明“賣方在向銀行議付信用證時，必須履行遞交所要求的裝運單據(jù)這一法律義務，而且應做到單據(jù)相符、單單相符，否則銀行即可拒付” 可見shall的這一較古老或者較正式的用法充分體現(xiàn)了合同條款內(nèi)含的法律的威嚴性和約束性。

“will”則只表示對合同一方的某種建議或合同雙方之外第三方的行為的說明，不構成法律約束。

“should” 意為“應該”，帶有主觀意思，表示“這樣做最好”。若用于條件句中，則表示較低的可能性。

“may”表示“可以”、“可能”。這兩個意思在日常用語中都可用“can”來表達，但是在合同中幾乎只用“may”而不用“can”，因為前者比后者語氣更正式。

綜上所述，合同中，各情態(tài)動詞意義界限非常明確，體現(xiàn)了合同語言的嚴謹性。同時，也提醒我們情態(tài)動詞的選用要非常慎重，混用可能會造成糾紛和損失。

2.意義明晰詞

合同撰寫者往往選擇詞義范圍較小，語義較為明確的詞。常見的程度或頻率副詞 often、always和very因其表意不確切在合同英語中幾乎不用。甚至連定冠詞the也常常被限定范圍較小的such所代替。例如，such independent inspector指代最近提到的獨立檢驗人。如果改用the，則語義就沒有這么明確，因為such只指“這種”，而the既可以指“這”又可以指“那”。表意明確的介詞短語也被頻繁使用。例如，裝船條款對時間的要求十分嚴格，因此，措詞要力求嚴密、無懈可擊—“Shipment: To be shipped on or before Feb.28，1998.”（裝船：1998年2月28日前（含28日）裝船）。反之，在理解這些措辭時也要處處留神，避免漏洞。如，“The balance shall be settled upon the arrival of the goods at the port of destination.”（余款應在貨物到達目的港后即行支付）。此處upon一詞含有“后一個動作將在前一個動作之后隨即或馬上發(fā)生之意”，若理解為“余款在貨物到達目的港后結算”則極有可能引起爭端。

此外，為了保持措辭的確鑿性商務合同英語寧可采用重復關鍵詞的乎段來確切地說明是“什么”或者“誰”，而不使用所指、替代與省略等容易產(chǎn)生歧義的銜接手段。而且，這些詞語均是同一形式的重復，而不是同義詞的重復，因為從嚴格意義上來說，語言中沒有真正的同義詞，同義詞在外延、內(nèi)涵以及感情色彩等方面存在差異，尤其在涉外合同中，同義詞之間

還會存在不同的文化背景的差異。

3.近義詞或相關詞并列

在商務合同英語中有詞匯并列使用的現(xiàn)象(juxtaposition)，即同(近)義詞或相關詞往往由and或or:連接并列使用。這種詞匯并列具有以下作用：

（1)確定惟一詞義，避免歧義

有些同義詞并列使用是為了突出彼此的共同義項，這些詞可歸類為“求同型近義詞”，其目的是為了限定其惟一詞義，排除由于詞匯多義可能產(chǎn)生的歧義，避免對合同的曲解。例如，null and void（無效）。

（2)詞義(色彩)互補，增強嚴密性

多數(shù)近義詞并列使用是為了強調(diào)它們之間意義的差別，為“求異型近義詞”，其目的是使原文意思更加完整、準確。例如，“by and between the buyers and the sellers”若單獨使用by，則僅表明合同是由誰達成的，單用between也只對合同簽約當事人的范圍進行了限定，而并列結構by and between的含義則比單獨使用的by或between更加明確完整，表明參與合同談判全過程并最終簽約的都是the Buyers and the Sellers并無其他當事人。類似的還有terms and conditions、injury or damage、neglect or omit。

上述并列同義詞只有細微的差別，在日常生活中，人們往往忽略不計，但合同的準確嚴謹性決定了合同中不允許出現(xiàn)哪怕是最細小的失誤或是遺漏。

不難看出，這種詞語并列的用法是商務合同英語準確嚴謹性的又一體現(xiàn)，反映了商務合同英語對詞義準確、文意確切的刻意追求，可以有效地避免訴訟時雙方律師利用詞義差別而產(chǎn)生糾纏。

三、簡潔明了性

英文中的縮略詞形式繁多，如截短詞（clipped word）、首字母縮略詞（initiating）、首字母拼音詞（acronym）及拼綴詞（blend）等?？s略詞（主要為首字母縮略詞和截短詞）以其規(guī)范、簡明、省時的特點而被廣泛運用在商務合同中：價格、支付及保險方式、貨幣、度量衡、常見的重要機構或組織、公司和國家等多以縮略詞形式出現(xiàn)。例如，T/T（Telegraphic Transfer電匯）、FOB（Free on Board船上交貨）、WA（With Average水漬險）、CTN（carton或container）、T（ton）、ICC（International Chamber of Commerce國際商會）等。

這些用語的解釋在國際上己形成慣例，所以其意義單一，含義準確，適用于商務合同這一特定文體。因此，熟知縮略詞全稱，領會其含義，也就成為起草、翻譯經(jīng)貿(mào)合同所應具備的基本條件。

綜上所述，商務合同英語具有鮮明的詞匯特征，熟悉這些特征可以幫助廣大經(jīng)貿(mào)工作者準確有效的閱讀理解、翻譯和起草合同，避免不必要的糾紛與爭端，從而促進我國國際貿(mào)易的交流與合作。
